1 HENBURY GOLF CLUB NOTICE IS HEREBY GIVEN THAT THE 124th ANNUAL GENERAL MEETING WILL BE HELD IN THE CLUBHOUSE ON FRIDAY 21 st MARCH 2014 AT 7.30pm. AGENDA 1. Apologies 2. Remembrance of deceased members 3. To confirm the minutes of the 123 rd Annual General Meetings held on Friday 22 th March 2013; the minutes having been displayed on the Club s Notice Board 4. Matters arising from the 2013 minutes 5. To receive the Chairman s Report 6. To receive the Captain s Report 7. To receive the Treasurer s report 8. To receive and adopt the Accounts for the year ending 31 st December 2013 and to seek approval for the reappointment of Hunter Accountants Limited as Professional Accountants. 9. The Management Committee puts forward the following changes to the Club Rules and the members present at the 124 th AGM are asked to approve the changes. Details of the rationale for change are found at the rear of this AGM document: 9.1 Proposed Rule 7 sub section 2. Rule to be changed and in future read: Match and Handicap Committee Six members. The Ladies Vice-Captain will attend and have specific responsibility for ladies competitions. The Vice-Captain will attend and will represent the committee on Management Committee. 9.2 Proposed Rule 7 sub section 5. Rule to be changed and in future read: Membership & Marketing Committee to assist the Managing Secretary with marketing activity to support the successful running of the club. The Managing Secretary will attend and will represent the committee on Management Committee. 9.3 Proposed Rule 4. Chairman of Marketing to no longer be an officer of the club and read: The officers of the Club shall be the President, the Chairman, the Captain, the Vice-Captain, the Treasurer, the Chairman of the Greens Committee, the Chairman of the House Committee, the Ladies Captain and the Ladies Vice-Captain. 9.4 Proposed Rule 6 paragraph 3 to in future read: A Quorum for the Management Committee shall be five members. 9.5 Proposed addition to rule 2 - Rule to be moved from Section 24 and changed to in future read: The Management Committee is empowered to invite distinguished persons, or those whom they consider to deserve well of the Club, to become honorary members without payment of Entrance Fee or Subscription. Honorary membership cannot be awarded to a standing member of the Management Committee. Honorary membership can be awarded on a life or temporary basis.

3 CHAIRMAN S REPORT JAMIE WILSON As we move towards the end of my first year as Chairman I must start by thanking everyone for their support, in particular those selfless individuals who spend so much of their time in making Henbury Golf Club all that it is. As a member who turned up, played some variable quality golf and enjoyed a drink at the bar I was blissfully unaware of the amount of time they give up to sitting on committees, organising events and working on the clubhouse. We could not run the club without them and on behalf of every member I thank them. As I sit writing this report on yet another rainy February day I wonder if our decision to drill a bore-hole to reduce our water bills and ensure continuity of supply in drought conditions was absolutely necessary. Let s hope the summer has cloudless skies so we can not only enjoy our golf club but also water the greens! I will leave it to the Club Captain to regale you with a review from a golf and member perspective and concentrate my report on the running of the club. Financially, we have had a decent Membership numbers are only slightly behind the desired levels and whilst the planned reduction in some outside events has reduced visitor income, we believe this has improved member experience as the club is less busy at times when members wish to utilise it. Bar and catering profits continue to be key part of our income stream and I m pleased to report that this area has performed well. This financial performance has enabled us to invest in the club; you will all have seen the improvements on the course, not least the work to the 16th green and the pathways. It is critical that we are able to invest in the course so that it is well presented and plays at its best. It is not only what we as members want and over the years have come to expect but it also helps to attract new members and guests. Other course improvement opportunities were discussed at last month s forum; whilst we will not be able to complete all the jobs at once, there is a structured plan which we will continue to work our way through. For those of you who were unable to attend the notes from the forum can be found on the Management Board in the foyer. We have not only been able to invest in the course but the club house maintenance programme has progressed to plan. Major work has been completed on the flat roof and refurbishment of the men s showers. The creation of additional toilets from the foyer area is ongoing and will be completed shortly. I have been particularly pleased with how all the club committees are functioning. The management committee have a robust planning process with a clear vision and are supporting the sub committees to ensure the club continues to prosper. You will notice from the agenda for the AGM that we are recommending a number of changes to our Rule book which will assist the club moving forward and I would ask all the membership to support this. I would like to thank all of the employees for their efforts during 2013, in particular Sue Elliott for her hard work and dedication to the cause of ensuring Henbury continues to deliver a friendly members club, delivering a quality golf course in a beautiful setting in the heart of Bristol. I am not only proud to be the Chairman of HGC but I am excited about There is much to do but we are in good shape to deliver; we are managing carefully and have a fantastic club heritage to build upon.

4 CAPTAIN S REPORT ALAN THOMPSON The constant deluge of the last few week s contrasts sharply with the wonderful weather which was the hallmark of the 2013 golfing season and for which I am more than grateful no events were severely marred by rain yet there was enough to help Gary and his men keep the course was in tip top condition throughout. Even my drive-in was dry well, outside the clubhouse. The home-made Dalek which escorted me to the tee was fantastic, and its producer Andy Besant then also managed to sell it to boost the charity funds. The this is your life presentation was highly amusing, most of it was loosely based on the truth, and obviously took time and trouble to put together my gratitude to all concerned. The most nerve wracking episode of the year, my drive off with the Captain s Driver went well, and my year was off to an excellent start. The Captain s trip saw 28 of us undertake a very cheerful five days in April in the Costa del Sol which appeared to be enjoyed by all except the one struck by virulent Man Flu! Thankfully that was my only bad luck of the year. More than evened up when I managed a hole in one on the 13 th in the Quick Cup in October. Captain s Day was a fantastic sunny day, and the various home-made pasties in particular were a great success for which huge thanks to my wife Pat and sister-in-law Jacqui who literally slaved over a hot stove. To be able to spend all day meeting, greeting and drinking in unbroken sunshine on the 11 th was my idea of heaven. Many thanks also to Brother Geoff, a willing gofer all year, and proud of the board named in his honour - The Captain s Driver. Paul and Debbie have been also superbly supportive all year and particularly on Captain s Day. It almost goes without saying that Andy and the staff in the clubhouse have been unfailingly accommodating and cheerful throughout. The Charity Day was fully subscribed and Andy Besant was again prime mover and organiser. His committee ( must be an odd number and three is too many ) was matchless. A special mention too for Pete Sharkey who dragooned friends from all over the country to attend, without me having inkling. A fabulous surprise and one of the highlights of my year. As has become almost standard at HGC, the support for my chosen charities, at various events throughout the year was excellent. The Lady Captain, Hilary Mason, and I jointly chose to support the Toy Library project, part of the Bristol Paediatric Communication Aids Service. I hope you have seen the photographs on my notice board of some of the children, and their specially adapted toys which your generosity has provided. The total of around 12,000 was shared with St Peter s Hospice. I admit to some apprehension following Derek s retirement, but need not have worried. It may have been Sue s first year as secretary but I could not have been given more assistance, direction or enthusiasm. Heartfelt thanks. Likewise to all in the pro shop who have been consistently helpful even Nick who had to put up with playing golf with me. Having served my time on the Social Committee, I understand the hard work behind the scenes and salute this and their commitment which greatly helped me to thoroughly enjoy the year. I would like to thank Ronnie for all his help during my term in office, I could not have wished for a better Vice Captain. We are truly an exceptional club. We have Jan Pickersgill as the Ladies County Captain, David Windebank is the County President and Richard Boulding is the senior s County Captain all in the same year. Plus in Nick Day we have possibly the finest truly amateur golfer in the country to maintain the standard he has over the last year whilst in full time employment is truly remarkable. In these times when the concept of golf club membership is being overtaken by an attitude of buying in golf, our challenge is to maintain and further develop our club ethos if the overwhelming support and generosity of spirit that I have received from the whole club is anything to go by, this will be achieved. Thank you for allowing me the pleasure, privilege and honour of being your Club Captain in 2013/14.

5 Item 9 of the agenda: Rule changes Under item 9 of the agenda the management committee are recommending a number of changes to the club rules. The rationale for these changes is: First proposed change: Match & Handicap Committee Over the years the ladies section has had a representative at Match and handicap. Our current rule book states that one of the committee has specific responsibility for ladies competitions and reads. Existing Rule 7 sub section 2 Match and Handicap Committee Seven members, one of whom will have specific responsibility for ladies competitions. The Vice-Captain will attend and will represent the committee on Management Committee. The M&H committee have found it useful for the representative with this responsibility for ladies competitions to also sit on the ladies committee and the ladies handicap committee. To ensure that this is the case in the long term it is proposed that the ladies vice-captain (who automatically attends both) is a non-voting attendee of the club match and handicap committee. Having discussed this with the Chairman of Match and Handicap, who supports this change, it was further suggested that the size of the elected committee should reflect this change and the numbers of members be reduced to 6. The revise rule would therefore read: Proposed Rule 7 sub section 2 Match and Handicap Committee Six members. The Ladies Vice-Captain will attend and have specific responsibility for ladies competitions. The Vice-Captain will attend and will represent the committee on Management Committee. Second area of proposed changes: Marketing Committee and Management attendees The role of the membership and marketing committee is to assist with marketing activity; member s expertise has been used successfully to support activity. Covered within a number of rules (4, 6, 7 & 8) in summary is that the Chairman of this committee attends management as an officer of the club. The management committee would like to change this rule as a smaller Management Committee makes for a more efficient and effective group. Our Managing Secretary needs to lead marketing activity and therefore attends marketing meetings. Management propose that we follow the successful methodology used in Match and Handicap and change the rules so that the Chair of Marketing is no longer an officer of the club and that the Managing Secretary represents this committee at Management. To achieve this outcome a number of changes should be made to the rule book: Proposed Rule 7 sub section 5 Membership & Marketing Committee to assist the Managing Secretary with marketing activity to support the successful running of the club. The Managing Secretary will attend and will represent the committee on Management Committee. Proposed Rule 4 The officers of the Club shall be the President, the Chairman, the Captain, the Vice-Captain, the Treasurer, the Chairman of the Green Committee, the Chairman of the House Committee, the Ladies Captain and the Ladies Vice-Captain. If the changes to the Marketing Committee are agreed the Management Committee believe we should revisit rule 6 regarding the size of a quorum. The Management Committee will reduce from 9 to 8; it is therefore proposed that we reduce a quorum from 6 to 5.

6 Proposed Rule 6 (paragraph 3) A Quorum for the Management Committee shall be five members. Third proposed rule change The management committee does not see this so much as a change of rules but a tidying up of our existing rule book. The concept of honorary membership is covered within Section 24 on Temporary membership. The rule empowers the Management committee to give honorary memberships, but this ability being in the temporary membership section might suggest that an honorary member would not have voting rights or the ability to be elected to a club committee. Management Committee do not believe this was ever the intention of the rule and indeed we have historically allowed honorary members to attend AGM s and vote. To tidy up this rule we propose moving the section from section 24 to section 2, where other voting membership sections sit. In discussing this rule change it has been noted that a local club had an issue with their management committee awarding honorary memberships between themselves.
