MISSION STATEMENT Revised April 27, 2018 The Landings Yacht, Golf and Tennis Club mission is to operate, maintain, and improve the recreational and environmental facilities of the Landings for its Members and to provide selected services to the Villages for the benefit of the Villages and their residents. 1

3 THE LANDINGS YACHT, GOLF AND TENNIS CLUB RULES AND REGULATIONS April 27, 2018 The following are the Rules and Regulations of the Landings Yacht, Golf and Tennis Club. All Members, Associates, Tenants and Guests are expected to review the Rules and Regulations. They are subject to change. The most current information is available from the General Manager s office and on the LYGTC website. Members, Associates, Tenants and Guests using the amenities and other properties or assets of the LYGTC shall comply with the Rules and Regulations of the LYGTC. The Rules and Regulations are intended to protect the interests and well-being of Members, Associate Members, Tenants and Guests of the LYGTC including the safety, security, beauty, usefulness and the ability to peacefully enjoy the community and its amenities. Whenever the masculine or singular form of a pronoun is used in this document, it shall be construed to mean the masculine, feminine or neuter; singular or plural, as the context requires. ADMINISTRATIVE AUTHORITY 1.1 Administrative Authority. The Landings Yacht, Golf & Tennis Club, Inc. (LYGTC) is a not for profit corporation organized under the laws of the State of Florida for the purpose of holding real and personal property for the use and benefit of Owners of units in the Landings, Lee County, Florida. It is a mandatory membership association that operates solely under F.S. 617, the Florida Not for Profit Corporation Act. It is not a condominium association, and it is not a homeowners association governed by Chapter 720, nor are these Rules and Regulations subject to F.S All Owners Are Members. All Owners of units in the Landings are required to be Members of the LYGTC. 1.3 LYGTC Management The Board of Directors (BOD) of the LYGTC is responsible for the oversight of affairs of the Landings Yacht, Golf, and Tennis Club, Inc. Such responsibility includes all decisions regarding the use, operation and maintenance of LYGTC properties, both owned and leased; the establishment and collection of assessments and fees; the acquisition of property other than land; the establishment of rules and regulations governing LYGTC properties and the establishment of the fiscal year. The Board shall establish policies regarding the direction and supervision of any personnel hired to facilitate the objectives of the LYGTC. All Officers and Directors shall have a fiduciary relationship to the Members. (Bylaws 3.1) The Board is assisted in its efforts by a General Manager who is hired by the BOD to manage day-to-day operations, budgeting, long range planning, and the supervision of staff. The BOD is also assisted in its efforts by advice from Advisory Committees and a management company that provides support and administrative services such as human resources, payroll, employee training and benefits, and insurance coverage. It is not a day-to-day management company. BOD Directors are selected by their respective village per LYGTC Bylaws. The Directors elect the Board s officers Loans and Lines of Credit (new or renewal) are reviewed by the Finance Committee, which makes recommendations to the Board, require board approval, and be signed by the Board President (or an Officer designated by the President) Contracts/Agreements for one year in length or less may be signed by the General Manager. Any NEW agreement (not renewal of a prior) that binds the LYGTC for more than 3

4 $10,000 requires approval of the Board if entered into after approval of the Annual Budget. Automatically renewing contracts/agreements shall not be allowed Contracts/Agreements over one year in length must be signed by the Board President (or an Officer designated by the President) Reserve Projects require a minimum of three bids for any project over $10,000. Two bids are required for projects under $10,000. The General Manager determines/selects the bid award (and properly documents) and completes the project with no further involvement from the Board. (The Board has previously approved the project within the approved budget). All projects not part of the approved budget require Board approval. Changes within the approved Reserve Budget may be made by a Change Order by the General Manager for amounts of $5,000 or less. Amounts from $5,000 to $10,000 require the Treasurer s approval. Any change exceeding $10,000 requires Board approval. 1.4 Member Problems/Complaints. All Members have the right to present unresolved problems or complaints related to the operation of amenity services or LYGTC policy to the Board of Directors. Before a problem/complaint is presented to the Board, the following steps must be taken. First, the problem/complaint must be presented to the appropriate Amenity Director or Department Manager for possible resolution. Second, if the problem/complaint remains unresolved it should be discussed with the General Manager. Third, if within 14 days, the problem/complaint remains unresolved and the Member chooses to pursue the problem/complaint, a Member Problem/Complaint form available in the Administration Office must be completed. The completed form will be given to the General Manager who will submit it to the Board for review. The Board will determine if the problem/complaint warrants Board action. All items presented to the Board must identify the person(s) requesting Board review. 1.5 Associate Membership Fees. The Board of Directors shall determine the cost of the annual membership fees for Associate Memberships including Single Tennis Memberships, Family Tennis Memberships, Dining Memberships and Pool Memberships as well as the number of such memberships to be offered. All proposed changes to established fees charged to Associate Members must also be approved by the Board of Directors. 1.6 Advisory Committees The Board has authorized various types of advisory committees: standing amenity (Marina, Golf, House and Activities, Pickleball and Tennis); standing operational (Finance, Communications, and Wellness); and Ad Hoc, to counsel, advise and assist the General Manager, Amenity Directors and the Board of Directors in operational, budget and social areas The Board of Directors will appoint a liaison from the Board to each committee unless a Board Director serves as Chairman of the committee. It is the function of the liaison to listen, raise the Board s concerns and issues, and help formulate and present motions to the Board in the required motion format. A Board Director may serve as liaison to only one amenity or operational committee Standing amenity committees will report to and through the respective Department Heads for operational issues, which will in turn report to the General Manager. For Board-related issues, committees will interface through their Board liaison. Committee Chairpersons will function as the committee moderator. Ad hoc and standing operational committees formed by the Board will report to the General Manager, except (1) where the scope of the committee addresses member rights, privileges or obligations or Board policy (e.g.: Finance, Sanctioned Events, Communications) in which case they will report to the Board, or (2) unless specifically designated at the time of creation, or by subsequent Board action, as reporting to the Board. Adhoc committees created by the General Manager will report to the General Manager. If unresolved differences should arise between the committee, or the committee chair and the Department Head, either party may exercise the right to proceed through the complaint procedure at any time, thus assuring access to the General Manager and/or the Board. 4

5 1.7 Amenity Associations/Clubs: The Board acknowledges the existence of Amenity Associations and Member Clubs organized to arrange activities of interest to their members. Amenity Associations that are currently active in the Landings include the Landings Yacht Club (LYC), the Landings Tennis Association (LTA), the Landings Men s Golf Association (LMGA), and the Landings Ladies' Golf Associations (LLGA). Current Member Clubs such as the Fishing Club, the Craft Club, the Book Group, the Writers Club, and the Kayak and Canoe Club also offer numerous activities An Amenity Association/Member Club may be formed by the LYGTC Members. These Associations/Clubs may be unincorporated organizations established for the purpose of promoting congenial use of a particular amenity or for the pursuit of a specific interest of Landings Members, Tenants and Guests. These Amenity Associations/Member Clubs have no authority to obligate the LYGTC to make expenditures or collections for the LYGTC or to schedule or sponsor events to be held on LYGTC property without prior approval of the General Manager Membership in an Amenity Association/Club does not carry with it the right to use the Amenity or Club if the Associate/Club Member is not otherwise entitled to such use. 1.8 Committee Membership: Only LYGTC Owners and Riverside Members may serve on Board authorized committees. Tenants may serve as volunteers on committees when needed. Volunteers have no voting privileges. 1.9 LYGTC Board Motions: Only a Board Director, or the General Manager as an ex-officio member of the Board, may make a motion. 2.1 Adult. A person 18 years of age or older. DEFINITIONS 2.2 Administration Building. The facility in which the following are located: the Administrative Offices, which include the Activities Director, the Accounting Office, the Executive Administrative Assistant, the Receptionist, the General Manager, the Food and Beverage Director and the Fitness Center. 2.3 Amenity. LYGTC amenities include the golf, tennis, pickleball and marina facilities, the Fitness Center, the Wheelhouse, the Compass Rose Restaurant, Picnic Pointe and the Helm Club and its swimming facility. 2.4 Amenity Association. An unincorporated organization formed by Members and recommended by a Board-approved advisory committee responsible for that amenity for the purpose of promoting congenial use of the amenity by Members or Associate Members who voluntarily join the organization. That organization is accountable to the Board through its amenity s advisory committee. 2.5 Board of Directors. Directors to the Board are appointed/elected by each village for a threeyear term and take office in February. Monthly meetings of the LYGTC Board of Directors are usually held the last full week of October through April except the November/December meeting that is held the first week of December. During the last full week of the month, a Workshop Meeting is held on Monday. On the following Friday the BOD votes on the motions presented at the previous Monday s Workshop. The annual budgetary meeting is held in August and the budgetary approval meeting is held in September. All Members are invited to attend. All Board of Directors Meetings and Workshops are broadcast live on the Internet at Board Workshop. A Board of Directors meeting is open to all LYGTC Members other than Associate Members. Reports are given and motions to be voted upon the following Friday are presented for discussion. Members comments from the floor are allowed subject to reasonable Rules and Regulations promulgated by the Board of Directors from time to time. 5

6 2.5.2 Board Meeting. A Board of Directors meeting is open to all Members. Motions first presented and discussed at the prior Monday s Workshop are voted upon by the BOD. Member comments from the floor are generally not allowed except at the end of the meeting. Motions not presented on Monday may be presented if member comments are allowed Board Executive Session. A closed meeting of Board Members held to discuss legal, private member matters or personnel matters. 2.6 Boater. An Owner or Tenant with an assigned wet or dry dock slip in the Landings Marina. 2.7 Club. An organization established by Members for a specific interest or purpose such as The Fishing Club or Writers Club. It does not operate under the auspices of the Board of Directors. Most clubs are listed in The Landings Directory, i.e., The Green Book. 2.8 Committee. An Advisory committee such as an amenity, operational or ad hoc committee of one or more persons approved by the Board to counsel, advise and otherwise assist the General Manager and the Board in matters pertaining to the LYGTC Designated Other. A person who is designated by the Owner of a unit to have LYGTC privileges equal to those of the Owner and is registered with the LYGTC Administration Office, and has paid the required fee. (See General Rules 7.2.4) The Designated Other and Owner must appear in person at the Administration Office to register and obtain a photo identification card Fitness Center. Located in the Administration Building, the Fitness Center includes a room with a variety of exercise equipment and an open room for other fitness activities Guest. A Local Area Guest, a House Guest, or a Family Member Guest. Guests are the responsibility of the Owner and must pay the appropriate fees Local Area Guest. A person from Lee County, or a visitor to Lee County not in residence at the Landings and who is accompanied by a member House Guest. A visitor of less than 30 days from an area other than Lee County and who temporarily resides in a Landings unit, or a person who resides permanently in the unit of a member, other than an Associate Member, who is not otherwise eligible for amenity privileges Family Member Guest. Grandparent to Grandchild and their spouses who are direct lineal relatives of the Member, siblings of the Member and siblings spouses The Helm Club. The main clubhouse in which the following are located: Banquet Managers Office, Main Deck, Compass Rose Restaurant, Dining Room, Golf and Tennis Shops, Golf and Tennis Directors Offices, Kitchen, Real Estate Sales Office, Restrooms and the Ship s Library. Meeting rooms include the Captain s Bridge, Compass Room, Garden Room, Purser s Quarters and Ladies and Men s Lounges Identification Cards. Cards that are issued for the purpose of identification, allowing community access, or usage of community amenities. All members of the LYGTC must show their identification cards issued by the LYGTC. These include the following: 1) Membership cards that identify the person(s) entitled to use of the amenities, 2) Tenant cards that identify long-term and short-term renters, 3) Access cards that allow owners in Riverside access to the Landings roadways, and 4) Guest cards that state the specific date on which guest privileges expire LYGTC. The Landings Yacht, Golf and Tennis Club, Inc Member. Only owners who have voting rights and who share the operating costs of the LYGTC as a common expense are members. All others are Tenants, Associate Members or Guests Primary Member. In corporate, trust, partnerships and multiple unit(s) of the same Owner(s), the adult person(s) designated for membership Corporate Member. In corporate, trust, partnerships and multiple unit(s) of the same 6

7 Owner, the adult person(s) designated for membership. Only children of Primary and Secondary Corporate Members do not pay Guest fees. All other children are charged Guest fees Member Children. Children under 18 years of age of an Owner, Tenant or Designated Other. Member Children are entitled to full membership privileges Associate Memberships. A Non-resident membership with limited amenity privileges granted by the Board. Associate Members are subject to the Rules and Regulations of the LYGTC. (See Bylaws 2.3) Associate Single Tennis Membership. This membership entitles one person to Limited Tennis Privileges. Single Tennis Membership entitles one person and his guest's use of the Helm Club and Wheelhouse bars and dining rooms for scheduled ala carte service. Single Tennis Associates may not use other Landings athletic facilities including the golf course, pickleball facility, bocce courts or Fitness Center. Single Tennis Associates are allowed access to golf and tennis lessons, the Golf and Tennis shops, the Ship s Store, and the Helm Club swimming facilities. The Driving Range may be used only while taking a golf lesson. Associates may not use Picnic Pointe for private parties unless arrangements have been made through the Banquet Office Associate Family Tennis Membership. This membership entitles a family of parents and their children under 18 years of age to limited tennis privileges. A Family Tennis Membership entitles a family and their guest's use of the Helm Clubhouse and Wheelhouse bars and dining facilities for scheduled ala carte service. Family Tennis Members may not use other Landings athletic facilities including the golf course, pickleball facility, bocce courts or the Fitness Center. Family Tennis Members are allowed access to golf and tennis lessons, the Golf and Tennis Shops, the Ship s Store and the Helm Club swimming facilities. The Driving Range may be used only while taking a golf lesson. Associate Members may not use Picnic Pointe for private parties unless arrangements have been made through the Banquet Office Associate Dining Membership. This membership entitles a person, his spouse and their guests, use of the Helm Club and Wheelhouse bars and dining facilities for scheduled ala carte service. Dining Associates may also participate in special functions such as holiday parties, dinner dances and bingo nights. Dining Associates may not use the Helm Pool swimming facilities or Picnic Pointe for private parties unless special arrangements have been made through the Banquet Office Associate Pool Membership. This membership entitles a family of parents and their children under 18 use of the Helm pool facilities. Associate Pool Membership entitles a family of parents and their guest's use of the Helm Club and Wheelhouse bars and dining facilities for scheduled ala carte service. Pool Associates may not use Picnic Pointe for private parties unless special arrangements have been made through the Banquet Office Owner. The individual(s) designated on the deed of a unit in the Landings. All owners are Members of the LYGTC with voting privileges Picnic Pointe. The picnic area along the Caloosahatchee including the outdoor grilling pavilion facility Sunset Pointe. The riverfront lot on the south side of the Marina entrance and the west end of Dockside Drive, adjacent to Harbortown Village Tenant. A person who resides in the Landings and whose name(s) appears on a villageapproved lease. Their children under 18 years of age are entitled to membership privileges. Tenants have no voting privileges Unit. A residence situated in the Landings Primary Unit. In the case of multiple units owned by the same owner(s), the unit designated for amenity privileges for the Owner(s). 7

8 Secondary Unit. In the case of multiple units owned by the same Owner, the unit(s) designated by the Owner for amenity privileges for two people other than the owner Wheelhouse. This facility houses a restaurant, bar, and dining patio along the Caloosahatchee as well as the Marina s Ship Store and Marina Director s office. DISCLAIMER OF LIABILITY 3.1 Use of Recreational Facilities: Each owner, by acceptance of title to a Unit, and every Member, their guests, invitees and/or licensees who are at least 18 years of age, by utilizing the recreational facilities owned and maintained by the LYGTC, acknowledge and agree that in exchange for the LYGTC s permission to utilize the LYGTC s recreational facilities, Members, Tenants, Associate Members, their Guests, invitees and/or licensees herby waive, release and hold harmless the LYGTC (its agents, employees, officers and directors) from any claims for injuries (including injuries resulting in death), losses and/or damages connected in any way with the use of the LYGTC s recreational facilities. Tenants, Associate Members, Members, their Guests, invitees and/or licensees acknowledge and agree that this release extends to any claim of injuries (including injuries resulting in death), losses and/or damages proximately caused by any negligent action or inaction of the LYGTC, its agenda, employees, officers and/or directors. 3.2 Use At Own Risk: The LYGTC is not responsible for the loss of or damage to personal property or other damage or loss resulting from the actions of persons using the amenities, including storage of personal property on LYGTC property (such as, but not limited to, golf club storage in the cart barn, boat usage or storage in the marina [in wet or dry slips], clothing/ equipment storage in lockers, people playing golf or tennis, etc.). 3.3 Owner s Responsibility If Property Removed For Cause: The LYGTC is not responsible for loss of or damage to personal property resulting from the removal of property (including, but not limited to, clubs stored in the cart barn, boats stored in/at the marina, or clothing/equipment stored in lockers) from the amenity facility as a result of violations of the rules, nonpayment of LYGTC fees, or change of ownership or tenancy of a unit. 3.4 Medical or Emergency Assistance: Any individual in residence or visiting the Landings who requires assistance for themselves or others is expected to call 911 for emergency assistance. The LYGTC and its employees are not trained to diagnose or render medical assistance. Defibrillators are available in the Landings at the following common areas: the Gatehouse, Community Patrol- Mobile, Administration Office, Fitness Center, Golf Shop, Golf Starter Mobile, The Helm Club lobby, and the Tennis Shop, Wheelhouse, and Longboat Restrooms. COMPLIANCE AND PENALTIES 4.1 Enforcement The General Manager, through the Amenity Directors, is authorized to enforce compliance with the Rules and Regulations Violations will be called to the attention of the non-complying Member(s) and/or Guest(s), who are then expected to comply. Significant and/or recurring violations will be referred to the General Manager, and to the Board of Directors if necessary If for any reason any provision of these Rules and Regulations is found to be unlawful, unenforceable, or unenforced, the validity and enforceability of the remainder of the Rules and Regulations shall remain in full force and effect. 4.2 Notification of Alleged Violation. The Board shall provide written notice to the person alleged to be significantly or repeatedly in violation by certified mail, electronic means, or personal delivery. The Member, Tenant, Associate 8

9 Member or Guest of the Member (if that person is not a Member) shall be notified of the specific nature of the alleged violation(s). The notification shall include a statement of the provisions of the LYGTC documents (Articles of Incorporation, Bylaws, Rules and Regulations) allegedly violated. A statement of the matters asserted by the LYGTC will also be included. The Member, Tenant, Associate Member, or Guest of the Member, will be given an opportunity for a hearing before the Board. This hearing will occur upon written request, and the request shall be delivered to the General Manager within fourteen (14) days of the date of the notice of the violation(s). The Board notice shall state the date, time and place of the hearing to be heard if a hearing is requested. 4.3 Fines. The Board notice shall specify that each occurrence of the alleged violation or each day the violation continues shall be deemed a separate offense subject to a separate fine, not to exceed One Hundred ($100) Dollars for each offense provided the total amount of fines shall not exceed One Thousand ($1000) Dollars exclusive of interest, costs and attorney fees. (Bylaw 7.3) The amount of any fine shall be determined by the Board in accordance with the maximum limits set in this document Only a majority of the Board of Directors in attendance may levy fines The Board may consider the severity of a particular violation in determining the amount of a fine Collection of fines may be by action at law, in which case the prevailing party shall recover all costs and attorney s fees incurred, before trial, at trial, and on appeal. 4.4 Alternative. The Board notice may further specify an alternative procedure available only for first-time violations and not for recurring violations, that in lieu of requesting a hearing, the alleged violator or Member may respond in writing to the notice, within fourteen (14) days of its date, acknowledging that the violation(s) occurred as alleged and promising that the violation(s) will cease and will not recur Such acknowledgment and promise, and performance in accordance therewith, shall terminate further enforcement activity by the LYGTC with regard to the violation and no fines shall be levied (although any damages which occurred as a result of or concurrent with the violation will continue to be the obligation of the violator, or the appropriate Member if other than the violator). 4.5 Recurring Violation. A "recurring violation" is more than one violation of the same provision(s) of the LYGTC documents, including these Rules and Regulations, or more than one violation of any provision within one calendar year. 4.6 Hearing. If a hearing is requested in a timely manner, the Board of Directors shall hold a hearing on the date and time and at the place set forth in the notice, and shall hear and receive the response of the alleged violator, including written and oral argument on all issues involved and shall hear any witnesses that the alleged violator may produce. Any party at the hearing may be represented by counsel. 4.7 Determination of Violation. Subsequent to the hearing, or if no hearing is requested in a timely manner and if no acknowledgement and promise as set forth above are timely and properly made, the Board shall determine whether there is sufficient evidence of a violation(s) If the Board determines that there is sufficient evidence to support a finding that a violation(s) occurred, it shall send a written notification to the violator, and the appropriate Member if other than the violator, announcing its finding that a violation(s) occurred and notifying the violator, and the appropriate Member if other than the violator, that fines will be assessed and levied as provided herein No further notice or hearing shall be necessary to enable the Board to levy fines for an uncorrected violation(s), or for recurring violations substantially similar to violations for which a hearing opportunity was previously provided. 4.8 Fine Assessment. A fine pursuant to these provisions shall be assessed against the Member who was the violator or was the person of whom the violator was a Guest or visitor, and shall be paid promptly to the LYGTC by that Member. 4.9 Loss of Privileges. Failure to comply with the LYGTC documents (Articles of Incorporation, Bylaws, Rules and Regulations, Board policies and procedures) can result in the suspension of the privilege of using LYGTC amenities, or any individual amenity as the case may be, as a Member and 9

10 as a Guest, depending upon the severity of a violation. Suspension of use privileges may be to a single individual Member only, to any person who is a party to an LYGTC membership, or to all individuals affiliated with the unit (Member, Family Members, Tenants, Guests, etc.), depending upon the nature of a violation. Suspension of use privileges shall not be exclusive of the right to pursue other remedies, including the levy of fines. The use of privileges will also be suspended for nonpayment of fees. No use privileges will be suspended without affording the opportunity for a hearing in the manner previously described for the levy of fines except for the nonpayment of Membership fees and charges Right to Pursue Other Remedies. The Board may pursue other means to enforce the provisions of the various LYGTC documents, including but not limited to legal action for damages or injunctive relief. In the event such other means are pursued, the LYGTC shall not be required to comply with the procedures and provisions in this section Treatment. It is the intent that those persons in violation will be treated with dignity, that fairness and equity will prevail, and that those enforcing compliance will be afforded the same consideration by the Members. INTERPRETATION 5.1 Board Is Sole Authority. The Board of Directors is the sole authority for interpretation of the LYGTC documents and its Rules and Regulations. Inquiries may be directed to the Board through the General Manager. 5.2 General Manager. The Office of the General Manager is located in the Administration Office. The telephone number is (239) COMMITTEES 6.1 Advisory Committees. All committees act in an advisory capacity to the Amenity Directors, General Manager, and the LYGTC Board. 6.2 Meetings. Committees will meet at regularly scheduled times. Agendas for advisory committees are to be delivered to the Administration Office prior to meetings for posting on the Landings website. Minutes shall be taken, presented to the LYGTC Board, and maintained by the General Manager. LYGTC Members may attend committee meetings, the time and place of which will be posted in appropriate LYGTC media. 6.3 Amenity Directors Participation. Amenity Directors are expected to attend committee meetings for their respective areas. 6.4 Committee Membership. A prime requirement for Committee Membership should be a candidate who has demonstrated an active interest in the amenity and has demonstrated a willingness to be an active member of the committee. Suggested guidelines for the optimum number of voting members of each Advisory Amenity and standing operational Committee follows: Finance: 10; House and Activities Committee: 20; Wellness: 15; Golf: 9 (including the LMGA, LLGA 9 Hole and 18 Hole Presidents); Tennis: 9 (including the LTA President); Marina: 15 (including the LYC Commodore); Pickleball: 9; and the Communications Committee: 12. A member of the Board will be appointed to each Committee as a non-voting member. The General Manager may assign associated administration personnel to committees as non-voting members During the first week in November of each year, the General Manager will send a letter to the Landings Members soliciting names of Members (not Associates), fulltime or seasonal, who are interested in serving as members on the various committees All requests for committee membership are to be submitted to the General Manager and the Board Secretary no later than January 1 st. Candidates may be interviewed by the current Committee Chairperson, the appropriate Amenity Director, General Manager and/or Board Liaison. 10

11 6.4.3 The present committee assignment is for two years. If an insufficient number of candidates apply to fill the committee requirements, then a member whose term has concluded may continue as a member of the committee for another two years. If too many qualified candidates apply for the committee positions available, the candidates names would be selected in a random manner, i.e., drawn from a hat The slate of proposed Advisory Committee Members will be presented to the Board for approval at the regular Friday January Board meeting. Directors shall receive the names of proposed committee members for discussion in their BOD packets prior to the Monday Workshop meeting. 6.5 New Committee Member Orientation. Each committee Chair or his designee shall conduct an orientation for new Committee Members. 6.6 General Manager s Authority over Employees and Amenity Directors. No Committee member will direct or instruct an employee or Amenity Director in his duties. Suggested directions or instructions the committee may deem worthy should be directed to the General Manager. 6.7 Scope Amenity Committees will be involved in the planning and promotion of their Amenity s approved special events. 6.8 Enforcement. Committees will support adherence to the Rules and Regulations of the LYGTC as directed by the General Manager or the LYGTC Board. (Board Advisory Committees, their purpose and members are listed in The Landings Directory, i.e., The Green Book.) GENERAL RULES 7.1 Use. The facilities of the LYGTC are for the enjoyment of Members, Associate Members, Tenants and their Guests. If an Owner of a unit rents or leases his unit the right to use the LYGTC amenities is transferred to the Tenant, and the Owner completely relinquishes that right during the rental or lease of the unit. No Owner who has rented/leased his unit shall be entitled to any amenity privileges related to that unit except as a Guest while the unit is rented/leased. The Owner loses the use of his boat slip while his unit is rented or leased. A Tenant can apply at the Marina Office for a slip. Village association employees who are not Owners are not entitled to use of LYGTC amenities. Tenants are not entitled to memberships in LYGTC. 7.2 Member Identification and Guest Cards. Only two Member Identification cards will be issued for each unit at the time the unit is purchased or rented/leased. The Identification card is issued by the Administration Office House Guests may receive Guest Cards All Guests of Members may use the amenity if accompanied by the host Member. However, House Guests who want to use the amenities without the Member accompanying them must obtain a Guest card at the Administration Office. The Owner must submit a Guest I.D. Request Form (notarized if not submitted in person) attesting to the fact that no money has been paid for the use of the designated unit and acknowledging responsibility for Guest charges. To ensure timely processing of Guest I.D.'s, Guest I.D. Request Forms should be received in the Administration Office 48 hours in advance of guest arrival Upon the sale of a unit, the former Owner must relinquish his identification cards to the Administration Office. Copies of the closing documents or deed and monies due if applicable must be submitted to the LYGTC office before cards will be issued to the new Owner(s). New Owner(s), Tenants and Non-Resident Members must appear in person at the Administration Office to obtain a photo identification card. 11

12 7.2.4 Single Owners may designate another person of their choosing to receive the second amenity Identification card regardless of residency or relationship. The amenity assignment for the Designated Other may be changed only once every calendar year (except in the event of death or deed change). A fee of $250 must be paid to the LYGTC each time the amenity assignment is registered In the case of multiple ownership, two people, one of whom must be an Owner of record, must be designated as the Members to receive the two amenity identification cards. The children of these designated Members under 18 years of age will have full amenity privileges. Additional Owners will receive Guest I.D. cards upon request and must pay any appropriate fees. The amenity assignment may be changed no more frequently than the minimum rental period allowed in any of the villages (currently 30 days), except in the event of death or title change. A fee of $250 must be paid to the LYGTC each time the amenity assignment is registered In the case of corporate, partnership or trust ownership, two people may be designated as the Members to receive the two amenity identification cards. One of the two Members must be designated the Primary Member, and the other will be considered the Secondary Member. The children under 18 years of age of the designated Primary and Secondary Member will have full amenity privileges. All other visitors to the unit are Guests and must pay any appropriate fees. The amenity assignment may be changed only once each calendar year (except in the event of death or title change). A fee of $250 must be paid to the LYGTC each time the amenity assignment is registered In the case of ownership of multiple units in The Landings by the same Owner, the Owner must indicate which is the Primary Unit for amenity privileges for the Owner and spouse or Designated Other, and which is the Secondary Unit(s) for which two people, related to the Owner as either direct lineal relatives (and their spouses) or siblings (and their spouses), may be designated as the Members to receive the two amenity identification cards. One of the two Members of the Secondary Unit must be designated the Primary Member, and the other will be considered the Secondary Member. The children under 18 years of age of the designated Primary and Secondary Member will have full amenity privileges. All other visitors to the Secondary Unit(s) will receive Guest I.D. cards upon request and must pay the appropriate fees. The amenity assignment for the Secondary Unit(s) may be changed only once each calendar year (except in the event of death or title change). A fee of $250 must be paid to the LYGTC each time the amenity assignment is registered When a unit is rented, the Member s Identification Card is automatically invalidated for the term of the lease and a temporary card is issued in the Tenant s name upon registration with the Administration Office. The right to use all LYGTC amenities is transferred to the Tenant. All others associated with that unit completely relinquish their amenity rights during the rental of the unit. A current property owner cannot be considered a Designated Other for his own property. (See 7.2.4) Copies of the lease, the personal application and the village approval must be submitted to the LYGTC office (by either the Owner, the management company representing the village in which the Owner's unit is located, or the renting agent). A $250 fee for the processing of the lease and issuance of amenity I.D. cards to the Tenant(s) and a $50 deposit is required. Only one $50 deposit per family will be charged at any one time and refunded when all cards are returned A lease must contain the names of all occupants. The lease application showing village approval must indicate which adult Tenant is designated the Primary Tenant and which adult Tenant is the Secondary Tenant. The children under 18 years of age of both Tenants will have full amenity privileges Each Tenant(s) must personally appear at the Administration Office to obtain a photo identification card. The Tenant(s) card will contain an expiration date and will automatically become invalid at the expiration date. For leases not previously submitted to the Administration 12

13 Office a copy of the village approval must be given to the Tenant before arrival at the Landings and it must be shown at the gatehouse for admittance to the Landings A Member must show his LYGTC Identification Card to use LYGTC amenities. A Member Identification card is for the exclusive use of the person to whom it is issued and MAY NOT BE USED BY ANYONE ELSE Member Identification Cards will be issued to Associate Members by the Administration Office. All Associate/Member Identification Cards expire yearly on June 30, and will be renewed when appropriate fees are paid. An Associate Member must appear in person to obtain his card. There is no charge or refund for these cards. 7.3 Conduct/Suspension. Members are expected to conduct themselves in accordance with LYGTC Rules and Regulations on LYGTC property and are cautioned that warning notices will be issued and/or fines levied, local authorities notified, and amenity privileges may be suspended by the Board in the event of gross or continual misconduct, violation of the Rules and Regulations, nonpayment of LYGTC fees, nonpayment of LYGTC charge account balances, abuse of or disrespect for LYGTC property or personnel, or interference with the right of other Members to peacefully enjoy the amenities. 7.4 Operational Authority. The Food & Beverage Director, Marina Director, Director of Tennis, Community Patrol Director, and Director of Golf ( Amenity Directors ) report to the General Manager and are charged with the day-to-day operations of their respective Departments. They should be accorded the respect commensurate with their positions. Questions regarding matters of policy should be referred, in writing, to the General Manager. Decisions by the Amenity Directors, or by the General Manager, that concern specific incidents will be adhered to at the time, and any discussion of, or disagreements with, those decisions shall be referred, in writing, to the General Manager. Complaints about the General Manager should be addressed to the President of the Board of Directors. 7.5 Communications Media. The Landings newsletter, its website, flyers and other media are published to inform Members about Landings activities and changes in the governing documents of the LYGTC. The purpose of all media is to inform Members of events in the Landings and publish articles of interest about its Members activities and their families. The content of material, other than LYGTC Board official submissions, will be determined by this purpose. If a discussion or opinion page is created in any media that does not meet the above purpose, the policies and guidelines established by the Communications Committee and approved by the Board shall govern such submissions with the intent of encouraging an open forum that best serves the Landings community s interest Articles or postings other than those posted by management must clearly indicate the author or sponsor, and should not be construed as reflecting the official opinion/position/authority of the LYGTC unless specifically indicated as such Content that relates to the activities of the Board, including the acceptance of sponsors whose business activities may compete with the business interests of the LYGTC, or that may have an impact on the safety, liability, or peaceful enjoyment of LYGTC membership, are to be brought by the individuals in charge of the various media to the attention of and reviewed by the Communications Advisory Committee before publication The Communications Advisory Committee will oversee the content of all LYGTC media. It has established guidelines for Happy Landings, The Landings Directory, and the Landings website. The Communications Advisory Committee is responsible for seeing these guidelines are followed. 7.6 New Members, First Time Tenants and other Residents: New Members and residents should meet with the appropriate Amenity Director to become familiar with the Rules and Regulations of that specific amenity. Amenity Directors and Department Managers are available to answer 13

14 questions and clarify rules. 7.7 Financial Obligation: Members are responsible for the payment to LYGTC or its designated representative of (1) LYGTC membership and other Board-approved fees, (2) charges incurred for any amenity, (3) Guest fees, (4) damages to LYGTC property, (5) costs incurred for, and damages incurred as a result of, removal of personal property from LYGTC property when authorized by the Board, and (6) any of the above incurred by Guests or Tenants. When a Members Unit is rented, a $250 fee for processing of the lease and issuance of amenity I.D. cards to the Tenants and a $50 deposit is required (See ). 7.8 Rule Changes: These Rules and Regulations may be amended at any time by the Board in accordance with the LYGTC Bylaws Such changes will be discussed and voted on at a meeting (not just a workshop session) of the Board of Directors, reflected in the minutes of said meeting, be effective on the Monday following such meeting if no other effective date is stated in the motion for the rule change, and communicated in writing to the Members The Board of Directors may use any of the following means for officially communicating in writing with Members: posting in the Helm, inclusion of notices in the Happy Landings newsletter, and mailing of notices to Members by regular first-class mail The Maker of any rule change motion shall present the motion in the format of the existing LYGTC Rules, clearly indicating rule number, additions and deletions When a Board Member is appointed as liaison to an amenity committee or as chairman to an operational or ad hoc committee, it becomes the responsibility of that Board Member to serve as the maker of any rule change motions brought to the Board from that committee whether or not the liaison supports the motion. A motion for rule change may also be made by the General Manager The maker of any rule change motion shall assure the Board that the motion reflects input from the various individuals and groups that are responsible for addressing amenity usage and/or enforcement of the Rules by having circulated proposed changes and solicited feedback. Any rule specific to an amenity proposal must first be submitted to that amenity s director and committee for feedback, the related amenity association if its activities might be affected by the rule change, and the General Manager. 7.9 In Good Standing: A Member must be in good standing with his Dues and House Accounts to the LYGTC paid in order to exercise membership privileges. If a Member is not in good standing then Tenants, Residents or Guests of that Unit are prohibited from using the amenities Water in Lakes, Ponds, and Canals: Bodies of water throughout the LYGTC, its village lakes, ponds and canals are reclaimed water used for irrigation. DO NOT DRINK THIS WATER Serving of Liquor When the LYGTC provides alcohol and/or food for special events, no individual or group is permitted to bring its own alcohol or food. Catering by outside vendors is not allowed in any area of the LYGTC No individual or group may sell alcoholic beverages in any area of the LYGTC For self-catered parties, Members may individually BYOB. Liquor may not be dispensed if it is included in the charge(s) for any other item such as food or prizes. ONLY LYGTC STAFF MAY SELL LIQUOR. This is to protect and in accordance with the LYGTC liquor license Questions regarding the application of these policies for any specific event or situation should be directed to the Food and Beverage Director No Smoking. All Landings buildings, including restaurants, meeting and event rooms, shops, the Fitness Center, the Picnic Pointe Pavilion, the tennis area, pickleball or bocce courts, the decks 14

15 and porches are smoke free. This includes the smoking of tobacco or other substances or the use of electronic smoking devices Charitable Events. All charitable organizations must be charged the same pricing and guest fees that would be applicable to any other individual or organization wishing to use the LYGTC amenities Self-Catered Events. When Landings self-catered functions are held in any LYGTC area, except Picnic Pointe, there will be a $50.00 maintenance charge assessed. Cleanup is still required of whoever is using the area. No charge is assessed for a non-food function such as a meeting Event Guidelines that restrict Member s Amenity Usage Only LYGTC Members or Amenity Directors may sponsor an event or function that would restrict the use of the LYGTC Any event that will bring non-members into the Landings must have prior approval by the LYGTC Board. Exception: The Food and Beverage Director has the authority (subject to Board instructions and Member usage priorities established in the master calendar before June 1 of each year) to make decisions related to banquet events and functions utilizing the Helm Club, Wheelhouse or Picnic Pointe and its Pavilion. The use of the Picnic Pointe area by Members may not be restricted The event must fit into the LYGTC master calendar of approved events. The event cannot interfere with leagues or any other regularly scheduled sanctioned group event previously approved by the Board There can be only one such event per month in season (January 1 through April 30). Applications for such events require the General Manager s signature No golf or tennis events other than regularly scheduled sanctioned group events that bring in outsiders may be held in-season unless approved by the Board. Regular Sanctioned events for Golf include: Ladies 9 Holers Guest Invitational Day, 18 Holers Guest Day, 18 Holers Sadie Hawkins Tournament, 18 Holers Home Invitational, LEGA (Ladies Executive Golf Association League) so long as those events are held during the normal set aside time for league play, Landings Pro-Am, LMGA Stag Day. Regular Sanctioned events for Tennis include: All Landings League Play, the Annual Pro League Exhibition, and End of Season Lee County League Round Robins so long as those events are held during the normal set aside time for league play A MEGA (Men's Executive Golf Association) annual tournament may be held so long as that event is scheduled between May 1 and October Member and Member sponsored events will have priority when applied for and scheduled before June On April 1 of each year, the General Manager will send a letter to all Amenity Directors and the president or chairman of each Amenity committee, Amenity Association, and other LYGTC recognized member activity groups notifying them that applications must be submitted by June 1 for scheduling in the following calendar year Any other Member or Member-sponsored event or function will be considered by the Food and Beverage Director based on availability of the facility in question, subject to these guidelines and all other LYGTC Rules & Regulations, and brought to the Board when appropriate. FEES AND CHARGES 8.1 Membership Fees Established by Board. Membership fees for the LYGTC are established by the Board of Directors and are subject to change. 8.2 Payment of Membership Fees and Charges. Monthly Membership assessments are due the first (1 st ) of each month. They are considered late on the fifteenth (15 th ) of the month. House accounts are due upon receipt of the billing statement.
