1 Fairway Pines Estates Owners Association Summer Member Meeting Minutes Wednesday, July 29, 6:15 PM (MDT) Divide Ranch and Club Clubhouse 151 Divide Ranch Circle Ridgway, CO The meeting was called to order at 6:15 PM by President Chris Carr. Board members present were Ann Blakely and Pat Jennings. Robbin Minkel and Pat Montgomery were excused. Advisors, Bob Bond and Jerry Farrington, were present. Recording secretary, Mary Ann Guilinger, was present. Non-members were not allowed at the meeting. 1. Welcome and introduction of Officers and Administrative Assistant Chris Carr introduced the current Board, advisors, and administrative assistant. The two years terms for Pat Montgomery, Treasurer, and Robbin Minkel, Vice-President, have expired. Bob Bond is stepping down as an advisor. Chris Carr thanked all three for their service. 2. Review and approval of 2015 Winter Member Meeting Minutes Evelyn Ardoin made a motion to approve the January 28, 2015, Winter Member Meeting minutes. Paul Dicus seconded the motion. The motion was approved by the members present. The 2015 winter member meeting minutes will be posted on the Fairway Pines website. 3. Introduction of new members of Fairway Pines Ann Blakely introduced the new members present at the meeting: Mark and Robin Cumming purchased the Zimmerman s home at 240 Marmot Drive, Lot 112. They moved from Phoenix. Josephine and Charles Scoville purchased Lot 419 located at South Badger Trail and Red Fox Lane. Evelyn and Rick Bailey, who own the home at 203 Puma Lane, Lot 306, have been in the area for over 20 years but this meeting is the first one that they have been able to attend. They are trying to move to Fairway Pines full time. Ann Blakely reviewed new owners not present: Mark and Pamela Duckworth purchased the home at 98 Bear Cub Drive, Lot 345; they are renting their home long-term. Robbin and Mike Minkel sold their home at 210 Hummingbird Trail, Lot 513, to Shawn and Jessica Paxton who will live here part-time and are from Arizona. Tom Chase from Denver purchased Lot 565 on Marmot Drive from K&W Trust. 1

2 The Social Committee is welcoming new residents with gift certificates; they have welcomed five in the past three months and have three more to go this year. 4. President s Report Chris Carr stated that the Board proposed a citizen s initiative for the Ouray County Land Use Code. Since 2001, the side setbacks for lots in Ouray County were changed from 15 feet to 25 feet. Ouray County had never enforced the 25-foot side-setback rule until the Shaw s were building their home on White Tail Lane. Over 90 % of the lots in Ouray County that are under two acres are in Fairway Pines. Ouray County s waiver fee for the side-setback is a $600 fee and is a lengthy process. The Board of Ouray County Commissioners (BOCC) passed the citizen s initiative to allow the side setback to be 15 feet for lots with less than two acres for the South Mesa Zone. This change to the Land Use Code for Fairway Pines saves from $700-$1,000 for lot owners building a home. The Board has issued four newsletters to members. On October 5 th, Fairway Pines will hold its community clean-up day with a minimum of 25 slash piles from lot clean-up for fire mitigation. Camouflage Cutters will pick up the slash piles and will do tree cutting and will do most of Log Hill Village, also. Phyllis Ward will coordinate the clean-up and the Board thanks her for that. In early June, Wayne Landis sprayed 7.4 miles of street shoulders with a weed sprayer provided by the Divide Ranch and Club. By Wayne doing the spraying, it saved Fairway Pines from $3,000 to $4,000. Chris Carr thanked Wayne very much. Also, Chris Carr asked lot owners to spray and control noxious weeds on their lots. In the autumn, Fairway Pines will crack seal all 7.4 miles of streets, which is routine maintenance and will prevent potholes or other damage from occurring. The roads are in great shape, and we want to keep them that way. Nineteen volunteers assisted the golf course in maintenance and repairs because of the staff transition. Many hours were donated and the golf course is in the best shape since In March, the Divide Ranch and Club and Fairway Pines had discussions with the Ouray County Planning Commission, and BOCC, about the Final Development Plan 6a which involves the driving range and maintenance area. There are seven requirements, some to do with water, from a 2007 BOCC Resolution that still needs to be met. Fairway Pines supports the development plan to promote growth. The Ouray County Planning Commission approved the final development plan on July 21 st and recommended that the BOCC approve it. The BOCC will review the plan on August 11 th, and Fairway Pines will make presentations at that meeting to show its support. Greg Bollig asked about the cabins being proposed on the driving range; where are they developing the cabins. The final development plan 6a involves only the driving range and maintenance sheds. Paul Stashick from the Divide Ranch and Club has plans to request an exception for density for the lot next to the driving range, but that may be included in the next filing. 2

3 Chris Carr has been appointed to the Ouray Planning Commission as an alternate member. The Commission promotes growth in Ouray County and is updating the Land Use Code. Fairway Pines has a new, improved website. Tony Litschewski, a Fairway Pines member, has made available several of his photos from Natures Finest Images to the website, and is displaying his photographs at the clubhouse. 5. Violations Summary for the first six months of 2015 Mary Ann Guilinger, compliance officer, reported that they were 36 covenant violations so far in 2015; 31 were addressed with compliance/courtesy letters, and 5 were addressed with violation letters. The biggest covenant violation involved equipment that could be seen from the road, such as ATVs, trailers, and oversized storage containers. Some of the violations were from complaints. The compliance officer drives through Fairway Pines one or two times per month, and there has been a marked decrease in covenant violations especially those involving trash containers and open garage doors. Chris Carr stated that Fairway Pines had several reports of bears recently, one of which entered a garage within the community, and the Colorado Department of Wildlife moved it to Nucla, but it was back in a couple of weeks. 6. Treasurer s Report and Summary (2015 Budget Actuals through June 30) Chris Carr reported on the June 30 th Treasurer s Report and Summary, available to the members at the meeting, for Pat Montgomery. The Association has collected $106,752 in dues plus interest. The budget includes revenue for the sale of Association-owned lots which has not happened. The actual expenses for legal fees and accounting services fees are less than budgeted because the Association is not using the foreclosure process but small claims court and sheriff sales. The Reserve Account is for funds held for a major road resurfacing. Chris Carr introduced the Finance Committee members: Mary Ann Guilinger, Wayne Landis (Road Committee Chair), Sharon Lichthardt, John Moss, and Pat Montgomery, the current Chair of the Finance Committee. The Finance Committee meets four times per year. At the last meeting, they reviewed the year-end financials and the 2015 budget. 7. Update on Delinquent Accounts and Collections for 2015 The Association has collected $106,752 in dues, plus interest, which is 100 % payment on HOA dues. Interest and penalties on the late payment of dues is still due on two lots with one sheriff sale pending and a small claims court hearing pending. There is accounts receivable due for two lots for past due HOA dues from past years. The Association has about ten lot owners who do not pay their HOA dues on time; many have not paid the dues on time for the last four years. The annual HOA dues are $360 and additional penalties and interest can increase that by approximately $450 and the legal and court costs for small claims court can increase it by $400 more. 3

4 8. Update on Sales Efforts for Association Owned Lots Chris Carr stated that the Association has signed an agreement with Tony Litschewski as the listing agent for six of the eight Association-owned properties. The Board changed the process about how the properties are listed having one broker list all the properties. Tony moved here full-time and had been a broker in Denver. The listing agreement on two other properties will expire in August and those properties will also be listed through Tony, at least through December 31, 2015, Tony Litschewski stated that Chris Carr has done an incredible amount of work related to the listings of the properties. Tony stated that he will try to market the area, not just the lots. Tony will include several paragraphs on each lot with images of the lots and the surrounding area with his own photos of the area. Tony has received a call from New Mexico about the lots so realtors outside the area use the local MLS which encompasses the area from Delta to Durango. Tony stated that 92 % of buyers use the internet such as realtor.com which is the best website. Tony stated he will use Craigslist especially the Denver Craigslist. He will place flyers at the mailbox kiosks for Fairway Pines and Log Hill Village, the Mountain Market, and the True Grit. Tony stated that the area is an unknown area, and he wants to spread the word about it. Tony stated that he has flyers and his business card on the back table. Every month Tony will send Chris Carr a flyer of what is happening in the market from the local MLS. In the present market, buyers are not necessarily looking for lots; the market for lots is really bad. Telluride is its only local MLS but, most of Telluride brokers have access to the local MLS information. Tony has access to an automated list about activity in the area. Chris Carr stated that there has been interest in Lots 121 and 328 and cluster lots V609, V610, and V611, but to date that interest has not matured to any offers. At the present time, the Association is in court about clearing titles for two other properties which the Association may own following a favorable court decision. Negotiations are ongoing to collect past due amounts in lieu of taking ownership. 9. Voting Results for Amendments to Association By-Laws The Summary of the proposed change to Article IV, Sections 1 and 2 of the Association By- Laws states in 2009, the size of the Board of Directors was increased from three to five members to offset some of the workload then involved in the ongoing litigation regarding the old Clubhouse. Since that time the Board functioned with five members, with a quorum requirement of at least three members at all meetings. Unfortunately, it has become increasingly difficult for the Nominating Committee to find a minimum of two to three candidates willing to serve twoyear terms. Therefore, the Board at a recent meeting, and following comments from owners, has suggested that the number of Directors be reduced back to three members, effective July 29, Also, where possible, some additional administrative duties necessary to maintain a Planned Unit Development (PUD), such as Fairway Pines, would be handled by the paid Administrative Assistant to the Board, or advisors, where possible. 4

5 Based upon the above, Article IV, Sections 1 and Section 2 of the current By-Laws would read as follows in red if changed: Section 1. Number and Qualification of Directors. The Board of Directors shall consist of five (5) three (3) persons. No other change to be made to the paragraph. Section 2. Term of Office. At the first general membership meeting in 2009, Members shall elect three (3) directors for a term of two years and one (1) director for a term of one year. The initial terms to be served by each director shall be determined by the Board following the first general membership meeting in At each July general membership beginning in , the Members shall elect directors one director for a term of two years to replace those directors the director whose terms of office are is then expiring. Accordingly, three one directors are shall be elected to office in odd-numbered years and two (2) directors are shall be elected to office in even-numbered years. No other changes are made to this paragraph. Chris Carr stated that 59 members voted for the by-law amendment and 2 members voted against the by-law amendment, thus the amendment is approved. 10. Review of responsibilities of the Board President and options going forward Chris Carr started a discussion about the reason for the by-law amendment. Board members have a two-year term on the Board, and the Association needs members and chairmen for committees. The Association has to change the Board members from three to five because the Nominating Committee could not find one person to run for the Board. Fourteen members were contacted but declined to run for the Board because of the commitment of time and the job responsibilities. The Board appealed to members at the winter member meeting on January 28, In the spring the Board has requested members to run for the Board and two major committees, Architectural Review Committee (ARC) and Covenants and Rules Committee (CRC) in three separate newsletters. Chris Carr stated the he has served on the Board for the last four years and served as President for the last three years, and no Association member has stepped up to take his place. Ann Blakely and Pat Jennings passed out the Duties of the President (see pages 13 and 14 below). Chris Carr stated that he wants to discuss what the Association s options are to keep the Association going. Chris did not go into the specific duties outlined, but wanted to provide an overview of what is involved as Board President and possible additional responsibilities for the Board. Jerry Farrington, a long-term Board advisor, has provided a great deal of legal advice and assisted in writing the covenants; all provided by him pro-bono, and the Association thanks Jerry for his service. The Board has to interact and be an intermediary with the lawyers for the HOA. For more than a decade, the Association has gotten into litigation difficulties with four lawsuits and a state Supreme Court appeal. Right now, the Board is involved water related issues and the Dallas Creek Water Company (DCWC) and the possibility of a merger between DCWC and Tri- County Water. 5

6 Jerry Farrington stated that Chris Carr, as Board President, has reduced the accounts receivable for annual HOA dues down to zero. When he became President, there was a severe economic downturn at the wrong time. The President has to represent the Association with many different groups: Ouray County Planning Commission, the BOCC, the developer/golf course of the Divide Ranch and Club, Dallas Creek Water Company, and small claims court; all involving complicated issues. Jerry Farrington stated that the main reason for the passing out the list of duties is to show what the Board President has to do. The Association needs to sell the eight Association-owned properties. Before Chris became the President, the Association simply filed a lien on the property if the owner did not pay the HOA dues. Now the small claim process is utilized, and unless the amount due is paid, the property is offered at a Sheriff s Sale. If a bidder does not come forward, the Association becomes the legal owner of the lot, which then will be offered for sale. Chris Carr has brought significant stability to the Association, especially in the financial area. Jerry Farrington stated that the bad news for the Association is that no qualified member has stepped up to do the volunteer work to maintain Fairway Pines in its present condition. Chris is willing to continue to be the Board President; a hour per week job which Chris has done perfectly, but he has served his time. Absent finding another Association President the by-laws may have to be changed. According to the Colorado Common Interest Ownership Act (CCIOA), the Board cannot change Covenants or By-Laws without a majority of membership approval. What Jerry Farrington is proposing many members may not like. He stated that if members do not like it, then they should make a 2-year commitment to be on the Board or a committee. The Association does not have the size to justify a part-time property manager. For a property manager to be hired there would have to be covenant amendments, with 61 % approval of the members; a significant increase in HOA dues, or a special assessment. Right now, the covenants require uniform HOA dues for all 292 lots. It is estimated that the 199 current vacant lot owners would not pass a special assessment, or an increase above the 5 % allowed currently of the $360 for the HOA dues because they are absentee property owners. Jerry Farrington is not sure if the 93 current homeowners would agree to a special assessment or an increase in HOA dues, as feedback of that group is mixed at best. CCIOA requires that a property manager be licensed and bonded. There are not many candidates for a part-time property manager on the Western Slope. The salary for a part-time property manager would be from $30,000 to $40,000. If the Association employed a part-time property manager, then the Board president could operate like a normal HOA president. The following are items that were discussed related to these issues: Is it possible to have a general manager for the golf course and the Association; part-time for each? Are most other PUDs in Colorado in the same situation? Chris Carr stated that the PUDs on the Front Range have more people, more money to work with; the monthly HOA dues can run from $300 to $500. 6

7 One member stated that not all owners would be opposed to an increase in the HOA dues; the Board may be pleasantly surprised. Jerry Farrington stated that any change to the covenants would have to be approved by 61 % of the owners, and it s his opinion that it would be difficult to get 61%. The Association has amended the covenants several times and had to make phone calls to all members. Absentee lot owners were not very responsive. There are 200 developer lots at Fairway Pines; would the developer have to vote, or does the developer have a position even though the developer does not pay HOA dues. The Association is at a critical juncture, and members need to volunteer to serve on the Board, or pay someone to handle certain portions of the duties. Regardless, the Association must have an elected Board, or disband the PUD, and let the developer run the community. 11. Committee Reports for CRC and ARC Chris Carr provided an update for ARC since Dick Kreutzen, the ARC Chairman was not present. The ARC members are Lois Carr, Mike Forstner, Bill Stone, Erich Montgomery, and Terry Thomas. The Shaw home at 168 White Tail Lane will be completed in days. The Hildebrandt s received final approval from ARC to build a home on Lot 526 on Marmot Drive. However, instead of building a home they will purchase the Mattson s home at 420 Marmot Drive. ARC is developing policies and guidelines about tree removal to be included in the ARC standards. Some homeowners are having difficulty getting homeowners insurance where insurance companies are requiring a significant number of trees be removed for fire mitigation. Also, Dick Kreutzen asked Chris Carr to update what is happening with the Association of Dallas Creek Water Users (ADCWU). ADCWU s primary interest is in working with Tri- County Water to merge with DCWC. DCWC has started a leak detection program to get the water loss down to below 20 %. DCWC has made significant upgrades to the infrastructure. DCWC has a written request for a merger with Tri-County Water. Tri-County Water has reviewed where the Association would put storage ponds for its water project. Before Tri- County Water considers a merger with DCWC, they want to clearly understand what they are inheriting from DCWC. It will probably be 1-1 ½ years before the merger happens, if at all. 12. Update and Review of New Association Policies, Sections #13 and #14, and minor revision of Section #6 Chris Carr stated that the CRC, and the Board had received complaints about the noise at a party in Fairway Pines, and a fire in a fire pit in the backyard of a home. As a result, the CRC drafted Section 13, Policy and Procedure Regulating Burning and Trash Disposal, and Section 14, Policy and Procedure Regarding Offensive Sounds and Lights and recommended them for the Board to approve them, and they were effective July 21, Section 14 addresses Article V, Section 15 of the covenants for parties at your home with music outside. Thirty days before the party, a request must be made to the Board for an outside party, and the Board will review the request, not to approve the party, but the use of amplified sound equipment and/or lights. 7

8 Chris Carr stated the CRC or Board is not trying to stop someone from having a party, but rather the use of amplified sound equipment and the disruption to nearby neighbors. The Association does not want loud noise after 9-10 PM, or to have the Ouray County sheriff respond to noise issues. Besides using the covenants, Section 14 was drafted using the noise ordinance for Ouray County, Ordinance The Association has the right under Article VI, Section 5.a. to adopt reasonable rules and regulations for ensuring compliance with the covenants and interpreting any of the provisions of the covenants. These rules and regulations are not required to have a vote by all members. Sections 13 and 14 are clarifications of existing covenants in place since One member asked if the CRC can review the time of 9 PM for stopping a band or DJ to play outside; it seems to be an arbitrary decision and Fairway Pines is not a retirement community. The CRC can review it, and return with recommendations to the Board for final approval. A member is able to address any issue to the CRC or Board. One member stated that neighbors should work out issues without having the Board or CRC get involved. One member requested that the Board revisit the issues and consider making them less restrictive. One member stated that the requirement in Section 14 to submit an application 30 days before a party for disapproval or approval by the Board is a restrictive and an oppressive rule. Fairway Pines is a mixed age community; a very quiet community. The annual summer party has many neighbors attend. Jerry Farrington provided the process for the members to go through to submit a written request that the CRC review Section 14. Chris Carr will ask the CRC to meet in August to review Section 14. He also reminded members present that they should attend the CRC Meeting to voice their comments and suggestions. Once the CRC finishes their review, any changes will be submitted to the Board for final approval in September if possible. 13. Update and Discussion of Fairway Pines Water Storage Project Chris Carr reminded the Association members on how the Association got involved in the water stability issue. The Association and the Divide Ranch and Club were in a three year battle for water for the golf course with Dallas Creek Water. The Association obtained winter water rights from the Colorado Water Court; 80-acre feet of winter water per year to provide water stability for Log Hill Mesa for the long-term. The Association wants sufficient water storage for water shortages that could occur in future. The Association has requested that DCWC pump the winter water from Dallas Creek. The Association will request matching grants; the matches coming from sales of Association-owned properties, Ouray County funds, and funds from the Reserve Account. Grants for the water project are available and would be wholly owned by the applicant, the Association. The grant money awarded the water project would have to be completed within 18 months of when the grant(s) are awarded. 8

9 Recently some Association members, and a large number of recipients who are not members of the Association, received an about the Association s water project. In response to the Chris Carr stated that: 1) The Association owns the greenbelt property, and there are limitations on which construction companies can do the work. It must be performed by a bonded construction company. 2) The window for the construction of the ponds is from October through April when the golf course is not open; most likely in November, December, or April. The construction of the ponds has been delayed until at least the fall of ) The Board does not want to move forward, at least with construction of the ponds, until the pumping issue with DCWC is resolved. 4) The Association is applying for matching grants to fund the water project. The matching funds will come from sales of the eight Association-owned properties, Ouray County funds, and funds from the Reserve Account as necessary. 5) The Association is lowering the estimated costs for the ponds and infrastructure. The Association is discussing whether the water capacity of the reservoir at the 16 th fairway may be increased and included in grant requests. 6) Since last January, the Board has been discussing the every changing and complicated aspects of the proposed water project. Board meetings are open to members to attend. Bill McFarland had some questions about the proposed ponds. Bill questioned who would be responsible for the maintenance of the ponds. He does not want them to look like the pond at hole 5, especially with respect to algae. What will be the cost to homeowners? Bill questioned that the Board is deciding on their own especially related to the bids being let out. Chris Carr stated that related to maintenance of the ponds, the Association does not want the ponds to look like the pond at hole 5. Included in the budget for the water project is an aeration system including pumps which should keep the ponds clear, in addition to other processes. The removal of spoil and construction of the pond or ponds will not be started until water is available to fill the ponds on a yearly basis. At this point in time, the Association does not know if there will be one or two ponds, or if the capacity of the reservoir at the 16 th fairway will be increased. Chris Carr stated that no bids have been requested to date. In order to apply for the matching grants, estimates and budgets for the water project have to be included in the grant applications. Chris Carr stated that the application for the request for the winter water from Dallas Creek started in October The Board has let the Association know about the winter water decree in Newsletters, in Board meeting minutes posted on the Fairway Pines website, and in Winter and Summer Member Meetings such as this. There are currently no plans to request a special assessment to the Association members for the water project, which would have to be approved by the members anyway. The maintenance of the ponds would be handled from the sale of water to Ouray County for roads and bridges, to the golf course for irrigation, to the county for other issues, and to the fire department. Most of the 9

10 maintenance costs would be related to electricity, and minor treatment for algae, all of which is estimated at less than $2500 per year. As plans progress with the water project, the Board will advise the Association members know through Board meeting minutes and newsletters. The process and progress of the water project changes too quickly to publish all the components of the water project. One issue that is still to be worked out is where to put the spoil (dirt) from the construction of the pond(s), and in the least expensive manner. Members are invited to Board meetings, generally the first Monday of every month. The estimated budget currently for the water project is $432,000 with an estimated $200,000 from grants. This number is subject to change as the requirements change, and could decrease if only one pond is built, or it is felt to more advantageous to increase the existing reservoir near the 16 th Fairway in the interim period. The reason that ADCWU was created was to address domestic water storage on Log Hill Mesa and water for fire prevention. DCWC has very minimal water storage available in case of an emergency. What would happen to the Log Hill Mesa area if Dallas Creek dried up for more than a few days, like it almost did in 2002? What do domestic water users do in case of drought? Log Hill Mesa needs additional water storage that it can count on in the future, especially in emergency situations. 14. Comments by Divide Ranch and Club staff regarding current operations, plans for completion of the Women s Tee Box on the 7 th Fairway and the remainder of the Golf Season Brent Clark, Director of Golf Operations for the Divide Ranch and Club, updated members on the golf course and clubhouse. Brian Barnes has been hired as the chef for the Clubhouse Pub. The golf course has a good staff. Brent put advertisements in the paper and had a good response to hire good people. The staff is working hard. The golf course has been lucky with the rain to date. Fertilizer will be put down and will be irrigated as the season progresses. If an eligible member wants a life-time jacket, please see Evelyn Ardoin to put in an order. At the 7 th hole, the golf course will finalize construction of a new woman s tee-box; moving the existing tee-box closer to the cart path. The staff has been busy working on the sprinkler heads throughout the course. Chris Carr thanked Brent. Paul Stashick, President and Owner of Equilibrium Resorts, stated that Brent and his staff are doing a great job. Paul commended Jerry Farrington and Chris Carr for their work with the Divide Ranch and Club. Jerry Farrington is the liaison between the Association and the Divide Ranch and Club. He stated that it is the first time in ten years that the Divide Ranch and Club has not been struggling with the Board. Paul thanked the community members that painted and fixed up the golf course. The golf course is a small seasonal business, but it is still here because of sound business practices. The golf 10

11 course has no bank loans because Tharaldson paid cash. Equilibrium Resorts is committed to the Divide Ranch and Club. It is Paul s opinion that real estate market will come back in a few years. In Colorado, the real estate in major cities and Telluride is taking off. The real estate markets around Denver, Summit County, Aspen, and the Roaring Fork Valley are sizzling with inventories for homes for sale at all-time lows. The cost to build a home versus to buy a home is not in sync right now but once the real estate market picks then they will get back into balance. With the low costs for the HOA fees and golf fees here, real estate at Fairway Pines is a great opportunity. The Association has a good Board and an active ARC, and the community is in excellent shape. Fairway Pines and the golf course does not look like it is 15 years old. Plans for the Divide Ranch and Club are for families; tennis courts and a sports course. Near the clubhouse, the Divide Ranch and Club is putting up a canopy for weddings. Divide Ranch and Club plans to subdivide lots for townhouses and cottages which is conditional on water rights and issues being resolved Paul commented that he appreciated Jerry Farrington s and Chris Carr s comments about running the HOA. There are many legal issues that they have to be worked through; it takes time and effort. The Association has locked up the winter water rights through the water court and plan to build the ponds. There may be litigation with DCWC, it has to be resolved in the long term regardless in order for the development to prosper and grow. 12 Current Duties of Association President (in Brief) (Note: The duties of the President, as described in the By-Laws state: Shall preside at all meeting of the Board of Directors; shall see that orders and resolution of the Board are carried out; and shall sign all leases, mortgages, deeds and other written documents. The Boards duties are to: Exercise for the Association all powers, duties and authority vested in or delegated to this Association, and not reserved to the membership by other provisions of these By-Laws, Association Policies and Procedures, etc. ) 1. Coordinate activities of Board and Association Committees. 2. Develop, in cooperation with the Treasurer and Finance Committee, the yearly Association Budget. 3. Develop the agenda for monthly Board Meetings, bi-annual Member Meetings, and Hearings as required. 4. Review all Board and Executive Meeting Minutes, and ensure approval and release in a timely manner. 5. Prepare articles and publish FPEOA Newsletter on a quarterly basis, are as needed, regarding issues of interest to the membership. 6. Plan, coordinate and review bids to provide Community Clean-up Days at least once per year. 7. Coordinate weed control spraying, crack sealing and general maintenance of the Association s 7.4 miles of streets and greenbelt areas. 8. File court documents and attend hearings resulting from foreclosure or Small Claim actions filed on behalf of the Association. Represent the Association at Sheriffs Sales as necessary as they relate to Default Judgments and unpaid delinquent accounts owed the Association. 9. Provide liaison with Divide Golf Club management and staff, and Developer on mutual areas of interest. 10. Coordinate maintenance of Association owned property (currently eight lots w/ two pending) and that they are being marketed effectively. 11. Ensure all Association owned lots are properly surveyed, and that all junior liens are released, and associated taxes and fees are proper and paid. 12. Coordinate listing of properties owned by the Association, and subsequent sales as they occur. 13. Coordinate with County offices, such as the Assessor, County Clerk, Treasurer and Sheriff that all matters affecting Fairway Pines are handled promptly and effectively. 14. Prepare presentations, and attend meetings of the Ouray Planning Commission, and the Board of County Commissioners, regarding issues of relevance to the Association and its members. 15. Ensure all plats and filings are correct and recorded as they affect Fairway Pines, and ensure Land Use Regulations meet the needs of the Association. 12

13 16. Coordinate issues with attorneys under retainer to the Association and the Associations Legal Advisor. 17. Respond to and coordinate covenant or policy violations and ensure compliance is properly and fairly administered. 18. Work with ARC and CRC chairs, the Board, and members regarding amendments to the Covenants, By-Laws and Policies, or the addition of Policy Sections. 19. Ongoing work to revise the Covenants and ARC standards regarding commercial properties. 20. Install and remove 450 markers installed to assist with snow removal each winter season. 21. Install and remove Christmas decorations at the Mailbox Kiosk, entrance to Fairway Pines and on all of the 32 Street signs throughout Fairway Pines. 22. Coordinate snow removal during the winter season and negotiate contract with contractor. 23. Administer all aspects of the Associations Winter Water Decree, and the water stability of Fairway Pines and related entities. 24. Coordinate all aspects of the Associations Water Project and subsequent bidding documents as may be required, and coordinate construction phases as they may move forward. 25. Prepare and file applicable grant applications for the Water Project. 26. Work with the Forest Service and Western Regional Wildfire Council, and serve on the Wildfire Council Advisory Panel. 27. Attend and participate in meetings of the Ouray County Water Users Association as an active member (Membership based upon our Water Decree of January 2015). 28. Serve on the CR1 Advisory Panel. 29. Respond to member comments and issues. 30. Solicit volunteers for Board and Committee positions. 31. Ensure budget and A/R accounts are kept in check, and work closely with the Treasurer to ensure the Association financial outlook remains positive in nature. 13
