2. The Company's activity is regulated by Curaçao egaming (License No. 1668/JAZ issued by the Government of Curacao).

1 Client Agreement Updated on May 28, 2018 General Provisions 1. This Client Agreement (hereinafter the "Agreement") is made between Reinvent N.V. (address Dr. M.J. Hugenholtzweg Z/N UTS Gebouw, Curaçao), Registration No (hereinafter the "Company"), on the one part, and the Client, a private individual who has reached the age of majority and filled in the registration form on the Company's website (hereinafter the "Client"), on the other part. 2. The Company's activity is regulated by Curaçao egaming (License No. 1668/JAZ issued by the Government of Curacao). 3. This Agreement as published on the Company's website and its appendices constitute one instrument regulating the relations between the Company and the Client, including in fulfilling the Client's orders on placing bets, charging and withdrawing funds from the Client's account, and regulating disputable situations. Terminology Bet A security for a Transaction with the Company expressed in monetary terms. Bet Cancellation A situation where the Transaction between the Company and the Client is deemed not closed and the funds are returned to the Client. Transaction A risk-based agreement between the Company and the Client the subject matter of which is an Event the probability of which is not known for certain. Event Any fact of Match the expected probability of which is used by the Company to calculate the coefficient.

2 Coefficient A value formed by the Company for each Event in the Line based on its expected probability and used for resolving the Transaction. Line A Group of Events determined by the Company with their Coefficients. Match A sports competition between two or more sportsmen or teams the Events of which are used to form Lines. Company Website Betting Rules 1. Every Match in the sports world is characterized by numerous things taking place during the course of the Event. Based on its experience and analysis of the Clients' preferences, the Company selects the most significant of the Events that attract the greatest interest. 2. All Events so selected are further classified with forming Lines and assigning a certain Coefficient to each Event in the Line. 3. The Company's Clients can use their knowledge and experience in sport to determine the probability of Match Events being of the most interest to them by making Transactions for these Events. 4. The Company may cancel transactions with persons who: a. are under age; b. are participants of the Events (including, but not limited to, sportsmen, trainers, judges, beneficiaries and managers of clubs or other persons who can influence the Events) or act on their behalf; c. if it is determined that one of the betting participants has several gaming accounts (multiple registration), with the exception of the cases approved by the Company;

3 d. do not meet the established regulations or the provisions of this Agreement. 5. The Company shall on an individual basis determine whether it will accept Bets from a certain private individual or not. 6. Bets for the Events listed on the Company Website may be accepted before the beginning and during the Match, depending on the type of Bet. The date and time of the Match, as well as other information about the Match published on the Company Website are provided for reference only. Resolving the Bets is based on the actual beginning time of Matches and Events determined based on the information from official sources and/or other sources of sports information. 7. In a pre-match (where Bets are accepted before the Match starts), the Company may change the terms, cancel or suspend accepting Bets until the announced beginning of the Match. 8. The Company may suspend accepting Bets during the Match due to any technical errors or if it suspects any fraudulent actions. 9. The terms of Bets are not fixed, therefore before making a Transaction you should review the up-to-date terms of Bets. Changes in Bet terms shall not apply to previously registered Bets. 10.A Bet is deemed registered after the Company receives and agrees to fulfill the Client's request. After this procedure, the Client shall forfeit the right to change or to cancel the registered Bet. 11.A Bet with a positive result is a Bet where the Client's assumptions as to the probability of all its Events are right. 12.The maximum daily gain for one player payable by the Company is 15,000 Euro or its equivalent in another currency. 13.The financial resolving of Bets shall be based on TV broadcasting and Press Association statistics, except where there is evidence of incorrect statistical data. 14.If the data (date, time, result, or team name) from various information sources differ, the Company may suspend calculating Bets until the validity of data is ascertained. If the information about the Matches

4 available on the Website differs from TV Broadcasting, the Company shall reserve the right to make calculations based on TV broadcasting. 15.Resolving Bets shall be based on incorrect data and recalculated and their financial results shall be further adjusted. 16.Registered Bets may be returned in the following cases: a. Bet registration took place after the Match began (save for the Bets that can be accepted during the Match); b. A Bet was registered in the period between the end of the Event and the update of the information about this Event on the Company Website, which means that the Client could already know about its occurrence or non-occurrence; c. Bet registration based on incorrect information or as a result of technical errors; d. An abandoned Match was not resumed within 48 hours after its beginning (except for the Bets made for the Events that took place during the Match); e. The Match is canceled or its official beginning time is postponed by over 48 hours; f. The Match is not finished within 48 hours after its official beginning and/or is declared void; g. The Match is not finished, is declared void or is not played in a regular mode (for example, for reasons of its interruption, disqualification, dismissal, or kick-off changes). h. A Match participant withdraws in the process of the Match (except for the Bets made for the Events that took place before withdrawal and for the Match outcome); i. The declared participant does not take part in the Match; j. The Match is transferred to a pitch other than the declared one; k. The Client provides false information or documents, or other instances of providing knowingly misleading information to the Company;

5 l. The Client commits any fraudulent actions; m. The Client fails to meet legal regulations or any provisions or terms hereof. 17.The revision of Match results following which one of the participants receives a forfeit defeat shall not affect the Bet results calculated immediately after its end based on official information sources. 18. The Company may deny accepting Bets without notifying the Client in advance, explaining the reasons or paying any compensation. Execution, Amendment and Termination of the Agreement 1. Conclusion of an Agreement with a Company is initiated by the Client through registration on the Website of the Company. Registration is performed by clicking the Join button on the Website of the Company and following the step-by-step instructions. Registration on the Website of the Company implies the full and unconditional understanding and acceptance by the Client of all the provisions of the Agreement. 2. The Company has the right to deny the registration on the Website of the Company to a Client who is located in a country wherein local legislation restricts, prohibits and/or cannot provide services in the field of gambling. 3. Conclusion of an Agreement is coupled with an opening of a client account which allows the Client to enter into Transactions with the Company. The Agreement is considered concluded from the moment of the opening of an account for the Client by the Company. 4. By accepting the terms hereof, the Client confirms their consent to the processing of all their personal data disclosed to the Company for the latter to meet the requirements of law and this Agreement. The consent to personal data processing includes consent to the collection, systematization, accumulation, storage, specification (update or change), use, depersonalization, blocking, destruction, and distribution (transfer) of such personal data to third parties (financial organizations that take measures to ensure compliance with the laws on counteracting the legalization of money from crime and the financing of terrorism, licensing authorities, or state bodies at their request).

6 5. Storing of the personal data provided is carried out for the duration of the period of use of the Website of the Company by the Client but not less than the period established by laws applicable to the Client in relation to the gambling regulations. Consent to the processing of personal data may be revoked by submitting an appropriate written application, except in the events where existing legislation prevents such revocation. 6. The Company may make amendments to this Agreement on a unilateral basis. The terms and date when a new version hereof will take effect will be specified in a press release on the Company Website or via . The provisions of the new version hereof shall only apply to the Transactions made after its effective date. 7. Either party may terminate this Agreement with a preliminary written notice sent to the other party ten (10) business days in advance. Termination of this Agreement shall not affect the Bets opened before its termination for which no results were calculated, or the initiated replenishment or withdrawal operations on the account, or any other rights or obligations that arose before the termination date hereof. 8. The Company may unilaterally terminate this Agreement without a preliminary notice to the Client by canceling all registered Bets and closing the client account, if the Company has grounds to believe that the Client violates any provisions of this Agreement or commits, or attempts to commit, any illegal actions. 9. After this Agreement is terminated, provided the Client is not engaged in any unlawful activities or attempts thereof, the funds free from any liabilities to the Company or other third parties shall be returned from the client account to the Client by any means convenient for the Company. Client Account 1. Bets shall be accepted in the amount not exceeding the current balance on the client account. 2. The Bet amount shall be written off the client account after the Bet is registered. If Bets are calculated with a positive result, it shall be entered on the client account.

7 3. The funds shall be charged to the client account: a. after successful /sms verification; b. using the methods listed on the Company Website subject to the restrictions the Company may impose on any method from the list; c. in the payment currency used by the Client to replenish the client account. In this case, the balance on the client account will be reflected in the currency selected by the Client in the account settings and will be an indicative value the amount of which will depend on the quotations set on the financial market; d. to the extent the Client acts as the payer and the payee. e. the rules of conducting Transactions and guarantees of the Client have been observed. 4. The Client does not have the right to make a payment in the event that he is located in the territory wherein gambling is prohibited. 5. The funds will be withdrawn from the client account within three (3) business days after the Company receives the Client's request, provided the following terms are met: a. the client account has enough funds for withdrawal including the fees charged by financial institutions; b. the withdrawal request includes the method, currency, and account number used by the Client upon replenishment; c. the withdrawal request contains all information required to make a money transfer; d. should there be any disputable situations, the funds shall be withdrawn to the Client's bank account or bank card at the Company's discretion; e. the funds on the client account were used in pursuance of this Agreement; f. no force majeure occurs. 6. The Company shall reserve the right to deny withdrawal by the method indicated in the Client's request and to determine the withdrawal method itself.

8 7. The financial institutions through which funds are uploaded to or withdrawn from the client account shall have the right to charge fees for their services provided to the Client. Information about the charged fee is displayed to the Client in each case of withdrawal. 8. If the client account is closed, the funds will be withdrawn by the Company to the accounts from which the client account was replenished. If the Client commits any illegal actions with third party funds, the funds on the account will be blocked and will only be returned to their real owner. Limitation of Liability 1. The Company provides any information pertaining to sport events, including, but not limited to, news, interviews with experts, and research results, for information purposes only. The Company shall not be responsible for the validity of this information or the Client's decisions relying on it. 2. The Company shall not be responsible for any damages or losses incurred by the Client in the following instances without limitation: a. hardware, software, or communication failures on the Client's side; b. failure by the Company to meet its obligations as a result of force majeure; c. failure by bank or other financial institutions to meet their obligations to the Company and/or the Client; d. access by third parties to telephones, s, personal data, information about the client account or the Client's password resulting from the Client's negligence in their handling or faults in the communication means used to transfer the same; e. changes in exchange rates. 3. The Company shall not be held liable for: a. any actions/omissions or orders of the Client within the framework of this Agreement;

9 Guarantees b. any indirect or non-material damages, lost profit or opportunities, losses, or expenses that could be incurred by the Client as a result of this Agreement; c. any errors contained in the information about the bets. 1. The Client acknowledges and guarantees to the Company that: a. the Client has carefully read and understood all the provisions of this Agreement and other documents published on the Company Website; b. the Client has provided all necessary information and materials at the Company's request; c. the information provided by the Client to the Company is true, accurate and complete, and the documents are authentic and valid as of the date of their provision. The Client shall inform the Company of any changes in the submitted information or documents within five (5) business days after they are made; d. The Client shall use reasonable efforts to protect its personal data, including access to the Client's Personal Account. The Company shall not be held liable for the loss of the above personal data; e. The Client may enter into this Agreement, give orders to the Company and perform their obligations to the Company and third parties in accordance with the laws of the country the Client is a citizen of and the agreements made between the Client and third parties; f. The Client shall act in their own name and in their own interests; g. The funds on the client account are legally received and are free from any third party claims; h. The Client shall individually bear the obligations to pay the fees imposed by financial institutes, tax or other mandatory payments, unless this Agreement provides otherwise; i. The Client is not a participant of the Matches for the Events of which the Client makes Bets;

10 j. The Client is a person of full age. Communication 1. The means of communication between the Company and the Client hereunder shall be: a. Company website; b. ; c. Personal Account. 2. Any message sent to the Client shall be deemed received: a. Within 1 hour after it is published on the Company Website; b. Within 1 hour after it is sent by ; c. Immediately after sending in case of using the internal mail in the Personal Account. 3. The Client acknowledges and agrees that the Company may communicate with the Client using the details provided by the Client upon registration on the Website or updated later based on the information provided by the Client. Force Majeure 1. The parties shall be relieved from liability for failure or improper fulfillment of their obligations arising out of this Agreement due to force majeure, including, without limitation, natural disasters, fires, anthropogenic accidents or disasters, accidents on engineering structures or utilities, ddos attacks, mass disorders, military actions, acts of terrorism, riots, civil commotion, strikes, economic and political crises, regulations of state and local authorities preventing the Parties from fulfilling their obligations hereunder, waiver by third parties of their obligations, i.e. extraordinary and insuperable circumstances under given conditions occurring after the effective date hereof. 2. If the Company assumes there are any force majeure circumstances, it may without any preliminary approval: a. suspend accepting Bets; b. suspend accepting clients' orders;

11 c. suspend or change the application of some or all provisions of this Agreement that cannot be implemented due to force majeure; d. block the client account. 3. Save as directly provided hereunder, the Company shall not be held liable for any damage or losses incurred because of its failure to perform or improper performance of any contractual obligations as a result of force majeure. Dispute Resolution Procedure 1. Any disputable situations arising between the Company and the Client shall be settled out of court. 2. The Party claiming an infringement upon its rights may send a complaint to the other Party's provided there is information about Match results from official sources. 3. The complaint with respect to a Bet shall be submitted within five (5) business days after the person learned or must have learned about the alleged infringement of rights. 4. The Company shall confirm receipt of the Client's complaint by to be sent within five (5) business days from after the complaint is received. The Company shall consider the complaint and make a decision within twenty (20) business days of its receipt. 5. Clients' complaints shall be considered based on the information available to the Company and the official sources of sport events. The information provided by other companies shall not be taken into account or considered. 6. If internal inspections conducted by the Company's specialists reveal any signs of illegal actions by the Client, the Company may cancel all registered Bets, block the Client's account, and conduct an additional investigation of such actions, in particular request documents from the Client as may be required for such investigation. If the investigation proves that the Client has not committed any illegal actions, the client account will be unblocked. In other cases, including, but not limited to, non-provision, or provision of an incomplete package of documents, or other attempts by the Client to prevent the additional investigation,

12 the Company may close the Client's account and apply to law-enforcement authorities. 7. In disputable situations having no precedents, the Company shall reserve the right to make decisions based on its accumulated knowledge and experience. Specifics of Accepting Football Bets 1. Bets on football matches are accepted for scheduled regular time (90 minutes, 2 halves of 45 minutes each, and added (compensated) time), unless the Line provides otherwise. This time does not include extra time or penalty shootout. 2. Matches of less than 45 minutes and more than 120 minutes shall be deemed void. Where the halves are other than 45 minutes, bets shall be deemed valid as long as the total match time is within the interval from 45 to 120 minutes. 3. In non-standard unforeseen situations, the Company shall reserve the right to cancel registered Bets. 4. For friendly Matches, the schedule is adopted before the beginning of the tournament. It is recommended to obtain the information about the schedule from independent information sources. 5. In Lines, unless agreed otherwise, the local team is located on the left, and the visiting team is on the right. If a Match is played on a neutral pitch or if the local team is not determined, for convenience in Lines the first announced team (the team on the left) is taken as the local team, and the team on the right is taken as the visiting team. 6. Where a Match takes place on a pitch other than the announced one, all Bets for such Match can be canceled. 7. Bets on statistical indicators may be calculated within 1 hour after the end of the Match. 8. The number of corner kicks for the Championship of Russia (Premier League) is calculated on the third day after the end of the match. If the sources listed in Main Information Sources do not provide official data about the number of corner kicks, the Bets will be returned.

13 9. In Bets on The Highest by Championship Results for the World and European Football Championships, the priority is on the stage that the teams reached. 10.The Bets on the Team to Score More Goals and on the Team to Score (Concede) Most (Least) Goals for the World and European Football Championships are calculated with regard to extra time, without penalty shootouts. If there is an equal number of scored/conceded goals, the Bets are returned. 11.The Bets on football matches marked with "extra time" are calculated without taking into account penalty shootouts. The Bets on post-match penalty kicks are accepted separately (penalty shootout). 12.When accepting and calculating Bets on yellow and red cards, only the cards given within the normal time (90 minutes) of the Match will count, where a yellow card will be taken as one card, and a red card will be taken as two yellow cards. A repeated yellow card will count as one red card, i.e. one participant may have a total of maximum three cards for a Match. 13.When accepting and calculating Bets on the number of cards expressed in points, only the cards given within the normal time (90 minutes) of the Match will count, with 10 points charged for a yellow card, and 25 points for a red card. A second yellow card will count as one red card, i.e. one participant may have a total of maximum 35 points per Match. 14.Yellow and red cards given to the field players and the goalkeeper after the final whistle, and the cards shown to persons other than the players (substituted players, trainers, substitutes' bench players not playing) will not be taken into account when calculating the Bets. 15.The number of yellow and red cards, corner kicks, and goal post hits is determined by video broadcasting. If the broadcasting is interrupted or is not made, the results for the number of yellow and red cards or corner kicks will be taken from official information sources. All other statistical indicators (offsides, fouls, substitutions, etc.) are taken only from official information sources. A substitution made on the 46th minute according to an official source shall for calculation purposes be deemed made during half time. A corner kick shot again shall for calculation purposes count as one. 16.Corner kicks awarded but not made shall not be taken into account in calculating Bets.

14 17. Own goals (for example, in the Next Goal Scorer Bet) shall not count. 18. All players who take (took) part in the Match from its beginning or from the previous goal shall be deemed Match participants. 19.All players taking part in the Match are included in the lists. If for any reason a goal is scored by a player not included in the list, the bets on the players included in the list shall remain in effect. Types of Bets Outcome A Bet on one of three match outcomes home win, draw, or away win. Total A Bet on the total number of goals scored in a match. You are to guess the number of goals that will be scored in a match over or under a set amount. Totals can be of two types integral and multiple of 0.5. In Total Over 2.0, the stake is paid out if the number of goals in the match is 3 or more. The bet counts as lost, if 1 goal is scored or the teams ended the regular time with no score. If the teams ended 1:1, 2:0 or 0:2, the bet will be returned with a coefficient of 1.0. Bets in multiples of 0.5 are divided into over/under and have only two possible outcomes win or loss. Total Over 2.5 wins if the sum of goals scored in a match is 3 or more. Total Under 2.5 wins where the number of goals is 2 or less. Asian Total A bet on the number of goals in a match with an increment of 0.25 split into two. For example, if you bet $10 on Asian Total Over 3.25, you in fact have two bets of $5 on Total Over 3.0 and on Total Over 3.5. For both parts of your bet to win, the number of goals in the match must be 4 or more. If 3 goals are scored, one half of your bet is returned with a coefficient of 1, while the other is lost. If the match ends with 2 goals or less, the whole bet loses.

15 European Handicap A bet on a team's win with regard to positive or negative integral handicap. Your bet wins only if your selected team wins. If the match ends in a draw or your selection loses, your bet counts as lost. For example, if you bet on the local team with a +1 handicap, and the match ends at 1:2, the result is a score draw of 2:2 and your bet loses. Asian Handicap A bet on a team's win with a positive or negative handicap with an increment of 0.25 split into two. For example, if you bet $10 on the local team with an Asian handicap of 1.25, the bet will be split into two $5 with a +1.0 handicap and $5 with a +1.5 handicap. If the match ends at 2:2, the whole bet wins. If the score is 1:2, half of your bet will be returned with a coefficient of 1.0, while the other half will lose. If the final result is 0:2, both halves of your bet will lose. Draw No Bet A bet on the victory of one of the teams. If the game ends in a draw, the bet is returned with a coefficient of 1.0. Time Remaining Favorite A bet on the match favorite in the time remaining starting from bet acceptance. Goals scored before the bet is accepted are not taken into account. Next Goal A bet that the next goal will be scored by the local team, by the visiting team or that there will be no more goals in the match. Double Outcome A bet that the match will end in a win of the local team or in a draw, or in a win of the visiting team or in a draw, or in a win of the local team or the visiting team. Correct Score A bet on the correct score that the teams will have at the end of the regular time. Correct Home Goals A bet on the correct number of goals that the local team will score in the match.

16 Exact Away Goals A bet on the exact number of goals that the visiting team will score in the match. Home Goals A bet on the number of goals or under/over betting. For example, you can bet that the local team will score 2, over 2, or under 2 goals. Away Goals A bet on the number of away goals or under/over betting. For example, you can bet that the visiting team will score 2, over 2, or under 2 goals. To Score/Not to Score A bet whether both teams will or will not score during regular time. The bet loses if neither team scores and wins if the match ends with scoring. Outcome and Goals A bet on the winner specifying the total goals that will be scored in the match or over/under. For example, you can bet on the local team winning with 3, over 3 or under 3 total goals in regular time. Exact Amount of Goals A bet on the total goals that will be scored in the match by both teams. Odd or Even A bet on the odd or even number of goals scored by both teams in the match. If the regular time ends with no score, the score counts as even. Scoring Half A bet that more goals will be scored in the first half, second half, or equally in both halves. First to Score A bet on the team to play the ball from the midfield. First Half Outcome A bet on the team to score more goals or on a draw in the first half.

17 First Half Total A bet on the total goals scored in the first half. You can bet on the exact number of goals that will be scored by both teams for the half or under/over. First Half Asian Total A bet on the number of goals in the first half with an increment of 0.25 split into two. For example, if you bet $10 on Asian Total Over 3.25, you in fact have two bets of $5 on a Total Over 3.0 and on a Total Over 3.5. For both parts of your bet to win, the number of goals in the first half must be 4 or more. If 3 goals are scored in the first half, one half of your bet is returned with a coefficient of 1, while the other is lost. If the match ends with 2 goals or less, the whole bet loses. First Half Asian Handicap A bet on the first half outcome with a positive or negative handicap with an increment of 0.25 split into two. For example, if you bet $10 on the leadership of the home team with an Asian handicap of 1.25, the bet will be split into two $5 with a +1.0 handicap and $5 with a +1.5 handicap. If the first half ends at 2:2, the whole bet wins. If the score is 1:2, half of your bet will be returned with a coefficient of 1.0, and the other half will win. If the result is 0:2, both halves of the bet will lose. Leader of the First Half in Time Remaining A bet on the leader of the first half in the time remaining starting from bet acceptance. Goals scored by teams before the bet is accepted do not count. First Half Next Goal A bet on the team to score the next goal in the first half or on no more goals in the first half. First Half Correct Score A bet on the correct score in the first half. First Half Home Goals A bet on the correct number of goals that the local team will score in the first half.

18 First Half Away Goals A bet on the correct number of goals that the visiting team will score in the first half. First Half Sum of Goals A bet on the correct number of goals that both teams will score in the first half. Second Half Outcome A bet on the team to score more goals in the second half or on equal goals. Second Half Sum of Goals A bet on the total number of goals that the teams will score in the second half. There is also an option of over/under betting. Extra Time Outcome A bet on the team to score more goals in extra time or on equal goals. Extra Time Sum of Goals A bet on the total number of goals that the teams will score in extra time. There is also an option of over/under betting. Extra Time Left Leader A bet on the team to score more goals in the remaining extra time starting from bet acceptance. Goals scored in extra time before the bet is accepted are not taken into account. Extra Time Next Goal A bet on the team to score the next goal in extra time or that there will be no more goals. Extra Time Asian Handicap A bet on the extra time outcome with a positive or negative handicap with an increment of 0.25 split into two. For example, if you bet $10 on the leadership of the home team with an Asian handicap of 1.25, the bet will be split into two $5 with a +1.0 handicap and $5 with a +1.5 handicap. 19 Extra Time Correct Score A bet on the correct number of goals that the teams will score in extra time. Extra Time First Half Asian Handicap A bet on the extra time first half outcome with a positive or negative handicap with an increment of 0.25 split into two. For example, if you bet $10 on the leadership of the home team with an Asian handicap of 1.25, the bet will be split into two $5 with a +1.0 handicap and $5 with a +1.5 handicap. If the first half of extra time ends at 2:2, the whole bet will win. If the score is 1:2, half of your bet will be returned with a coefficient of 1.0, and the other half will win. If the result is 0:2, both halves of the bet will lose. Extra Time First Half Correct Score A bet on the correct score that the teams will have in the first half of extra time. Extra Time First Half Outcome A bet on the leader of the first half of extra time or on a draw. Penalty Shootout Outcome A bet on the team to score more goals in the penalty shootout. Penalty Shootout Next to Score A bet on the team to score the next goal in the penalty shootout. Next Goal Correct Time A bet on the period of time when the next goal will be scored. Bets are accepted for: 01 15, 16 30, 31 45, 46 60, 61 75, and match minutes. You can also bet that there will be no more goals. Next Round Bet A bet on the team to pass to the next round. To Win the Final A bet on the team to win in the final round.

20 Third Place A bet on the team to take the third place in the tournament. Win Method A bet on the team and method in which the team wins the match. Bets are accepted for the victory of teams in regular time, extra time or penalty shootout. Corner Total A bet on the team to make more corner kicks in regular time.
