Eligibility/Entries You must be at least eighteen (18) years of age at the time of entry and a U.S. resident (residents of the state of Florida are not eligible to participate). Employees of First Niagara Bank, N.A. ( First Niagara ), Pittsburgh Penguins LP and their respective affiliates and members of each of their families (spouses, parents, children, and siblings and their spouses) and those living in the same household of each are not eligible. If a participant composes multiple entries during a weekly Contest Period, only the participant s first (1 st ) entry will be eligible for a prize. By entering the sweepstakes, entrants agree to be bound by the terms of these Official Rules. Void where prohibited by law. Compose a picture that shows why you think you are the ultimate Pittsburgh Penguins fan, upload the picture to Twitter Instagram or Facebook, and include the designated hashtag #PensFanDraft during the Sweepstakes Period (as defined below). You will receive one (1) entry into the sweepstakes for taking these steps. Limit one (1) entry per participant during each weekly Contest Period, regardless of method. Sweepstakes Period The Sweepstakes Period will begin at 12:00 pm (Eastern Time) on Thursday, October 15, and will end at 12:00 pm (Eastern Time) on Wednesday, February 24,. All entries must be submitted from valid Twitter, Instagram, and Facebook accounts. Twitter, Instagram, and Facebook memberships are free, but subject to acceptance of their respective Terms of Use. All entries and their content shall become the property of First Niagara. Entries that contain any content that is lewd, obscene, sexually explicit, disparaging, defamatory, libelous, or that otherwise contains inappropriate content or objectionable material as determined by First Niagara in its sole and unfettered discretion will be disqualified. By entering the sweepstakes, each entrant irrevocably assigns all right, title and interest in the entry and its content, including all copyright in such entry, to First Niagara. Each entrant also: (i) confirms that no third party was involved in creation of the entry, and that the entrant has obtained any and all releases and permissions necessary for First Niagara s use of the entry as contemplated by these rules (ii) confirms that the entrant is the individual whose image or likeness is shown in the entry; and (iii) acknowledges that the entry (including the entrant s name, image and likeness) may be used for promotion, trade, commercial, advertising or publicity purposes by First Niagara. Game Tickets A winner of a prize set forth on Appendix A will be drawn (each, a Drawing ) each Thursday during the Sweepstakes Period from the entries received during the prior week (Thursday through Wednesday). The prize assigned to each Drawing winner is two (2) tickets to a Pittsburgh Penguin home game at the CONSOL Energy Center, as outlined in Appendix A (each, a Game ). The approximate retail value ("ARV") of each weekly prize is $300. Each Drawing winner will also become eligible to participate in

2 the On-Ice Face-Off competition described below (each, a Face-Off Participant ). Face-Off Participants may be asked to sign releases or waivers as a condition of receiving a prize and/or participating in the On- Ice Face-Off or Ultimate Penguins Fan competitions. On-Ice Face-Off Competition The On-Ice Face-Off will consist of a competition between all Face-Off Participants that have won tickets to the same Game. The dates of the four (4) On-Ice Face-Off competitions are set forth on Appendix B. The On-Ice Face-Off competitions will take place during a period intermission at the corresponding Game. The nature of competition will be determined at the time of the Game. The prize assigned to each winner (each, a Face-Off Winner ) will be: (a) the title of Most Valuable Fan (MVF) for the Game; (b) two (2) tickets to the Pittsburgh Penguins home game at the CONSOL Energy Center on Tuesday, March 29, (the March 29 Game ); and (c) eligibility to participate in the Pens Fan Draft Finals Competition described below. The ARV of the On-Ice Face-Off prize is approximately $300. The On-Ice Face-Off Competition held on March 3, will consist of two winners that advance to the Pens Fan Draft Finals Competition. Pens Fan Draft Finals Competition The five (5) On-Ice Face-Off Winners will compete against each other for the title of Ultimate Penguins Fan during a period intermission at the March 29 Game. The winner of the Pens Fan Draft competition will be provided Bench Seats for the -17 Home Opener at CONSOL Energy Center and a prize pack determined by First Niagara. The ARV of the Ultimate Penguins Fan Competition prize is $[1,000]. Total ARV of all prizes: $[1,600]. Selection of arena seat locations is solely within First Niagara's discretion. Tickets are subject to program availability, venue capacity and age restrictions. Games are subject to, among other things, delay, postponement, rescheduling and cancellation by game coordinators. Winners and guest(s) must abide by all ticket terms and conditions and venue policies. Pittsburgh Penguins LP, or its designees, reserves the right to revoke full or partial prize from any winner or winner s guest who it and/or venue personnel deem may, in their sole discretion, be intoxicated, be a safety risk, have violated any venue policy or law, and/or may bring Pittsburgh Penguins LP into disrepute. Resale of tickets is prohibited. First Niagara reserves the right to substitute a prize of equal or greater value if advertised prize is unavailable. All taxes, fees, surcharges or other expenses associated with the acceptance and/or use of the prize, such as additional parking, travel and accommodations, are the sole responsibility of the prize winner. Prize is not redeemable for cash. Awarding Prize/Winner Notification Weekly winners will be selected by First Niagara in a random Drawing conducted each Thursday starting on Thursday, October 22,, for 19 consecutive weeks, ending Wednesday, February 24 th. The random Drawings will be conducted by First Niagara, whose decision is final and binding in all matters. Odds of winning depend on the number of entries received at the time of each Drawing. Entries from one weekly Contest Period will not roll over into another weekly Contest Period. Potential winners will be contacted through the Twitter, Facebook, and Instagram accounts that produced the winning entries, and have 24 hours to acknowledge their prize by responding to First Niagara s notification or else the potential winner forfeits the prize and another winner may be selected. Winners must arrange to claim the prize in the terms set forth by First Niagara at the time of notification. Prize winners must be present and have appropriate identification to claim their prize. First Niagara reserves the right to require proof of identity and/or eligibility to verify an entrant s eligibility to participate in this sweepstakes, to verify the prize winner as the authorized holder of the account associated with a winning entry, or for any other purpose

3 First Niagara deems necessary, in its sole discretion. Failure to provide such proof of identity may result in disqualification. Limitations of Liability First Niagara undertakes no liability or responsibility, and makes no warranties, express or implied, with respect to the performance of the prize(s) awarded, for any failure to perform or negligent performance of any service provider, or for any other risk, incident or damage, direct or indirect, relating to or arising out of the sweepstakes, including (but not limited to) cancellations, postponements, delays or other scheduling changes; missed events or connections or inability of winner to attend; and accident, injury, death, damage or expense arising from or occurring during the use of the prize, or travel to/from or attendance at any event relating to the sweepstakes, by the winner and/or winner s guest(s). First Niagara is not responsible for damage to a prize or loss of a prize after the prize has been claimed. Winners must inspect their prizes upon receipt. First Niagara is not responsible for technical, hardware or software failure or malfunctions, lost or unavailable network or other telecommunications connections, or lost, late, misdirected, damaged, illegible, inaccurate, incomplete, garbled, disconnected, stolen, or delayed sweepstakes entries or communications, whether caused by the sender or by any of the equipment or programming associated with or used in this sweepstakes, or by any human error which may occur in the execution of this sweepstakes. If, for any reason, the sweepstakes is not capable of being conducted as planned, including but not limited to infection by computer virus, bug, tampering, unauthorized intervention, fraud, technical failures, or other causes beyond the control of First Niagara, First Niagara reserves the right at its sole discretion to cancel, terminate, modify or suspend the sweepstakes and/or determine an alternate method of awarding the prize(s). By entering, participants agree to release First Niagara, Pittsburgh Penguins LP, Facebook, Instagram, Twitter, and Lemieux Group, L.P and each of their respective parents, subsidiaries, affiliates, directors, officers, employees and agents from any and all liability, loss or damage of any kind incurred with respect to the sweepstakes and any prize won. Facebook, Instagram, Twitter and Pittsburgh Penguins LP are unaffiliated companies which do not endorse or sponsor First Niagara products, services or promotions. Facebook, Instagram, Twitter, Lemieux Group, L.P and Pittsburgh Penguins LP are not sponsors of the promotion, and are in no way responsible for the administration of the promotion, the verification of winners or the fulfillment of prizing. General Failure to conform to all sweepstakes rules, or any fraud or other illegal or inappropriate conduct on the part of an entrant or on an entrant's behalf, will result in the entrant's disqualification and forfeiture of any prize won. First Niagara reserves the right to rule ineligible participants who, in First Niagara's sole judgment, engage in abusive conduct with respect to any sweepstakes or promotion conducted by First Niagara. First Niagara reserves the right to cancel, suspend and/or modify this sweepstakes and these Official Rules at any time, which changes will become effective upon announcement. By taking part in this sweepstakes, participants agree to be bound by these rules and all decisions of the judges, who are employees of First Niagara and whose decisions with respect to all aspects of the sweepstakes are final and binding. Copies of written sweepstakes rules and, where required by law, the list of winners are available during regular business hours at 762 Exchange Street, Suite 700 Buffalo, NY 14210, for 60 days after the sweepstakes concludes. As a condition to participating in this sweepstakes, each entrant agrees that any and all disputes that cannot be resolved between the parties, and all causes of action arising out of or in connection with this sweepstakes shall be resolved individually, without resort to any form of class action, exclusively before a court located in Buffalo, New York, having competent jurisdiction, which court shall apply the laws of the State of New York, without regard to the conflicts of law principles thereof. If any provision of these Official Rules is declared or found by a court of competent jurisdiction to be illegal, unenforceable or void, then such provision will be null and void but each other provision hereof not so affected will be enforced to the full extent permitted by applicable law.
