1 Kayem Boston Red Sox Day at the Park Sweepstakes 2016 NOTICE TO ONLINE ENTRANTS In the event of a dispute over the identity of an online entrant, entry will be deemed submitted by the "Authorized Account Holder" of the address submitted at time of entry. Authorized Account Holder means the natural person who is assigned to an address by an Internet access provider, online service provider, or other organization that is responsible for assigning e- mail addresses for the domain associated with the submitted address. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Sponsor is not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant s or any other person s computer related to or resulting from participating in the Sweepstakes. By participating in the Sweepstakes, you (i) agree to be bound by these official rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor, which are final and binding in all matters relating to the Sweepstakes. Failure to comply with these official rules may result in disqualification from the Sweepstakes. Sponsor reserves the right to: (i) permanently disqualify from any Sweepstakes it sponsors, any person it believes has intentionally violated these official rules; and (ii) withdraw the online entry and Sweepstakes if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Sweepstakes), and to select winners from among all eligible entries received prior to withdrawal. SWEEPSTAKES OVERVIEW: OFFICIAL RULES Kayem Boston Red Sox Day at the Park Sweepstakes 2016 is sponsored by Kayem Foods, Inc. (the Sponsor ). Sponsor will award a total of four (4) prizes including: one (1) lunch experience at Fenway Park with a player on August 29, 2016; one (1) ceremonial first pitch experience at Fenway Park at the September 16, 2016; and two (2) Runner-Up Prizes. 2. GENERAL: No purchase necessary. Making a purchase will not increase your chances of winning. Void where prohibited or restricted by law. All federal, state, and local regulations apply. 3. ELIGIBILITY: Kayem Boston Red Sox Day at the Park Sweepstakes 2016 ( Sweepstakes ) is offered only to legal U.S. residents of Connecticut, Maine, Massachusetts, New Hampshire, Rhode Island, and Vermont who are eighteen (18) years of age or older at the time of entry. One (1) winner per

2 household. One (1) winner per family. Prizes are non-transferable. Employees, officers and directors of Kayem Foods, Inc, the MLB Entities (defined below) and each of their affiliates, representatives, and agents, and their directors and employees (collectively, Sweepstakes Entities ), and the members of the same households of such individuals are not eligible. The term immediate families includes spouses, grandparents, parents, siblings, children and grandchildren. The MLB Entities shall mean the Office of the Commissioner of Baseball ( BOC ), its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P., Major League Baseball Properties, Inc., the Major League Baseball Clubs ( Clubs ), The MLB Network, LLC, each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities. No groups, clubs, or organizations may participate in this Sweepstakes or reproduce or distribute any portion of these Official Rules to their members. Proof of age, identity, and eligibility must be furnished to Sponsor upon request. All entry form information must be complete and accurate. Sponsor will not award a prize to anyone not meeting eligibility requirements at the time of entry. By entering, you agree to comply with all applicable law and these Official Rules, and you agree to abide by all decisions of the Sponsor. Sponsor reserves the right to disqualify any entrant if these Official Rules are not followed. 4. HOW TO ENTER: The Sweepstakes entry period begins at 12:00:01 a.m. on July 25, 2016, and ends at 11:59:59 p.m. on August 14, 2016 ( Entry Period ). All times in these rules refer to Eastern Daylight Time. To enter, go to and during the Entry Period complete the form with contact information and selection of the grand prize you would like to win ( Prize Selection ) and submit the form. Limit one (1) entry form per person per address per day during the Entry Period, regardless which Prize Selection is indicated. Each day is defined as a twenty four (24) hour period beginning at 12:00:01 am and ending at 11:59:59 pm. Eligible entries will be divided into two (2) drawing pools based on which Prize Selection is indicated on the entry form (each, a Drawing Pool ). Incomplete and multiple entries are void. All information submitted by entrants is subject to, and will be treated in a manner consistent with, Sponsor s Privacy Policy accessible at Sponsor will not verify receipt of entries. Entries become property of Sponsor and will not be returned. Mechanically generated entries are void. 5. HOW TO WIN: For each Drawing Pool, one (1) potential Grand Prize winner and one (1) potential Runner-up Prize winner will be selected in a random drawing on or about August 15, 2016, from among all eligible entries received through online entry form during the Entry Period for the applicable Drawing Pool. Subject to verification of eligibility and compliance with these Official Rules, the potential winners will be declared the official winners of the Sweepstakes. The random drawing will take place via a third party random number generator. Potential winners will be notified either by phone and/or within one (1) day of the drawing. Potential winners must respond to such notification, by calling or replying to the Sponsor within forty-eight (48) hours after the notification is sent by Sponsor, or the potential winners will be subject to disqualification, in which case the Prize will be forfeited, and an alternate potential winner may be randomly selected from among the remaining eligible

3 entries received for the applicable Drawing Pool, time permitting. Potential winners may be required to sign and return appropriate forms and/or documentation, including an Affidavit of Eligibility, a Liability Release and/or where legally permissible a Publicity Release within seventytwo (72) hours following the date of first attempted notification. Failure to sign and return such forms within the requisite timeframe could result in disqualification. Sweepstakes Entities are not responsible for incomplete, incomprehensible, illegible, or out-ofservice contact information. If Sponsor is unable, after making a reasonable effort, to contact a selected potential winner, that potential winner will be disqualified and a new potential winner will be selected by random drawing from among the remaining entries received for the applicable Drawing Pool until all winners are determined. All decisions by Sponsor in relation to the Sweepstakes are final and binding. 6. PUBLICITY RELEASE: Except where prohibited, entry in the Sweepstakes constitutes each entrant s consent to use, publish, reproduce and for all purposes, including publicity, promotion and advertising, in any media (including without limitation, the Internet, television, radio, or offline promotions), each winner s name, city, photograph, likeness, biographical material, voice, image, each in perpetuity without further compensation, credit or right of review or approval. 7. PRIZES: One (1) Prize per person, per household and per family. Four (4) prizes will be awarded (collectively, the Prizes or prizes ) as follows: Grand Prizes. Two (2) Grand Prizes will be awarded (i.e., one [1] per Drawing Pool): Ceremonial First Pitch Grand Prize (the Ceremonial First Pitch Grand Prize ) One (1) Grand Prize winner of the applicable Drawing Pool will receive the opportunity, subject to the rules and regulations of The Boston Red Sox Baseball Club Limited Partnership (the Boston Red Sox ), for the Grand Prize winner to throw out a ceremonial first pitch at Fenway Park prior to the Boston Red Sox baseball game scheduled to be played on September 16, 2016; two (2) tickets for Grand Prize winner and one (1) guest for the game; and one (1) one (1)-night stay on September 16, 2016, at the Hotel Commonwealth Kenmore Square for winner and his/her one (1) guest (one [1] standard double occupancy room). Terms & Conditions apply. Ceremonial First Pitch Grand Prize does not include hotel incidentals such as room service, tax, or other additional costs. A credit card may be required by Hotel Commonwealth Kenmore Square at check in for incidentals. Ceremonial First Pitch Grand Prize does not include transportation to and from the game or hotel. Ceremonial First Pitch Grand Prize will be forfeited if winner cannot travel on the specified dates. The exact nature and duration of the ceremonial first pitch opportunity shall be determined by Sponsor at its sole discretion and subject to availability. Lunch Grand Prize (the Lunch Grand Prize and together with the Ceremonial First Pitch Grand Prize, the Grand Prize(s) ) One (1) Grand Prize winner of the applicable Drawing Pool will receive the opportunity, subject to the rules and regulations of the Boston Red Sox, for Grand Prize winner and one (1) guest to have a catered lunch in a dug out at Fenway Park with one (1) Boston Red Sox player determined by Sponsor at its sole discretion on August 29, 2016; the opportunity, subject to the rules and regulations of the Boston Red Sox, for Grand Prize winner and his/her one (1) guest to watch batting practice from behind home plate prior to the game on August 29, 2016; two (2) tickets for Grand Prize winner and his/her one (1) guest for the Boston Red Sox home game

4 played on August 29, 2016; and one (1) one (1)-night stay on August 29, 2016, at the Hotel Commonwealth Kenmore Square for Grand Prize winner and his/her one (1) guest (one [1] standard double occupancy room). Terms & Conditions apply. Lunch Grand Prize does not include hotel incidentals such as room service, tax, or other additional costs. A credit card may be required by Hotel Commonwealth Kenmore Square at check in for incidentals. Lunch Grand Prize does not include transportation to and from the game or hotel. Lunch Grand Prize will be forfeited if winner cannot travel on the specified dates. The exact nature and duration of the lunch and batting practice viewing experience shall be determined by Sponsor at its sole discretion and subject to availability. In the event no player is available for any reason, Sponsor reserves the right to substitute an alternate member of the Boston Red Sox personnel as determined solely by Sponsor to participate in the absence of a player. Each Grand Prize has an Approximate Prize Value ( ARV ) of $2000. Runner-Up Prizes. Two (2) Runner-Up Prizes will be awarded (i.e., one [1] per Drawing Pool): Two (2) Runner-Up Prize winners will each receive Boston Red Sox-autographed merchandise (baseball or jersey or hat as determined by Sponsor at its sole discretion) signed by one (1) Boston Red Sox player to be determined by Sponsor at its sole discretion; and one (1) one (1)- years worth of Kayem Franks awarded in the form of twelve (12) product coupons each valid for any one (1) free package of Kayem product (each, a Runner-Up Prize ). Each Runner-Up Prize has an ARV of $270 $200 for Boston Red Sox autographed merchandise Twelve (12) coupons valued at up to $5.99 each All charges, fees, and costs not specifically included in the prize descriptions above, including but not limited to personal incidental items, transportation, taxes, souvenirs, gratuities, and licenses, are the responsibility of the respective prize winner(s) and their guests. No cash redemption or prize or date substitution allowed by winner(s). In the event the game is cancelled or postponed for any reason, Sponsor reserves the right to substitute or award an alternative prize of equal or greater value with no further obligation to the winner. Sponsor reserves the right to substitute a prize of equal or greater value for any reason in the sole discretion of Sponsor if the stated prize or any component thereof is unavailable for any reason. Additional conditions applicable to each Grand Prize: Exact game date and seat locations at the game shall be determined in the sole discretion of Sponsor. Each Grand Prize winners guest must be at least eighteen (18) years of age or of legal age of majority in their jurisdictions of residence, unless accompanied by a parent or legal guardian. Major League Baseball games, events and exhibition dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and/or the Boston Red Sox, as applicable, and may be subject to change. The terms and conditions of the tickets awarded as part of the Grand Prize will govern in the event a legal game, event or exhibition, as defined by Major League Baseball, is not played or held, as applicable, due to weather conditions, an act of God, an act of terrorism, civil disturbance or any other reason. Each Grand Prize winner and his/her guest(s) agree to comply with all applicable ballpark and venue, as applicable, regulations in connection with the Prize. Sponsor and the applicable MLB Entities reserve the right to remove or to deny entry to any winner and/or his/her guest(s) who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game, event or exhibition. Sweepstakes Entities will not be responsible for weather conditions, Acts of God,

5 acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control that may cause the cancellation or postponement of any Major League Baseball game, event or exhibition. Major League Baseball game, event and exhibition tickets awarded as part of each Grand Prize may not be resold or offered for resale or used for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and forfeiture of prize, and may invalidate the license granted by the game, event or exhibition ticket(s). 8. PRIZE CONDITIONS: 9. ODDS: Potential winners will be notified by phone and/or , and will be required to reply within forty-eight (48) hours of notification. Potential winners of the each Grand Prize will also need to sign an Affidavit of Eligibility, which will be sent and requested back within seventy-two (72) hours of first notification in order to be declared as a Grand Prize winner. Prompt response to the Affidavit of Eligibility notification will be necessary to secure the awarding of each Grand Prize. ODDS OF WINNING WILL DEPEND UPON THE TOTAL NUMBER OF ELIGIBLE ENTRIES RECEIVED DURING THE ENTRY PERIOD FOR THE APPLICABLE DRAWING POOL. 10. TERMS AND CONDITIONS; LIMITATION OF LIABILITY: Participants are responsible for complying with all applicable federal, state, and local laws and regulations and with these Official Rules, and by entering, participants agree to be bound to these Official Rules. Any attempt by an entrant or other party to tamper with the proper administration of the Sweepstakes will disqualify the entrant and may result in civil or criminal action against the entrant or other party and may result in the discontinuation, suspension, or cancellation of the Sweepstakes. WINNERS AND ENTRANTS AGREE, EXCEPT WHERE PROHIBITED BY LAW, TO RELEASE AND DISCHARGE, HOLD HARMLESS AND INDEMNIFY THE SWEEPSTAKES ENTITIES, AND ALL OTHERS ASSOCIATED WITH THE DEVELOPMENT AND EXECUTION OF THIS SWEEPSTAKES, FROM ANY AND ALL TAX LIABILITY THAT MAY BE IMPOSED OR ASSOCIATED WITH RECEIPT OR USE OF THE PRIZES, AND FROM AND AGAINST ANY AND ALL CLAIMS, ACTIONS, PROCEEDINGS, AND LIABILITY FOR ANY DAMAGES, EXPENSES, FEES, INJURY OR LOSSES (INCLUDING PERSONAL INJURY OR DEATH) SUSTAINED IN CONNECTION WITH THE RECEIPT, OWNERSHIP, OR USE OF THE PRIZE OR WHILE TRAVELING TO, PREPARING FOR, OR PARTICIPATING IN ANY PRIZE-RELATED ACTIVITY. Sweepstakes Entities are not responsible for any printing, typographical, mechanical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the Prizes. Winner s guest(s), if applicable, must execute a liability and (where permitted by law) publicity release prior to the winner s receipt of the Prize. Sponsor retains the discretion to make all decisions regarding the interpretation and application of these Official Rules. All decisions of Sponsor are final and discretionary. In the event the selected winner(s) of the Prize are/is ineligible or refuse(s) the Prize, the Prize will be forfeited and Sponsor, in its sole discretion, may randomly select an alternate potential winner from among all remaining entries received for the applicable Drawing Pool, or may elect not to award such Prize to an alternate winner, where permitted. For prizes valued at $600 or greater, winner must provide his or her Social Security Number for tax purposes. 6 If for any reason, the Sweepstakes is not capable of running as planned for any reason, including infection by computer virus, bugs, tampering, and unauthorized intervention, fraud, technical failures, human error, acts of God, war, terrorism, government regulation, disaster, fire, strikes, civil disorder, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity of the Sweepstakes, the Sponsor reserves the right in its discretion to disqualify any individual it believes has tampered with the entry process, and/or cancel, terminate, modify or suspend the Sweepstakes. Sponsor reserves the right to select winners by random drawing from among eligible entries received as of the termination date. Sponsor may prohibit an entrant from participating in the Sweepstakes if it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, deception or other unfair playing practices or intending to abuse, threaten or harass other entrants. 12. ARBITRATION/CHOICE OF LAW: Except where prohibited, entrants agree that any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes shall be resolved exclusively by arbitration pursuant to the Rules of the American Arbitration Association then effective, and any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred by entrant with regard to this Sweepstakes, but in no event attorneys fees, punitive, incidental, consequential or other damages. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrants and sponsors in connection with the Sweepstakes shall be governed by and construed in accordance with the laws of the State of Massachusetts, without giving effect to any choice of law or conflict of law rules or provisions (whether of Massachusetts or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than Massachusetts. The courts of Massachusetts in Suffolk County shall be the exclusive forum for any dispute relating to these Official Rules and/or this Sweepstakes. All participants and winners agree, by their participation in the Sweepstakes, to submit to the personal jurisdiction of the courts of Massachusetts in Suffolk County. The invalidity or unenforceability of any provision of these Official Rules shall not affect the invalidity or unenforceability of any other provision so long as the general intent of these Official Rules remains in effect. In the event that any such provision is determined to be invalid or otherwise unenforceable, these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. 13. These Official Rules supersede all other published editions. Sponsor reserves the right to change, alter, or amend these Official Rules as necessary, in its sole discretion, to ensure the fair administration of the Sweepstakes or to comply with applicable law. 14.
