5 ITEM 2 ATTENDANCE & APOLOGIES Attendance Register and Voting Rights All attendees are required to sign the attendance register before the meeting commences or upon arrival. The chairperson will request 2 non-voting attendees to act as scrutineers for the meeting. Only those persons identified by their Clubs or Associations prior to the Meeting as Voting Delegates will be able vote. Quorum at Meetings of the Association One tenth of the appointed delegates is required to form a quorum. A quorum is required for the meeting to commence and at any time to continue. Protocol for Motions Motions require a mover and a seconder. The seconder does not have to agree with the motion but may second a motion so that discussion can continue. The mover of the motion will be asked to speak on behalf of the motion after which others may speak ONLY ONCE on the motion. The mover will have the final right of reply to the discussion. At the end of the discussion, the chairperson will call for a vote. If required the scrutineers will count the votes. If a secret ballot is required, the scrutineers will distribute a voting slip to each delegate. The Chairperson of any Meeting of the Association is entitled to exercise a casting vote in relation to any matter to be determined at that meeting. The chairperson will declare the vote. Note: Voting matters require a simple majority 5

Reports 4.1 President Wayne Thompson As circulated No questions were asked of the report 4.2 Treasurer Luke Hookings As circulated The following questions were asked of the report Steve Rogers: YSA appear to be focusing on grant contributions for operations, do you expect this to continue into the future? - The Treasurer replied: Yes it is an area that YSA are focusing on as it means that the association can add value to the services it offers without the need for increases in fees. - The president added that all grants from ORS are tied to specific purposes for which the grants must be used. Steve Rogers: Is Club membership growing? - The Development Manager relied: Youth membership across the State is 6

7 growing, however adult membership is fairly flat over the past few seasons, and this is a key area for YSA to look to support clubs with into the future. Notice of Motions Motion #1 That the following clause be added to the Yachting South Australia Inc. Constitution and be numbered 15.4(d) this will be effective from the close of the 2017 AGM. An elected director may not serve more than five consecutive terms as a director. A director who has served a maximum term in accordance with this clause shall not be eligible to be a director for 2 years following the completion of their maximum term. Motion #2 Affiliation Fees for 2016/2017 SEASON To consider and if though fit by the members to ratify the Club affiliation fees and pass the following resolution: The Club Affiliation fees to be set for the 2016/2017 season as per the information and proposed fees previously presented at the YSA Council meeting held 22/03/2016 and, as distributed to Club delegates and management via from YSA on 30/03/2016. 10 YACHTING SOUTH AUSTRALIA SEASON REPORTS PRESIDENT S REPORT Firstly, let me welcome everyone to the AGM for the year 2016/17. This is the final President s report I will be writing for Yachting South Australia (YSA). In line with last year s motion on the terms of directors I will be resigning from the board after this meeting. I have been on the board for 11 years now and 7 of them as president. I have seen a lot of changes over the years, but none have been more significant than the last few years. YSA in the last year has introduced the Largs Bay Sailing Club into the Tackers program and I wish them all the best in this venture. This now sees the total number of clubs with the Tackers program to 3. While there is still a lot of work to be done in this area, I believe we now need to also start to look at the adult learn to sail area based on the same principles. As I mentioned last year we were working through the One Sailing Implementation agreement with Phase 1 and Phase 2 completed in 2015/16. Phase 3 was completed on the 1 st July 2016 where YSA signed the agreement with Australian Sailing. Below is a reminder of the steps. YSA gets a quarterly report on how the services are being administered by Australian Sailing and a Finance report to show where the money is being spent. This has added value to the services in South Australia and is also adding value with the Office of Rec and Sport in SA (ORS). They now see YSA as able to deliver a bigger and better service with more people in the organisation to be able to do this. There is still a lot of work to do in this area with ORS as it is new to them and other sports are now starting to go down this model in their own sports. I get asked the question quite often now that the One Sailing Agreement has been signed does YSA still exist? Well let me answer it this way yes, the YSA Board will still exist to ensure that these services are not diminished for the South Australian Yachting Community. If you have any problems with the way services are being administered or not being able to get any answers for problems, please speak to a board member and we will help you get it resolved. Christmas 2016 saw a multitude of classes national titles come to Adelaide for their Championships. This all started on the 26 th December and continued right up until the 26 th January During this time, it is estimated that over boats competed somewhere in Adelaide. When you consider that a lot of these were junior and youth classes that was a very significant influx of people to our State. While the Government didn t want to offer their support, we as a sport should be proud of what we achieved. From what I saw (having been involved in a lot of the events as an official) and what I heard, every event was a 10

11 success. It was magnificent to see all the Clubs come together to help one another out and support each other. The past 11 years have seen me working closely with a lot of people in the office and on the board of YSA. I do not want to name them all as I don t want to miss anyone. It has been a long and hard journey but to bring the Association from one that was not well thought of in the sailing community, not having many programs to offer and financially struggling to where it is today is something I am very proud of. None of this could have happened without the magnificent support of these people and the Clubs and Class Associations as well. When I first started on the board of YSA it was a very male dominated board. On the YSA board there are now 2 females in Shevaun and Freya who contribute greatly to this organisation. This is great to see as we head down the road of diversity and change. I am led to believe that my successor is going to be Shevaun. She will become the first female president in the history of YSA. I wish her all the best in the role going forward and hope everyone supports Shevaun as much as they have supported me. Lastly, I would like to take this opportunity to thank all the 2016/17 Board Members, the Office Staff and the associated families for their continual support and effort over the last year. Although, once again, it has been a long hard year it has also been a rewarding one. Thank You Wayne Thompson President YSA TREASURERS REPORT FOR YEAR ENDING 31 ST MARCH This year s financial statements represent a significant change from prior years as a result of the execution of the One Sailing Agreement. This Agreement resulted in Australian Sailing becoming responsible for the provision of all services to South Australia from 1 July Accordingly, the Profit & Loss presented illustrates the operating income and expenses relating to activities conducted between 1 April 2016 and 30 June The balance sheet illustrates YSA s financial position as at 31 March The profit and loss for the period 1 April 2016 to 30 June 2016 illustrates a significant loss of $79,014. This balance is quite misleading and was not an unexpected result for the Board. There are two principle reasons for the loss: 1. Additional expenditure was incurred in respect of government grants, which were included as income for the 2015/16 financial year, however, the grants must be acquitted based on a 1 July to 30 June financial year. Accordingly, the P&L includes the expenditure associated with acquitting the residual balance of the grants, but does not include the income to offset that expenditure. This has created a substantial timing mismatch between income and expenditure, as much of our grant income is utilised to support the staff salaries. 2. Fee income from Clubs and Class Associations was included in full as income during the 2015/16 financial year. The income was accounted for in this fashion predominantly for GST purposes. Fee income in respect of the 2016/17 year was passed to Australian Sailing pursuant to the One Sailing Agreement. Accordingly, there was a 3-month period where there was no fee income represented in the P&L (despite fees having been received), but the same overhead expenditure was recognised in the P&L. The fee revenue recognised in the P&L represents fees derived from Clubs and Classes and has been recognised as income. An equal and offsetting One Sailing Agreement expense has been recognised to illustrate the collection of these funds, which is undertaken by Australian Sailing. The reason the Clubs and 11

12 Classes fee revenue is lower than agreed fees per the fee review conducted last year, is due to the difference in accounting years of YSA and Australian Sailing, and the accounting policies adopted by Australian Sailing. This will correct in future years when there is a full year of services being provided by Australian Sailing. For completeness, a normalised P&L, which includes the income and expenses derived / incurred by Australian Sailing in respect of services provided to South Australia, results in a small loss of $16,449. Such a result is reflective of the additional costs associated with implementing the One Sailing Agreement and that fee revenue was not increased for a third consecutive year, which placed additional pressure on expenditure. Under the One Sailing Agreement, YSA retains all its assets held on 30 June 2016 and is responsible for the satisfaction of any liabilities as at that date. Accordingly, YSA will continue to retain its significant cash balances and its fixed assets. The One Sailing Agreement also provided that YSA would pay to Australian Sailing any Annual Leave and Long Service Leave balances which was owing at 30 June As a result, a detailed review of the Superannuation, Annual Leave and Long Service Leave balances was undertaken prior to such payment being made. YSA ultimately paid Australian Sailing $9, in respect of Annual Leave balances owing to YSA employees. As there were no Long Service Leave balances actually owing to staff as at 30 June 2016 (balances are not legally owing until 7 years of service, though common practice to pay balances after 5 years of service where an employee transfers), whilst there was an interim transfer in respect of Long Service Leave, this amount has been subsequently recovered, and no amount has been paid to Australian Sailing in respect of Long Service Leave. YSA is currently investigating investment options for the significant cash balances held. In the short term, these funds will be held in an accessible, high-interest saving account, and subsequently transferred to term deposit accounts. In the long term, various options will be explored to determine the most suitable investment options, and ensure the funds are applied in an appropriate manner. Thank you, Luke Hookings Treasurer, YSA REGIONAL MANAGER SOUTH AUSTRALIA S REPORT Australian Sailing is committed to advance the sport of Sailing in South Australia in all its forms, and across all levels of participation. By providing leadership to the Clubs and Classes, through the provision of relevant services and support, and in the development of high performance practices, we are committed to building the capability and capacity of sailing within South Australia. A major focus of the work we have done with Clubs and Centre s in South Australia over the past year is increasing grassroots participation through the network of accredited Discover Sailing Centres. Over 700 people have taken part in accredited learn to sail and powerboat training courses, and several newly accredited Centre s have come on-board this last season. This in turn increases the opportunity to introduce more new people to our sport, in a safe and structured manner. Australian Sailing staff have been working with South Australian Clubs to enable them to take advantage of the Australian Sports Commissions Sporting Schools program and to introduce more children to the sport. Over the past season both Brighton & Seacliff Yacht Club and Largs Bay Sailing Club have taken advantage of the Sporting Schools Program and have connected to local primary schools. Both clubs have been successful in delivering Sporting Schools to hundreds of Children. As part of the Strategic Plan Advance Sailing, a key imperative is to engage with Clubs to successfully deliver the Sporting Schools Program. A project has begun to review the current offerings under the Sporting School Program, to allow sailing to truly capitalise on the opportunity for Clubs to engage with 12

13 Schools. The review is expected to be complete by July when changes will be made and implemented prior to the delivery in Term 4 of the School year. The proposed changes will allow more clubs to connect with more Schools to truly grow our Sport. Over the past season Australian Sailing have implemented a Club Coach mentoring program which has been delivered by the SA State Sailing Performance Program Coach & Pathways Officer, Alex Zimmermann. The program is intended to increase the standard of club coaching through mentoring and development opportunities for club personnel. This program has been reviewed and the learnings captured to roll out a stronger more improved program for the coming year, as well as the addition of a newly created Sailing Coach course to be delivered in South Australia. One of the many services which can be provided by Australian Sailing to Clubs and Classes is the online systems and I am pleased to say that currently all South Australian Clubs are up and running with the Sports TG membership system. They are ensuring that their members data is input correctly, as well as using the various features, such as online entry, reporting, communicating and programing functions. Many face to face, telephone and group training sessions have been delivered by Australian Sailing Staff to assist Club and Class administrators to understand and utilise the service. The system can significantly reduce the time burden to Club and Class administrators in your Club or Class operations, please contact a member of Australian Sailing Staff for more information and support on this topic. There are some key principals which have driven our approach over the past year. These key principals and focus areas for us are to strengthen the network of Clubs and Classes, by building stronger relationships to create opportunities for the sport to draw on; and, to develop Club capabilities and competencies to make Clubs and Classes more effective for the overall growth of Sailing. We are working to develop stronger relationships across the network of Clubs and Classes by providing consistent and unified leadership. We also want to assist with building capability and capacity and to improve the development and efficient delivery of the relevant services to Clubs, Classes and to the sailing community as a whole. Whilst I stated at the beginning of my report that participation is a major focus for South Australia, it is also vital that we continue to grow, develop and nurture sailors who aspire to the very top of our sport, and thus, in turn, provide role models and aspiration for other young sailors. The SA Sailing Team programs exist to provide opportunities to junior and youth sailors who wish to pursue a sailing pathway in high performance. Places are offered on results based merit in line with a selection criteria. The SA Sailing Team Programs provide high level coaching, training, competition support and support services to improve athlete development with a view to support the daily training needs of Sailing Team members. Key performances over the past year from SA Sailing Team Athletes include selection for national Optimist Class Teams representing Australia in several countries across the globe; selection for representation in the Australian Worlds team for the International Cadet Class; podium finishes in the 420 Class at the Australian Youth Championships, and 420 Class National Championships; and for the first time in many years, the acceptance of athletes from the sport of sailing into the South Australian Sports Institute (SASI) Scholarship programs. The strength and ability of South Australian athletes to perform on both a national and international stage is credit to the dedication of the athletes, the facilitation and professionalism of the coaches and the support of the parents and Clubs to see South Australian sailors achieve at world class levels. It is again pleasing to see a growth of the Laser class in South Australia, and for the second year in a row, a SA Laser Squad will be formulated in partnership between Australian Sailing and the SA Laser Class Association. A further growing Class within the South Australian Performance sphere is the 29er class. Australian Sailing is working closely with them to assist with developing and providing another pathway for keen, committed athletes to progress into. The new season will see a number of new and current athletes in the SA Sailing Team squads across the following classes; International Cadet, Optimist, Laser and 420. Australian Sailing will continue to work in partnership with the relevant Class Associations in order to develop and improve upon the program and strive to provide world class athletes from South Australia. 13

14 The SA Sailing Team programs are funded by a combination of user pays, Office for Recreation & Sport SA funding and Australian Sports Commission funding. Australian Sailing and Yachting South Australia maintains its existing excellent relationship with the Office for Recreation and Sport SA. Our work with them and their support and assistance has made it possible to continue the growth of participation in South Australia, and, has provided substantial assistance with our performance related activity. I would also like to thank our commercial partners and sponsors for their ongoing support of sailing in South Australia. Our sport would not happen without the amazing contribution of volunteers at Clubs, Classes and Organisations and I thank you all for your contribution. I look forward to further assisting our Member Clubs and Classes, and, to work together to grow sailing and get more people safely participating at Clubs at whatever level they desire. Ian Leeson Regional Manager TEAM SAILING COMMITTEE REPORT REGIONAL REPORTS METRO REPORT Once again it has been a busy season for the Metro Schools teams racing. Pleasingly numbers have remained steady. This year it was great to see a new school PAC form two teams, also Concordia entering a second all-girls team. Rumors are Sacred Heart College are planning to form a team next season. There are four active training Centre s for teams racing in the metro area, B&SYC, ASC, the CYC and Pt River. We continue to encourage each Centre s coach to educate the sailors to look after the fleets and treat the boats as if their own to minimize damage, as this is an ongoing issue and expense to running these programs and the competitions. After trailing the running of the trials and metro events on West Lakes the previous year, it was decided to move back to the port River. West Lakes was an excellent venue, however, proved complicated with logistic, council & parking. Port River has its drawbacks with the issue of shipping, however, does provide good support with equipment & club members (Alex Hayter and his team). B&SYC has purchased the fleet of boats owned by MSTS. B&SYC have used this fleet for many years, and it seemed practical to sell the fleet to them. The MSTS will have an AGM soon, and it will be the job of the new committee to make a decision on replacing the fleet or not. Once again a massive thank you to Simon, Gretel, Wayne, Bron and the team of volunteers that made the metro trials, Champs and this year States possible. Sandy Higgins (Metro rep) SOUTH EASTERN REGION REPORT Regional regatta held at Meningie, March 24 th and 25 th, teams: 2 from Meningie, 1 each from Investigator, Encounter composite, Victor Composite, KICE, and a 7 th team made up of extras from KICE and rotating sailors from all schools. Investigator won the competition. At our AGM we discussed next year s regionals and decided the dates of 23 rd & 24 th March 2018 will be the best time for everyone to be available and not to clash with youth state titles. 14

15 The location is to be at GAC (Goolwa Aquatic Club). I contacted the commodore there (Graham McKee) and have passed on details to Ian Porteous to help with his enquiries surrounding holding this event. We discussed the state Championships for 2018, due to be in the SE Region with Victor area to be host. I approached the commodore of GAC about this too and have passed on details to Simon Irving and Gretel Ramsey for Graham s enquiries about this event. We elected myself and Sandy Grimmett has regional delegates. We discussed whether there is a formal constitution/agreement for the organisation of this committee and/or these meetings and who has voting rights. We are looking into this and have agreed to put it on next year s agenda to clarify how we continue. We also discussed YA team sailing, what the new organisation was about and to seek clarification on where it leaves us and teams racing authority. Emma Brown SE Regional Delegate Team Sailing Manager Victor Harbor High School WESTERN REGION REPORT Far West/Ceduna Regionals this year was at Port Lincoln on the 19 th March with very light winds and well run with Saint Joes having 3 teams and Ceduna having 1 team. We had Andy Dyer as umpire and done a great job. We started early and got racing done by 1.00pm and doing a training session after lunch but got glassed out. Results after round robin had Saint Joes coming 1 st, 2 nd & 3 rd. We have had no Contact from Streaky Bay from interest shown previously. Ceduna has 8 sailors doing team sailing and 1 not been able to make states. The team is very young this year due older kids gone away to other schools. Nigel Rogers is resigning from been on the committee, I have enjoyed been involved in the team sailing over the past 7 years and would like to thank everyone. I would like to make a special thank you to Simon for the work he does and help he gives. Lower EP/Port Lincoln St Josephs School Team Sailing had a number of changes this year with Ben Kelsey and Stuart de la Perrelle taking over as coaches of the team. Some come and trys were introduced in the 4 th term and then a full training program began early in the 1 st term. The School has again filled 3 teams which is always a large undertaking from a management perspective. This will be hard to maintain but we are confident that the discipline of team sailing will grow in the Western Region with the emergence of Cummins as a potential new comer and the re-emergence of the High School (the PLYC Optimist learn to sail program has included many High School students) as participating schools in next year s State Titles. In hindsight we should have had a composite from the 2 schools this year but lack of time forced us to abandon this possibility a fortnight ago. 15

16 Our main challenges will be to purchase a fleet to train the new schools students and we are currently looking at all angles to make sure there is something in place by the 4 th term of this school year so come and trys can be organised with both new schools. The PLYC currently has 3 boats in poor condition (1 unusable) therefore any information on cheap boats or parts that become available would be appreciated. Further, the replacement of the St Josephs fleet may assist in this area but the school and the PLYC are a long way from organising this project. Finally, the PLYC is willing and able to run the State Titles in 2 years time which will be the Western Regions turn in the rotation. Hopefully by this time we will have another 2 schools firmly committed to Team Sailing. Ben Kelsey ITEM 6 SPECIAL RESOLUTION That references in the Yachting South Australia Incorporated Constitution to Yachting Australia Limited and Yachting Australia be changed to Australian Sailing Limited and Australian Sailing. That references in the Yachting South Australia Incorporated Constitution to ISAF be changed to World Sailing. In accordance with the current Constitution and the Associations Incorporation Act 1985, the Yachting South Australia Constitution may be amended from time to time by way of special resolution passed at a special or general meeting of the association. The notice shall be posted to all members, not less than twenty one (21) days before the meeting and it must be passed by at least 75% of the votes cast by members entitled to vote on the resolution. Upon the passing of the resolution the Constitution shall be deemed to have been amended accordingly, and all Members shall be bound thereby. Reasons for amendments As passed by special resolution at the General Meeting of Yachting Australia Limited held at the Cruising Yacht Club of Australia, 1 New Beach Road, Darling Point NSW on Friday 20 May 2016 at 1400 it was agreed by the members that the name of Yachting Australia be changed from Yachting Australia Limited to Australian Sailing Limited (New Name). Yachting South Australia will be making amendments to its Constitution where it references Yachting Australia to reflect this change in name. Recently, the International Sailing Federation changed its name to World Sailing so references to this in the Constitution are to be changed. Amendments A copy of the Constitution with the proposed changes resulting from this resolution in marked-up is attached with this notice. A clean version of this document is also attached. ITEM 7 SPECIAL RESOLUTION To grant life membership to Yachting South Australia Incorporated to Mr. Wayne Thompson In accordance with the current Constitution, Life Membership to Yachting South Australia must be done by way of special resolution passed at an Annual General Meeting of the Association. Clause 5.2 (a) of the constitution states that the Board may recommend to the Annual General Meeting that any natural person 16

17 who has rendered distinguished service to the Association or Yachting, where such service is deemed to have assisted the advancement of Yachting in South Australia, be appointed as a Life Member. The notice shall be posted to all members, not less than twenty one (21) days before the meeting and it must be passed by at least 75% of the votes cast by members entitled to vote on the resolution. Upon the passing of the resolution the Constitution shall be deemed to have been amended accordingly, and all Members shall be bound thereby. Reasons for Granting Life Membership Mr. Wayne Thompson has served on the Board of Yachting South Australia for the past 11 years, spending the last 7 years as President. Throughout this time, Wayne has devoted much of his personal time in representing both the Board, and the South Australian yachting community at many National and International events. Throughout his time with Yachting South Australia, Wayne has been instrumental advancing yachting in South Australia, guiding Yachting South Australia through the introduction to South Australia of new programs such as Tackers and Discover Sailing designed to develop yachting at its grass roots, through to continuing high development pathways. In particular, Wayne has been instrumental in establishing a sound financial position for Yachting South Australia, having been through two substantial fee reviews during his time on the Board, whilst ensuring Yachting South Australia continues to deliver as many highquality services as possible for our members. Most recently, Wayne has guided the Board, and Yachting South Australia, through the implementation of the One Sailing Agreement, which has seen Australian Sailing take over the delivery of services to South Australia. Aside from his substantial work on the Board, Wayne has been extensively involved in other aspects of the sailing community, including: - More than 15 years with the Racing Rules Committee; - Umpiring secondary schools teams racing (both at a State, National and International level) for more than 20 years; and - Over 10 years on the Committee (as Committee Member, Building Chairman, Chairman, Vice Commodore, Rear Commodore, Commodore, and President) of the Largs Bay Sailing Club. The Yachting South Australia Board therefore recommends, that due to the distinguished services Wayne has rendered to Yachting South Australia, and to the advancement of yachting in South Australia over the past 20 years, that he be appointed as a Life Member of Yachting South Australia. 22 Audit Statement To the Members, YACHTING SA INC. Scope I have audited the attached special purpose financial report of Yachting SA Inc for the year ended 31st March Yachting SA Inc's Committee is responsible for the financial report and has determined that the accounting policies used are consistent with the financial reporting requirements of Yachting SA Inc's Rules of Yachting SA Incorporated and the requirements of the Associations Incorporation Act 1985 (SA). They confirm the reports are appropriate to meet the needs of the members of Yachting SA Inc. I have conducted an independent audit of the financial report in order to express an opinion on it to the members of Yachting SA Inc. No opinion is expressed as to whether the accounting policies used are appropriate to the needs of the members. During the financial year, on 1/7/17, the Association entered into the One Sailing Implementation Agreement (The Agreement) with Australian Sailing Ltd (ASL), whereby ASL is to deliver all services normally undertaken by the Association. Consequently all revenue and expenses normally accounted for by the Association from 1/7/17 will now be accounted for directly by ASL. There were a few transitional entries after that time for local programs in operation. The Association will retain ownership of its Cash, Investments and Assets enabling them to be used by ASL for programmed activities. The assets are to be maintained by the Association in good order. The effect of The Agreement will be that the Association s Financial Statements for the year ending 31 March 2017 will be significantly different to those from 31 March The financial report has been prepared on an accrual basis, with historical costs, for distribution to the members for the purpose of fulfilling the Committee's financial reporting requirements. I disclaim any assumption of responsibility for any reliance on this report or on the financial report to which it relates, to any person other than the members of Yachting SA Inc, or for any purpose other than that for which it was prepared. The audit has been conducted in accordance with Australian Auditing Standards. The procedures included examination, on a test basis, of evidence supporting the amounts and other disclosures in the financial report, and the evaluation of significant accounting estimates. These procedures have been undertaken to form an opinion as to whether in all material respects the financial report is presented fairly in accordance with the basis of accounting standards. These special purpose financial reports are exclusively for the use of the membership. The audit opinion expressed in this report has been formed on the above basis. Audit opinion In my opinion the financial report presents fairly in accordance with the accounting policies of the financial position of Yachting SA Inc at 31st March 2017 and the results of its operations for the year then ended.
