2 Agenda Items Order Item 1 Welcome and Opening of Mee ng The Chairperson declared the mee ng open at am The Chairperson welcomed the a endees and advised the following: The mee ng is to be run in accordance with the Cons tu on of the Company and the Corpora ons Act. In accordance with clause 31 of the Cons tu on at least 21 days no ce of this mee ng was given to the State Associa on Members. As per clause 35 of the Cons tu on, the President (CK) shall preside as Chairperson of the mee ng. 2 A endance and Quorum The Chairperson advised that the following State Associa on Members were in a endance by way of a duly authorised delegate: Kiteboarding Queensland and Northern Territory Inc through David Dewi The Chairperson advised that following proxies were received: New South Wales Kiteboarding Associa on Western Australia Kitesurfing Associa on Inc South Australian Kitesurfing Associa on Inc Victorian Kiteboarding Associa on Inc

3 The Chairperson declared that a quorum was present. 3 Apologies The Chairperson advised that apologies had been received from: Gavin Stevenson Terry Langford Darren Ellis Rick Elliot 4 Confirma on of Previous Minutes The Chairperson advised that as this is the first General Mee ng (Annual General Mee ng or Special General Mee ng) of KAL, there are no previous minutes that require confirma on. 5 Presenta on of the President's Report The Chairperson delivered a report in his capacity as President. A copy of the report is a ached as appendix A. As part of this report the Chairperson tabled the Pathway Report 2013 to A copy of the report can be found at appendix B. 6 Considera on of financial report The Chairperson advised that no audited annual financial report was received as KAL s first year of trade is the year ended 30 June In the circumstances, the Chairperson tabled the interim report for half year ended 31 December 2013 as well as the final accounts for the Australian Kite Surfing Associa on ( AKSA ) for the year ended 30 June Copies of these reports can be found at appendix C and D respec vely.

4 7 Directors Elec on The Chairperson advised that an elec on of five (5) Elected Directors in accordance with clause 22 of the KAL Cons tu on would now take place. GT from Lander and Rogers Lawyers advised that: Five valid nomina ons for the posi on of Director were received One invalid nomina on was received from Hugh Cantwell. This was due to a procedural irregularity that could not be cured due to a lack of total consensus from the valid nominees. GT stated that the elec on would be a preferen al ballot in line with the Cons tu on. In those circumstances, as only five valid nomina ons had been received for five posi ons, each valid candidate had only needed to receive at least one vote in order to be elected. On review of the ballot papers it was found that each nominee had received a vote. Accordingly, the Chairperson declared the following nominees elected as Directors: Janine Cullen Deborah Lloyd Simon Savage Sean Webb. 8 Appointment of an Auditor The Chairperson put forward the following resolu on: The Board resolves to appoint Fraser Munro, CA of GMK Partners as auditor of the Company as per clause 42 of the Cons tu on. The resolu on was passed unanimously.

6 Kiteboarding Australia Limited ACN /171 Moray St South Melbourne Victoria 3205 t: (03) e: 20 March 2014 President's Report As many of you will be aware the national governance of the sport of Kiteboarding in Australia has undergone a structural change. In 2011 the Australian Kitesurfing Association ( AKSA ) began the process of this change. Preceding this there was considerable consultation with State Associations, research into best practice governance models and advice sought as to the most appropriate structure to take the sport forward in Australia for the benefit of all those who enjoy it. Great consideration was given to the Australian Sports Commissions Governance Principles to ensure that the new organisation has every opportunity to access government funding and operate effectively within the Australian sporting landscape. It is with great pleasure that I can say that we have now achieved what we set out to do with the creation of Kiteboarding Australia Limited ( KA ) as the peak body for the sport in Australia. This however is not the end of our work but a beginning with a solid foundation for which the sport can grow for recreational kiteboarders and competitors alike. With Olympic inclusion likely at some point in the future this is an important step to ensure that kiteboarding is owned by kiteboarders so that we can shape its future. Over the past 18 months a great deal of work has gone into consulting various stakeholders and ensuring legal and procedural requirements have been met to create the new organisation. All of this work has been undertaken by the current board of KA and to them I say thank you for your hard work and perseverance. Early last year the Board commissioned the drafting of a strategic plan titled Pathway Report 2013 to As part of the process considerable consultation was made with hundreds of people representing various stakeholder groups. From this a set of strategic goals were created along with a plan to achieve them. With an appropriate structure now in place, KA is now in a position to start delivering on these goals. I am pleased to be able to present the report here today and say that it will be made available to the general membership. The Board has recently created the following three committees: Safety, Education and Accreditation Events, Competitions and Rules Membership and Marketing Each committee has enthusiastic and talented people that will be able to take up the task of delivering on the outcomes set out in the strategic plan and add considerable resources and expertise to the process so that KA can provide much greater value to its members. In addition we now have a paid resource in Daniel Gilbert who has been appointed as the Administrative Officer for the organisation. His role is to act as Secretary to the board and ensure the

7 efficient functioning of the board and the committees. As funds permit we look forward to building a sound management team to accelerate the delivery of the strategic plan and to serve our members. Insurance remains a cornerstone of KA s value to members as it is a key element to ensuring that beaches remain open and members are protected from financial loss. I am pleased to say that KA has for the third year in a row been able to reduce its insurance costs through good management of its policy. This has allowed us to deliver greater insurance benefits through increased cover for its members including personal accident without the need to increase membership fees. In the upcoming insurance renewal scheduled for May 2014 the Board is hopeful of being able to deliver further value in this area. As a class of sailing I am pleased to say that KA is working closely with Yachting Australia to ensure that it can successfully address the unique needs of its members and those who participate in the sport with support and resources from the wider sailing community. There is no better example of what is possible than the National Championships being held here at Royal Brighton Yacht Club today. Late last year a National Championships was not planned for 2014 until a proposal was received by Royal Brighton Yacht Club to host a kiteboarding competition. In a few short months it has been amazing to see what has been able to be put together. Planning is now underway for an even bigger event calendar to put the sport in the spotlight and we look forward to continuing to work closely with yacht clubs to help deliver this. In closing I would like to say thank you to a few people. Firstly to RBYC for hosting us and National Championships this week; To Ross Kilborn from Yachting Australia for his work in getting Kiteboarding to the front of the sailing communities mind; To Garth Towan from our lawyers, Lander and Rogers; To the team at Mummu Sport, our strategic advisors; To the State Associations for sticking with us through this period; and Lastly to my fellow founding directors of Kiteboarding Australia: Gavin Stevenson Terry Langford Sean Webb Justin O Malley You have put in considerable effort over many years in both the AKSA committee and the KA board.
