Additional properfy has been subjected previously to the Original Declaration by Supplemental Declaration of Covenants, Conditions and Restrictions (the "First Supplement") executed by Declarant and Lake Hollow Corporation. B. The Original Declaration was amended by Amendment of Declaration of Covenants, Conditions and Restrictions (the "First Amendment") executed by Declarant as of March 7,2006, and filed as Clerk's File No. D , Real Properfy Records of Tarrant County, Texas. 115 AMENDMENT OF DECLARATION OF COVENANTS, CONDITIONS AND RESTRICTIONS FOR MARINE CREEK RANCH THIS AMENDMENT OF DECLARATION OF C9VENANTS, CONDITIONS AND RESTRICTIONS (this "Amendment"), made as of the 'lf day of March, 2006,by M & C DEVELOPMENT, LTD., a Texas limited partnership ("Declarant"); WIINESSETH: Introductorv Statement A. Declarant, Hayco Realty, Ltd., and Arcadia Land Partners 19, Ltd. previously executed and tiled of record that certain Declaration of Covenants and Restrictions for Marine Creek Ranch (the AOriginal DeclarationG) dated as of October 20,20A3, and recorded in Volume 17361,Page204, Real Properfy Records of Tarrant County, Texas' B. Declarant and Lake Hollow Corporation ("LHC"), as the owner of the real property (the "Phase A Property") described on the Plat of Marine Creek Ranch, Phase A, il Rdaition to the City of Fort Worth, Tarrant County, Texas, recorded in Cabinet A, Slides and 10188, Plat Records, Tarrant County, Texas, previously executed a certain Supplemento Declaration of Covenants, Conditions and Restrictions (the "LHC Supplement") subjecting the Phase A Property to the terms and provisions of the Original Declaration. The Original Declaration, as supplemented by the LHC Supplement, is called the "Declaration-" D. Terms used as defined terms in this Amendment but not expressly defined herein shall have the meanings attributable to such terms in the Declaration. E. Pursuant to Section of the Declaration, at the annual meeting of the Members held March 7,2006,the terms and provisions of this Amendment were approved by a Two- Thirds Members Vote by Class. Declarant is executing this Amendment pursuant to the authority granted to Declarant in Section of the Declaration. NOW, THEREFORE, the Declaration is amended as follows:

116 i. As oimarch7,20f)6 (the "Effective Date"), the Deciaration is amencied to provide tbr the creation by Declarant of a second Architectural Control Committee (the "New Construction ACC"). Commencing as of the Effective Date and prior to the first occupancy of a Dwelling Unit on alot,the New Construction ACC shall perform all of the functions of the ACC under the Declaration regarding each such [.ot. Accordingly, until such time as a Dwelling Unit is first occupied on alot,all refererrces in the Declar-ation to ACC shall mean the New Construction ACC with regard to such Lot. The original ACC (the "Original ACC") created ptnsuant to the Declaration shall continue in existence and shall perform ACC functions regarding Lots on which occupied Dwelling Unit exist as of the Effective Date or are constructed and occupied subsequento the Effective Date. Accordingly, once a Dwelling Unit is first occupied on a Lot, all references in the Declaration to ACC shall mean the Original ACC with regard to such Lot and Dwelling Unit. 2. Members of the New Construction ACC shall be appointed by Declarant or a successor designated in writing by Declarant. All references to "Board" in Article D( of the Declaration and the definition of "ACC" on the second page of the Declaration are amended to mean Declarant when used in the context of the New Construction ACC. Nofwithstanding anything to the contrary contained in the Declaration, the Board of Directors of the Association shall not have the authority to override decisions of the New Constnrction ACC affecting Lots on which Dwelling Units are not yet occupied. The authority of Declarant to appoint members of, or otherwise control, the New Construction ACC is unrelated to the number of Lots, if any, owned by Declarant. 3. Except as amended by this Amendment, the Declaration shall be remain in full force and effect. EXECUTED as of the day and year fust above written. Declarant, Hayco Realty, Ltd., and Arcadia Land Partners 19, Ltd. previously executed and filed of record that certain Declaration of Covenants and Restrictions for Marine Creek Ranch (the "Original Declaration") dated as of October 20,2003, and recorded in Volume 17361, Page 204,Real Property Records oftarrant County, Texas. B. LHC is the owner of the real property (the "Phase A Property") described on the Plat of Marine Creek Ranch, Phase A, an Addition to the City of Fort Worth, Tarrant County, Texas, recorded in Cabinet A, Slides and'i0188, Plat Records, Tarrant County, Texas (the "Phase A Plat"). The Phase A Property consists of 24l single family residential lots, 3 common area lots and other easements or rights-of-way to be dedicated to the City of Fort Worth for public use. All single family residentialots and coflrmon areas situated within the Phase A Property and designated as such on the Plat are herein collectively called the "Phase A Lots." D. Pursuanto Section 2.4 of the Original Declaration, Declarant and LHC desire to subject the Phase A Lots to the terms and covenants of the Original Declaration, as amended hereby. E. Terms used as defined terms in this Supplement but not expressly defined herein shall have the meanings attributable to such terms in the Original Declaration. NOW, THEREFORE, Declarant declares that the Original Declaration is supplemented as follows: E r

119 i. The Phase A Lots shall be held. transferred, sold, conveyed and occupied subjecto the covenants, restrictions, easements, charges and liens contained in the Original Declaration. 2. LHC, as the current owner of the Phase A Lots, is a "Class A Member" and is not a "Declarant, " as those terms are defined and used in the Original Declaration. However, in recognition of the reduced benefit derived by LHC from the Marine Creek Ranch Homeowners Association, Inc. (the "Association") prior to construction of a residence on, or sale of, a Phase A Lot, LHC shall only be obligated pursuanto Sections 4.3 and 4.5 of the Original Declaration to pay twenty-five percent (25%) of the amount of the per Lot Assessment payable by Members other than Declarant; provided, however, at such time as a Phase A Lot is sold by LHC or a single family residence is constructed on such phase A Lot, the then current owner of such Phase A Lot shall thereafter be obligated to pay the full Assessment payable by all Members other than Declarant. 3. Prior to the first occupancy of a single family residence constructed on a Phase A Lot, LHC covenants to convey to the Association by special warranty deed the three (3) common areas identified on the Phase A Plat as Lot l, Block S; Lot 1, Block G and Lot 16, Block G. Such conveyance shall be free and clear of all encumbrances and liens other than the lien of current real estate taxes not in default and utility easements and mineral interests outstanding and of record in Tarrant County, Texas. 4.
