8 TERMS AND CONDITIONS OF SALE PRICE: Prices are subject to change without notice. Prices charged will be those stated when the order is accepted. ACCEPTANCE: The Seller accepts Buyer s written product order upon Buyer s assent to the terms and conditions herein which constitutes the only binding contract terms and conditions between the parties in the absence of a written agreement accepted by an approved representative of Geveko Markings Inc. FINANCIAL RESPONSIBILITY: Sales shall at all times be subject to the approval of Seller s credit department and at anytime Seller may require evidence payment or satisfactory security or guaranty that invoices will be paid promptly when due. Terms on established credit accounts are net on presentation. If the Buyer fails to pay within terms and by the agreed date, Geveko Markings Inc. shall be entitled to interest from the day on which payment became due at the rate of minimum 1.5 % interest per month payable or maximum allowed by law. RETENTION OF TITLE: The goods shall remain the property of Geveko Markings Inc. until paid for in full to the extent that such retention of title is valid under the applicable law. PACKAGING: standard packaging. DELIVERY AND FREIGHT POLICY: Seller s products are sold F.O.B. shipping point and Seller s placement of such goods in the possession of a trucking company, railroad company or common carrier shall constitute delivery to the Buyer and all risk of loss in transit shall be the responsibility of the Buyer. Shipping dates are approximate and based on prompt receipt of all necessary information. If no trade SHIPMENT CLAIMS: All shipments must be inspected prior to acceptance and claims complete inspection of the shipment and accompanying papers RETURNS: Product cannot be returned under any circumstance or for credit without the Seller s prior approval. A restocking fee of 15% will be charged against any credit issued. All transportation costs will be paid for by the Buyer. Products can only be returned in mint condition and in original unbroken packaging. TAXES: Buyer is liable for the full amount of all federal, state and local taxes applicable to or as a result of this transaction. The prices in this Price List do not include any federal, state or local taxes. The Buyer agrees to pay the amount of all such taxes at any time required by Seller, as if originally added to the price. If Seller pays such taxes Buyer shall reimburse Seller therefore. WARRANTY: Geveko Markings Inc. warrants it products to the original Buyer against material defects for up to one year from the date of delivery of the products. The sole obligation of the Seller under this warranty is, at its discretion, to replace the material if the Seller determines that at the time of delivery the defect was present in the product. Altered products or those subjected to misuse or negligence are not covered under this warranty. It is understood that the Seller s and Manufacturer s limit of liability for all damages, including but not limited to, direct, incidental or consequential injury, loss or damage arising out of the use of the product or if the product cannot be used, shall be to provide an equal quantity of replacement material or to repair the defective product. It is the Buyer s responsibility to determine the suitability of the product for the intended use.
