1 Las Ramblas Golf Society Annual General Meeting 6 th December 2018 Minutes: 1) Attendance: The meeting opened at 10-27am with 23 members in attendance. 4 late arrivals and 11 proxies made a quorum of 38. Committee comprised: Dave Pulling (Chair), Dee Biggerstaff (Secretary), Bryan Neal (Handicap) and Lindsay Forbes (Competitions). Welcome from Dave Pulling to all and to Patrick Cassidy who is applying for membership. Apologies for absence were received from Trevor Pulleyblank, Terry Cullen, Terry Field, Marleen Billen, Ron Percival and Joyce McClusky. 2) Minutes of AGM 9 th January 2018 (Season 2017): Matters Arising. Correction of minutes Joyce McClusky's proposal for ladies over 70 to play forward of red tees was not agreed. It was over ruled by the meeting. Item 5 Brian Staines proposal to re-index the golf course was rejected. Proposal 3 from last years meeting was not minuted. B.Neal said he would bring it up in AOB. Corrections noted and minutes signed off. 3) Reports from Committee Officers: President Dave Pulling gave his report. Thanks to committee for work done during year and special thanks to Julia Dobson for standing in for Dee during the year. Thanks to all for donations on Poppy Day, raised euros. Didn't want to influence members how to vote later but reflected back on the "need for enjoyment", sorted out the blues and yellow stones issue. With a great number of members electing to play blus and the blues moving to reds as of late, this issue has caused concern. Won't dwell on this blues issue because it is on the agenda later but commented that all our main comps during the year were played off the yellows - got under the radar - with little upset. Dave expressed his view that we voted for the stones (not the stakes) and it worked extremely well. Lots of othger things he was going to comment on were omitted because they appear later on the agends and he didnt want to undue influence member voting later. He mentioned the committee resolutions being put to the meeting for approval or otherwise. Finished with a happy note that Jan Svendsen was doing well in his fight against illness and sent the meeting's best wishes to both he and Benedicte. Treasurer Joyce submitted her report via Dee who read it out in full. Firstly I want to apologise for not being here today. It is entirely my fault as I'd forgotten that the AGM would be in December this year and not January I am currently winging my way to the UK for a few pre Christmas days with our daughter and grandchildren. There are euros in the bank account. There is in petty cash Total is euros. So the bank balance is healthy. Thank you to those who attended the lunches and the two dinner dances and for providing prizes for the raffles. These raffles are what keep us going financially. The total profit from the 9 functions we've held is 1619 euros. However the actual profit is because we've deducted money for tips (sometimes we've paid the total tip) and minor expenses such as printing of menus for the event. We have subsidised the cost of two dinner dances and next weeks Christmas lunch at 5 euros per person. We've also spent generously on raffle prizes for those three events and on other extras over the year. The total amount we've received is less than last year BUT I cannot include any proceeds from next weeks lunch as would normally be the case. Similarly I cannot give you a final year end balance as this AGM is before the end of the year

2 and one month earlier than normal. However I do not anticipate many extra expenses before the end of December. Thank you for listening. I am happy to continue as Treasurer and will finish by thanking Dee for her help this year. I think it's fair to say that we've worked well together on the various events we've organised through the year. Social Dee Biggerstaff. Dee thanked everyone for coming to the lunches, a good source of income but numbers were down on previous years (down from 70+ to 50+) perhaps because of price. El Prado at 10 euros was popular but others at 15 plus were not so. Perhaps a financial issue and Dee asked the members to suggest alternative suitable venues. She asked for feedback from the members on the monthly lunches and dinner dances. The lunches are our main income source. Dave Pulling interjected that a lot of restaurants just can't cope with our numbers so if anyone was suggesting alternates please check their capability to cater for our numbers before recommending. Competitions Lindsay Forbes. Lindsay was not yet present and would submit his report on arrival later. Handicap Bryan Neal Stated that his report was on the webite to be read at leisure but wanted to highlight a few salient issues. Stressed again for the nth time that member handicaps are society comparable handicaps and if we had obeyed the EGA guidelines on handicapping there would have been virtually nothing to do because nearly all our rounds were non qualifting for handicap purposes - the reason - we do not play a measured golf course. He asked the members to bear this in mind when voting later in the meeting on the measured course proposal. The annual review of handicaps was done on 30/11/18 by Joyce, Lindsay and Bryan Neal (the Handicap Sub Committee) and 13 member handicaps were altered in this review. Bryan stated that members who had not submitted 4 cards in the season had their handicaps made inactive in this review unlike last year when they were served a warning. 3 signed Handicap cards are now needed to reactivate these member handicapsd. 8 cards qualifies for review. 4-7 cards submitted and previous years performance could be rolled into the review. Bandit of the Year - Jugador de Mejora - was Terry Cullen with +2.74, 2nd place Olga Terry has been cut one shot for this. Measured course and handicap impact of blues come up in the meeting later so didnt dwell on these 2 points. Stated that he was going to pull out of the H/C secretary role this year and not stand for re-election because wanted to manage proper handicaps by the EGA rules and not fiddle with society handicaps. He went on to say however that he would stand for re-election because of the impending WHS coming in in 2020 which hopefully would deal with most of the problems we experience. Other points re the WHS was 54 handicap allowed so we might need to look at our capping levels and handicap would be based on best 8 of last 20 rounds (work that one out Mr. Shervell) and therefore he recommended that the Society invest in a computer system to manage this years 2019 new rules and next years WHS requirements. Stated he was 45 day trialling a system and would report to the committee (HandicapMaster) after his review. He was asked about the price and stated about 200 euros to start and circa 140 per year. Mike Mahony referred everyone to the detailed report on the website and endorsed the recommendation to acquire a system to manage the handicaps. 4) Membership: New Membership Approvals: Dave welcomed Nora Betts, Nigel Price, Ron Luffman. Andy McDonald and Mike Chapman (Renewal) to the membership of the society. You have done your time!! Mentioned the proposal coming up for this probation period to be shortened. Applications for membership received Request from Trevor Pulleyblank and Patrick Cassidy. Dave outlined that there were rules and procedures that must be adhered to by

3 provisional members. Memberships removed - Ross Adcock (working) and Dean Rawlins (back in UK), Joke Heutnik and Hans Van Loon were removed to make room for new members. Question asked by Tom Hardie if the membership numbers were capped at 44 (because of allowed T-Times) and if it was still a requirement that the applicant had to be a paid up member of LRG Club. Dave said he thought you had to be a member, and it was confirmed by Lindsay (now in attandance) as a rule (maybe not written). Olga stated she and Alan were told that they had to be paid up members of LRGC before they were accepted. Bryan Neal stated that some of our current members were not fully paid up annual or 1/2 annual members and that flexibility was needed to accommodate the short stay players. Mike Frankish helped by saying that if you pay a green fee you are a member for the day and that the only golf club locally that has bona fide members was Villamartin. Lindsay suggested it was better to leave this flexible and use discretion because often times hard and fast rules have proven to be unworkable. After further questions and statements regarding individual members Dave Pulling agreed with Lindsay's view on flexibility and to leave things as they stand now. Competitions - Lindsay Forbes. Lindsay arrived after the meeting had opened and was invited by Dave to submit his report. It was short and to the point. Nothing to report. 2 comments Thanks to Dee and Dave for all their work and he mentioned the new format WYBR Texas Scramble which will be tried shortly. 5) Resolutions: From the Committee: 1. That the Society only allows MANDATORY proxy votes to be submitted by members who cannot attend an EGM or AGM. A mandatory vote means that the non attending member must specify his/her vote by voting for or against a specific item or specific items on the AGENDA and thus cannot give carte blanche discretion to another member to vote as he/she determines. Discretionary proxies in a small society such as ours could prove to be skewed and undemocratic. Any PROXIES submitted (advised to the Secretary or Chairman) will count towards QUORACY for the meeting. 2. That the current rule allowing anyone over 70 years of age to automatically elecct to play from blue tees be amended to read Anyone of any age and / or any gender may at any time apply to the committee to play off of other than their normally allocated tees (yellow, blue or red) and any such application shall be considered by the committee within 14 days. The majority decision of the committee shall be final and shall stand unless the member s circumstances radically change in which case the decision can be reviewed by the committee after reapplication. The committee will assess each application on grounds of Age, Health, Handicap, Enjoyment or any other realistic criteria presented by the applicant. Handicaps will be adjusted accordingly in line with the appropriate formulae. All existing T-Box allowances will be reviewed by the committee as soon as possible after the AGM and all effected members advised of the committee decision. Dave explained in more detail and answered questions about when this would be implemented and how long it would last. It re-iterated that All existing blue and red tee box allowances would be reviewed after the AGM and would be implemented forthwith. 3. The position of Press/Publicity Secretary be elevated to full committee member.

4 4. At the annual review, handicap suspension is automatic if less than 4 cards have been received since the previous annual review and there are insufficient cards from the previous year (to bring forward) to make the total number of cards over 2 years equal to eight (8) or more. Anyone so suspended cannot win a Trophy (Honours Board) competition. The previous handicap or lower would be regained by the submission of 3 cards. Bryan Neal explained the subtle difference between this proposal and the strict de-activation recommended by the EGA for less than 4 cards in that we would have the leniency of being able to consider a prior year's cards which could then make number up to 8 and would thus allow the re-activation of ONE of our suspended members. Hendrick said 4 cards is nothing and Bryan explained the EGA rules. Nigel Price asked if suspended players would be allowed to compete in monday and friday competitions. It was explained that inactive handicap members would have to submit 3 cards (wednesday or extra day) to reactivate their handicaps. It is a members responsibility to look after their handicap! 5. Provisional membership of 1 year be modified. Alter to An application for membership will be decided upon by the committee after the submission of 6 handicap cards or 3 months probationary membership whichever is the sooner. Mike Mahony asked was this 3 months consecutive. Lindsay stated that the intenetion was that once someone had been with us for 3 months they could be CONSIDERED for LRGS FULL membership - it was not automatic, still up to a committee approval. Tom Hardie raised his concern about membership numbers again. Dee explained the problem we have been having with T-Time cancellations and the fact that we would not be given any more t- times by LRGC, in fact we are at risk of losing them. Members mentioned the fact that we have paid for these t-times with our annual pre-paid suscription. Dave Pulling reminded everyone that LRGC are running a business and we cant tell them how to do it. Mike Frankish reminded everyone that we are not members - we are our worst enemies by scrubbing off, LRGC want to sell T-Times and advised of the situation at La Finca of lost T-Times and the San Miguel Society not being able to get times at courses for their society. This proposal was voted on and PASSED with one abstention. 6. The Society adopt all the new rules 2019 from the R&A USPGA and that a special meeting be arranged for the members whereat all these new rules are explained to the members. 7. The rule requiring Members to arrive thirty minutes before their designated tee time and a fine of 1 euro for lateness be scrapped and replaced with an advisory request to arrive thirty minutes prior to the members' posted T-Times with a warning that persistent lateness will be dealt with by the committee and could result in disciplinary action if the committee determines. 8. Amendments to the Club Championship and Four from Six Medal Competitions. The Club Championship will take the form of the best FOUR from SIX Stableford rounds with a MENS and LADIES prize. The Medal Championship will take the form of the best TWO from THREE Medal Rounds with a prize for BEST NETT. Lindsay explained that the Club championship had been very poorly supported especially the Ladies section and wanted to make it more inviting by reverting the CC to stableford. We previously had 9 medals a year, now being reduced to 3, medals are not popular and this makes

5 the CC more attractive. Bryan Neal reminded everyone of the new 2019 double nett bogey maximum score ruling. Lindsay was asked about the GROSS prize and said that it wasnt really an open compeition as it was pretty much a 2 member fight with the 2 lowest handicappers. He stated also that all these competitions would be played off of the TEES that the membership determines (to be agreed later in this meeting). Bryan Neal thanked the membership for their support and vote of confidence in the committee by passing these 8 resolutions unaminously (bar the one absentention). From Individual Members: 1. Proposed by Alan Douglas: Creation of a new Committee Officer - Golf Secretary. Seconded: Pete Dunn Alan was asked by the chair to explain what hhe meant by his proposal. He explained the role of the proposed secretary: Manage the draws and make alterations where necessary, manage the tick list, log new membership applications, manage cancellations, collect entry fees, manage member contact details - he bottom lined his proposal by stating that he wanted to see our golf managed by a golfer. Dave invited member response. He said that Dee who does all this at the moment wants to carry on except that she does not want to do the draw. Tom Hardie stated the he would like to support Dee in this issue, she has done this for 19 years its her hobby as much as golf is our hobby and if she wants to give it up it should be up to her to decide when she's had enough. There was applause from the floor. John Shervell stated that if we have a golf secretary he/she would always have to go off last - refuted by Alan who stated that if everyone obeyed the 30 minute request that would not be the case. Dee explained her position and what she did and that she thought she was helping us all, she was a little emotional and couldnt see why some people wanted her to stop and put a golfer in charge, and she was willing to carry on but didnt want to do the draw anymore because of accusations that she had not been doing the draw correctly. She had made concessions where necessary and tried to accommodate problems and issues. She would however reluctantly stand down if that is what the membership wanted. Ron Phipps asked for clarification of the role. Peter Refell asked about contact point for new membership. Dave explained we could change the way it is done for it to be the PR man, Dee or Dave. Bryan Neal asked for the floor and read out a letter he had compiled. "I think this proposal for a new office of Golf Secretary is actually a good one. For over many years now our golf society engine room has been Dee Biggerstaff. She has given thousands of hours of her time, freely and unselfishly working on our behalf. I personally give my thanks and unreserved appreciation for this sacrifice and I would, if such an honour existed, put her forward for a Victoria Ciss. A massive thank you Dee. But let us not delude ourselves. Dee has not just been performing one committee role, NO MORE LIKE THREE. Just consider for a moment what she has done and continues to do on our behalf.she interfaces with the public when someone wishes to become a member, she keeps the membership records, she acts as EGM/AGM/Committee meetings secretary, does the minutes and distributes the same. She organises the social events, the monthly lunches, the dinner dances, the raffles, the prize hand outs. She turns out first (early doors 7-30am) three days a week and takes our money in the mornings against the flight sheets, she looks after (in conjunction with a committee member) the flight draws, the monthly tick list and then she returns later to hand out the winnings (and have a drink). Two visits a day, three days a week. I ask any of you present Would you do that? The answer I am sure is an emphatic NO! Now I know things have got a bit fractious recently BUT you know these problems and issues have been going on for years. I have read back minutes and I see: people who do not turn up for golf with no notice will be banned for 1 week. In future no-one can ask Dee to put them with a member with a buggy, if they need a buggy they can hire one from the caddy office. When Dee does the list everyone plays with whoever they are drawn with, no more I don t want to play with him/her It was agreed that players should let Dee know asap if they are not playing. Teams that are selected will stay even if one of the players does not turn up, which means no alterations will be made to teams One week ban for members scrubbing of Monday, Wednesday, Friday lists The matter of crossings out on the sheets, this has got to stop. If anyone has any complaints please see Dave P after golf and the complaint will be dealt with and so on!! We the membership have not made the organizing of our golf on Mondays, Wednesdays and Fridays an easy and uncomplicated task and we the membership have perhaps precipitated this proposal being proffered. Now you could argue that the golf competitions organization should be the responsibility of the Competitions Secretary and we don t need another officer and to an extent you would be correct. We are after all dealing with the hum drum of entries, flight draws, entry fees

6 and prize distribution etc. Ask the Competition Secretary if he/she would take on this responsibility with the necessity to turn out at 7-30am three days a week and I suspect you would get a swift Not likely. So what does this proposal seek to do. It divides and defines two distinct roles: One of Secretary/Social Secretary and the other of Golf Secretary. Make no mistake this is the way it is and it is right and proper for us to recognize this division of responsibility and share of the workload. Now, notwithstanding this enormous work load, if ONE person wants to undertake both of these roles there is nothing in our constitution (as far as I am aware) to stop that person seeking election to both offices. I wouldn t do it!! I will vote for this resolution because it makes sense. Members can be proposed for the role and then we vote for whichever candidate we want to work on our behalf. Nevertheless whatever the outcome, once again I give my sincere thanks to Dee for doing this double/come triple act for so long on our behalf." Olga stated that this was not a personal issue against Dee and that things had got a little out of context. Lindsay spoke of matching tasks to resources available and warned that we would be bound to implement the decision to create a golf secretary. Discussion continued until Dave concluded by stating he was doing the draw (with help) until the end of the year when by that time it would be decided how to proceed into The issue was then put to a vote. Voting: FOR 9 (inc 5 proxy) AGAINST 22 (inc 4 proxy) PROPOSAL DEFEATED 2. Proposed by Terry Field: Categories for prizes on Wednesday: Instead of the one category we have now with prizes from 1st to 6th, I propose we have 3 categories of Red, Blue and Yellow. The prizes should be proportional to the money received within each category ie. one category doesn t subsidise another. It is very easy to administer and the amount of people playing in each category is virtually the same. Each category has it s own pot and this is divided between a winner and runner up in a 60:40 split? The exact split can be determined at a later date if necessary. Each category has it s own 2 s pot. Seconded: Peter Reffell & Alan Douglas Geoff Biggerstaff made the point that he didnt come to play golf for money but to enjoy, Dave Pulling expressed his view that one category keeps the society together, stops sand bagging. Because this proposal runs in tandem with a) the status quo of one category and the proposal from Joyce McClusky ( on the aganda) voting slips were handed out to the members (proxy votes were recorded also on their own voting slips). Joyce's proposal was elevated up the agenda and discussed at this point. Dave explained that we had already agreed in voting to keep one category after the trial period this year. However Joyce's proposal introduced the financing rule that each category prize fund was made up of the entry fees for the category and that one category did not finance the other (as was done previously). Bryan Neal read out the the stats regarding entrants and winners in each category in the 2018 season indicating the bias towards low handicappers and the result of the previous vote on this issue which was 24 for 1 category and 17 for 2. The handicap split was discussed which determined the category break points and it was noted that this did change in the previous 2 category system to try and balance the numbers - but this was theoretical and what happened on the day often meant there was a significant difference in numbers and hence one category often financed category 2. John Dobson made the valid point that we all have handicaps and that the handicaps should even things out. Discussion on the vagaries of the old system abounded until Dave Pulling called for the voting slips to be handed in. The Voting was: ONE CATEGORY 20 TWO CATEGORIES 9 THREE CATEGORIES 6 The meeting (and proxies) therefore decided by majority to continue with ONE category. Measured Course for Wednesday and Major Competitions: This should be within the limits necessary to be able to have a valid EGA handicap. This doesn't mean we play off the stakes on every hole. We can come forward on the 7 th, 13 th, 16 th etc as has been done before and be within 5m of the stakes on the remaining holes. The red

7 tees can come forward on the 3 rd, 7 th and any other they see fit. This can be discussed. This allows everyone in each category to be playing off fair tees all the time instead of some of the stone positions we now see on a regular basis. Seconded: John Dobson Unfortunately Terry Field was not present at the meeting and was rtherefore unable to fully explain his proposal. It was pointed out that the proposal was problematic. Bryan Neal stated that he was all for playing off a measured course but if as was suggested (and not suggested with hole 4 pointed out by Lindsay) advances were made and these were in excess of 10 metres as had been done in the past then the course was automatically invalidated for handicap purposes. A measured course is precisely defined in the EGA rules. The proposal was put to the vote. FOR 4 (inc. 3 Proxy) AGAINST 27 (inc. 5 Proxy) The proposal was DEFEATED Fair and Proper Draws For Team Games: All team games should have flights compiled from a blind draw and member names so drawn allocated to T-Times and Flights sequentially from first to last. Texas Scramble should include ONE woman and ONE male low handicap in each group. On Wednesday the draw compilation does not matter but it is recommended where possible that there be a lady in each group to help in spotting if balls have gone out of bounds or down barrancas etc. Buggy couples, husband/wife playing together or drawn close to each other, members wanting to play in early or late flights for any reason totally detracts from the spirit of social golf and this should be stopped. There are enough buggies to be shared to mix people up and not have the same team members all the time. Everybody should play where they are drawn. Seconded: Marleen Billen The proposal was discussed and was put quickly to the vote. Voting: FOR 6 (inc 6 Proxy) AGAINST 24 (inc 2 Proxy) ABSTAINED 1 The proposal was DEFEATED Proposed by Bryan Neal: Monday and Friday competitions entry fee be raised to 2 euros and 2 prizes be awarded if the competition is a 4 ball better ball and / or there are 6 or more flights. Seconded: Lindsay Forbes Bryan Neal stood and jokingly stated that he was going to get his money's worth because he thought the proposal would be defeated and said he was going to apply to the committee to play off the red tees in 2019 to win all "this money". Seriously, he said we pay 2 euros on a Wednesday, why not Monday and Friday. The voting was: FOR 20 (inc 3 Proxy) AGAINST 4 (inc 2 Proxy) ABSTAINED 1 The proposal was CARRIED - new entry fees start 7/12/18 Proposed by John Dobson: Guests are allowed to play in Society competitions at all times if spaces are available. Guests can submit score cards for handicap ratification purposes in all club competitions. However Guests may NOT WIN any Trophy competition and for that reason if they are included in a TROPHY competition no entry fee will be taken. Guests may win other Wednesday society competitions provided their handicap has been ratified. A provisional member is also unable to win a TROPHY competition. Members will be given priority on the start sheet up to the date that the start sheet is posted. Guests may then be entered on the start sheet and must play with the member introducing them and be entered at the end of the draw sheet. Once properly entered on the start sheet, guests cannot be removed even if a member subsequently wishes to play as a late entry. Seconded: Lindsay Forbes

8 Both Dee and Lindsay refered to situations during this season where problems had arisen with guests having been entered to play being told they subsequently couldnt when a member wanted that place and of guests actually being denied entry even though there were vacancies on the sheet. Bryan Neal referred the meeting to prvious minutes 5/1/ which clearly states ratified Guests can play and win wednesday competitions BUT that guests cannot win a TROPHY competition and that this proposal just clarifies this position. The vote was: FOR 21 AGAINST 0 The proposal was CARRIED Proposed by Olga Douglas: The only time members in competition can walk in from the golf course, either through the week or in Trophy Competitions is when the greens are flooded or there is thunder and lightning, The option to walk in at the moment when it begins to rain, lends itself to people who are having a bad round of golf and simply walking in, to be able to have the competition declared null and void. Members walking in incur an automatic No Return and / or surrender of match. Seconded: Bryan Neal Olga stood to present her proposal and started by stating that this proposal related only to RAIN and outlined the problem caused by the current rule whereby players could walk in in light rain conditions and effectively cancel the competition or a match. Dave Pulling questioned what amount of rain applied and it was clearly put by Lindsay that when the competition is declared on then the only way/time it is cancelled is if the greens flood or if there is electrical activity or threat thereof. The vote was: FOR 25 (inc3 by Proxy) AGAINST 2 (inc 2 by Proxy) The proposal was CARRIED Proposed by Joyce McClusky: The society returns to TWO Categories of prizes for Wednesday competitions. Category ONE would include the entry fees from members with playing handicaps of 18 and less. Category TWO would include the entry fees from members with playing handicaps of 19 and greater. Rationale: In the current regime of a single category the number of prize winners with handicaps of 18 and below was double that of those with handicaps of 19 and above during the 2018 season. Seconded: Allen McClusky This item was covered earlier in the meeting. The proposal was DEFEATED by the membership voting for ONE category by significant majority. 6) Election of Committee: All current committee members stood down prior to the election of officers for the new 2019 season. President - no nominations were forthcoming. Dave Pulling was re-elected. Treasurer - no nominations were forthcoming. Joyce McClusky was re-elected. Social Secretary - no nominations were forthcoming. Dee Biggerstaff was re-elected. Competitions Secretary - no nominations were forthcoming, Lindsay Forbes agreed to reelection for one further season. Handicaps Secretary - no nominations were forthcoming. Bryan Neal agreed to stand for reelection in view of the new WHS coming into being but asked for the society to furnish him with a computer system to undertake his duties. He was re-elected for a further season. Press Secretary - Peter Reffell agreed to step up to full committee status and was elected to this office for 2019.

9 7) Any Other Business: Brian Staines asked if we had a local rule concerning rain damage. Could relief be taken out of the debris caused by rain. Can we have clarity and a ruling put on the board. Lindsay clarified by saying we did have a local rule for taking relief from water damage. The problem is interpretation. Bryan Neal asked for a security system for the Society website. Mike Mahoney said he was thinking about it. Do we need a Society Hand Book of Rules - something that crystalizes what is this society would be a great benefit. Write and put on the web site. Volunteer needed. Referring to the web site Olga asked could we have some way of inter member communication, maybe like Facebook or similar. It was left that the committee would look at it.
