4 bred to succeed Somebeachsomewhere - The Dreamtime Bay Filly - Foaled 22/10/2014 It is fair to say that Somebeachsomewhere has had a massive impact as both a racehorse and now as a sire. In his racing career he was USTA Horse of the Year, taking a stunning mark of 1:46.4 with career earnings in excess of $3.3 million. He won 20 of his 21 career starts. At stud he has sired the mighty Captaintreacherous (1:47.2 $3,148,657) as well as Little Brown Jug winner Limelight Beach. In the Southern Hemisphere he already has three Breeders Crown winners in the unbeaten superstar Our Waikiki Beach, Menin Gate and Whereibylong. His progeny in the 2016 Melbourne APG Yearling Sale sold for an average price of $62,083 - the highest across the sale - and he was the sire of both the top colt ($150,000) and top filly ($125,000) lots. The breeders of this filly, John & Christine Yeomans, have an outstanding breeding establishment at Doreen and have bred and raced many top line horses. It s a family affair at the Sugars stable with Ross training alongside his wife Kerry, daughter Kylie and son Greg at their Hopetoun Park base. Last season Ross finished 7th on the Victorian State Training Premiership with 57 winners and $459,081 in prizemoney. Across his career Ross horses have won over 1500 races and have earned almost $6 million. Recent top-liners to pass through the stable include Group 1 winners Youanut, Illawong Helios, La Machane and Quite A Moment. Page 6

Any change will be advised prior to registration. Name of the proposed Administration Manager: The Administration Manager of the partnership will be Pacific Bloodstock Pty Ltd. The Administration manager is responsible for the preparation of any annual accounts required, issuing of invoices payable for the costs of racing the above mentioned horse, the management of the horses racing career, communications between the trainer, stables and owners. Details of proposed ongoing expenses to be incurred by members: All costs apart from those listed below will be charged by invoice to each owner from the inception of the partnership. Fees for this partnership will be $80 per month (5%), this will inclusive of all fees pertaining to the horse with the exception of major veterinary treatment and travel. Individual horses spend vastly different amounts of time in work, spelling and racing. All fees are payable with 14 days. In the event this amount is exceeded, owners may be called upon to make up the difference. In the event fees exceed the set fee, owners will be advised of this in writing. Each shareholder is subject to the Australian Rules of Harness Racing and is also subject to the standard trading Terms and Conditions of Pacific Bloodstock Pty Ltd Racing (Please ask for a copy of the current terms). If invoices payable by a partner remain outstanding for more than 60 days then the administration manager has the right to rescind the shareholding, provided that a final written notice of the pending sale has been forwarded to the defaulting partners last known address at least 14 days before any pending forfeit. The Administration manager then has the right to use the proceeds to pay any outstanding fees for that partners share (including the independent valuers costs), By signing this document the owner will in the event of default, irrevocably appoint the manager to do all acts necessary to exercise power of sale and hereby applies the funds at his discretion. How did the Promoter obtain the horse and the purchase price paid by the Promoter: This horse was purchased from 2016 Melbourne APG $33,979 inc GST. This horse is insured by APG Pty Ltd, for 30 days. A statement by the Promoter as to whether any fact or occurrence is known to the Promoter, which renders the Veterinary Certificate material inaccurate: The promoter knows of no occurrence which renders the veterinary certificate as inaccurate. A statement by the Promoter as to the correctness of the Valuation and Veterinary Certificate: The veterinary certificate that accompany this Document is fair and accurate and are able to be relied upon for the purpose of any investment decision. The Veterinary Certificate has been prepared by a qualified Veterinary Surgeon being Dr Anita Burke, Kilmore, Victoria, A statement whether the Promoter owns the horse or whether the horse is in any way Encumbered: We, Mark Hanlon Hoare and Gregory Robert MacMillan, of Pacific Bloodstock Pty Ltd, advise that the horse is offered with guaranteed clear title by Pacific Bloodstock Pty Ltd to prospective investors. If the horse is encumbered: (1) A statement by the Promoter providing full particulars of the arrangement: Page 9

10 The horse was purchased from Homestead Farm. There is a 30 days credit arrangement with APG and owners on payment of purchase price will have full title. (2) A statement by the Promoter that upon registration of the scheme, syndicate subscribers will receive right title: We Mark Hanlon Hoare and Gregory Robert MacMillan advise that the horse is offered with guaranteed clear title by the Promoter to prospective investors and upon registration of this horse by HRV, syndicate subscribers will receive right title. (3) A statement by the Promoter to discharge any encumbrances on the title to the horse(s) before or upon registration of the scheme: We Mark Hanlon Hoare and Gregory Robert MacMillan advise that the horse is offered with guaranteed clear title by the Promoter. A statement showing the details of arrangements (if any) which have been made to vest possession of the horse(s) in the manager or partnership, if a manager is to be appointed: This horse is to be managed by Pacific Bloodstock Pty Ltd (The Manager). All invoices from Providers will be forwarded to Pacific Bloodstock. The Manager will then forward a monthly invoice to all subscribers. All invoices paid to Pacific Bloodstock Pty Ltd by subscribers will be held with the Bendigo Bank the Manager will then pay any providers for any services that have been rendered from this Account. Any prize money which is received by The Manager will be deposited into this Account before dispersion to subscribers. Please note all prize money paid by Harness Racing Victoria will be paid directly to the partnership bank account. For his services, The Manager will receive a management fee (currently set at $200 +GST per month). A statement disclosing the full particulars of any lease agreement that will affect the partnership / syndicate: There is no lease agreement that will affect this partnership/syndicate. A copy of the financial lease relating to the horse(s): Not Applicable A statement setting out expenses incurred by the Promoter in the formation of the partnership / syndicate: A statement that the application moneys will be held in a bank account (that is applicable for the sole purposes of this product) by the Promoter. The promoter has opened a Bank Account at Bendigo Bank for all monies received by this promotion. A statement that where the partnership/syndicate has not been fully subscribed within six months from the date on which invitations were first made, ALL moneys held, together with interest, will be returned to investors within (10) business days: The promoter acknowledges that he shall abide by the licensing laws that Should the promotion of this horse fail, to be fully subscribed within 6 months the promoters shall refund all monies held in trust plus interest at the applicable rate paid by the Bendigo Bank within 10 days of expiration. Details of any cooling off regime: The promoter acknowledges that he shall abide by a standard 5 day cooling off period upon placement of investment funds for a share in a horse promoted by Pacific Bloodstock Pty Ltd. The promoter shall refund the investment sum following written advice from an investor within 5 days of the cooling off period. A statement regarding any perceived conflict of interest: The promoter does not rely upon the promotion of racehorses as its sole source of income. The promoters agents have financial interests outside of racing industry in which to gain income. Page 10

There is a possibility that a racehorse could injure itself and need long recuperation periods or be unable to race again. 5. There is not a ready made market for sales of shares, Pacific Bloodstock are not obliged to sell your share in the event you wish to sell it and by buying it you should view it as long term. A partner should contact the administration manager in writing in the first instance to resolve any dispute. If the dispute is not resolved within 5 working days of contacting the administration manager then the partner may submit their concerns to the stewards Department at Victoria Racing.
