Please read this document carefully, as by signing this Agreement you are confirming that you have read and understood it. Two copies are provided for your signature. 2 CROSS COUNTRY CANADA NATIONAL TEAM ATHLETE AGREEMENT BETWEEN: CROSS COUNTRY CANADA Bill Warren Training Centre Olympic Way Canmore, AB, T1W 2T6 AND NAME OF ATHLETE: Address of Athlete: (Hereinafter referred to as the Athlete ) WHEREAS Cross Country Canada is recognized by Sport Canada and the Canadian Snowsports Association (CSA) as the sole governing body for the sport of amateur cross country skiing in Canada; AND WHEREAS the Athlete has been selected to, and wishes to be an active participant of the National Team to represent Cross Country Canada and Canada in international competition; AND WHEREAS the Sport Canada Athlete Assistance Program (hereinafter referred to as "the AAP") requires the rights and obligations stated herein to be described in a written agreement; AND WHEREAS Cross Country Canada and the Athlete wish to clarify the relationship between them by establishing their respective obligations; NOW THEREFORE in consideration of the mutual covenants and agreements hereinafter contained and for other good and valuable consideration, the Parties hereby agree as follows: Definitions 1. In this Agreement, the following words will have the following meanings: a) AAP means the Government of Canada Athlete Assistance Program; b) Agreement means this written agreement; c) Athlete means the individual signing this Agreement and includes an individual selected by Cross Country Canada pursuant to specific selection criteria to participate as a member of the National Team or an individual who has received funding from Cross Country Canada and/or AAP to assist his/her training and competitive endeavours; d) CCES means Canadian Centre for Ethics in Sport; e) COC means the Canadian Olympic Committee; f) CPC means the Canadian Paralympic Committee; g) FIS means the Fédération Internationale de Ski: h) Head Coach means the national coach designated from time to time by Cross Country Canada; i) IOC means the International Olympic Committee; j) IPC means the International Paralympic Committee; k) National Team means the national team of Cross Country Canada representing Cross Country Canada and Canada at designated cross-country skiing competitions; l) NST means National Ski Team; m) PNST means para-nordic National Ski Team; n) WADA means the World Anti-Doping Agency. 3 Obligations of Cross Country Canada 2. Cross Country Canada will, for so long as this Agreement is in effect: a) Organize, select and operate teams of Athletes, coaches and other necessary support staff to represent Canada in the sport of cross country skiing in accordance with the budget and policies of Cross Country Canada. b) Publish selection criteria for all National Teams at least three (3) months prior to the selection for any particular team and at least eight (8) months in advance for major games teams including the Olympics, Paralympics and World Championships. c) Publish AAP selection criteria eight (8) to ten (10) months prior to the commencement of the AAP eligibility cycle. d) Nominate the Athlete, if eligible, for the AAP and thereafter assist the Athlete to ensure they receive all benefits to which they are entitled under the AAP. e) Provide the Athlete a mechanism for the establishment of a trust fund that is in accordance with the FIS or IPC rules and advise the Athlete of all payments to and withdrawals from said trust fund. f) Provide the Athlete with National Team program and schedule information for training and competition, which may be amended upon the sole discretion of Cross Country Canada. g) Provide the Athlete funding for travel, accommodation and meal expenses while participating in training and competitive activities of the National Team in accordance with the budget and policies of Cross Country Canada. h) Provide the Athlete team uniforms, apparel, products and other equipment in accordance with the budget, sponsorship availability, team size and policies of Cross Country Canada. i) Conduct, monitor and provide a formal review of the Athlete's annual training and competition programs. j) Communicate with the Athlete, both orally and written, in the language of their choice (French or English). k) Provide an appeal procedure that is in conformity with the principles of natural justice and procedural fairness, which shall include access to an independent dispute resolution process with respect to any dispute the Athlete may have with the NSO, other than those related to the Athlete Assistance Program, and publish the details of this procedure in a prominent manner so that it is freely available to all athletes or any person requesting this information by or on behalf of the Athlete. l) Establish policies regarding athlete conduct, clothing, travel arrangements and vehicle usage, which may be amended and updated from time to time upon the discretion of Cross Country Canada and such amendments and updates, will be communicated to the Athlete. m) Provide for an athlete representative elected by the Athletes to sit as a voting member of the High Performance Committee and the Cross Country Canada Board of Directors. 4 n) Organize programs and provide funding for the development and provision of cross-country skiing coaching expertise, officials training and event management in accordance with the budget of Cross Country Canada. o) Assist the Athlete in obtaining quality medical care and advice. p) Respect the confidentiality of medical information supplied by the Athlete to Cross Country Canada by not supplying this information to outside parties without consent of the Athlete, unless required to do so by law or in accordance with Cross Country Canada s anti-doping policies. q) Provide educational materials and resources on the doping rules of the FIS, IPC and CCES. Obligations of the Athlete 3. The Athlete will: a) Be a paid-up member of a Cross Country Canada registered club and obtain a Cross Country Canada and FIS and/or IPC racing license at their own expense. Members of the most recent Olympic or Paralympic team will not be required to bear the cost of these licenses which will be paid by Cross Country Canada for the period of this Agreement. b) Maintain status as a member in good standing of Cross Country Canada; abide by all policies, rules and regulations of Cross Country Canada; promptly pay all membership dues, health and accident insurance fees and National Team levies associated with training and competition as approved by Cross Country Canada. c) Supply Cross Country Canada with biographical information as requested, including telephone, address and , and keep Cross Country Canada updated on any such changes. d) Hereby warrant that he or she is a Canadian citizen, or is otherwise eligible to compete for Canada according to Cross Country Canada and/or FIS and/or IPC regulations in effect from time to time and that, if the Athlete s status changes, the Athlete shall forthwith inform Cross Country Canada. e) Senior NST athletes must reside at the National Training Centre (NTC) or NTDC for the greater majority of time from June 1 st to October 30 th, unless specified and approved otherwise by Cross Country Canada. (The Team Coach, following the direction of Cross Country Canada s High Performance Committee, will determine the definition of majority of time.) f) Develop with the NST or PNST Coach, or his/her designate, an annual training and competition program inclusive of goals for performance; and executed based on performance based decisions as requested by the NST or PNST Coach. g) Communicate in person, by fax or other electronic means on a weekly basis those forms for reporting of training, monitoring and competition as directed by the NST or PNST Coach. h) Demonstrate comprehensive commitment to all training programs, competitive activities, (inclusive of AAP, if applicable) and consistent and regular recording and reporting of monitoring procedures as requested by Cross Country Canada. i) Avoid living in an environment or undertaking in activities which are not conducive to high performance achievement or which pose significant risks to the Athlete s health or ability to train or compete, as determined by Cross Country Canada. 5 j) Notify the NST/PNST Leader or the nearest NST/PNST physician and the NST or PNST Coach of any health-related problem or other legitimate reason of any significance or that prevents the Athlete s training or prevents the Athlete from fulfilling any obligations under this Agreement. In the event of injury, the Athlete will supply Cross Country Canada with a certificate from a medical doctor describing the nature of the injury within one week of the diagnosis of the injury. k) Agree to acquaint themselves with, and strictly abide by, the Cross Country Canada and FIS and/or IPC Competition Regulations, the Cross Country Canada Code of Conduct, Harassment Policy, Trust Fund Policy, Vehicle Policy, Clothing Policy (Schedule C), Travel Policy, Sponsorship Policy, Appeal Policy, Social Media and Social Networking Policy as well as the Social Media Guidelines (attached hereto as Schedule B) and the various other Policies, rules and regulations of Cross Country Canada set out in the Athlete Handbook, which may be amended and updated from time to time by Cross Country Canada. l) Not participate in competitions in countries where the Canadian government sport policy and/or the policies of Cross Country Canada have determined that such participation is not permitted. m) During National Team training camps or competitions, adult athletes will take reasonable steps to manage the responsible consumption of alcoholic beverages so that the Athlete s ability to speak, walk or drive is not impaired or cause the Athlete to behave in a disruptive manner. n) Abide by the laws of the applicable country while representing Cross Country Canada. o) Participate in all sport science related lectures, presentations, testing sessions and related programs and take part in research projects related to cross-country ski as may be reasonably requested by Cross Country Canada and approved by the NST or PNST Coach. p) Wear and/or use products as directed by Cross Country Canada while engaged in any National Team related athletic or athletic-related activities including travel, training, competition, competition-day warm-ups, opening and closing ceremonies, post-competition ceremonies, press conferences, photo sessions, promotional events and other public appearances, at all times and in the proper manner as directed by Cross Country Canada. q) Participate in two (2) non-commercial promotional activities in support of Cross Country Canada and its member divisions and clubs, as requested by Cross Country Canada and approved by the NST or PNST Head Coach. Re-imbursement will be for expenses only. These appearances would be in addition to Team appearances (as explained in the Athlete Handbook). Where more than two (2) appearances are requested, an honorarium will be provided. r) Participate in reasonable non-commercial promotional activities as may be requested by Sport Canada on behalf of the Government of Canada where the arrangements for such activities are made through Cross Country Canada and are not for more than the equivalent of two working days for any individual athlete unless incremental compensation is arranged and agreed to by the Athlete. s) Comply with Cross Country Canada decisions with respect to competing in FIS and/or IPC events. t) Not to publicly criticize (including postings on blogs, websites and social media sites such as Twitter and Facebook) Cross Country Canada programs, sponsors, clothing, equipment or personnel/volunteers and instead voice any valid concerns through the normal Cross Country Canada channels directly or through the athlete representatives. 6 u) Utilize the Cross Country Canada Dispute Resolution and Appeal Policy to remedy complaints and issues, especially where the situation involves the conduct or performance of Cross Country Canada employed staff or coaches. v) Not permit official supplier clothing or equipment to be worn or used by anyone other than NST or PNST members and such clothing and equipment will not be sold or traded at the end of the season. All items supplied by Cross Country Canada are provided on a loan basis and may be required to be returned at the end of the season or if this Agreement is terminated. w) Comply with the anti-doping policies of Cross Country Canada, CCES (Canadian Anti-Doping Program), FIS, IPC, IOC and WADA which may require the Athlete to submit to announced and unannounced doping control testing, both during and outside of competition. x) Participate, if asked by Cross Country Canada to do so, in any Doping Control/Education Program developed by Cross Country Canada in co-operation with Sport Canada and the CCES. y) Avoid the possession of anabolic drugs and neither supply such drugs to others directly or indirectly nor encourage or condone their use by knowingly aiding in any effort to avoid detection of the use of banned substances or banned performance enhancing practices. z) Actively participate in all AAP evaluation activities. Athletes will co-operate fully in any evaluation of the AAP that may be conducted by the Minister or anyone authorized to act on the Minister s behalf and provide such data as the person conducting the evaluation considers necessary for the proper conduct of the evaluation. aa) Undertake to fulfil all commitments and responsibilities outlined in the booklet Athlete Assistance Program Policies, Procedures and Guidelines and agree to refund any assistance provided to the Athlete, payable to the Receiver General of Canada, should my eligibility status change or my carded status be withdrawn, effective the withdrawal/change of status date. bb) Complete the CCES on line anti-doping courses: True Sport Clean 101 and Sport Canada Athlete Assistance Program, at the beginning of each new carding cycle and at times thereafter as required by Sport Canada Sponsorship and Commercial Activities 4. Cross Country Canada expressly recognizes the Athlete s right to enter into personal sponsorship contracts, endorsements and business relationships subject always to the conditions and limitations set out below. The Athlete hereby: a) Consents to Cross Country Canada using, reproducing and distributing without charge, on a worldwide basis, in any format or media, the Athlete s image, name, nickname, likeness or other identifiable attribute which can be linked to the Athlete (collectively referred to as Athlete s Attributes ) to promote Cross Country Canada s and the National Team s sponsorship, licensing, advertising, public relations, sanctioned and non-sanctioned events, youth programs and marketing programs (collectively referred to as the Marketing Programs ). This consent shall remain in effect for the duration of the Term and for a period of two years thereafter. b) Consents to all licensee s or sponsors of Cross Country Canada using, without charge, on a worldwide basis, in any format or media, the Athlete s Attributes to promote their businesses. All use of the Athlete s Attributes by Cross Country Canada s licensees and sponsors will be defined and limited by the terms of the licensing or sponsorship agreements in effect with Cross Country Canada, except that any use of the Athlete s Attributes will not imply a Initial 6

7 testimonial or endorsement of any product without first obtaining the Athlete s authorization. This consent shall remain in effect for the duration of the Term. c) Agrees not to endorse or promote, the products, goods or services of a sponsor, supplier or supporter of the Athlete (referred to as the Athlete's "Personal Sponsors") as an identifiable member of the National Team and when engaged in any activities of the National Team, including, but not limited to, training, practices, competition, competition-day warm-ups, opening and closing ceremonies, receiving awards, awards ceremonies and other applicable times when being identified as a member of the National Team, except as specifically allowed in the Cross Country Canada Clothing Policy and only then to the extent that the products, goods or services of any Personal Sponsors do not conflict or compete with the products, goods or services of any Cross Country Canada sponsor, supplier or supporter. d) Undertakes to not enter into any contract or sponsorship venture without first obtaining Cross Country Canada's consent. This consent will be evidenced by the execution of a written agreement between the Athlete and Cross Country Canada. Cross Country Canada may not grant its consent if the proposed contract or venture conflicts, in the sole opinion of Cross Country Canada, with contracts that are, or may be, entered into by Cross Country Canada as part of Cross Country Canada Marketing Programs. e) Warrants that he/she has not granted and will not grant to any person or entity during the term of this Agreement an exclusive license to use the Athlete s Attributes which would conflict with this Agreement and/or with the Athlete s participation in Cross Country Canada s Marketing Programs. f) Agrees to follow and abide by all Cross Country Canada, COC, IOC and FIS rules (or CPC, IPC), policies and restrictions in place from time to time regarding commercial properties, endorsements, advertising and sponsorships. g) Releases and saves harmless Cross Country Canada, and any Licensees and sponsors of Cross Country Canada (collectively the Indemnified Parties ), from any and all claims that the Athlete may have against the Indemnified Parties, now or in the future, arising from the use by Cross Country Canada of promotional material utilizing the Athlete s Attributes. Resolution of Disputes 5. Where one of the Parties to this agreement is of the opinion that the other Party has failed to conform with its obligations under this Agreement, it will forthwith, where appropriate: a) Notify that party in writing of the alleged default, b) Indicate in the notice to that party the steps to be taken to remedy the situation, and c) Indicate in the notice a reasonable period of time within which such steps shall be taken. 6. Where the party who has given the notice referred to in paragraph 5a is of the opinion that the other party has not remedied that situation, the Party will file a complaint pursuant to the Cross Country Canada Dispute Resolution or Appeal Policy. 7. AAP related matters will be decided in accordance with Sport Canada s applicable policies. 8. Notwithstanding the foregoing, the Cross Country Canada Dispute Resolution and Appeals Policy will not be used to resolve disputes or sanctions associated with doping infractions pursuant to the Canadian Anti-Doping Program, as amended. 8 Liability, Insurance and Indemnification 9. The Athlete hereby: a) Acknowledges that cross-country skiing and competitive sport is dangerous and that there are risks, dangers and hazards inherent in cross country skiing competition and in training, preparing for and traveling to and from such competition and training. These risks include, but are not limited to, the risk of severe or fatal injury to the Athlete or to other persons and the risk of property loss and damage. The Athlete acknowledges that they will be undertaking all activities pursuant to this Agreement at their own risk and agrees to assume all risks associated with, and incidental to, the Athlete s participation in cross-country ski training and competition as a member of the Cross Country Canada National Team. b) Acknowledges that Cross Country Canada carries only limited insurance to protect Athletes in the event of death, injury, damage, loss of income, medical expenses or travel claims. The type of insurance and the limits of the insurance coverage provided by Cross Country Canada are specified in Schedule A attached to this Agreement. Cross Country Canada is not responsible for any medical costs, including extra billing charges, over and above the normal Provincial medical health plans. The Athlete acknowledges that it is the sole responsibility of the Athlete to realistically evaluate his or her insurance requirements in light of the activities to be undertaken by the Athlete pursuant to this Agreement and to purchase, at the Athlete s sole expense, all additional insurance coverage deemed necessary. c) Acknowledges that Cross Country Canada shall not be liable to the Athlete for any loss or damage to any property of the Athlete, however caused, nor shall Cross Country Canada be liable to the Athlete or to any other party, including the personal representatives and assigns of the Athlete or any other party, in the event of the Athletes or any other parties death, nor shall Cross Country Canada be liable for any loss or damage arising from an injury to the Athlete or to any other party resulting from any activity undertaken by the Athlete pursuant to this Agreement. d) Agrees to indemnify and hold harmless Cross Country Canada and its directors, officers, employees, contractors, volunteers and agents from and against any and all liability, claims, losses, damages, and expenses which Cross Country Canada may suffer or incur as a result, directly or indirectly, of any activity undertaken by the Athlete pursuant to this Agreement. This indemnification shall survive any termination or expiry of this Agreement. Term 10. This Agreement will be effective on May 1, 2015 and will terminate on April 30, 2016, unless terminated earlier pursuant to a decision-making Panel appointed in accordance with Cross Country Canada Dispute Resolution or Appeal Policy. 11. This Agreement will be effective until May 31, 2016 for Athletes who are carded under AAP, unless terminated earlier pursuant to a Sport Canada decision or decision-making Panel appointed in accordance with Cross Country Canada Dispute Resolution or Appeal Policy. 9 Entire Agreement 12. This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings and discussions, whether oral or written, and there are no other warranties, agreements or representations between the parties except as expressly set forth herein. 13. The following Schedules form an integral part of this Agreement: a) Schedule A - the list of all Cross Country Canada policies of insurance insuring the Athlete; b) Schedule B - Cross Country Canada Social Media Guidelines for Athletes and Coaches; c) Schedule C National Ski Team clothing policy; d) The Canadian Anti-Doping Program, the Cross Country Canada Anti-Doping Policy and the Guide to Drug-Free Sport from the Canadian Centre for Ethics in Sport; e) The FIS Doping Control Policy; f) The IOC and IPC Doping Control Policy; and g) The Cross Country Canada Athlete Handbook. Independent Legal Advice 14. The Athlete confirms that it has been recommended to the Athlete that the Athlete consult a solicitor and obtain independent legal advice prior to the execution of this legal agreement. The Athlete confirms to Cross Country Canada that the Athlete has obtained independent legal advice, or in the alternative, that the Athlete has voluntarily declined to seek independent legal advice despite being given every opportunity to do so. General 15. This Agreement will be interpreted in accordance with the laws of the Province of Alberta. 16. If any provision of this Agreement is void, invalid, illegal or unenforceable by reason of law or public policy, all other provisions of this Agreement will nonetheless remain in force and effect. Acknowledgement 17. The Athlete confirms that they have signed this Athlete Agreement voluntarily and with full understanding of the nature and consequences of the Agreement. 18. The Parties have requested that this contract be drafted in the English language. Les parties ont requis que ce contrat soit rédigé en langue anglaise. 19. This Agreement shall binding upon and ensure to the benefit of the parties hereto, their respective heirs, executors, administrators and permitted assigns. 20. 10 THIS SECTION MUST BE COMPLETED IF THE ATHLETE IS 17 YEARS OF AGE OR UNDER PARENT/GUARDIAN INDEMNITY AGREEMENT A parent or guardian s signature must accompany the Athlete Agreement if the Athlete is under the age of 18 at the time of signing the Agreement. This signature is in addition to and not in place of the Athlete s signature on the Agreement. I am the parent/guardian of, who was born on and is therefore a minor at the time of signing the Athlete Agreement with Cross Country Canada. I recognize that the Athlete derives significant benefits from signing this Agreement. I also recognize that the Athlete assumes obligations and I further recognize Cross Country Canada s desire and need to enforce these obligations. In consideration of the benefits accruing to the Athlete, to me and to my family by reason of the Athlete and Cross Country Canada entering into the Athlete Agreement, and for other good and valuable consideration, the receipt of which is acknowledged, I hereby agree to indemnify and hold harmless Cross Country Canada from and against any claims, losses, damages and expenses which it may suffer or incur as a result of the breach of any provision of this Agreement by the Athlete or as a result of any activity undertaken by the Athlete pursuant to this Agreement. 12 Schedule B Cross Country Canada Social Media Guidelines for Athletes and Coaches Social media is no different than a live microphone. Media outlets report on athletes posts regularly and some include a running stream of athlete posts on their sites. Athletes and Coaches should still be themselves and engage with fans through their social channels, but they should do so in a way that is appropriate and safe for media consumption / distribution. Posts should not contain vulgar or obscene words or images. Do not use profanity. Period. Use your best grammar, spelling and capitalization. Expect that a potential sponsor will be reading your posts. If unsure, ask for help. Inappropriate content vs. inappropriate behaviour. Example: It would be acceptable for an athlete to have a shower but it would not be appropriate for an athlete to post nude pictures of themselves showering. The behaviour is appropriate, but the content is not appropriate for distribution. Be mindful of promotion of potentially controversial behaviour that may cause damage to the image of the National Ski Team, Cross Country Canada or the sport of cross-country skiing. While it may be appropriate for an athlete to consume alcohol at a bar, it would not be appropriate for athletes to promote their own inebriation via their public social media accounts. Be aware of CCC s Code of Conduct and Ethics Policy and what behaviours and/or social media uses would constitute a breach of that agreement. Education in regards to the permanency and nonprivacy of social media content will be reviewed with athletes once per year in the summer or early fall. Athletes must be made aware that their postings on social media platforms are public and subject to the organization s Code of Conduct and Ethics policy and Social Medial and Social Networking policy. Be Mindful of external stakeholders. CCC is associated with a number of external stakeholders including corporate partners, suppliers, media and local community organizations. Athletes, coaches and employees should be mindful of those relationships on their social channels, understanding that they should treat them with the same respect as the organization itself. Social media, blogs or websites are not appropriate forums to voice concerns about Cross Country Canada sponsors, suppliers, clothing, staff, volunteers or the like. Remember that you may also not know exactly who the sponsors are so if in doubt, don t say anything. If you do have concerns, please contact your coach, athlete representative or a staff person within Cross Country Canada. Do not escalate a potential damaging tweet or post. If a tweet or post appears to be controversial or could potentially be damaging to a national ski team athlete, the National Ski Team, Cross Country Canada and/or the sport of cross-country skiing, do not pursue or attempt to reply for risk of escalation. Rather, contact Martine Zilligen at mzilligen@ccc.ski immediately in order for CCC to identify the most appropriate course of action. Initial 12

13 Schedule C National Ski Team Clothing Policy All National Ski Team athletes, coaches and staff are accountable under the terms of the NST Clothing Policy included in the Athlete Handbook.
