1 THE RALLYRAID INTERNATIONAL RENTAL & ASSISTANCE PROGRAM The RENTAL & ASSISTANCE program was created for people who: Have always dreamt of taking part in Rally raid events across North Africa but don t know how or where to start. Have never competed in a rally before Have the spirit for adventure have the drive and ambition to succeed do not have the time to manage the necessary preparation for such an undertaking are budget conscious seek the thrill of competing along side some of the most famous rallying hero s of all time appreciate the support and guidance of an experienced team If your reaction to the above is that s me! then you too can take part in the Famous Rally Raid Adventures 1

5 CONTRACT Between RALLYRAID international ltd (RR int) having its official address at Houndgate Lodge Lower Cumberworth nr Huddersfield West Yorkshire England HD8 8PL Represented by Paul Round And The team : Name Address Whereas the CONTRACT Between RALLYRAID INTERNATIONAL LTD (hereinafter referred to as RR or RR INT), is the sole promoter of the RALLYRAID RENTAL AND ASSISTANCE PROGRAM. Egyptian-Rally 2011 The current contract only concerns the RALLYRAID RENTAL AND ASSISTANCE PROGRAM. And does not in any way replace or modify the official rules of the organizers of the Egyptian rally 2011 (JVD ). Whereas the Driver and his Co-driver, (hereinafter referred to as the Driver and Codriver) wish to participate in the Egyptian Rally 2011 in the RALLYRAID RENTAL AND ASSISTANCE PROGRAM: 5

6 The two parties have agreed as follows: Article 1 RR reserves the right to refuse an entry for the RALLYRAID RENTAL AND ASSISTANCE PROGRAM Article 2 RR undertakes to supply a BMW powered Desert Warrior 3Llt BMW DIESEL. Prepared in full accordance with the official FIA regulations for the Egyptian rally 2011 Upon payment of budget the vehicle will be rented to the Driver and co-driver for the event only. The Driver and Co-driver accept that the statutory warranty usually offered by BMW or Rover on new vehicles will not be valid on the vehicles since they are used as racing cars for the purpose of off road Rallying. The cars will be delivered to the docks ready for shipping ready for the 2011 Egyptian rally unless other wise agreed in writing. The vehicles will be entered in the diesel category and will respect in every way the organizers regulations. The teams entered will abide by the technical controls laid down by the organizers. The vehicles will be distributed in order according to orders received. Article 3 RR undertakes to take all necessary steps to enter the Driver, Co-driver and vehicle in the Rally if requested. In addition to services provided to all Rally participants by the organizers, to provide the following services to the driver and co-driver entered in the Rental & assistance program throughout the event: The Rally Rental Budget Includes Delivery of car and equipment to the docks in Europe ready for shipping Hire of the car for the rally 6

7 Full preparation of the car Management of your entry if requested Full technical assistance on the rally: 1 assistance truck entered in the T5 category carrying mechanics and spare parts. 1 assistance 4x4 vehicles entered in the T5 category carrying 1 team manager, 3 mechanic mechanics ( all assistance is scheduled on a pro-rata basis ) All assistance is on a pro-rata basis depending on the number of cars & bikes entered. All stickers for the sponsors of the rallyraid team 1 dedicated web-site photos from the race available on the web for sponsors and media Return of the car to the UK workshop from the European docks, provided you deliver the car to the designated docks in time at the end of the rally. Medical and civil liability insurance, including repatriation (as provided by the rally organizers JVD) Prize-giving party The attribution of mechanics will be determined by the team manager whose decision will be final. Article 4 The Driver and Co-driver accept that the following are not included in RR, s commitments: NOT INCLUDED: Return ferry cost from Europe Entrees fees GPS and security equipment as required by the organization Fuel Visas Standard road insurance, Any Refundable guarantee required by the organizers Spare parts used and additional tyres Repatriation of the vehicle in case of retirement from the race Decoration of the vehicle (official sponsor stickers supplied) The FIA license Personal equipment Personal expenses Hotels Road tolls 7

8 A 15k security deposit will be requested prior to departure and parts used will be invoiced after the event and the balance refunded In the event of retirement, each competitor in the rental & Assistance program commits to respect the instructions laid down in the organizers regulations. Only individuals repatriated on medical grounds may be the responsibility of the organizers. Teams, who have retired for any other reason, will in no event be transported by RR or the organizers (JVD) during all or any part of the race. Each team is responsible for its own vehicle! The vehicle will not be evacuated or repatriated by RR or JVD in the event of retirement whether through breakdown, accident or injury. In this respect, all participants in the RALLYRAID RENTAL AND ASSISTANCE PROGRAM will be treated in the same way as all other competitors in the rally who must make their own arrangements to return to Europe and to recover the vehicles by their own means. The driver and Co-driver declare that they have read and understood the regulations governing the rally and commit to abide by and comply with regulations without exception. In the event of a difference of interpretation, the rally organizer s rules will prevail. Failure to do so will lead to the immediate exclusion of the team from the event with no redress, and RR will be entitled to take all necessary steps, legal or otherwise, to claim financial compensation for any damage whatsoever whether financial and/or to its professional reputation. Article 5 In exchange for the commitments from RR covered by this contract, the driver agrees to make the following payments: EGYPTIAN - RALLY 2011 Egyptian rally Oct 2011 BUDGETS Budget 1 Desert Warrior BMW 3LT diesel rental package: 15,000 Euros 8

9 6,500 Upon registration before ,500. on 13th august ,000 REFUNDABLE SPARES DEPOSIT required prior to departure Parts used and any damage will be repaired and deducted from the deposit An additional 1,500 is due for any late entry (as indicated on the JVD price schedule) The Driver and Co-driver accept that their entry for the RALLYRAID RENTAL AND ASSISTANCE PROGRAM will only be considered valid once the first payment of the deposit due upon registration has been received by RR. Payments must be made by bank transfer to be credited to the following account before the date mentioned: Euro Roundabout Investments Ltd Account Sort Code BIC LOYDGB21007 IBAN GB65 LOYD Any payment not credited to the above account by the agreed dates shall automatically accrue a cumulative interest of 5% of the total fee. All payments must have been settled in their entirety before the vehicle can be delivered. Article 6 The RALLYRAID RENTAL AND ASSISTANCE PROGRAM is open to any competitor who has never won a category during any preceding international rallys and who fulfils the registration conditions laid down by the organizers. The teams will be considered as officially entered upon receipt by RR of the nonrefundable deposit. Entries will only be considered valid for the Rental & Assistance Program once the following are received: 9

10 Two signed «team contract» One will be returned to you signed by RR Accompanied by proof of the 1 st payment A copies of each of your passport with 2 clear pages valid for the following 6 months A copies of each of your driving licence A signature on the team contract indicates irrevocably that each team accepts the terms and conditions of this contract as well as those of the organizers and commit to respect them in letter and spirit. RR reserves the right to refuse any entry for the Rallyraid Rental & Assistance Program. Should an entry be refused by the organizers (JVD), all sums previously paid to the organizers by RR and any costs relating to the preparation of the car shall be due to the competitor to RR. Article 7 The Driver and Co-driver accept that RR cannot be held responsible in any way for any failure by the organizers (JVD) to respect their obligations. RR commits to represent the best interests of all the teams entered in the Rallyraid Rental & Assistance Program. In their dealings with the rally organizers (JVD). No protest should be lodged by any team in the Rallyraid Rental & Assistance Program. Directly with the organizers. The Team Manager who will be present at each bivouac will liase between the competitors and organizers. During the Rally, the Team Manager will take all decisions he judges to be necessary to ensure the rallyraid Assistance Program takes place in the fairest conditions possible to enable a maximum number of participants to reach the finish. Article 8 Participation in the Egyptian Rally 2011 in the Rallyraid Rental & Assistance Program. allows the companies RR, and any sponsor or partner to use the voice or name, and/or image of the driver and co-driver as well as the results, performance and image of the vehicle, for any public relations, promotional or advertising activity. 10

11 The badges and stickers of the official partners of the Rallyraid Rental & Assistance Program. Will be supplied free of charge to each team and will be affixed to the cars prior to delivery to competitors. All participants in the Rallyraid Rental & Assistance Program. Commit to respect the regulations of the Rally with regards to the display of the organizer s and official sponsors publicity. Article 9 In the event that a driver or co-driver wishes to withdraw from the program before the start, so long as a replacement is proposed by the withdrawing team and that team is acceptable to RR, no charge will be made. However the cancellation charges as outlined in the regulations shall apply in any other case of withdrawal by the team. Article 10 Any request to cancel an entry must be made in writing by registered letter in order to benefit from the reimbursement conditions concerning costs relating to the race laid down in the regulations by JVD for the Rally. Concerning the purchase and preparation of the vehicle, if RR can locate a replacement team, only 1,000 Euros administrative costs will be retained. In the event that a replacement cannot be found, RR will reimburse to the team upon condition the amount s that have been refunded in turn to RR by the organizers JVD. All amounts relating to the purchase and preparation of customers own vehicle shall remain due from the team. RR reserves the right to cancel their participation in the rally should the necessary quota of competitors to make the event viable not have been reached 2 months before the start in this event, Article 11 In the event that the race is cancelled by the organizers (JVD), the relevant clauses contained in the regulations will apply. In the event that the start will not take place, for whatever reason whatsoever as stated in the regulations, RR will reimburse to each competitor 10 weeks after the date of start the amounts corresponding to the amounts refunded to RR by the organizers (JVD). 11

12 Article 12 The Driver, Co-driver and their family and heirs cannot in any way hold RR or the organizers (JVD) responsible for any accident which may result in death or serious injury arising from the participation in the relevant Rally. Article 13 This Agreement constitutes the entire agreement between the parties relating to its subject matter and supersedes all previous agreements and understandings between the parties relating thereto. This Agreement shall be governed by the laws of ENGLAND & WALES and the parties hereby submit to the exclusive jurisdiction of the courts of ENGLAND & WALES As witnessed the parties have signed this Agreement in two original parts this day and year below.
