1 HERTFORDSHIRE COUNTY NETBALL ASSOCIATION CONSTITUTION (Apprved at AGM ) 1. TITLE The Assciatin shall be called the Hertfrdshire Cunty Netball Assciatin ( HCNA ); this frmal name shall appear n all fficial crrespndence. MISSION STATEMENT HCNA aims t prmte safe and equal pprtunities fr peple t take part in Netball at a level apprpriate t their needs and aspiratins and t prmte their perfrmance and develpment. HCNA aims t achieve this by taking psitive actin t develp Netball as a sprt in Hertfrdshire by cntinuing t prmte and develp prductive partnerships with apprpriate sprting and utside agencies. 2. OBJECTIVES T deliver the Missin set ut abve. T apply the principles f equality f pprtunity, diversity and inclusivity fr Netball participatin (including Netball vlunteers) T plan and encurage the grwth f Netball at all levels within Hertfrdshire as agreed and shwn in the Hertfrdshire Cunty Plan. T rganise such events as required under the Hertfrdshire Cunty Plan. T carry ut the administrative plans made and the plicies frmulated by England Netball and Netball East. T adpt the rules and regulatins f the game f Netball as lay dwn by England Netball including safeguarding. T keep a watching brief n Netball Facilities within HCNA. T emply the funds f HCNA as shall be deemed t be in the best interest f its Members and the game f Netball. T serve as a frum t c-rdinate activities within Hertfrdshire and t rganise cmpetitins, technical curses, tests and assessments fr all members at all levels.

2 T wrk in partnership with Hertfrdshire Cunty Sprts Partnership and liaise with ther rganisatins t ensure full invlvement in prviding facilities and participatin fr members. HCNA shall have the pwer t engage in any activities incidental theret. 3. JURISDICTION & MEMBERSHIP 3.1 HCNA shall cmprise the gegraphic area f Hertfrdshire Cunty. HCNA shall be affiliated t the All England Netball Assciatin ( England Netball ) and t the East Regin Netball Assciatin ( Netball East ). 3.2 The membership shall cnsist f: i) All Netball Clubs and Yung Persns Grups wh are England Netball affiliated and first claim t Hertfrdshire. ii) All England Netball affiliated educatinal institutins, eg Schls, Clleges, University, situated within Hertfrdshire. iii) All individuals wh are independently affiliated t England Netball including HCNA Life Members. 3.3 Each Member shall pay an Annual Fee t the Cunty which includes bth the subscriptin twards the expenses f the Cunty plus the apprpriate fees t Netball East and England Netball. 3.4 Membership annual subscriptin shall be due n 1 st September and must be paid by 1 st Octber that year. They shall be valid between 1 st September and 31 st August the fllwing year. 3.5 The HCNA Cmmittee is empwered t recmmend any alteratins in ttal membership fees, either arising frm any reslutin at the Annual General Meeting f Netball East, the Annual General Meeting f England Netball r based n the Cunty expenses. 3.6 The scale and rate f the ttal fees shall be prpsed by the HCNA Treasurer and apprved at the Annual General Meeting. 3.7 All Members shall be bund by this Cnstitutin and any ther rulings f the HCNA Cmmittee and by the current rules f the game f Netball.

3 4. GOVERNANCE 4.1 HCNA shall be gverned by the HCNA Cmmittee. The HCNA Cmmittee shall cnduct all business and decide n all matters n behalf f HCNA, taking advice and guidance frm the Technical Supprt Grups and ther specialists as apprpriate. 4.2 HCNA adpts thse rules, regulatins, plicies and reslutins f England Netball as applicable t Members f HCNA. 5. HCNA COMMITTEE 5.1 The HNCA Cmmittee is a grup f individuals wh, cllectively, shall gvern and deliver the bjectives n behalf f the HCNA Membership. 5.2 The cmpsitin f the HCNA Cmmittee shall be the fllwing:- a) Chair wh shall be an Elected Member; b) Vice Chair wh shall be an Elected Member; c) Treasurer wh shall be an Elected Member; d) Secretary wh shall be an Elected Member; e) Elected Members t serve as Chairs f the Technical Supprt Grups (eg caching, fficiating, perfrmance, yung peple and cmpetitin, yuth); f) Cmmunicatins and Marketing Officer wh shall be appinted by the HCNA Cmmittee; g) Equity and Safeguarding Officer wh shall be appinted by the HCNA Cmmittee; h) Cunty Netball Develpment Officer (appinted by the emplyer); i) President and HCNA Life Members are Hnrary Members. All HCNA Cmmittee members must hld a current affiliatin t England Netball and HCNA. 5.3 The HCNA Cmmittee shall meet at least three times each year and the qurum shall be 4 vting members. The President, HCNA Life Members and the Cunty Netball Develpment Officer may attend and speak at HCNA Cmmittee meetings and can give advice and supprt but they may nt vte n any matter.

4 5.4 N emplyee f England Netball may hld any vting psitin n the HCNA Cmmittee (apart frm thse emplyed under zer hur cntracts). 5.5 All the Elected Members shall serve until the end f the Annual General Meeting immediately fllwing the third anniversary f their appintment. At the end f their term f ffice any Elected Member is entitled t stand fr reelectin t the same psitin. 5.6 The HCNA Cmmittee may fill any vacancy that may ccur during the year. If this invlves filling an elected psitin then that persn must ffer themselves fr electin at the next Annual General Meeting fllwing their initial appintment. Members f the HCNA Cmmittee filling a vacancy have the same rights and respnsibilities as all members f the HCNA Cmmittee. 5.7 The HCNA Cmmittee shall have the pwer t c-pt nt mre than three members with the pwer t vte. Members appinted by the HCNA Cmmittee will serve fr a perid f ne year. At the end f that perid, they must relinquish their appintment but may be re-appinted at the discretin f the HCNA Cmmittee. 5.8 The HCNA Cmmittee shall have the pwer t cnfer HCNA Life Membership upn any persn wh has rendered special services t the Cunty with such rights and privileges as the HCNA Cmmittee may frm time t time determine. 5.9 The HCNA Cmmittee shall submit perfrmance reprts t England Netball and Netball East as requested fr reprting and mnitring purpses The HCNA Cmmittee shall have the pwer t invite any persn having specialised knwledge t attend any meeting f the HCNA Cmmittee in an advisry capacity and withut the pwer t vte The HCNA Cmmittee shall set up Technical Supprt Grups as and when necessary with apprpriate terms f reference agreed by the HCNA Cmmittee HCNA Cmmittee members must act in accrdance with the pwers set ut in this cnstitutin and must exercise independent judgement taking reasnable care, skill and diligence when ding s HCNA Cmmittee members must avid cnflicts f interest, nt accept benefits frm third parties and declare any actual r perceived interests t the ther HCNA Cmmittee members as sn as they arise. HCNA

5 Cmmittee members will be required t cmplete a cnflict f interest declaratin n a regular basis. The HCNA Cmmittee will recrd and file this infrmatin At HCNA Cmmittee meetings each vting member present shall have ne vte. In the event f a tie f vtes, the Chair shall have a secnd and casting vte At all HCNA Cmmittee Meetings, in the absence f the Chair, the Vice Chair shall act as Chair r, if neither is present, the Chair f the meeting shall be elected frm thse present Any persn seeking electin t the HCNA Cmmittee must be nminated by tw members f HCNA entitled t vte at a General Meeting, must cnfirm in writing their willingness t stand fr ffice, and must prvide details f their relevant experience and suitability f the rle. All nminatins must be received at least14 days prir t the date f the General Meeting at which the Electin is due t take place All vacant psitins and thse up fr re-electin will be penly advertised, details sent direct t vting members at least 30 days prir t the AGM A pst n the HCNA Cmmittee may be vacated if the fficehlder:- a) gives 28 days ntice in writing f their resignatin frm the pst; b) is absent fr 3 cnsecutive meetings withut justifiable reasn; r c) is requested t resign by a majrity vte f the HCNA Cmmittee. 6. INDEMNITY All HCNA Cmmittee members and members f Technical Supprt Grups shall be indemnified thrugh their affiliatin t England Netball against all csts, lsses r liabilities which they may incur r sustain in relatin t the executin f their HCNA duties r their HCNA ffice r by reasn f any duty perfrmed fr r with the authrity f the HCNA Cmmittee. In additin, every member f the HCNA Cmmittee and members f the Technical Supprt Grups shall be indemnified by the Cunty t the full extent f the Cunty s resurces and it shall be the duty f the Cunty, wherever funds permit t pay all csts, lsses and expenses which any such persn may prperly incur r fr which

6 they may becme liable by reasn f cntract entered int r act r things dne by them in gd faith in the discharge f their HCNA duties. 7. PROPERTY/ASSETS The Cunty may purchase r by any ther means acquire and take ptins, and any rights r privileges f any kind ver r in respect f any prperty and ther assets, and if it des s: a) Any prperty f the Cunty, ther than cash at the bank, must be vested in nt mre than 3 members f the HCNA Cmmittee. These members f the HCNA Cmmittee must deal with the prperty/asset as directed by reslutin f the HCNA Cmmittee and entry in the minutes shall be cnclusive evidence f such a reslutin. b) The prperty/asset will remain vested in 3 r less members f the HCNA Cmmittee until the individuals are n lnger members f the HCNA Cmmittee, at which pint the transfer will be endrsed by reslutin f the HCNA Cmmittee and the individual will be respnsible fr transferring title. 8. POWERS OF THE HCNA COMMITTEE. 8.1 The HCNA Cmmittee may delegate its delivery and technical supprt respnsibilities t grups r individuals as it may deem necessary and shall determine their membership and terms f reference. The HCNA Cmmittee cannt delegate its delivery t England Netball emplyees acting under their cntract f emplyment. 8.2 The HCNA Cmmittee may, at the request f England Netball r Netball East, nminate apprpriate persn(s) t serve n any natinal r reginal standing, wrking r technical cmmittee established by England Netball r Netball East. 8.3 The HCNA Cmmittee shall have the pwer t raise funds by a levy n members as it sees fit but the amunt f such levy shall be subject t the agreement f the membership in General Meeting. The levy may be cllected by ther rganisatins including England Netball. 8.4 The HCNA Cmmittee als have the pwer t raise funds frm ther means including but nt exclusively, grants and spnsrship.

7 8.5 The HCNA Cmmittee will agree an annual budget in line with the HCNA Cmmittee aims, bjectives and Cunty Plan and spend funds as detailed in the annual budget. 8.6 Appint a representative t attend and vte at England Netball s AGM Netball East AGM and ther meetings. 9. GENERAL MEETING 9.1 The Annual General Meeting (AGM) shall be held befre 31 st July each year. The HCNA Cmmittee shall determine the date f the AGM in advance and must advise all HCNA Affiliated Members nt less than 30 days in advance f the set date. 9.2 All nminatins (with the cnsent f the nminee) and prpsals must be received by the HCNA Cmmittee nt less than 14 days prir t the date f the Annual General Meeting. 9.3 The Agenda fr the AGM tgether with all prpsals shall be circulated in writing nt less than 7 days prir t the date f such a meeting t each HCNA Affiliated Member. 9.4 Only HCNA Affiliated Members, HCNA President, Hertfrdshire Life Members and guests invited by the HCNA Cmmittee are entitled t attend General Meetings. HCNA President, Hertfrdshire Life Members and invited guests are nt entitled t speak t a reslutin r vte unless they are an HCNA Affiliated Member. 9.5 At all General Meetings, if the Chair is nt present then the Chair f the meeting shall be the Vice Chair r a current HCNA Cmmittee member elected frm thse present at the meeting. 9.6 Business t be transacted at the Annual General Meeting shall be; i ii iii iv T receive annual reprts T adpt an audited Statement f Accunts T elect Members f the HCNA Cmmittee as apprpriate T appint an Auditr

8 v vi T cnsider any prpsed reslutin submitted in writing 14 days befre the date f the General Meeting, which has been prpsed and secnded by the HCNA Cmmittee r tw Affiliated Members f HCNA entitled t vte at General Meetings T agree the Affiliatin Fees fr each membership categry as defined in Clause One representative frm each affiliated Netball Club r Educatinal Institutin, independently Affiliated Members and HCNA Elected Members shall be entitled t ne vte each. 9.8 Each affiliated Netball Club and Educatinal Institutin may appint a representative frm their lcal league r institutin t speak and vte n their behalf as their nminated prxy. Prxy vtes must be authrised in writing. 9.9 N persn attending shall be permitted t mre than ne vte each (excluding nminated prxy vtes) The Chair shall cnvene an Extrardinary General Meeting at any time, within 60 days frm receipt f the fllwing, including 30 days ntice f date f meeting and Agenda: i ii An rder f the HCNA Cmmittee; r A written request f any tw Hertfrdshire League Cmmittees, fur Hertfrdshire Affiliated Netball Clubs r tw Affiliated Educatinal Institutins, stating the purpse fr which a meeting is required and setting ut any reslutin which it is desired t prpse A qurum f a General Meeting shall be seven vting members including prxy vtes At General Meetings all reslutins shall be passed by simple majrity f thse present and entitled t vte. In the event f a tie f vtes cast, the Chair f the Meeting shall have a secnd and / r casting vte The minutes f all general meetings will be taken by a member f the HCNA Cmmittee.

9 10. FINANCIAL MATTERS 10.1 The financial year shall end n 31 st March The accunts will be annually reviewed by an independent, cmpetent persn whse reprt will be made available t the vting members at the AGM HCNA is a nt fr prfit rganisatin, all funds generated will be paid twards the furtherance f its bjectives. All funds r ther prperty f HCNA shall nt be paid t r distributed amng members f the HCNA Cmmittee, with the exceptin f the disslutin clause belw. Payments t individuals, ther than petty cash expenses, shall be sanctined by the HCNA Cmmittee and subject t the apprpriate emplyment/cntractual legislatin Members f the HCNA Cmmittee and any sub-grup f the HCNA Cmmittee r any persn duly appinted by the HCNA Cmmittee t act with its authrity shall be paid their expenses necessarily incurred thrugh their rle. 11 Representative Teams 11.1 Any grup f players, playing as a team representing HCNA shall be affiliated thrugh a club r educatinal institutin within Hertfrdshire The affairs f any representative team shall be verseen by an apprpriate HCNA Cmmittee Member n behalf f the HCNA Cmmittee with any financial decisins taken by the HCNA Cmmittee The clurs f Hertfrdshire shall be ryal blue and gld. 12 DISCIPLINARY POWERS, PROCEDURES AND APPEALS 12.1 The Cunty shall deal with any disciplinary matters in accrdance with the England Netball Disciplinary Prcedures. The current versin is lcated n the England Netball website The Cunty shall be an Apprpriate Authrity under the England Netball Disciplinary Prcedures Manual. Fr the purpses f the Disciplinary Prcedures the HCNA Secretary shall be the Disciplinary Secretary.

10 12.3 Members f any Investigatin Cmmittee cnvened under these prcedures shall be drawn frm members f the HCNA Cmmittee and Hertfrdshire League Chairs and chaired by the HCNA Chair, Vice Chair r Treasurer Members f any Appeal Cmmittee cnvened under these prcedures shall be drawn frm members f the HCNA Cmmittee and Hertfrdshire League Chairs and chaired by the HCNA Chair, Vice Chair r Treasurer. 13 AMENDMENTS TO THE CONSTITUTION 13.1 Prpsals t alter the Cnstitutin shall be submitted in writing nt later than 14 days befre the Annual General Meeting by i ii the HCNA Cmmittee; OR Tw members f HCNA entitled t vte in General Meetings. 14 DISSOLUTION In the event f the disslutin where there are funds remaining after satisfying all the debts and liabilities, the HCNA Cmmittee can nminate t distribute the funds t: a. Any rganisatin within Hertfrdshire with similar bjectives t thse f HCNA b. England Netball fr the benefit f Netball East in line with the bjectives detailed within the HCNA cnstitutin c. Affiliated members (fr the avidance f dubt this culd either be all the affiliated members r a sub-categry f the membership eg clubs). HCNA Cmmittee members must nt receive any gain as a result f the disslutin. 15 MISCELLANEOUS All members f the Cunty shuld ensure that the Cunty cmplies with all relevant and applicable laws and regulatins in England.
