CITY OF ROHNERT PARK CITY COUNCIL AGENDA REPORT ITEM NO. 14 Meeting Date: May 28, 2013 Department: Public Works and Community Services Submitted By: John McArthur, Director of Public Works & Community Services Agenda Title: City Council review and consideration of the Draft Foxtail Golf Course Performance Measurement Report designed to develop a baseline performance measurement and to track the ongoing performance of golf course operations as required by Foxtail Golf Course Lease Agreement with Rohnert Park Golf, LLP. RECOMMENDED ACTION Staff seeks City Council direction on the proposed Draft Foxtail Golf Course Performance Measurement Report ("Draft Performance Measurement Report"). BACKGROUND The Foxtail Golf Course Lease Agreement with Rohnert Park Golf, L.L.P., for the operation and maintenance of the Foxtail Golf Course and facilities, has a provision in Section 1.3 for the development of performance measurements. The performance measurements and evaluation criteria serve the following two purposes: 1 1. Track the performance of golf course operations with Performance Measurements that reflect financial growth, customer satisfaction, improvements, maintenance, and other relevant measures and become the basis by which the City and the Tenant may elect to exercise the ten (10) year extension of the term per Article 2 of the Lease; and 2. Set an initial baseline or benchmark of the conditions and performance of the golf course. Once the Draft Performance Measurement Report is approved, the final version would be used to complete the baseline assessment and would also be used as a performance monitoring plan for the ongoing operation, maintenance, and improvements of the City's two 18-hole golf courses. A summary report would be submitted quarterly to the City Council following each performance review. These reports would present findings, summarize current and historical performance, detail regional golf industry trends, prescribe remedies for areas identified as needing special attention, and provide a mechanism to follow-up on previously outlined areas of concern. Process City staff began work on the development of the Draft Performance Measurement Report earlier this year. Due to the complexity of developing an objective platform to quantitatively and qualitatively measure golf course operations, a consultant was hired to provide technical assistance with this project. In February 2013, the City hired Pro Forma Advisors to assist with

2 ITEM NO. 14 this project. Please note that Rohnert Park Golf, Inc is reimbursing the City for all consulting costs related to this project. The estimated cost of the consulting services is $16,600. The Current Draft Performance Measurement Report has received multiple preliminary reviews prior to being presented to the City Council for direction. Previously, this Report was reviewed by the Golf Course Oversight Committee (on two different occasions), the Parks and Recreation Commission, and was tested by City staff to perform a trial or "dry-run" inspection of the two golf courses and facilities. Through this preliminary review process, comments and revisions were incorporated into this Draft Performance Measurement Report. Upon City Council direction, Staff anticipates the following remaining steps to finalize the Performance Measurement Report: 1. June 1 and June 7 - Conduct walkthrough inspection - performed by City staff and consultant. This will serve as the initial baseline assessment of the maintenance of courses and facilities. The assessment rating will be based on a comparison of standards defined in the lease agreement and actual field observations. Some areas may meet standards, while others may be found to be deficient and in need of improvement. Corrective action and remedies will be described later in this report. 2. June Golf Review Committee (described below) input on Performance Measurements. 3. June 18 - Present Baseline Report and Performance Measurement Plan to City Council for final approval and adoption. 4. October Conduct quarterly walkthrough of course and complete comprehensive Performance Measurement Report. 5. January Conduct 2 nd quarterly walkthrough and complete Performance Measurement Report. ANALYSIS The Lease Agreement calls for a minimum of an annual performance review. Since the course operations and field conditions change significantly throughout the different seasons, staff recommends conducting the maintenance review quarterly and have Rohnert Park Golf conduct customer satisfaction reviews quarterly - once in May at the beginning of the peak season, and then a second review in late October at the end of the peak season, January at the seasonal low, and finally in March when golf play is expected to increase. This approach would provide a more comprehensive representation of the maintenance and condition of the courses and facilities through all seasons and peak and low periods and would also coincide with the Golf Course Review Committee's biannual review meetings. Section 1.3 of the Lease Agreement requires the formation of a Golf Review Committee to facilitate the management and review of ongoing requirements set forth in the Lease Agreement. The Golf review committee is comprised of two City representatives designated by the City Manager and two members from Rohnert Park Golf. Rohnert Park Golf has designated Michael Sharp, Executive VP, and Brad Dutler, General Manager at Foxtail. The City Manager has designated City Manager Gabriel Gonzalez, and Public Works and Community Services Director John McArthur as the two City representatives. 2

3 ITEM NO. 14 The Golf Review Committee shall meet, at a minimum, every six (6) months of the Lease year (June 30 and December 30) for the purpose of examining the preceding quarters', and annual, report of Gross Receipts along with a review of the quarterly inspections of the golf courses and facilities, and develop plans for any needed repairs or improvements. Within ten working days following the meeting of the Golf Review Committee, a report summarizing the findings or recommendations of the Golf Review Committee shall be forwarded to the City Council and City Manager. Other performance measurement elements, including financial review and capital improvements, would be assessed annually. The financial review incorporates measures such as total rounds and annual revenue, from Foxtail Golf Course and considers other local and regional courses for comparison purposes. Since this type of measurement data can vary significantly with the different seasons, analyzing this data on a more frequent interval would make it prone to seasonal spikes; so, for the purpose of most accurately measuring performance, less frequent intervals is more effective. Please note that the Golf Review Committee will be reviewing financial information every six months for the purpose of determining monthly and quarterly percentage rent lease payments to the City. Baseline Establishment Once finalized, the Performance Measurement Report will serve two purposes by establishing: 1) a baseline or benchmark assessment of the courses and facilities, and 2) a performance measurement plan that will be used on a quarterly basis to measure current performance and compare to the established baseline measurements. The baseline measurements are a record of actual current conditions (May 2013), not desired performance standards. Actual field baseline measurements could indicate conditions that are either above or below acceptable standards as defined in the Lease Agreement. Depending upon actual baseline measurements, corrective action may or may not be required. Maintenance Baseline - Staff recommends using the standards and specifications defined in the Lease Agreement. These standards detail required maintenance conditions of the courses and facilities and per the Lease Agreement; the Tenant is required to achieve these standards. Actual field measurements are to be compared to the baseline standards, Financial Baseline - Staff recommends using current financial data for establishing a baseline. The recommended categories are: 3 1. Actual rounds played - rounds directly affect golf and other revenues and can be readily compared on a year-to-year basis to measure growth. Weather factor can be used to adjust or normalize these figures would be the baseline measurement. 2. Actual revenues - current (2012 year end) revenue would be the benchmark, and future revenues would be compared to measure growth or decline. 3. Current actual rounds compared to regional competitors - this measurement would measure overall market share of golf play in Sonoma County. Calendar year 2012 rounds played would serve as the baseline measurement. It is reasonable to discount the affects of weather and national economic factors since other courses would be subjected to the same external factors. 4. Regional golf revenue growth/decline comparison - This would measure the rate of financial change compared to regional competitors. The baseline measurement would be growth/decline in years 2011 to 2012 for Foxtail and regional competitors. These

4 ITEM NO. 14 measurements when compared regionally discount external factors such as weather and the national economy since all course operators would be subjected to the same factors. Customer Satisfaction Baseline - Rohnert Park Golf currently has several survey mechanisms to gauge customer satisfaction. These reports provide numerical scores that can be used to measure current performance and trends over time. Staff recommends using the most recent survey scores as the baseline measurements and compare future ratings for ongoing performance measurement. The performance measurement categories identified in the Lease Agreement and included in this Draft Report for ongoing evaluation of the Foxtail Golf Course are organized into four major sections that consist of the following categories: 1. financial performance, 2. maintenance, 3. customer satisfaction, and 4. improvements. Financial Performance The Draft Performance Measurement Report measures financial performance in the following areas: annual rounds, green and cart fees, merchandise revenue, food and beverage revenue, and total revenue. As described in the baseline section above, these financial categories capture all facets of financial performance that are used to determine the overall financial performance of the courses. Golf, merchandise, and food and beverage revenue figures are used for determining percentage rent payments to the City. This data is used to compare performance with previous year s totals as well as local competitor s financial information. Changes in annual rounds are also compared to the Bay Area region to further consider and examine changes in the regional golf industry. Also, during this period, there was a slight decrease in rounds played throughout the entire San Francisco-Oakland region. It appears that Foxtail is in a period of growth while local and regional competitors are in a state of decline. It is not certain whether the current growth will continue. Factors such as the weather, the economy, and regional competition could affect the current growth rate. One desired outcome of the ongoing performance measurement plan is to ensure maintenance, improvements, and customer satisfaction factors are monitored and addressed promptly. This approach will give the course operator the opportunity to realize continued growth. Maintenance The maintenance section of the Draft Performance Measurement Report has a rating sheet for each component of the two courses (greens, fairways, cart paths...) and facilities (clubhouse, shop, restrooms...). Course safety is another aspect of golf course operations that will be evaluated on an ongoing basis. Items of particular importance that would affect patrons and pedestrians include proper warning devices, trip hazard abatements, standing water, or other items that could endanger the public. Safety evaluation criteria are not yet included in the draft performance report, but will be added and included in the final draft report. In each evaluated area, the standards defined in the Lease Agreement are listed with the expectation that the actual rating is scored relative to the standard. Although the actual rating has not been performed, staff is aware of some maintenance-related deficiencies. These deficiencies, if not corrected, will be graded as below standard and in need of improvement as compared to the standards set forth in the Lease Agreement. These, or other deficiencies, will not become the new acceptable standard. In its current form, the maintenance section of the Draft Performance Measurement Report is shown as a plan for completing an actual evaluation and is a currently a blank scorecard. Staff anticipates conducting an actual evaluation of the courses and facilities between May 16 th and May 30 th using the rating sheets shown in the maintenance section of this Draft. This evaluation would serve as a baseline assessment for the courses and facilities. Afterwards, the maintenance section would be completed on a quarterly basis. Customer Satisfaction Rohnert Park Golf currently uses several tools to measure customer satisfaction on a regular basis: 1. Golfer's survey - Surveys sent electronically to everyone in Rohnert Park Golf's data base. These are annual surveys that provide a numerical rating or score in each measured category. 5

6 ITEM NO Secret Shoppers - A third party secret shopper visits Foxtail previously performed on a quarterly or semi-annual basis, will now be conducted monthly. The Secret Shoppers also provides a numerical rating. 3. Comment Cards - recently implemented to receive feedback on a daily basis. The comment cards provide a numerical performance rating as well as a place for written comments. 4. President s Survey Every tournament or outing group leader that utilizes Foxtail for their event gets a first class mailing from CourseCo with a self-addressed stamped one page survey that provides an Excellent to Poor rating for a range of criteria including price, communication, course conditions, and service quality. The President s survey is conducted about 70 to 80 times per year. 5. Annual National Golf Foundation Customer Loyalty and Satisfaction Program (CLASP) Survey - This electronic survey is sent to Foxtail Golf Course patrons from the National Golf Foundation (NGF), a third party, using Rohnert Park Golf's database. The NGF conducts surveys for other local golf courses who are also NGF members. The Foxtail Golf Course survey could be expanded to include and data from other regional golf courses. This additional data could be used to compare customer satisfaction at Foxtail to other regional golf courses. 6. Members of the Golf Course Oversight Committee (a citizen s committee) also perform an evaluation of the course and facilities. These evaluations performed by Rohnert Park citizens will also be incorporated into the customer satisfaction section of ongoing the performance measurement plan. Secret shopper data showed the lowest customer satisfaction rating of 87 in 2007, and a current rating of 95 (scale is 1-100). This improvement in customer satisfaction coincides with the increase in golf rounds and total revenue. Detailed completed survey results will be included in the Final Performance Review Report. These surveys numerically score customer satisfaction and will serve as a customer satisfaction baseline measurement. Future surveys will be compared to the baseline score to determine and evaluate change in the customer's experience. Capital Improvements Extensive capital improvements were made to Foxtail Golf Club in 2002, with the North Course fully renovated. While extensive improvements were completed, and an ongoing capital improvements program is in-place, the South Course's basic infrastructure is aged. Specifically, a new irrigation system and cart path network are required and many of the sand bunkers need to be renovated. The cost of the irrigation system and cart path network is estimated to be in excess of two million dollars. Without the replacement of these fundamental golf course infrastructure components, the South Course maintenance conditions will remain somewhat compromised. Through this performance measurement program, staff will be identifying and prioritizing capital needs to address infrastructure improvements. Staff will also work with Rohnert Park Golf to fund and plan these needed improvements. A draft annual 5-year Capital Improvement Plan has been prepared by the operator and will be updated annually for subsequent five year periods. The 5-year CIP will be included in the final Performance Measurement Reports and will be reviewed biannually by the City's Golf Review Committee and annually by the City Council.

7 ITEM NO. 14 The preliminary capital project list (below) has not been reviewed by the Golf Review Committee. The Golf Review Committee, which consists of City staff and Rohnert Park Golf representatives, will review this list and set recommended priorities for the City Council's review and approval. Please note that projects 11 through 16 do not have an identified funding plan. Most recent improvements not included in this list include new golf carts throughout the facility. 8 ITEM NO. 14 Performance Enforcement Though a process has not specifically been defined, continued failures to meet performance standards or to correct deficiencies could constitute a default by the tenant. A formal notice procedure consisting of a series of written notice of correction needed, warnings, and other written enforcement procedures will be developed and included in the Performance Monitoring Plan as a mechanism to enforce needed corrective actions. OTHER OPTIONS CONSIDERED No other options are available - development of the performance Measurement Program and ongoing monitoring is a requirement of the Lease Agreement. FISCAL IMPACT/FUNDING SOURCE Payment for the Draft Performance Measurement Report was made by Rohnert Park Golf LLP. There was no financial impact to the City for the preparation of this report. In future years, through ongoing performance monitoring of golf course operations, staff is hopeful that golf revenue continues to increase. With further financial growth, the City would realize increased lease payments through the percentage rate schedule in the Lease Agreement. 10 Introduction The City of Rohnert Park owns the 36-hole Foxtail Golf Course complex, located on Golf Course Drive, onehalf mile east of Redwood Highway (State Highway 101) in central Rohnert Park. The City leases the golf facility to CourseCo, Inc., a professional golf course management company. The City of Rohnert Park and CourseCo, Inc. recently modified the terms relating to the Foxtail Golf Course lease agreement. One element of the modified agreement states Within six (6) months of formal adoption by Landlord of this Lease agreement, the Landlord shall develop performance measurements and evaluation criteria to track the performance of golf course operations (Performance Measurements). Performance Measurements shall reflect financial growth, customer satisfaction, improvements, maintenance, and other relevant measures and shall become the basis by which the Landlord and the Tenant may elect to exercise the ten (10) year extension of the term per Article 2. The following summary report presents criteria developed to be applied to Foxtail on a semi-annual basis in evaluating the performance of the golf facility, and to establish the benchmark (baseline) data. The criteria has been developed based on input from numerous stakeholder groups. Specifically, the work program consisted of the following tasks: Discussions with City of Rohnert Park administrative staff responsible for monitoring the golf course lease agreement. Discussions with representatives of the Golf Course Oversight Committee. Interviews with representatives of the current lessee, CourseCo, Inc. Comprehensive inspection of the property and interviews of Foxtail Golf Course manager and maintenance superintendent. A review of market area competitive golf course performance data. A review of the experience in auditing other municipal golf courses throughout the State of California. 11 Several elements of the performance review will be evaluated on a quarterly basis, including the course and facility inspections. Other elements, including the financial review, golfer services, and capital improvements, will be assessed semi-annually or annually. The course and facility inspections will be scheduled for the Spring, Summer, Fall and Winter seasons of the year, and the other elements reviewed in the Fall and/or Spring season. A summary report would be submitted to the City Council following each performance review. The report would present the findings along with a historical trend of performance, prescribe remedies for areas identified which require special attention, and provide follow-up on previously outlined areas of concern. While this report is not intended to represent a formal review, selected information and analysis which will be contained in a formal evaluation are included to illustrate the content and flavor of the performance review process. 12 Executive Summary The findings of the performance review will be highlighted in an overall summary. Financial Performance In FY 2012, Foxtail generated 76,269 total golf rounds, an increase of 7.5% from FY The National Golf Foundation reports rounds for the San Francisco-Oakland region as a whole were up 2.7% in 2012 versus With 33 days of precipitation exceeding one-tenth inch, a part of the gain was attributable to favorable weather. Weather adjusted, the FY 2012 increase is estimated at just over 4.0% compared with FY Golf revenue (greens, carts and range) in FY 2012 totaled $2,157,700, an increase of 6.6% from FY Weather adjusted, the FY 2012 increase in revenue is estimated at just under 4.0% above FY Total FY 2012 gross revenue was $3.64 million in FY 2012, an increase of 4.0% versus FY Based on greens fees revenue at the local pool of courses (Foxtail Golf Club, Bennett Valley Golf Course in Santa Rosa, and Windsor Golf Club in the Town of Windsor), Foxtail s market share was 34% in FY 2012, the same as achieved in FY Foxtail s market share in FY 2008 was only 28%. 17 Financial Performance Foxtail financial performance is based on the analysis of a series of measures including annual utilization (rounds played), golf gross revenue, and total gross revenue, each measured against a market standard. First, performance data is presented, followed by Foxtail performance. Financial performance would be measured annually, based on fiscal years ending June 30. Tenant shall provide and maintain such inventory of golf merchandise as is deemed necessary by mutual consent of the Tenant and the City. 2. Tenant shall provide all fixtures necessary for the display and sale of merchandise. 3. The Tenant shall offer for sale only goods of premium quality consistent with the quality of goods sold at equivalent daily fee golf courses. 4. Inventory shall include at a minimum: clothing for men and women; equipment including, balls, gloves, tees, etc. 5. Tenant shall not offer for sale or rental any item of merchandise which the City deems objectionable or beyond the scope of the agreement. 6. Prior to commencement of operations, the Tenant will submit copies of its initial purchase orders and City will have the right to subsequently confirm receipt of goods ordered. D. Pricing 1. The Tenant shall have the right to charge competitive prices for the same or similar goods sold at equivalent quality, daily fee golf courses in the area consistent with the cost to provide such goods. 2. Prior to initial stocking and sale of golf shop inventory, the Tenant shall submit a price list to the City for approval. 3. Subsequently, if the Tenant wishes to materially change prices or the types of goods to be sold, Tenant shall submit a proposed general list of goods and suggested prices to the City for approval. This does not apply to items that are placed on sale to prevent inventory from becoming stale in accordance with a previously approved merchandising plan. 4. When an item has a suggested retail price pre-marked and established by the manufacturer or distributor, the Tenant shall not charge the public a price that is higher than the pre-marked price. 5. Prices for all items for sale shall be marked or displayed. 6. If in the opinion of the City, the Tenant is charging prices which discourage purchase of items offered for sale, the City may sample pricing for the same or similar goods at equivalent golf courses and Tenant shall reduce prices to a competitive level based upon validation of the City's data by the Tenant. 7. At the City's request, the Tenant shall discontinue sale of any item of merchandise on City finding(s) that the item(s) is not necessary or in the best interests of the City of the public. VI. GOLF AND OTHER SERVICES D. Rentals 1. The Tenant shall provide and maintain for rental an inventory of quality, recognized brand golf clubs (and cloth or vinyl bags) sufficient to meet player's demands. 55 2. The Tenant shall provide and maintain for rental a supply of pull carts sufficient to meet player's demands. 3. The Tenant will provide, at Tenant's sole cost,sufficent electrically-powered golf carts. Tenant will maintain an adequate number of this supply in a clean, fully-charged manner sufficient to meet player's demand. 4. Prior to commencing rental services, the Tenant will have submitted and the City will have approved a plan for pricing and use of rental equipment and any necessary documents. E. Practice Areas 1. The Tenant shall be responsible for the quality operation of the practice facilities providing and maintaining a sufficient number of artificial hitting mats, grass tees, putting green(s), sand and turf surfaces for the proper teaching and practice of all phases of the game. 2. The Tenant shall be responsible for maintaining a high quality and sufficient quantity of all elements used at the practice facilities including balls, hitting surfaces, landing area, cups and flags 3. Prior to offering access to practice facilities, the Tenant will have submitted and the City will have approved a plan for the use of the practice facilities and the pricing of fees, if any. 1.
