1 25 th Anniversary Edition R-RANCH IN THE MOUNTAINS, DAHLONEGA, GA June 20-21, 2014 SPONSOR AGREEMENT General. The undersigned sponsor, ("Sponsor"), hereby agrees to sponsor the 2014 Mountain Top Rodeo at R-Ranch in the Mountains as described in the Sponsorship Package, a copy of which is attached hereto as Exhibit A and is incorporated herein by this reference. The Sponsor agrees to provide R-Ranch in the Mountains Ranch Owners' Association, Inc. ("R-Ranch") the following in-kind services and/or pay the following fees: Sponsorship Level and Fee. Level: Fee:. In consideration of such sponsorship, R-Ranch shall provide Sponsor only with the benefits described for the specified level in the Sponsorship Package. R-Ranch may adjust such benefits, substitute benefits, or provide other benefits with the approval of the Sponsor. Payment. Cash payments are due as follows: 50% on signing, as a non-refundable deposit, and the balance due on or before May 15, Failure to pay fees when due may result in termination of this agreement. In-kind services and benefits shall be agreed in writing by R-Ranch and Sponsor. Limitation of Sponsorship. Unless otherwise provided, the cash or services and the Sponsor benefits described in this agreement are related solely to the Mountain Top Rodeo at R-Ranch in the Mountains to be held June 20-21, Assuming the Rodeo is continued in 2015, the Sponsor shall have the first right of refusal to continue Sponsor's involvement in the 2015 Rodeo on such terms as Sponsor and R-Ranch shall agree. License and Usage. R-Ranch grants to Sponsor a limited non-exclusive license to use the R-Ranch Mountain Top Rodeo logo for the purposes only of advertising its sponsorship of the Rodeo and Sponsor's use of such logo shall be subject to R-Ranch's approval, which shall not be unreasonably

2 withheld. Sponsor hereby grants R-Ranch a limited non-exclusive license to use Sponsor's trade names, trademarks, service marks, and other proprietary information (the "Proprietary Information") owned by the Sponsor, but only in connection with the promotion of the Rodeo. Sponsor will provide R-Ranch suitable artwork ten (10) days following signing this agreement, but no later than May 25, R-Ranch agrees that the Proprietary Information will be used only in connection with the 2014 Rodeo to provide the benefits set forth in the Sponsorship Package and such other benefits as Sponsor and R-Ranch may agree. R-Ranch's use of the Proprietary Information is subject to the approval of the Sponsor's designated representative, which approval will not be unreasonably withheld. All costs of signage and other Sponsor's promotional materials will be paid by Sponsor, and R-Ranch shall have no liability or responsibility for same. Sponsorship Understandings. Sponsor understands as follows: the dollar values set forth in the Sponsorship Package are estimates and are based upon general sponsorship information available to R-Ranch. No portion of the sponsorship cash payment or in-kind services are subject to being refunded for any reason except as provided herein. Sponsorships are not exclusive unless otherwise set forth in this agreement. Sponsor hereby authorizes R-Ranch In The Mountains d/b/a "R-Ranch" and those acting pursuant to its authority (collectively, "R-Ranch") to photograph, video tape, or use any other recording of Sponsor's image, likeness, and/or voice, through any media, now or hereafter known. Sponsor also permits the use by R-Ranch of said photographs/video footage/recording of Sponsor's image, likeness, and/or voice on printed materials, film, video, or photo, for advertising, trade, or any other lawful purposes whatsoever. Sponsor hereby gives R-Ranch the absolute right and permission, without restrictions, to make, copyright, and/or use, re-use, publish, or republish Sponsor's image, likeness, and/or voice, in which Sponsor may be included in whole or in part, and waives any right to inspect and/or approve the finished printed materials, videos, web sites, or any other media now or hereafter known where Sponsor's image, likeness, and/or voice appears. Sponsor further consents that Sponsor's name and identity may be revealed therein or by descriptive text or commentary. Sponsor releases R-Ranch and those acting pursuant to its authority from liability for any violation of any personal or proprietary right Sponsor may have in connection with such use. Sponsor understands that all such photographs, video tapes, and recording, in whatever medium, shall remain the property of R- Ranch. Sponsor waives any right to compensation for Sponsor's appearance in these printed materials, videos, or web sites in any and all future uses of the photographs and/or video footage. Termination. R-Ranch may terminate this contract on 30 days written notice. In the event of termination for any reason other than Sponsor's failure to provide contracted fees or services, R- Ranch may substitute an event with equivalent benefits with the approval of the Sponsor or shall refund any cash fee received from Sponsor by R-Ranch. Sponsor shall not terminate this agreement without the approval of R-Ranch. Amendments. The agreement may be amended only by a written instrument executed by both parties. Miscellaneous. The Sponsor shall exercise the rights and licenses granted hereunder at its sole risk and cost and Sponsor shall indemnify and hold harmless R-Ranch from any claims or liability to third persons for personal injuries or property damage. Any instance of Force Majeure which prevents or causes the rescheduling of the Rodeo shall not be considered as a breach of this

3 agreement by R-Ranch and no loss or damage or claim for refund shall be made by Sponsor. This agreement is governed by the laws of the State of Georgia and is binding upon all of the parties' successors and assigns. KID S BOOT SCRAMBLE: $ This event is for all of the children attending the Rodeo when they are invited into the arena for a boot scramble race. We will allow you to pay additional for printing up to two banners not to exceed 3 foot by 8 foot to be displayed inside the Arena fence. This additional cost is only for the square footage above the single banner size for your sponsorship level.
