1 Porsche Club of America Parade 2013 Board of Directors Meeting Sunday, June 23, 2013 Traverse City, Michigan Manny Alban, PCA National President, called the meeting to order at 2:05 p.m. Introduced special guests Andre Oosthuizen & Paul Gregor from Porsche Cars North America (PCNA). Paul Gregor: Welcome on behalf of PCNA. Announced other travel for Sandra Mayr and Hans Peter Porsche. Andre Oosthuizen: Thanked for the opportunity to once again attend Parade. Andre announced that his family is attending Parade for first time. To date 2013 has been a good year for Porsche. Thanked Cayman Registry for assistance with Code of the Curve, Cayman Code App. Completed class victory for new 991 GT3 at LeMans. Manny called for Introductions. Manny called for a motion to approve the Winter 2013 Board of Directors Meeting Minutes: Ken Laborde1st, Suesan Way 2 nd All those in favor: unanimous; All those not in favor: 0 Motion passes to approve minutes. Ongoing Business: National Treasurer (Tom Gorsuch): Taxes have been filed. PCA is running close to budget; Financially, 2013 is going well so far. Sponsorship income slightly higher than last year. Spring raffle is going according to budget and to date numbers are slightly higher than previous spring raffle with record number of tickets sold. Parade registration strong for 2013; financially should have strong numbers. Pano revenue higher than 2013, due to increased advising; Gorsuch thanked Ilko Nechev our new advertising director. Advertising revenue goal for 2013 is an increase of 35%, which appears to be on track. Pano expenses have increased as per plan and budget, EC approved new printing contract which will result in significant savings. Restructuring for the magazine brought increased costs, to be offset by increased ad revenue and decreased printing costs. Gorsuch announced that we will be moving forward with advertising positions for social media coordinator and membership coordinator; job descriptions have been created. Budget set aside for web redesign. Auditors will begin next week to review PCA financials for our mid year compilation. Gorsuch attended several presidents meetings throughout year; was pleased with feedback. He also reported on financial process of PCA at those meetings, which was well received by the presidents. PCA.org update (Vu Nguyen): Presented proposed website updates with PowerPoint presentation. Key points: pca.org is face of PCA during all hours of the day, especially for new or prospective members. Current website not a daily destination; very static. New website needs to be a destination 1
2 website. Cohesive branding style between all media including website, Pano, Pano tablet, etc. Three Options were initially discussed: keep current website, update parts of current, or completely new website. Current website from April 2009, fourth generation. Decision was made to create completely new website. New site features: Must be usable across all equipment used to access: mobile, tablet, etc. Must be intuitive and readable. Contain non-member area to see what PCA is about ( teaser area). Management area to be maintained for national and regional administration. Considering changing membership database from IMIS. Displaying daily Porsche news and updates custom tailored to user preferences. Contain photo galleries. Host live streaming video. Serve to gather marketing data to help HQ promote PCA to advertisers. Advertising space will be limited so does not appear commercial. Hierarchy of access of membership database for national and regional management. Seamless social media integration. Design: working with Monarch Digital, designers of Mercedes Benz Club website. Three concepts were submitted; one concept is leader. Nguyen reviewed current and proposed new design. With approval of budget to move forward, goal to Beta test in fall, soft launch fourth quarter, final launch New er will be carried over or structure will be carried over. Manny announced two proposals will be brought before the board. Manny indicated that information has been previously been sent to all voting board members. The National Secretary, Sean Reardon, reviewed the bylaws provisions for the voting process: voting members include 140 region presidents, many represented by proxy to zone reps, 10 standing committee chairs, and the Executive Council. Vote to approve up to $100,000 expenditure for website redesign: Michael Soriano requested motion to approve; Bev Gould 2 nd. No discussion. All those in favor: 127 All those not in favor: 1 All those abstained: 1 Motion passes by majority vote of the board of directors to approve up to $100,000 expenditure for website redesign. Vote regarding status of Mr. David Grant: Bob Gutjahr requested motion to expel to Mr. Grant from PCA; Ken Laborde 2 nd. No discussion. All those in favor: 104 All those not in favor: 9 All those abstained: 16 Motion passes by majority vote of the board of directors to expel to Mr. Grant from PCA. New Business: National President (Manny Alban): Still deciding location for fall EC meeting. Membership growing every month; approaching 109,000 members. PCA has not stopped growing. Current initiatives to help future growth of PCA looking forward 5-10 years in the future. Thanked our volunteer core and staff. Manny expressed thanks to Vu and Pete Stout for printing contract negotiations that brought significant savings. Announced huge evolution in Panorama regarding size and layout. Panorama only one of three publications invited to test new GT3 by Porsche. Bylaws under current review for updating; thanked Bob Gutjahr and the bylaws review committee for their efforts. Attended Escape to LA site visit; phenomenal site so anticipates a sellout. He 2
3 announced there will be significant media presence at Parade from other automobile magazines due to proximity to their home offices. National Vice President (Caren Cooper): Thanked Parade Chair & Parade Team for their efforts. Tech Academy will occur this Friday - 5 speakers, one of which will be Jochen Bader from Porsche Classic. Tech Tactics West date is set for November 27 th at PCNA Ontario training facility. Caren will be working with Vu to revamp survey process of PCA membership to be more concise, and less time consuming. Caren thanked Zone 8 Rep Tom Brown, Skip Carter, and Zone 5 Rep Lynn Friedman for organizing instructor groups to participate in a trial run of an instructor training opportunity with PCNA. Caren thanked the organizers of the inaugural triregion club race at COTA: Hill Country, Maverick, and Lone Star Regions. National Secretary (Sean Reardon): Reardon expressed how impressive the volunteer core of PCA is as viewed from the EC level, and thanked all the volunteers across the PCA including regional and national leadership. Escape to LA in October: according to committee chair Doug Pierce, planning is progressing for the LA event, advance planning for future Escape to Orlando in 2014 is underway, as well as the yet to be announced 2015 event. Registries: potential new registries for four door Porsche models, including Cayenne. Autocross: Henry Hoeh is working on committee and creation of national guidelines. Reardon attended zone 4 and zone 12 presidents meetings; impressed with energy of those regions that attended. Past National President (Kurt Gibson): Welcomed all to Parade. Activities included zone 7 and 8 presidents meetings; Zone 7 DE; zone 8 Festival of Speed. Impressed with how well PCA and POC worked together on that event, and thanked Bryan Henderson and Tom Brown for their efforts for the event. Gibson primary activity on EC acts as chair of the Membership Suspension Review Committee. National Office (Vu Nguyen): Strong first half of Fully staffed at HQ; sponsorship for Parade and PCA continues to grow. Focused on Parade and Panorama efforts since Orlando BOD meeting. New er launched. Autocross Chair (Henry Hoeh): Not in attendance Club Racing Chair (Bryan Henderson): Another good year for third consecutive year, 34 races at 32 tracks including 7 west coast, up from 1 in Several sell outs this year. Report stands as submitted Drivers Education Chair (Pete Tremper): Not in attendance Escape Coordinator (Doug Pierce): Escape to LA Oct in Pomona, CA. Registration scheduled for July 15. Escape to Magical Orlando November 6-9, by Florida Citrus and Space Coast regions. Escape 2015 selected this morning; to be announced by appropriate zone rep. General Counsel (David Novak): Not in attendance Historian (RJ Wilmoth): Working on archives including Helmuth Bott archives. Thanked Bob Rassa for his efforts. 4 Panorama Editor (Pete Stout): PCA West office established: hired part time office assistant, Emma Ramshaw, and free lance proofreader. Tablet contract is completed; price lowered from Redesign completed this week. Switch to new printer has been finalized. Under budget each issue for content. Great year with ad sales director so far, but some advertisers waiting until July issue (first new format issue). Parade Committee Chair (Susan Brown not in attendance, report given by Amber Door): Welcome to Parade from the Western Michigan Region. 820 registrants, 1700 people, 800 cars; finances are solid for 2013 event. Thanks to Phil Doty, Ron Gordon, and Paul Gilbreath for having concours field already set up for 220 cars. Policy Committee Chair (Bob Gutjahr): Involved with Membership suspension. Bylaws continue to be reviewed for updating. Recommended changes will be evolutionary. Zone 4 Representative (Ron Carr): Great year for zone 4: began with Detroit Auto Show with reception sponsored by PCNA 115 attendees. Increased attendance at region events. Two of three Grand Am corrals with Indy coming in July; 3 club races and 36 DE s this year. Parade in zone 4; thanked zone volunteer 318 entries from zone 4, 600 zone 4 members, 75% first time Parade attendees. PTO event in July. Thanks all for support as zone 4 rep.
