8 Creekside Homeowners Association Board of Directors Meeting January 21, 2009 Minutes Call to Order and Attendance: The meeting was called to order at 8:01 p.m. by President, Brad Geldert. Directors: Brad Geldert Present President Sally Duffy Absent Vice-President Shawn Francis Present Secretary Ivonne Luescher Present Treasurer Gary Nevoli Present Director 1 (term expires 12/31/10) Gayle Pinkney Present Director 2 (term expires 12/31/09) Colin Ducey Present Director 3 (term expires 12/31/10) Sam Wesley Absent Director 4 (term expires 12/31/09) Debra Gardner Present Director 5 (term expires 12/31/10) Reading of the Minutes: The minutes from the November 19, 2008 Board meeting were reviewed and tabled. The minutes need to be modified to include spending amounts for each of the listed items that were approved by the Board for purchase or repair. Treasurer s report: The October financial report was approved by the Board. Chronicle Editor s report (Mailings in March, May, June, July, August, and October): The next mailing that should be sent out this month is the Yearly Budget that was approved at the Annual General Membership meeting. The next Chronicle will be in March. Associate Membership report: Pat Pinkney reported that there are currently 30 people on the associate membership waiting list. The Cabana Club usually has twenty to twenty-five associate members who opt not to return each year. Pat will be sending out a mailer to each new associate member that includes a list of the rules for the pool. Her mailer will also include the following statement: We reserve the right to revoke membership with or without cause at anytime. The mailer going out to all associate members will include information regarding the Swim Team and swim lessons. Pool Manager s report: The pool is closed for the off season (Continued on page 9) Page 8
9 (Continued from page 8) Facility report: The county has ruled its planned enforcement and interpretation of the new Federal law governing pool drains. Every public pool must have two drains outfitted with the new drain covers. The bench refurbishment and replacement project was completed. The two new pool heaters have been delivered. We are waiting for additional parts and the scheduling of there installment. The new pool vacuum was purchased and is operational. Rental report: None provided Old business: There was no business conducted over the last two months for discussion. New business: The diving pool will have to be modified with an additional drain. Brad is concerned that the pool will have to be drained to accomplish this work. The plaster in the diving pool is old. Brad is worried that the plaster will not hold up. It is possible that the diving pool will need to be re-plastered as part of this project. The cost of adding the new drain, re-plastering the pool, and re-filling the pool has not been estimated to date. Colin suggested we look into having a fiberglass material applied to the plaster. He will research the product to find out more about it and whether it can be used in commercial pools. A motion was made to table the roofing project until the cost of adding the second drain to the diving pool is discovered was made. The motion was unanimously approved by the Board. Swim Team: The Swim Team made a proposal to consolidate its financial dealings with the Cabana Club due to tax liabilities. o Brad researched this issue in the by-laws and determined that the Board can appoint a sub-committee and appoint at least two members from the Cabana Club to it (bylaws section #9 - #10). o The Board unanimously agreed to formulate a resolution that will officially incorporate the Swim Team under the Cabana Club. o Brad will consult our CPA as to the particular tax liabilities that the Cabana Club will need to be wary of, and how the books for the Swim Team should be maintained (whether maintaining separate books for both organizations is okay.) The Swim Team will be contacting their accountant and have two $5,000 checks sent to the Cabana Club. The checks are donations to the club to cover costs of the new heaters and to help with the costs of adding the new drains to the diving pool. Adjournment: The meeting was adjourned at 9:15 p.m. by President, Brad Geldert. Minutes prepared by Shawn Francis Page 9
