2 PADI International Resort and Retailer Associations Membersip Agreement PLEASE READ CAREFULLY Membersip in te PADI International Resort and Retailer Associations (IRRA) is offered by PADI Worldwide Corp. to select dive centers and dive resorts. It provides an array of programs and services, including te ability to offer and advertise PADI Diver Education Courses as well as oter courses and programs provided by PADI Worldwide Corp. and PADI Americas, Inc. (ereinafter, wit PADI Worldwide Corp. s licensed Local Area Offices, referred to collectively as PADI) and teir corporate affiliates and associated companies, including Diving Science and Tecnology Corp (DSAT),Emergency First Response Corp (EFR) and Project AWARE Foundation (PAF). For ease of reading and clarity, tis document sall refer to PADI-related Programs to mean any program provided by PADI, DSAT,EFR or PAF. Membersip and continued renewal in IRRA is partially based upon your reading and signing tis Agreement. PADI will consider membersip or renewal subject to te following terms and conditions: 1. I agree to provide PADI-related Programs as may be advertised at my facility and to ensure tat training for PADI-related Programs received at my facility is in accordance wit current PADI, DSAT or EFR Standards and Procedures, as appropriate, as publised in te PADI, DSAT and EFR Instructor Manuals. I also agree tat I will read, and instruction for PADI-related Programs offered at my facility will adere to, all standards canges publised in Training Bulletins and oter updates. 2. I agree to develop an understanding and familiarity wit te fundamentals contained in te PADI, DSAT and EFR Instructor Manuals, as appropriate to te courses being offered at my facility and, if applicable, te PADI Course Director Manual and te EFR Instructor Trainer Manual. 3. I agree to support te educational concepts of PADI and all PADI-related Programs offered by my facility. 4. I agree to ensure tat certification and course completion cards for my facility s PADI-related Programs are requested only for people wo ave been trained by Teacing status PADI Members and ave successfully met all requirements as outlined in te appropriate Instructor Manuals, Training Bulletins and/or updates for te programs being taugt. 5. I agree to abide by all IRRA Standards commensurate wit te level and type of membersip for wic I am applying. 6. I agree to provide PADI wit true and correct student/participant contact information, including te student s proper mailing address, wen I submit any certification autorization or participant registration (PIC envelope, application or registration card/roster) for any PADI-related Program to PADI. I understand and agree suc information regarding a PADI, DSAT or Project AWARE program sall be te property of bot PADI and te submitting member, and suc information regarding an EFR program sall be te property of EFR, PADI and te submitting member. 7. PADI will use te student information in its Quality Assurance program, and for researc and statistical purposes. PADI will not, owever, mail to te students, wo are nonmembers of PADI, for te purpose of directly selling PADI s educational products or programs in competition wit its IRRA Members. Furter, PADI will not sell, trade or lease student names and addresses to any tird party for te purpose of selling or promoting any product in competition wit its IRRA Members, except wit prior notice and voluntary participation by te individual IRRA Members. However, from time to time, PADI may use te information for te purpose of promoting te PADI dive training available troug PADI Members, diving, diver recognition, diver insurance and Project AWARE programs, promoting te dive business of IRRA Members or promoting dive membersip and affinity programs, including te PADI Diving Society (PDS) and PDS events. Additionally, PADI may periodically use te information to sponsor co-op programs wit its IRRA Members for te purpose of selling certain non-product items, suc as travel. EFR may periodically use te EFR student information to promote EFR courses and programs. 8. I understand tat all members (individuals, dive centers and resorts) involved in te training of students, as determined by student certification records at PADI, are responsible for aderence to PADI, DSAT and/or EFR Standards, as appropriate, during te conduct of tat training. Te Training and Quality Management Department will communicate wit all involved members upon receipt of reports or any oter information indicating possible violation of Standards and Procedures. 9. I understand and agree tat financial irresponsibility in dealings wit PADI or its corporate affiliates and associated companies is grounds for membersip suspension or termination. 10. I understand and agree tat te terms and conditions of tis Agreement are effective and binding 1 January 2006 and for subsequent years of my membersip wit PADI. Sould PADI modify tis Agreement, I will be notified in writing of te canges prior to te next renewal. 11. I understand and agree tat tis Agreement does not create an agency relationsip between my facility and PADI. Except as oterwise provided in tis Membersip Agreement, PADI as no control over or involvement wit my facility s day-to-day operations and activities and bears no responsibility for te same. 12. I understand and agree tat membersip in IRRA is granted at te sole discretion of PADI, based upon its unilateral determination of several criteria including, but not limited to, weter acceptance and continuation of membersip is in te best interest of PADI. Satisfaction of minimum requirements does not guarantee membersip. Membersip in PADI, at any level, may be revoked by PADI, at its sole discretion, at any time. 3/06 PADI Worldwide Corp. (a California corporation) as te rigt and autority to use and sublicense various marks owned by PADI Americas, Inc. (a California corporation ) (ereinafter referred to collectively as PADI),, Diving Science and Tecnology Corp (a California corporation, ereinafter DSAT), Emergency First Response Corp (a California corporation, ereinafter EFR, te use of wose marks are provided to IRRA Members wit a renewed EFR Instructor teacing its EFR programs) and Project AWARE Foundation (a California non-profit foundation, ereinafter PAF). Te PADI marks include, but are not limited to, te Word Mark Professional Association of Diving Instructors, te Word Mark PADI, certain logotypes including a diver placed on a world, a Mark for Te Undersea Journal, as well as oter marks, including Specialty and Certification marks. Te DSAT marks include, but are not limited to, te Word Mark DSAT. Te EFR marks include, but are not limited to, te Word Mark EFR and te EFR logotype, wic consists of a eart wit a pulse line inside a box, wit te words Emergency First Response. Te PAF marks include, but are not limited to, te Word Mark Project AWARE and te Project AWARE logotype, wic consists of a diver and a fis wit te words Project AWARE. For te purposes of tis License Agreement, tese various marks sall be referred to collectively as te Marks. PADI relies upon te foregoing Marks to indicate te source of origin of its and its related services, certifications, support programs and products, so tat te public will be protected; and so PADI individual members, IRRA Members, students and oters associated wit PADI will receive te igest-quality services and products pertaining to its business. To provide PADI members wit te ability to advertise, promote and indicate te source of origin of te PADI services, certifications, support programs and products tey provide, PADI Members are ereby granted a license to use te forgoing Marks on promotional materials only, specifically printed, film or video formats, and software, fixed media, suc as floppy disks, ard drives or CDROM, or any interactive digital or broadcast media or metods, including, but not limited to, internet or world wide web sites. Te single exception to te terms above is tat, wit specific, written autorization from te respective licensed PADI Local Area Office, IRRA Members may place te PADI diver and globe Mark on teir facility staff sirts, in very limited quantities. Suc sirts may not be resold in any manner, and eac suc printing must receive separate written autorization. Te license sall not extend to te provision of oter printed materials, suc as manuals, books, instructions, cloting (except as noted above) or products or any oter materials weter or not tey are manufactured, sold, distributed or licensed to oters by PADI, DSAT, EFR or PAF. License Agreement for PADI Members Tis license extended by PADI Worldwide Corp. sall only be wit respect to (1.) Printed advertising and promotional materials, (newspaper and periodical advertisements, telepone-directory advertising, andbills and signs, except for staff sirts, as noted above); (2.) Film and video format promotional materials suc as television commercials, slide sows or promotional videos; and (3.) Software, fixed media, suc as floppy disks, ard drives or CD-ROM, or any interactive digital or broadcast media or metods, including, but not limited to, internet or world wide web sites, wit suc uses governed by te most current guidelines, as may be publised by PADI from time to time; none of wic sall include use on any item or product intended for resale. None of te PADI, DSAT, EFR or PAF company names, trade names or Marks may be used in internet domain names or addresses. Te foregoing license for advertising and promotional use sall in all respects follow te exact format, caracter, general appearance, type style, background and proportions of te Marks originating from PADI, DSAT, EFR and PAF, respectively. In no case sall te Marks be combined wit oter marks, symbols, language or be in a format and appearance oter tan tat actually used by PADI, DSAT, EFR and PAF, respectively. Te full trademark must be used; truncated or partial use of a Mark is not autorized. Tis license sall be personal to te individual member and sall be nontransferable, non-divisible and not capable of being sublicensed in any manner troug any party. None of te PADI, DSAT, EFR or PAF company names, trade names or Marks may be incorporated into any oter trademark or trade name. Notwitstanding te foregoing, PADI and te licensed PADI Local Area Offices sall ave te sole rigt to disapprove of any promotional materials prepared and sall be te sole judge of te criteria of weter it meets te standard of tis license agreement. To tis end, any suggestions or requests by autorized members of te PADI staff as to te usage of te Marks sall be complied wit as soon as possible to avoid mistakes, deceptions, dilution or oter problems tat would be detrimental to te foregoing Marks. Regardless of te foregoing license, PADI, DSAT, EFR or PAF, individually and cooperatively, sall ave te rigt to institute and bring any suit or any oter action necessary to protect te Marks as to any person, firm or corporation now or prospectively using te Marks or any similar marks, derivations, analogs, trade names, fanciful scripts or designs. 6 PADI Retail Association Standards Cecklist PADI Dive Center A publicly accessible storefront. Business ours of at least 20 ours per week. A professional image consistent wit or better tan te norm for retail businesses in te marketplace. As its main activity, te retail sales of recreational scuba diving equipment, recreational scuba diving instruction and recreational scuba diving experiences. Comply wit local laws regarding business licensure. Regarding recreational scuba diving and snorkeling instruction: Provide PADI-related programs trougout te operating season. PADI programs must ave equal or better representation. Certification courses and experience programs are conducted by a certified dive instructor in current teacing status. Use PADI related training materials as designed. Students ave a personal set of current materials. Adequate classroom facilities and confined water witin a reasonable distance of te dive center. Confined water sites protected and provide adequate space. Modern dive equipment for instruction and for rent. Regarding equipment sales and service: Offer for sale and stock, a selection of scuba and snorkeling equipment. Offer service and equipment repair, including scuba cylinder visual inspections. Maintain and inspect te rental cylinders and valves. Offer compressed air services. Sell, rent or provide compressed air, enriced air or oter mixed gases only to certified divers and student divers in training. Regarding recreational scuba diving / snorkeling activities: Require proof of certification for non-instructional scuba dives. A certified and renewed divemaster, assistant instructor or scuba instructor is present and supervising all snorkeling or scuba tours First aid kit and oxygen unit available at any supervised diving activity. Comply wit local laws regarding risk assessment conduct and emergency procedure documentation. Regarding boat operation and safety equipment: Comply wit local boat captain certification or licensing requirements and laws. Owned or operated dive boats comply wit local laws regarding boat safety equipment. Display a recognized dive flag wen anyone is in te water. Dive boats follow an establised diver and passenger accountability procedure. PADI 5 Star Dive Center Prerequisites No open or verified PADI Quality Assurance violations in te last six monts. Portray a professional image consistent wit or better tan te retail business standard in te marketplace, and exceed te standard for oter dive centers in te market. Be open for at least 25 ours per week. Issued at least 150 PADI certifications. -Fifty Advanced Open Water Diver (or iger) -Ten Rescue Diver -Five Master Scuba Diver -Five Divemaster or Assistant Instructor -Five percent, or a minimum of 10, Project AWARE certifications All full-service dive operations in a multi-location operation are current members. Exclusively issue and advertise only PADI certifications.

7 Reframe from conducting, sponsoring or advertising any nonpaid recreational scuba instructor training programs. Use te complete PADI System of diver education. Conduct PADI Advanced Open Water Diver, Rescue Diver, five different Specialties, and Divemaster and/or Assistant Instructor eac year. At least 30 percent of total student certifications (or a minimum of 100) are issued above te PADI Open Water Diver level. Issue at least two PADI Divemaster or PADI Assistant Instructor certifications per year. Sponsor or conduct at least one public event promoting scuba diving, snorkeling or environmental awareness, annually. Sponsor or conduct at least one program promoting public or diver safety annually. Display information supporting Project AWARE. Conduct at least one of te following: Peak Performance Buoyancy clinic or course, PADI Underwater Naturalist Specialty course or Project AWARE Specialty course, annually. Regular communication pieces to recruit and retain customers. Use permanent mooring buoys or practice responsible ancoring tecniques. PADI 5 Star Instructor Development Center Prerequisites PADI 5 Star Dive Center for at least six monts. Issued at least one PADI Assistant Instructor certification. PADI Course Director on staff. Conduct at least 5 PADI Instructor level courses or programs per year, including a minimum of one complete PADI Instructor Development Course. Adere to all PADI Course Director Manual requirements and Course Director Manual must be available for reference. PADI 5 Star Career Development Center Award Prerequisites Have two PADI Course Directors on staff. One Course Director must be locally available full time and exclusively affiliated wit te CDC for all training activities. Eac Course Director must train, at a minimum, 10 PADI Instructor-level candidates eac year or must be present for at least 30 percent of te facility s operating ours. Offered and conducted a complete career development curriculum for at least one year. Curriculum included: -Emergency First Response -PADI Rescue Diver -PADI Divemaster -PADI Assistant Instructor -PADI Instructor Development Course -PADI Specialty Instructor -Emergency First Response Instructor training -Pre - or post IDC instructor level courses equivalent to a minimum of 20 training days. -Include skills and knowledge relevant to te retail dive store or dive resort environment. Have a course catalog outlining te curriculum. Have trained a minimum of 60 PADI Instructor candidates witin te past 48 monts. Offer a full-time graduate placement assistance service. Offer financial assistance opportunities. Have attended a PADI Business of Instructor Development program during te previous 12 monts. Annually issue at least 60 instructor certification. Provide all candidates wit teir own set of PADI materials.
