National Board of Directors Meetings & Conference Calls Region III is standing strong for Women s & Regional Cups. B. Bob Evans Lifetime Achievement Award please submit your nominations to Fred Hiler/Karon Beyer by April 15, 2017 C. Region III Coach Of The Year So far we have received no nominations so the Board is extending the deadline to April 15, Please Submit nominations asap to Karon Beyer D. New National Cup Commissioner Nicole McMasters E National Cup will present Cash Awards. 1) Each Region may set its own qualifiers 2) $ Entry Fee is due at the state level 3) Region III is hoping for two teams per state in the Amateur, Open and Over 30 Divisions 4) Cash Awards - $1,500 for 1 st place, $1,000 for 2 nd, $750 for 3 rd and $500 for 4 th 5) Over 30 is not an official division of the US Soccer National Cup and is not sponsored by US Soccer/USASA F Soccerfest will be in Nashville, Tennessee and in 2018 will return to Bellingham, WA for its 20 th Anniversary G. USASA Board Of Directors is proposing that we move the dates of our meeting to better coincide with US Soccer H. If you have Insurance questions you can contact Nick Schmidt/Andy Gregory from Deschamps & Gregory. Make sure you are retaining your player liability waivers. I. USASA will have new Regional, National League, NPSL and PDL Competitions. J. USASA Divisional Structure will now have tiered membership, which will include 4 th, 5 th,6 th & 7 th divisions 4

Thank you for the honor of representing Region 3 as your Director 8:30am - Deputy Director, Richard Moeller Reported on: (Written Report page 14) A. Thank you to the region for your support during the year as Deputy Director and even though it was a hard decision to not run for Regional Deputy, I will still be around so call any time if you need help. B. USASA Insurance, Andy Gregory is here at the meeting, so make sure to introduce yourself. If you are hosting a tournament and are having beer, the insurance people need to be notified. C. Women s Committee Thank you, we see how much work you have put in and the spreadsheet is a great informational tool. D. Nicole McMasters is the new Region III Cup Commissioner and will do a great job E. Regional /National Leagues F. Richard is running for a position on the US Soccer Board and is asking for Region III s support in the upcoming elections 8:40am - Treasurer, Nick Calabro presented his written report ( ed and page # 11). Nick has attended the USASA Financial committee meeting this weekend and is very happy where we (Region III) are currently. We have received an additional $6, from USASA *M1: Motion to approve the Budget Overview as presented by Chaz Ballish Regueiro, 2 nd by Larry Hall and motion carries 8:46am - Guests Duncan Riddle (USASA Executive Director), introduced Andy Gregory, Lou Valentine, and Phil Hartman from K&K Insurance. Andy Gregory (2 nd half of the Deschamps & Gregory) advised the membership Don t wing it if your state or league has a question make sure they call the office. Andy also advised - point of clarification, on the liability waiver, never use smaller than a 10 point font. Darius introduced Warner Fricker, who is running for a position on the USASA Board of Directors 8:50am - Secretary, Karon Beyer submitted the 2017 AGM Book of Reports, distributed to all members by before the meeting and again in hard copy today. This includes her report (#4), the agenda, officers and committee reports, notifications, budget, past minutes and all correspondence that has been received. A. Created the Region III Book of Reports for the 2017 AGM B. All minutes from 2016 February Annual General, June Workshops, and October 2016 Midyear meeting were ed to the membership. C. Follow Up information from Russell Richey, the June workshops was distributed by to the members. D. All correspondence received from USASA was ed E. All updated contact information from the Region states that have been sent, have been updated with the Region Board & USASA F. Referee Administrators Report and nomination form for Bob Evans Lifetime Achievement Award was sent out G. All National Cup and state tournament information received were ed to the members and forwarded to the region website /Facebook page to be updated. 9:00am Announcements by Director Darius Ejlali A. USASA 2017 Region III National Cup Championships will be held June 9-11, 2017 at the WRAL Soccer Park in Raleigh, North Carolina. Donna Langdon distributed handouts. Host Hotels: Hyatt at $ including hot breakfast and Marriott at $114 but is only 3 miles from the complex. The Werner Fricker Competition is still being held Darius & Nicole would like to include a Women s Open Cup division at the Regionals. B. USASA 2017 Region III Workshop will be June 24, 2017 in Atlanta, Georgia. Hotel rates are $ at the Hyatt Regency Downtown. Instead of a Friday night dinner, we will attend a MLS Game (Atlanta United) on Saturday night. Karon Beyer is appointed as the Workshop Chair/Organizer. Please make sure to contact Karon with both your state attendance numbers and your local league attendees. C. USASA 2017 Adult Soccer Fest will be hosted by Tennessee July 12-16, in Nashville, Tennessee. Otey reported that they already have over 50 teams so far. 9:18am Committee Reports 5

7 9:18am 2017 Workshop Venue Committee: Karon Beyer reported that the committee comprised of Bob Kepner, Chaz Ballish Regueiro, and Jeanne Smith, had reviewed airfare, hotels for several suggested locations. After speaking to Georgia Soccer, the committee took the information back to the Board of Directors with a recommendation to hold the 2017 Workshop in Atlanta, Ga. 9:19am - Credentials Committee Renee Jo Rodriguez submitted a written report from Tony Falcon, USASA Credentials Chair. (page #12) 9:19am Referee Committee, Fred Hiler could not attend but sent a written report (page # 12) 9:20am Budget Committee Nick Calabro reported that we are in great shape but we may want to look at our reserve funds. What should we be doing with them? 9:25am Womens/Coed Committee Karon Beyer submitted a written report (page #13) A. Thanks for all the hard work by the members, Sofia Hernandez, Paula McFarlin, Jeanne Smith, Alex Vidaurri, Claudella Wright, who phone called, ed and searched state, league tournament websites to get us started. B. The committee has met four times by phone conference and is meeting for the first time in person today after our region meeting. C. We have focused on collecting information from each state that we are using to create a Women s/coed Directory for the Region. D. Data collection has not been easy, as not every state has a women s/coed contact and not all state/league websites are current. There is a form included in your Book of Reports that we are asking each state to fill in and return. 9:30am USASA Membership Task Force Sean Esker updated the membership on the $10 tiered insurance, which has dropped to $5.00 for liability only for League Officers 9:32am - National Cup Report: Darius reported that the open division of National Cup will now be a US Soccer Event 9:36am Guest, Cesar W for USASA 2017 Soccerfest. Nashville has already had 85 teams enter so far, that is 10 teams over the 70 teams that had entered last year. They are looking for Over 40 teams. Hotels will be in Murphysboro and not Nashville to avoid in town traffic Soccerfest will be back in Bellingham, WA for the 20 th Anniversary. 9:40am Unfinished Business Darius asked the states if they thought their leagues would like to be able to purchase USASA signage. If your state is interested, make sure to contact Duncan Riddle at USASA 9:43am Rules Committee: Most of the proposals are simple housekeeping and the big USASA will be about the regional Deputy Directors. 9:52am New Business - None 9:52am Election of Officers: Darius Ejlali presided over the elections. A. Deputy Director Richard Moeller announced he would not be seeking Region III re-election and will be running for a position on the US Soccer Board of Directors. He hopes to have the regions votes in the US Soccer General Council elections. (page # 14) B. Treasurer Jeanne Smith nominated Nick Calabro for the position of Treasure,(I wasn t there) 2 nd by Karon Beyer. No other nominations from the floor. Nick is elected as Region III Treasurer for another term. C. Both Larry Hall (North Texas) and Chaz Ballish Regueiro (South Carolina) have submitted their names for the position. Written notification was sent out by and is included in the Book of Reports (page #15 & 16). Written ballots were collected and counted by Renee Jo Rodriguez and Karon Beyer. Chaz Ballish Regueiro is elected to the position of Region III Deputy Director. D. While ballots were being counted, the membership started Good of the Game E. Renee announced the results of the written ballots; Chaz is the new Deputy Director. Darius congratulates both Nick & Chaz and welcomes Chaz to the board. F. 8 Texas South will be hosting the Round Rock Women s Tournament Tennessee excited about hosting the Adult Soccerfest this year & looking at picking up Hispanic Leagues Louisiana would like to see coed representation at the national events North Carolina Newly elected President of Adult Soccer, Hosted the Carolina Cup this past summer, Celebrate the TaTa s will be October 7-8, 2017 and NCFC Carolina Rail Hawks. Alabama Player registration is up to 2,500, they have created a Foundation (501.C3) to help with adult eligibility and their Women s Coaching Committee now has a Facebook page. Mississippi just lost their largest league due to registration cost Oklahoma in the process of creating a joint association Arkansas has seen recreational growth in the 7v7 programs, they now have a NPSL team and the 1 st inaugural game had an attendance of 3,000. They have a women s team Osark MP and a Kick for the Cure Tournament April 8-9, 2017 Florida Their December tournament Florida Classic had 95 teams. Hosted a Women s Tournament of eight teams in Delray Beach North Texas has seen growth in the outdoor game. 10% increase in October in the women s 8v8. They have 16 all-star teams in Over 40 and are looking at Over 60 8v8 men s 10:27pm - Guest - Shonna Schroedl, USASA Secretary is running for USASA Vice President Position South Carolina is posting on social media, have a premier division in their League of Champions. They will be using this as a qualifier for State Cup and is offering free assessments to referees for their upgrades. Texas South Gloria Rodriquez stressed that she is having referee problems in her league, Leagues are shrinking in size to smaller numbers and competition is offering liability only insurance to local leagues. April 1-2 is the Women s State Cup in Round Rock County Parks & Recreation fields. April 22-23, 2017 will be the 39 th San Antonio Fiesta Tournament. Coed Cup 8v8 will be in Beaumont, TX, May 20-21, Georgia Steve Keiss - Atlanta has a new MLS Team Atlanta United who will be playing at Georgia Tech Bobby Dodd Stadium until their new 60 thousand seat stadium is complete. There is also a new 22-field complex Stone Crest down by the Atlanta airport with a $55,000 stadium. Georgia Soccer has started a U23 program and is happy to have the 2017 workshops coming to Atlanta. The MLS game on June 24 th is the Atlanta United vs. Colorado Rapids. 10 USASA Region III Director s Report MYM October 19-21, 2017, Lake Tahoe Resort Prepared by Darius Ejlali Hello Region III! What a great summer for USASA and Region III. To kick the summer off, North Carolina hosted the National Cup Region III Championships in Raleigh, with 16 teams competing for the right to win a National Title in the Amateur, Open and Over 30 divisions. North Carolina did a spectacular job; huge thank you to NCASA. Also, this event was our new Cup Commissioner s Nicole McMaster s first regional event and Nicole managed the event like a seasoned professional. Champions were crowned in the following divisions: Open CD Motagua Louisiana Amateur Kickers FC Florida Over 30 Sporting Charlotte North Carolina Later in June, the Region III workshop was held in Atlanta, Georgia. Topics were meaningful and discussions were engaging. This workshop is intended to allow states the time to discuss topics in-depth and learn from one another. To those who attended, Thank You for your contribution and to those who couldn t make it, we all hope the 2018 workshop will be on your calendar. Please consider submitting subjects that are important to your state to be part of the 2018 workshop. The workshops should be relevant to your association and chances are that other states have the same concerns or may be able to provide some insights on a particular topic. Please send your topics to your Region III secretary, Karon Beyer. In July, Chad, Karon and, myself worked at the USASA Adult Soccer Fest. The Tennessee State Soccer Association and the folks in Murfreesboro did an outstanding job. The complex with 13 natural grass fields and comfortable clubhouse made for a great setting to host a major event. I d like to share a quote from the tournament s chairman, This was by far the BEST tournament we have put together from an execution standpoint and size wise; I am very proud how we handled some of the issues we encountered. Great job Tennessee and Region III! In August, USASA held the National Cup Championship for the Amateur division in Milwaukee at the Bavarians complex. Once again, USASA hit a homerun. The hosts did a marvelous job, there were huge crowds watching days, beer and bratwursts were consumed and matches could not have been more exciting if they had been scripted! Unfortunately, our Region III Champion, Kickers FC from Florida lost a nail biter to the host team the Milwaukee Bavarians. USASA President, John Motta had invited US Soccer Board members and staff to attend and many attended. Later in August, the Werner Fricker Cup (Open Division) and the Gerhard Mengel Cup (Over 30 Division) competed in Detroit at an indoor facility that housed 6 full sized playing fields, bar, concessions, retail, offices, training room and therapy room; an absolutely amazing facility. Unfortunately, our Over 30 Regional Champions, Sporting Charlotte from North Carolina fell to the eventual 9

11 National Champions Levski FC from Chicago, Illinois. C.D. Motagua from New Orleans, Louisiana, our Region III Open Champion lost to the Lansdowne Bhoys in the Championship match. NBOD The USASA Board of Directors has held three conference calls and met in person at the Adult Soccer Fest. - The NBOD voted to have the US Soccer Adult Council move forward with a request to US Soccer for a fee reduction. Currently, USASA pays $2.00 per player to the Federation. The proposal requested that the $2.00 be reduced to $1.00. The NBOD questioned the real benefit our organization and members receive for paying US Soccer over $500,000 each year. Our President, John Motta and Vice-President Richard Moeller met with Sunil Gulati and Dan Flynn to discuss the request. The request was met with strong opposition from US Soccer. US Soccer felt the reduction would be a bad business decision for US Soccer. - The NBOD has voted to switch our USASA AGM date to the fall and hold the USASA Mid-Year in the winter. The rationale is USASA is not in control of the meeting space and is often times given inadequate options by US Soccer. Additionally, our AGM is our most important meeting and we should be focused on our meeting and in more control of our schedule. Holding our AGM in the fall allows USASA to choose the location and schedule benefitting of members by having a more focused AGM. - Insurance discussion took place in July when rates returned from vendors. The loss ratio for the Participate Accident policy has been well handled and has stayed within the acceptable range. The General Liability policy is a different matter. Due to the two major claims, USASA GL policy has gone up significantly. For the standard $2 million coverage, USASA has been paying $1.46 per player and now the rate has gone to $2.04. USASA will absorb the increase and not pass the increase on to membership. On top of the $2 million coverage USASA provides, USASA also purchased $3 million excess liability coverage for $46,000 a year. When the rates returned, the excess policy had been rejected by 23 out of 25 companies. The two insurance companies that were willing to take on the $3 million excess coverage policy wanted over $210,000 per year for the excess coverage. The NBOD voted to not renew the Excess Coverage Policy. Even though, part of USASA s benefits to our States, Leagues and Players is the quality of coverage offered, the costs of the Excess Policy proved too much. - USASA has a nomination committee that is charged with searching for two Independent Directors for the NBOD to review and the National Council to approve. The Nominating Committee has put forward an individual, Brett Hurwitz who works for US Lacrosse. Brett s is part of the executive team for US Lacrosse where he leads the organization in advertising and partnership strategies, sales, and marketing and activation efforts nationwide. Duncan and John have had preliminary discussions with Brett and will be inviting Brett to a National Board of Directors meeting to interview Brett Hurwitz in person. - USASA has moved all Regional Banking accounts to Chase. - Bill George, the chairman of the Membership Committee along with Duncan has secured a partnership with Abenity. Abenity is a leader in the employee/member perks industry. There is a branded website and mobile app to provide thousands of discounts and benefits to our membership. Players will register at the site; it only takes a few minutes. If a State Association, a league or if the Region establishes discount programs with local vendors, the local vendors can easily be added to the Abenity list and these local programs can be enjoyed across states nationally. 10

12 In new business, I d like to hold an informal discussion on the upcoming US Soccer AGM in particular the election for the presidency. Given the voting structure, it may be important to have a more united front. At the end of my report, I have included a document that our USASA Treasurer, Lori Stoneburner has put together to assist in understanding some terms and concepts around the budget talks. REGION III -Region III National Cup Championships June 8 10, 2018 in Raleigh, NC at the WRAL Soccer Park. - Coach of the Year Please submit a COTY to Region III by the US Soccer AGM in February. The recipient will be invited to our Region III workshop in June for recognition. - Referee of the Year Contact your State Referee Administrator and submit a candidate. The Region III Referee of the Year will also be invited to attend our workshop. - Bids for the 2019 and 2020 to host Region III National Cup Championships will be due at the meeting in February. Please be ready to present your bid. The competition was in Dallas, Texas 2015 and 2016 then on the eastern part of our region for 2017 and It would great to receive bids from our states that form the more central part of our region. We will be bringing back a Women s Division to the event. Please promote and assist your women s teams in participating. At the Over 30 and Open Championships, discussions began regarding introducing an Over 40 competitive division being added to the National Cup series. Over 40 teams would compete at the Region III National Cup Championship. The Region III Over 40 Champion would advance to a Final Four held at the same event as the Fricker Cup and Mengel Cup; the third weekend in August. Does Region III want to hold this division at the regional competition?. - The Werner Fricker Cup is the title for the Open Division and the Gerhard Mengel Cup is the title for the Over 30 division. The Championship for both of these Cups are held the third weekend in August. This year it is Region III s responsibility to host. Once our regional event is concluded, Champions in the Open and Over 30 may bid to host the event. The competition is outstanding and Region III does such a great job of hosting, we need our teams to have the support of their State Association to put together a quality bid. Region III Workshop will discuss location and dates. If your State Association is interested in workshop being held in your state please contact Karon Beyer. United States Adult Soccer Association Insurance Reserve Discussion Dividends - Money that the insurance company paid back to USASA based on a calculation related to premium v. claims. The first year we received a dividend was 2014 and have since collected approximately $108K for In January 2015, the board voted to reserve the dividends for 5 years starting from We ll discuss undesignated and board designated below, but dividends have been coded to the board designated account. Reserves - See footnote E below from our audited financial statement. In 2005, the board voted to start a reserve. Prior to 2005 on the balance sheet there would have been one line called net assets/ (retained earnings in a for profit world). In 2005, the board voted to reserve funds so the one line on the balance sheet was split 11

13 into two separate accounts - undesignated and board designated. It appears that the amount of insurance fees received from players over the amount paid for the coverage was the basis for the amount of the board designation. The reserves were moved from the undesignated to board designated every year until we reached an estimated 1 million in Accounting concept There are different terms for at profit organizations v. non-profit organizations. In the internal financials and Quickbooks, USASA has used the for-profit terms that we are all familiar with. Net income, net loss, retained earnings... If there is term that is different in the examples I am using, I will put the non-profit term in ( ) or else just call it what we re all used to. At the end of each year, the net income from the profit and loss statement rolls over into the retained earnings account (net asset) on the balance sheet. This is a measure of how an organization has performed over its life as every year the profit or loss rolls over and accumulates. For example - If you start a business in 2015 and have a profit of $10K and a profit of $20K in 2016, your balance of the retained earnings (net asset) at the end of 2016 will be $30K. The insurance reserve is only a financial statement presentation. If in one year, our rates go up say $50,000 dollars due to increased rates and we have a net overall loss of $75,000, the $50,000 of the loss attributed to insurance will be coded to the board designated account and the other $25,000 would be coded to undesignated. Conclusion The insurance reserves is just a financial statement presentation and for the reserves to have any meaningful significance there must be cash or liquid assets available to cover an increase in insurance rates that are not passed back to the players and we do. At the end of July, we had a little over $ 2 million in the bank. 12

14 Deputy Director Report Prepared September 2017 By Chaz Ballish Regueiro Over the last 6 months it has been an honor to represent our region. Below are events I attended followed by a list of discussion points. April 22, 2017 Tampa, FL In June Director Ejlali called an executive meeting of Region 3 in Tampa Florida. We met to discuss the upcoming Region 3 Workshop in Atlanta, GA as well as several important issues: At my behest we created a Region III membership committee. This was to be chaired by Otey Smithson. The idea behi nd the committee was to work from the membership up to create additional benefits of USASA membership. I was asked to follow up with Otey to explain the concept and ask if he was interested. I did so immediately after the meeting. Otey was excited to take on the challenge. We voted on the Referee of the year and Coach of the year. I was asked to update the coach of the year application to make it more applicable to our members. This has been done and the new form is available for download on the Region 3 website. I was asked to take over the Region 3 website. I added a list of tournaments and updated the site with relevant information. Further work is done to obtain content for the website. June 9, 2017 R3 Tournament This was my first time attending the R3 tournament and I was very excited by the energy and competition surrounding the tournament. Nicole McMaster was incredibly organized from check in to clean up the tournament ran smoothly. Darius, Scott and the entire NC Adult Soccer Association were amazing as was the Winston Salem community. The competition was very good, especially in the Amateur, Open and O40 divisions. June 23, 2017 R3 Workshop The Region 3 Board did a fantastic job planning this event. Duncan Riddle attende d and we were able to discuss some USASA initiatives. We found out Darius and Duncan put a hold on the Membership committee, as Duncan was afraid it would interfere with a USASA National initiative. I will not send to much time here as many of you attended this event and I imagine this information will be covered in the Director s report. I will say as a South Carolinian, I am proud that our state won both Coach of the year in Rich Yessian and the Bob Evans Referee Award in Dr. Don Wilbur. Please get your submissions in for Coach of the Year and hound your SRA to get the Bob Evans nominations in. July 11, 2017 USASA Soccerfest, Nashville TN Region 3 was well represented in Nashville. Otey Smithson an d TN State Soccer did a fantastic job hosting this event. Region 3 was asked to provide volunteers to assist in everything from refilling water, to bar tending, to selling shirts... we did anything the tournament committee needed. I was fortunate enough to participate in the O40 division and, outside a couple broken ribs, I had an 13

15 amazing time. Some important lessons were learned at this event. After two near heart attacks a decision was made to have an ambulance on standby at the fields at all time. A new registration system was used prolonging check in, this should get better year over year as data entry is retained and returning teams will be seamless going forward. August 18, 2017 USASA Open and O 30 Cup, Pontiac Michigan The Open and O30 cup are both still alive, despite USASA withdrawing most of their support. John Motta did attend and USASA provided awards and so me signage, other that that it was Region 2 who sponsored and hosted the event. This year it was in Pontiac Michigan in the largest indoor Soccer Facility in the World, with four full sized fields I do not doubt they are the holders of that accolade. The competition was at a very high level. The over 40 cup was especially competitive, frankly three of the four teams were very evenly matched, any could have won the trophy. The final was a nailbiter that saw Levski Chicago defeat Christos FC to win Over 30 National Gerhard Mengel Cup. The Landsdowne Bhoys, who also won the US Amateur Cup Fritz Marth Cup, won the Werner Fricker Open Cup. While in Pontiac, at an ad hoc breakfast meeting John Motta suggested we should include a O40 national champ ionship. He also hinted that he believed the Open Cup should continue. Region 3 is in line to host the Open Cup for 2018, we need to choose a location for the event. Important Discussion Points. Given the natural disasters over the last Summer, which devastated large swaths of our region I believe firstly w e need to thank our Secretary Karon Beyer for connecting all of us during these difficult time. One of the benefi ts we enjoy through USASA is each other. We will always be stronger with the support of our soccer family. I believe we should approach the USASA NBOD and request that they move forward with a USASA Foundation. The purpose is to have a 501(c)(3) not for profit that can accept donation to be used in time of extreme or, unforeseen need. I have struggled to stay tuned in, as Deputy Directors are no longer on the NBOD. I asked John Motta and Duncan to be included in the meetings but, unfortunately, a call in number has not made available. I discussed this With Darius, John, and Duncan and I believe accommodations will be made in the future. John is not opposed to having a call in number made available for all members, so stay tuned as we solidify how this will happen going forward. I would like to reopen the discussion of the Region 3 membership committee. The concept was to reach out to each state who would provide a member. The initial task was to increase benefits to USASA R3 members at each local league and state level. Otey agreed to chair to committee. While I understand the USASA office is putting together a national program. Personally, I believe a grass roots effort, working in conjunction or separately, could only help. We should discuss the R3 Tournament as well as the Open Cup, O30 and O40 National Championships. How we choose the participants and how to move forward as a host. 14

At the meeting I organized the committee for the Coach of the Year review and selection. In June, were the Region IIII Workshops in Atlanta, which I hope were enjoyed by all 30 plus attendees. We had great group interaction during our open forum and round table discussions lead by Larry Hall and Andrew Egan. We presented three workshops, US Soccer Membership & Resources, Richard Moeller, Athletic Organization Accounting with Nancy Harrision and Tax Topics Managing Your League Risk and Personal Risk, followed by a short Q&A with Andy Gregory from Deschamps & Gregory. We ended the day with an outdoor MLS Game. Atlanta United at the Bobby Dodd Stadium Then it was off to the 2017 Soccerfest in July, in Nashville, Tennessee, where they had a record breaking number of teams. The soccer facility in Murfreesboro, Tennessee is an amazing venue, and Otey Smithson and his organization (trainers, grounds personal) were equally amazing. Duncan Riddle and the USASA staff came organized and prepared, this was their first time using online individual registration with Blue Star and for a first time, it ran very smoothly. Cesar and the volunteer group were energized and committed, up every morning and at the fields by 6:30/7am, working nonstop until 9:30/10pm and night. That was the fastest week I can remember. And even though I didn t get to play, I did get to trade my sweaty 2017 Nashville Volunteer teeshirt for a Womens Championship Jersey. 15

21 Governance/Nominating Committee Report Region 3 - October 2017 The Governance/Nominating Committee has met via s several times this year with the intent to nominate one candidate for the Independent Director position on the USASA Board of Directors. There were two candidates submitted with both very qualified to serve in this position. After much discussion and interviews as to whom would be the best candidate to submit first, Mr. Brett Hurwitz was selected. His resume with backgrounds in Sponsorships and Marketing with several large professional sports teams seemed to be the determining factor in his selection. This is the first step in creating an outside influence in the USASA Board to help determine the direction and give guidance in strengthening our outreach to sponsors and what we need to do to bolster our outreach in our community. 22 Womens & Coed Committee Report Karon Beyer Our committee met in Atlanta during the Region III Workshops and we got valuable feedback from the members that were present. Discussions covered possible times, locations for Tournament/Soccerfest event. We distributed a hand out and were hoping to get updated information from the states for the 2017/18 soccer year. September 19 th, 2017 was our seventh call so far. During the meeting, we all agreed that the next step for the committee is to continue to gather contact information for the spread sheet but to also organize a Women s event. Looking at all the information we have collected our recommendation is an 8v8 tournament and the possibility of running the event in conjunction with the 2018 Region III National Cup. We have contacted Darius, who is encouraging the event and Nicole McMasters to see if and how we can work together. The Committee will meet again at the USASA Midyear meeting in Tahoe and we are hoping that we can get our state members that run womens tournaments to distribute the information through there distribution lists. I would like to thank all the members of the committee (Paula McFarlin, Sofia Hernandez, Jeanne Smith, Alex Vidiurri and Claudella Wright) that have continued to meet (with enthusiasm) through, tornados, hurricanes, end of season, start of season, tournaments and work/life commitments 21

23 2017 National Cup Committee Report Nicole McMasters My first National Cup regional tournament was a great opportunity and time! I hope everyone agreed we had a successful tournament, thank you for the opportunity! We had 8 teams in our Men s Amateur Division, 4 teams in our Men s Over 30 Division, and 4 teams in our Men s Open Division! The teams that attended were all prepared and ready thank you to you at their state associations for helping them be prepared and participate! The tournament was at WRAL Soccer Park in North Carolina. NCASA did an amazing job organizing the tournament and facilities, thank you very much NC, Scott, Donna, Darius, everyone else at NCASA, I am looking forward to returning, Thank you! Thank you to Chaz, Nick, Darius, Karon, Richard, all your help during and up to the tournament was a tremendous help and would not have been so successful without you. This year we used Affinity Sports Software for scheduling and standings. The system worked great during the tournament keeping everyone updated in real-time on schedules, and results. I would like to continue using the software programs during our tournaments which going forward could include the picture rosters and/or digital passes. Further details and conversations will happen regarding this prior to 2018 s tournament. The 2018 Regional Championships will be held again at WRAL in North Carolina June 8-10, I would love to see these championships grow and participation from each of our states. Registration will open with further details at the February AGM championships will have the Men s Amateur, Men s Open, Men s Over30, Women s Amateur and as Darius mentioned, Men s O40 is being considered, along with Men s U23. Further information will continue to come out over the next coming months along with host locations or bid openings for the finals. Region III will be accepting applications for hosting the 2019 & 2020 Regional Championships. The bids will be due at the AGM in February. 28 Referee Administrator Report We had 36 referees for the USASA Region III National Cup in Raleigh North Carolina the weekend of June 9 June 11. We had 9 National Referee Coaches from Region III to assess the referees. US Soccer also sent a 2 lead National Referee Coaches to the event. There were 27 games. 29 US Adult Soccer Association Communications USASA Members: Sept. 14, 2017 I have received many calls in regards to the proposed policy change affecting the State Referee Administrators appointment. U.S. Soccer will be at the Midyear Meeting in Lake Tahoe to give all USASA members a comprehensive review of this policy change and how/when it will go into effect, if passed. I understand that this will be a big change on how we are used to doing things, but please attend the meeting with U.S. Soccer in Lake Tahoe to get a better understanding and bring your questions and concerns to this meeting. 30 US Adult Soccer Association Sept. 21, 2017 USASA Members: In preparation for our National Council Meeting on October 21 in Lake Tahoe, please find attached the 2018 proposed budget, proposed bylaw changes and the Governance and Nominating Committee's nomination for Independent Director. I few things I'd like to draw your attention to in regards to the budget and proposed bylaw changes: Super Y (U-20) is not affiliating with us in 2018 so you'll see that reflected in the revenue. They affiliated over 9,000 players in NBOD is proposing a uniform liability-only fee of $9 a player. Insurance dividend will be recorded as a liability and be used to cover increases in insurance rates. General liability insurance rates have gone from $1.46 to $2.04 per player. The proposed bylaw changes will allow USASA greater governance of national and regional leagues while improving the state revenue sharing. The Governance and Nominating Committee have completed a thorough search and evaluation process and are happy to nominate, for your approval, Brett Hurwitz as the first USASA Independent Director. 31 US Adult Soccer Association 2017 Financial Report sent Oct 03 rd, 2017 All, Please find a link to July 2017 Financial reports below. I've also provided a summary for you. At the end of July we have a net loss of $36,409 compared to a budgeted loss of $413,107. We are currently ahead of budget by $376,698. Player/Team/League Registration For the first 7 months of 2017, budgeted revenue for team & player registration are ahead of budget by $301, ,166 players have registered compared to our budgeted registration count of 78,940 and we have 9,700 more players have registered compared to this time last year. Liability only and indoor registrations have increased over this period last year while standard, liability only, premier and indoor are all higher than budget. Expenses related to player registrations - insurance and fees to US Soccer are also higher than budget due to the increase in player registrations. Other Revenue Sponsorship and interest income are under budget for the first 7 months of the year. Tournaments Adult Soccer Fest is showing a profit of $16,000 compared to a budget loss of $23,000. Some additional expenses are expected to be posted but we still expect to at least break even for this event. Steinbrecher Cup had a budget of $8,000 to run the Cup but only incurred $5,300 leaving us ahead of budget by $2,700. Indirect Expenses Grants - $5,000 has been budgeted for grants through 7/31/17 with no expense incurred thus far. We have budgeted $81,000 for items related to the strategic plan (strategic plan, national PR marketing, branding, database implementation and state website assistance and incurred $15K in expense. I would expect these expenses to increase as states gear up to meet the additional registration requirements set by FIFA and US Soccer. General & Administrative Expenses related to the NBOD Board meetings and travel are under budget at the end of July by $10,000. Employee travel and staff expense are under budget by $58,000 while other G&A expenses are under budget by almost $90,000. Meeting expenses are quite a bit under budget but this will be at timing issue as most of the budgeted expense is related to the MYM held in October. There will be additional staffing expense for Midyear Meeting held in October and additional part time staff will increase hours to assist states if necessary to meet new registration requirements by FIFA and US Soccer. Audit expense will be posted as soon as the 990 tax return is finalized (due Nov 15) and there is a budget for legal services which we hopefully will not need.
