1 NATIONAL RUGBY LEAGUE LICENSING PROGRAM REQUEST FOR PROPOSAL Official Licensee- Memrabilia Prgram The Australian Rugby League Cmmissin (ARLC) is currently seeking ffers frm cmpanies interested in acquiring the right t be the Official Licensee fr the Natinal Rugby League (NRL) Memrabilia Prgram. This invlves the rights t the fllwing: A nn- exclusive licence t manufacture and whlesale a range f memrabilia & cllectable prducts including the fllwing items that will vary seasn t seasn; Seasnal Prducts Her Shts Canvas Classics Lithgraphs Framed Jerseys I was there ticket cncept Anniversary pieces Club Champins Premiership Reunins Retirement Tributes Cllectable Trphy Items Grand Finals (past) Other prducts as apprved n a case by case basis An exclusive licence t manufacture and whlesale a range f memrabilia & cllectable prducts fr the fllwing; Dally M Medalist Finals Series, Grand Finals and Premiers Prpsals will be judged accrding t their full and cncise respnse t this dcument. The ARLC will nt be bliged t accept the highest financial ffer and tenderers shuld be aware that n terms that seek t restrict, in any way, the discretin f the ARLC in the tender prcess will be accepted. Once made, n ffer may be withdrawn by the tenderer while it remains pen fr acceptance by the ARLC. N ffer shall be cntractually binding until it is incrprated int a frmal cntract signed by the ARLC.

2 The ARLC makes n representatin r warranty that this dcument prvides all f the infrmatin required by yur cmpany and encurages tenderers t make their wn queries and assessments. Any csts incurred by tenderers in the preparatin and submissin f bids r therwise in cnnectin with this dcument will be brne by the tenderer. Tenderers are required t treat this dcument with due cnfidentiality and all bids and infrmatin utlined in each prpsal will remain cnfidential. Prcess and Timetable The timetable fr the prcess will be as fllws: Fri 1 st Nvember 2013 Fri 22 nd Nvember 2013, 5pm AEST* Mn 25 th Nvember 2013 December 2013 RFP dcument issued Prpsals t be received by the ARLC ARLC pprtunity t clarify any aspects f prpsals received Decisin by the ARLC *Australian Eastern Standard Time A representative frm the ARLC will be available t answer any queries regarding the prpsal. Please submit any queries (in writing initially) t the attentin f Elisabeth Vitaleelisabethv@nrl.cm.au and Paul Buttell pbuttell@velcitybrandmanagement.cm Representatives frm the ARLC will then assess all prpsals befre presenting a recmmendatin t ARLC Senir Management fr apprval. 3 License Agreement Financial Terms; The base ryalty rate fr all NRL licensed prducts will cmmence at 15 % f whlesale selling price r 7.5% f retail selling price (fr direct t retail sales) Tenderers will be required t prvide the ARLC with a Minimum Guarantee ffer as part f their submissin. Other financial prvisins that tenderers may wish t ffer abve and beynd the Ryalty and Minimum Guarantee terms will als be cnsidered. NOTE: Fr Dally M and Premiership Memrabilia prgrams, player payment rates fr the signing f memrabilia will be set as per the Player s Cllective Bargaining Agreement (CBA) Licensed Prducts The license agreement will require manufacture and distributin f the fllwing: A range f memrabilia & cllectable prducts including the fllwing items that will vary seasn t seasn; Seasnal Prducts Her Shts Canvas Classics Lithgraphs Framed Jerseys I was there ticket cncept Anniversary pieces Club Champins Premiership Reunins Retirement Tributes Cllectable Trphy Items Grand Finals (past) Other prducts as apprved n a case by case basis A range f memrabilia & cllectable prducts fr the fllwing; Dally M Medalist Finals Series, Grand Finals and Premiers NOTE: The fllwing prvisins will apply fr Premiers ranges, specifically Premiership prducts are t be ffered t Premiership Club as per belw: Premiership Club t have access t up t 200 Framed Jerseys at cst price. The licensee will be restricted frm cnducting pre-sales f Premiership pieces until pst Match. Cst price f Framed Jersey t be pre-apprved prir t each year s Finals Series All remaining Premiership memrabilia pieces t be ffered t Grand Finalist Clubs at whlesale less 7.5% t Club Stres (in additin t prviding marketing cllateral)

4 Player Imagery NRL Player imagery must be surced frm the NRL Official Phtgrapher at the Licensee s cst Player Apprval It will be the respnsibility f the Official Memrabilia Licensee t liaise with players and player managers/agents in rder t gain the required apprvals fr licensed memrabilia prducts. Club Memrabilia Prvisin The 16 NRL Clubs may nminate t release five (5) prducts each seasn t market and distribute thrugh the Club. These prducts fall utside f the Official Licensed Memrabilia prgram prduced by the Official Memrabilia Licensee. Club memrabilia pieces prduced under this prvisin must adhere t the fllwing; Prducts are nt t be sld t the wider retail market. Fr the avidance f dubt the allwed channels include: Club Retail Operatins 4 walled retail stre, webstre and Game day Club Official Functins and Events i.e. spnsr nights Membership database nly The Club Memrabilia Prgram may include prducts cmmemrating the fllwing: Cmmemrate club milestnes, anniversaries, and events Celebrate past Legends f the Club Cmmemrate the current year squad list, eg. team signed lithgraph Celebrate a current player and current player milestnes ie 300 games The Club Prgram may NOT develp prduct cmmemrating the fllwing: Celebrate NRL awards and events including, but nt limited t: Dally M Medal Clive Churchill Medal Minr Premierships Grand Finals past r current year Shuld a Club wish t develp mre than the five (5) nminated Club Memrabilia pieces, Clubs must develp the additinal prducts in cnjunctin with the NRL s Official Memrabilia Licensee. 5 General Outlined belw is the minimum amunt f infrmatin required in rder fr the ARLC t assess yur prpsal and prgress negtiatins: 1. Full Organisatinal Prfile A cmprehensive verview f yur cmpany in rder t give the ARLC a thrugh understanding f yur cre structure and cmpetencies, including: - Internatinal structure and lcatins - Histry - Organisatinal structure - Overview f cre business and services including: Key brands/intellectual prperty assets Licenses currently held and/r held in the past Overview f develpment and manufacturing prcesses, including: Manufacture lcatin Technlgical resurces and any perceived cmpetitive advantages Any areas f manufacturing which are regularly (r therwise) subcntracted Internal and external resurces acrss all areas Sales frce and distributin Internatinal prduct/service prfile, including market dminance and share All retail channels currently supplied, including emphasis f any retailers with which preferred supplier status is held - Cmpany plicies, including: Child labur plicy Envirnmental plicy Other plicies - Any additinal infrmatin t further prfile yur rganisatin 2. Yur Prpsal This will cnsist f the infrmatin specific t the licensing pprtunity pen that the ARLC will require in detail in rder t assess yur expressin f interest. It will need t include: List f the specific prducts yu are seeking t manufacture under licence in particular, the range f memrabilia and cllectables yu intend t prduce under the terms f the license. Detailed manufacture and quality specificatins (where they may vary frm infrmatin already prvided in Sectin 1), including:

6 Lg applicatin methds and any ther manufacturing aspects which may require further explanatin Demnstratin f yur cmpany s quality cntrl prcedures and plicies Sales/Marketing plan, including prductin, marketing and sales timelines and prpsed distributin/retail channels Prpsed packaging f licensed prducts Any innvative ideas r visins yu may have fr the lng-term evlutin and success f the range f licensed prducts Detailed sales prjectins by territry acrss all licensed prducts and distributin channels and accmpanying Minimum Guarantee ffer* *Respndents shuld nte that they shuld be prepared t put frward a bank guarantee fr the full amunt f the Minimum Guarantee. Applicants shuld be prepared t prvide physical and dcumented prf fr all statements, specificatins and ther infrmatin submitted as part f yur prpsal. Yu may submit additinal prduct samples f prducts if yu chse. Please ensure that ALL samples arrive accmpanying yur prpsal. Please nte that these samples will NOT be returned but will be retained by the ARLC as part f yur prpsal. As the ARLC is endeavring t identify the best f the best, the quality f the licensed prducts and manufacturers f the prducts is f utmst imprtance. The ARLC therefre reserves the right t subject all prducts t blind purchase, independent labratry testing, manufacturer cmparisns and any ther means that the ARLC may chse t pursue in rder t identify quality prduct manufacturers.
