10 Terms and Conditions 1. Each bidder must be properly registered and have a buyer's number to bid. 2. Bidding hours are 24 hours per day. Trading hours are 8AM 3PM central time (CT). Bids made before 3PM CT are good for the current day's trading only. Bids made after 3PM CT are good for the following days trade. The seller must accept the bid by 3PM CT or the bid and asking price must meet to constitute a sale. All bids are accepted in good faith during trading hours. Winter Livestock reserves the right to reject any and/or all bid(s), if deemed necessary. The decision of Winter Livestock shall be final and absolute. 3. By submitting a bid, the bidder is accepting the Terms and Conditions of the Livestock Contract. A TRANSACTION IS COMPLETE ONLY IF ASKING PRICE AND BID PRICE ARE THE SAME. THIS IS ACCOMPLISHED BY THE BUYER BIDDING THE ASKING PRICE OR THE SELLER LOWERING THE ASKING PRICE TO MEET A BID. 4. Seller may raise asking price. Any raise in asking price takes effect for Trading Hours the next business day. 5. All purchases will require a $ per head part payment, due and payable the business day following the purchase. Purchaser will wire transfer funds the following business day. Part payment by Buyer constitutes acceptance of Terms and Conditions and acceptance of the Livestock Contract. 6. Acceptable payment is as follows: Buyer must wire transfer payment to Winter Livestock no later than the business day following delivery. In the event of multiple shipments, payment will be required on each day's delivery in the manner specified above. Any and all payments will be made to; Winter Livestock, Inc. Example: Yearlings with an average base weight of 800# sell for $ If they weigh 801# average, with a 10 cent slide, the price will be $199.90; 810# average, with a 10 cent slide, the price will be $199.00; etc.

11 8. Cattle sold with a weight stop. Example: Calves will have a 600# weight stop. Any weight over the listed weight stop, (usually 25# over the base weight) will be free to the buyer. Price slide will affect only those pounds over the base weight and up to the weight stop. If the base weight is 600# with a.12 cent slide and the weight stop is 625# and the cattle sell for $170.00: 625 # $ x.12 = $ x 625# If the cattle weigh 640# the buyer only pays for 625# at $ Additional weight over the weight stop is not figured into the total dollars. 9. Cattle weight with an over and under slide. All cattle weighing over the base weight will be handled as mentions in #8. Those cattle weighing under the base weight will have a price stop (usually 25# under the base weight) Example: Cattle have a 25# under price stop If the base weight is 600# with a.12 over and under slide and the price stop is 575# and the cattle sell for $ # $ # x.12 = $ x 575# If the cattle weigh 560# the buyer only pays $ at 560#. Price does not increase past the 575# price stop, $ per cwt is the price for every pound purchased under 575# 10. All cattle will be weighed on certified scales. Any cuts that are made on cattle that are weighed on the ground will be made after the cattle are weighed. 11. No freight adjustment will be given on cattle that weigh below the estimated base weight, if the head count is within 5% of the contract. 12. On split loads, the heifer price will be $ per cwt (as stated in the lot information) back of the original price of the steers. 13. Any heifers that are guaranteed open will be pregnancy checked open at the seller's expense on the day of delivery after weighing and prior to loading by a licensed veterinarian. 14. Winter Livestock reserves the right to sign the Livestock Contract on behalf of all buyers and sellers. 15. Every effort has been made to assure the correctness of the but the decisions of Winter Livestock shall be final and absolute.

12 Terms & Conditions for Breeding Stock 1. All cows and first calf heifers will be pregnancy checked safe with calf, unless otherwise stated. They will be pregnancy checked and aged by a licensed veterinarian, within thirty days prior to delivery, at the Seller's expense. Cattle will be accompanied by a veterinarian's certificate. 2. Any other health requirements (other than state of origin) shall be at the Buyer's risk and expense. 3. All breeding stock will be sold on a sliding scale on the bottom side only. 4. The Buyer has the right to provide a veterinarian of his choice at the delivery to pregnancy check and or mouth any breeding stock. If the Buyer chooses not to provide a veterinarian, he accepts the veterinarian's certificate without recourse on the Seller or Winter Livestock Video Association. 5. Head counts may vary more than 5%, depending on results of palpation, blood test, fertility test or age determination. Any retest by the buyer will be done at the buyers risk and expense, and will only be done after the pay weight has been established 6. Pregnancy testing either by ultrasound or by palpitation is not a guarantee of the sex of the calf or that the cow will have a full term pregnancy, only that is was performed by a licensed veterinarian on that date to the best of his ability.
