2 (2) BID TERMS 1. All bids shall be delivered by the specified time in sealed envelopes with a NOTATION ON THE FRONT OF THE ENVELOPE indicating "PHYSICAL EDUCATION SUPPLIES" noting time and date due. 2. All bids shall be sealed and addressed to Woodland Hills School District, c/o MS. Joyce Sullivan, Business Manager, Administrative Office, 2430 Greensburg Pike, Pittsburgh, PA ALL BIDS ARE DUE NO LATER THAN 1:30 p.m., WEDNESDAY, FEBRUARY 22, 2012, and will be opened at that time. The District will, not open any bid received after that. The District will not be responsible for mail delays. Bids received prior to the time of the opening shall be held unopened. The District or its representatives for the premature opening of a bid not properly addressed and identified as stated in Item 1 will assume no responsibility. 4. ALL bids must be submitted on Woodland Hills School District Forms. Bidders MUST put their company name in the upper right-hand corner of each page for which quotes are submitted. An authorizing officer or agent submitting the bid must sign all bids. Bidders shall access the Woodland Hills Web Site to print out a copy of the Bid and Boiler to be completed and submitted on the prescribed forms as provided by the District. You should make a copy for your records. 5. The bidder shall state the bid price by inserting the unit price (type-written or written in ink) next to each item for which the bidder proposes to furnish, deliver, and/or install. Bid price should only be extended out two decimal places; our system does not support three decimal places in the price. 6. BIDDERS ARE REQUIRED TO BID ON UNITS AND QUANTITIES AS SPECIFIED. NO ALTERNATES WILL BE ACCEPTED. 7. All materials delivered in accordance with this agreement shall be "unused" and all materials used in the manufacture of items shall be "unused" and of first quality.

3 (3) 8. All bids shall exclude sales and excise taxes since the District is exempt from paying such taxes. 9. All bid prices submitted shall be firm prices for the period of NINETY (90) DAYS FROM THE DATE BIDS ARE DUE. No bid shall be considered which contains any letter or memorandum or other writing qualifying same to the detriment of the District or which is not properly made out and signed by the bidder or an authorized agent of the bidder. 10. All bids shall include the cost of transportation and inside delivery to appropriate buildings. The District will not accept bids that include shipping as an additional charge and will not pay if added to invoicing. price must reflect hazardous delivery charges. If custodial assistance is needed to unload, the supplier shall make prior arrangements. 11. The Board of Directors reserves the right to waive any formalities and to reject any and all bids and to accept or reject any items or groups of items. 12. The District reserves the right to request and examine samples of any and all items. Bidders shall be fully responsible for transportation costs of samples to and from the District and the District shall not be responsible for any samples submitted. 13. The Board reserves the right to issue orders for more or less of a unit, based on the unit price. 14. The bidder agrees, if awarded the contract, to furnish and deliver the specified products at such times, at such places, and in such quantities as herein specified, and that all of the products shall be subject to inspection and approval. In the event that any of the said products shall be rejected as unsuitable or not in conformity with these specifications, such products of proper quality as set forth in these specifications shall be furnished in place thereof at the expense of the successful bidder. 15. The bidder agrees that if the contract is awarded to him, he will not assign, transfer, or sublet it, unless specific permission to do so is requested in writing by the bidder, and granted in writing by the Woodland Hills School District.

Delivery of materials should occur no earlier than June 15, and no later than August 15, 2012, between the hours of 7:30 a.m. and 2:00 p.m. For District coordination of deliveries, please call Ruth Schambura, , ext Delivered supplies and/or equipment MUST have an accompanying packing slip attached and OUR PURCHASE ORDER NUMBER READILY VISIBLE ON THE OUTSIDE OF THE PACKAGE OR BOX. Invoice(s) MUST cover only individual purchase orders - otherwise the invoice(s) will be returned to conform. 18. INVOICES MUST BE SUBMITTED IN DUPLICATE and must reference our purchase order number. Invoices shall be dated no earlier than JULY 1, 2012, and will be paid as soon as materials are checked by the appropriate individuals, and the paperwork has been received by Accounts Payable. Many of the bid supplies are checked by faculty when they resume their duties in September. Paperwork received from them will be processed as soon as possible. 19. All business relating to bids shall be transacted in School District offices. 20. All vendors will receive equal consideration in the bidding procedure. 21. Bids will be awarded to the lowest responsible bidders meeting specifications. 22. When our item description indicates a reference to a trade name or number, our purpose is to define products with which we are familiar and we are requesting quotations with these referenced for your guidance with regard to quality - EQUAL OR BETTER. 23. In all cases where any of the articles on which bids are invited are either patented or protected by trademark or designated by the particular name of the maker and the bidder desires to bid on an article of equal character and quality, he may submit his bid for such substitution as intended together with official written specifications for the item or items bid and listed as "Alternate Bid". When no reference or change is made on a proposal, it is understood that the specific item named on the proposal will be furnished.

According to Pennsylvania Act 159, "The Right To Know Law", it is required that all vendors submit MATERIAL SAFETY DATA SHEETS for all hazardous substances and mixtures involved with their bid. In order for the school district to make judgements about bid items, we are requesting these sheets be sent with bid. 25. Please be advised - if you DO NOT bid, or if we DO NOT receive a letter confirming your interest to remain on the bid list, you will automatically be removed from the bid process for future years. Our mailing list is extensive and expensive, and we need to eliminate those companies that do not bid. NON-COLLUSIVE BIDDING CERTIFICATE By submission of this bid or proposal, the Bidder certifies that: (a).
