1 OFFICIAL RULES FOR THE «RED BULL KUMITE 2016» COMPETITION PREAMBLE RED BULL KUMITE (hereafter referred to as «THE EVENT») is organized by the company Prod Effect (hereafter referred to as «THE ORGANISER»), a one-person limited liability undertaking with a capital of 8,000, the registered office of which is situated at 42 rue Parmentier, Puteaux, registered with the Trade Registry of Nanterre under number for the account of the company Red Bull France SASU. ARTICLE 1 : DESCRIPTION OF THE EVENT : 1.1 Date and venue of the EVENT : THE EVENT will take place on Saturday April 23, 2016 and on Sunday April 24, 2016, at Salle Wagram, Avenue de Wagram, Paris. 1.2 THE EVENT consists in a so-called e-sport competition (the «COMPETITION») in which players (the «PLAYERS») fight against each other in a versus fighting video game (the VIDEO GAME), only available on the SONY PLAYSTATION 4 console (the CONSOLE) ; viewers may attend the EVENT under the conditions defined in paragraph THE EVENT is taking place over 2 days, each day corresponding to a different COMPETITION phase : 1. Saturday April 23, 2016: qualifying phase (hereafter named the «RED BULL KUMITE - OPEN- QUALIFIER», during which PLAYERS fight against each other on the VIDEO GAME (the OPEN- QUALIFIER PLAYERS) and at the end, 2 PLAYERS (the OPEN-QUALIFIER FINALISTS) are selected to compete in the final phase finale under the hereafter specified requirements. 2. Sunday April 24, 2016: the main competition (hereafter named «RED BULL KUMITE FINALE» during which the OPEN-QUALIFIER FINALISTS and the 14 PLAYERS invited by the ORGANISER (GUEST PLAYERS) fight, and at the end of which 1 PLAYER is the winner of the COMPETITION under the hereafter specified requirements. 1.4 For this last edition of the EVENT, the VIDEO GAME is chosen by the ORGANISER as well as the video game Street Fighter V edited by the company CAPCOM. THE ORGANISER has obtained a license from the company CAPCOM for using the VIDEO GAME as a medium for the fights and for using the distinctive brands and signs of the VIDEO GAME in his communication and for the EVENT. 1.5 The COMPETITION is not in the games of chance category and is not governed by the rules of these games of chance. ARTICLE 2 : REQUIREMENTS TO TAKE PART IN THE EVENT 2.1 REQUIREMENTS TO TAKE PART IN THE COMPETITION The only players who are allowed to take part in the RED BULL KUMITE OPEN-QUALIFIER are the OPEN-QUALIFIER PLAYERS who have registered via redbullkumite.com website and who hold a ticket issued by the ORGANISER The 2 OPEN-QUALIFIER FINALISTS and the 14 GUEST PLAYERS (hereafter referred to as the KUMITE FINALISTS) are allowed to take part in the RED BULL KUMITE FINALE The PLAYERS undertake to observe these requirements laid out in writing in the SET OF RULES. In case of any conflict between THE ORGANISER and a PLAYER, the SET OF RULES shall be the only document prevailing between the ORGANISER and the PLAYERS. If a conflict cannot be solved through the SET OF RULES, the ORGANISER s decision will prevail, and all the PLAYERS must accept it with no compensation whatsoever.

2 2.1.4 The ORGANISER reserves the right to modify this set of rules at any time, provided that the change is notified by any means to the PLAYERS The ORGANISER reserves the right to admit PLAYERS to the COMPETITION at his sole discretion and without having to justify his decision; The COMPETITION is open to anyone over 16. Minors aged over 16 are allowed to take part in this competition, provided that they have received permission from one of their parents or from the person having the parental authority. THE ORGANISER reserves the right to request evidence in writing at any time The following persons are not allowed to take part in the COMPETITION, apart from those who do not meet the foregoing requirements: People who cooperated in the organization of the COMPETITION. Referees The ORGANISER is not allowed to request any payment for his services To have access to the COMPETITION, PLAYERS must hold a valid accident insurance on the day of the EVENT. Each PLAYER must have signed the disclaimer statement on the ORGANISER s liability before the COMPETITION starts One week before the COMPETITION, each participant will receive a detailed program of the April 23 and April 24, 2016 together with a copy of this set of rules. 2.2: REQUIREMENTS TO TAKE PART IN THE EVENT AS VIEWER To have access to the RED BULL KUMITE and to Salle WAGRAM under the usual access conditions defined by the ORGANISER, it is compulsory to hold a viewer ticket, available via the redbullkumite.com website. It is reminded that no viewer can have access to the EVENT on the actual day of the RED BULL KUMITE OPEN-QUALIFIER Viewer tickets are 5 (five euros, inclusive of all taxes), to be paid on line only on the aforesaid website THE ORGANISER reserves the right to admit people On his/her arrival at the EVENT, the viewer must transfer his/her rights to image to THE ORGANISER for the purpose of promoting the EVENT and in particular: - Impersonal use of this/her image for the making of videos and photographs on any medium. - Impersonal use of his/her image for live and deferred broadcasting and in EVENT replay on any medium. ARTICLE 3- PARTICIPATION IN THE EVENT 3.1 PARTICIPATION IN THE RED BULL KUMITE OPEN-QUALIFIER The RED BULL KUMITE OPEN QUALIFER is to take place on Saturday April 23, 2016 at the EVENT venue Access to the RED BULL KUMITE OPEN-QUALIFIER is opened to a maximum of 256 OPEN- QUALIFIER PLAYERS, but only if they hold an OPEN-QUALIFIER ticket, which is sold at the price of 20 (twenty euros, inclusive of all taxes) on the redbullkumite.com website. Only one participation per PLAYER is allowed The OPEN-QUALIFIER PLAYER is to show his/her OPEN-QUALIFIER PLAYER ticket at the EVENT venue and on his RED BULL KUMITE OPEN-QUALIFIER day, between 9:00 and 10:30 in the case of OPEN-QUALIFIER PLAYERS who play in pools A to H and before 13:30 for OPEN-QUALIFIER PLAYERS who play in pools I to P. Their position in the various pools is described in appendix 1.

3 3.1.4 If an OPEN-QUALIFIER PLAYER is missing 15 minutes after the time specified in paragraph 3.3.3, the ORGANISER reserves the right to cancel the registration of the said OPEN-QUALIFIER PLAYER and to reallocate his/her ticket; and the OPEN-QUALIFIER PLAYER is not entitled to any refund or compensation Each OPEN-QUALIFIER PLAYER can train (freeplay) from 09:00 to 10:45 at the EVENT venue. During this training period, OPEN-QUALIFIER PLAYERS undertake to strictly observe the directives given by the competition manager and by the safety personnel. Anyone failing to observe these directives may be disqualified The names of the 2 OPEN-QUALIFIER FINALISTS who have won the RED BULL KUMITE OPEN- QUALIFIER will be disclosed on Saturday April 23, 2016 around 23: As for the other OPEN-QUALIFIER PALYERS, on the day of the RED BULL KUMITE OPEN- QUALIFIER they will be handed over a viewer ticket to have access to the RED BULL KUMITE FINALE RED BULL KUMITE OPEN-QUALIFIER PROGRAM This program may be modified on the ORGANISER s decision as a function of the real duration of the COMPETITION. It is each PLAYER s responsibility to arrive on time for registration, for briefing to the participants, and at the start of the COMPETITION. 9:00 10:30 Check-in at the «PLAYERs» reception desk at salle Wagram. 9:00 10:45 Training/Freeplay. 11:00 Start of Live Stream. 11:00 13:30 Pools A to H matches of the tournament. 13:30 16:00 Pools I to P matches of the tournament. 16:00 16:15 Break-time. 16:15 18:00 Top 32 to Top 16 matches. 18h00 23:00 TOP 16 to end of tournament matches 3.2 PARTICIPATION IN THE RED BULL KUMITE FINALE The RED BULL KUMITE FINALE is to take place on Sunday April 24, 2016 at the EVENT venue : The RED BULL KUMITE FINALE is exclusively opened to the 2 QUALIFIER FINALISTS and to the 14 GUEST PLAYERS (hereafter referred to as the KUMITE FINALISTS). The list of 14 GUEST PLAYERS is available on the website The KUMITE FINALIST has to arrive at the EVENT venue on the day of the RED BULL FINALE between 10:00 and 11:00 am If the PLAYER is missing at 11:15, the ORGANISER is entitled to cancel the registration of this KUMITE FINALIST and to reallocate his or her ticket; the KUMITE FINALIST shall not be entitled to any refund or compensation Each KUMITE FINALIST is allowed to train (freeplay) between 11:00 and 13:00 at the EVENT s venue. During this training period, the KUMITE FINALISTS must strictly observe the directives given by the competition manager and by the safety personnel. Anyone failing to observe these directives may be disqualified The names of the REB BULL KUMITE FINALE winners will only be disclosed on Sunday April 24, 2016 around 22: RED BULL KUMITE FINALE PROGRAM This program may be modified on the ORGANISER s decision as a function of the real duration of the COMPETITION. ARTICLE 4: SET OF RULES FOR THE COMPETITION.1 General running of the COMPETITION The tournament: the COMPETITION (RED BULL KUMITE OPEN-QUALIFIER and RED BULL KUMITE FINALE) is a double elimination tournament (called double bracket ). At each stage of the COMPETITION, each PLAYER is to fight against one other PLAYER only during a play (the PLAY). A play is made up of several matches where PLAYERS fight against each other during Rounds (best of 3 rounds)) : Victory and defeat: to win a PLAY, a PLAYER must be the 1 st of the 2 PLAYERS to win 2 matches; except for the last 4 plays of the RED BULL KUMITE OPEN-QUALIFIER and the RED BULL KUMITE FINALE where, to win a PLAY, a PLAYER must be the 1 st of the 2 PLAYERS to win 3 matches. According to the accepted terms, only the Red Bull Kumite finale winner bracket, finale loser bracket, grand finale loser bracket, OPEN QUALIFIER and the Red Bull Kumite grand finale will be played in 3 winning matches At the end of each PLAY, the winning PLAYER remains in the winning tournament tree («winner bracket»); the losing PLAYER moves to the losing tournament tree («loser bracket»). When a PLAYER is the loser in the losing tournament s tree, he is permanently eliminated from the COMPETITION Duty to be on time: the PLAYER must check in on due time for the launch of his PLAY. If, after several calls, a PLAYER fails to check in for his PLAY at the announced time, the other PLAYER of the PLAY will be considered as the default winner of the PLAY. In the case of a winner bracket PLAY, the PLAYER is sent to the loser bracket. In the case of a loser bracket PLAY, he will be disqualified from the COMPETITION OPEN-QUALIFIER PLAYERS distribution in the Tournament tree: the 256 OPEN-QUALIFIER PLAYERS are distributed at random in 16 pools of 16 PLAYERs. THE ORGANISER will appoint 32 PLAYERS as heads of series among the 256 OPEN-QUALIFIER PLAYERS who will be distributed in twos in each one of the pools (see appendix 1). At the end of this phase, the best 2 OPEN-QUALIFIER PLAYERS of each pool (1 of which from the winner bracket and the other from the loser bracket); i.e. 32 PLAYERS in total, will fight against each other according to the same tournament mode. Initially, the PLAYERS are distributed at random as shown on the challonge.com website. THE ORGANISER shall be held harmless for the website operation RED BULL KUMITE FINALISTS distribution in the Tournament tree: the tournament tree of the 16 RED BULL KUMITE FINALISTS shall be set up by random drawing on the day of the RED BULL KUMITE FINALE Depending on their classification order in the tournament, the 2 OPEN-QUALIFIER FINALISTS and the 4 best RED BULL KUMITE FINALISTS will receive a sum from THE ORGANISER, as described below, according to the modalities having been jointly defined between the ORGANISER and the actual PLAYERS: OPEN-QUALIFIER FINALISTS: NO.1: 1, , all-inclusive/ No. 2: , all-inclusive. RED BULL KUMITE FINALISTS: No. 1: 6,000.00, all-inclusive/ No. 2: 2, , all inclusive. /No. 3: 1, , all-inclusive/ No. 4: , all inclusive Behaviour duty: PLAYERS must have an exemplary behaviour during the EVENT, particularly during the COMPETITION phases. Withholding other competitors, pushing them away, hitting them or impeding them in any way shall result in their disqualification. The COMPETITION manager is entitled to disqualify any participant. The Tournament Manager s decision shall be final and without any right of appeal. 4.2 Set of rules for the matches: The ORGANISER will appoint referees who will look after the proper running of the tournaments. Save otherwise specified by the ORGANISER, the referee shall be the only person having a say on the sports choices related to the tournament, during matches. No match is to be launched without the referee s prior

5 consent The side (player 1, player 2) will be chosen before each PLAY. After concertation, in the absence of any agreement, the PLAYERS s side will be chosen using the stone-page-scissors system («shi-fu-mi») before the referee s eyes. The winning PLAYER will choose his side (player 1 or player 2) The stage (the virtual setting of the video game where the fight is to take place) will compulsorily be chosen by selecting the RANDOM option. No forced choice of stage shall be accepted. However, if the 2 PLAYERS have agreed beforehand to choose a particular stage, they will be allowed to select it manually Choosing characters. PLAYERS are allowed to change character between each PLAY. If, before the start of the PLAY, the two PLAYERS have not managed to decide together which character is to be their first character, they will request a «blind pick» from the referee: the two PLAYERS shall then give the name of their «first character for the PLAY» to the referee who will check if they have met their commitment. During the same PLAY, only the PLAYER who has lost a match can change character for the following match. The winning PLAYER has to keep the same character which enabled him to win PLAYERS must configure their buttons and check their proper operation during a testing game before the official start of the PLAY. No button configuration change shall be tolerated once the official match has been launched, which PLAYERS accept now Any voluntary or involuntary break caused by a PLAYER or by his own equipment, except for any problem related to the game console, shall result in the loss of the round for the actual PLAYER, without any possible argument Should any VIDEO GAME software, console or internet connection related incident (the incident) happen to interrupt a PLAY or a match, the following rules should be applied: If the incident takes place during the first round of a match, the match will restart from the beginning, but the set score of the PLAY (in terms of match) will be kept. If the incident takes place during the second round, the match will be resumed (lines from CA to 0). If the leading PLAYER of a round wins the first round of this new match, he/she will get the point. If appropriate, the second PLAYER will be the winner of the 2 rounds of this new match to get the point. If the incident takes place during the third round of a match, a new match (lines from CA to 0) will be started to decide on the PLAYERS score. The winner of the first round of this match will get the point. ARTICLE 5: RULES ABOUT THE EQUIPMENT USED FOR THE COMPETITION 5.1. AVAILABLE EQUIPMENT: the CONSOLE, the VIDEO GAME and the screens shall be supplied free of charge by the ORGANISER for the EVENT. Sticks arcade PS4 MadCatz TE+ and/or TE2+ can be lent on site by any PLAYER who needs some. 5.2: Damage: any PLAYER who damages any elements placed at the disposal of the PLAYERS by the ORGANISER for the EVENT shall have to repair and/or shall be prosecuted. 5.3: Prohibited equipment: The following equipment items are prohibited: - PS3-only compatible equipment, pads or sticks arcade are prohibited. - CronusMax type adapters - Brook type adapters are prohibited, except if they have been updated. 5.4 All the PLAYERS who use a PS4 pad must imperatively disconnect it from the PS4 being used after each PLAY. In case of disconnection, if the PLAYER interferes with another match with his own still connected pad (by pressing the «home» button), he will be declared as forfeited for his next PLAY. ARTICLE 6 LIMITED LIABILITY The ORGANISER or Red Bull shall under no circumstance be held liable for deciding whether the PLAYERS are sufficiently fit physically and do not run any risk in registering for the EVENT. It is recommended to the

6 PLAYERS to refer to their general practitioner to test their aptitude to participate in the EVENT. The PLAYERS acknowledge that they voluntarily and freely support all non-lethal risks in relation to their participation in the EVENT and undertake to observe any reasonable instructions given by the ORGANISER S personnel or more generally by any authorized person. Therefore, the ORGANISER or Red Bull France's liability shall be excluded for all direct or indirect damages liable to result from the EVENT subject to this set of rules, except in the case of gross or intentional misconduct. Each participant is to sign a liability release before the start of the competition to take part in the COMPETITION. ARTICLE 7: PUBLISHING INTELLECTUAL PROPERTY 7.1 Participants in the COMPETITION authorize the ORGANISER and Red Bull to publish their personal details (Surname/Forename/Nickname) and their image without any other right, compensation or indemnity. If necessary, this operation shall be governed by the provisions of the French law «Informatique et Libertés» No of January 6, 1978, which includes in particular, for the benefit of the participants, the right of access, rectification or removal of any information about them on all files to be used by the organizing company, as well as the right to oppose the transfer thereof, by writing by , by fax or by post. 7.2 Furthermore, the participants in the competition authorize Red Bull to take photographs and audiovisual shots of the EVENT and consequently authorizes them to freely and partly or entirely broadcast in all media, including on their website and social media, on any medium or promotional elements of their choice worldwide and during the legal time provided by the intellectual property right. In this respect, Red Bull shall be the sole owner of the photographs and shots it will produce. ARTICLE 8: FORCE MAJEURE / EXTENSION RESERVE The organizing company shall be held harmless if, in any force majeure event or outside its control, this COMPETITION had to be modified, shortened or cancelled. In any case, it reserves the right to extend the participation period and to postpone any announced date and/or time. The following events are defined as force majeure events: safety measures, attacks or threats of attacks or any other unpredictable and irresistible events or not wanted by the parties, if the ORGANISER expects a wrong running of the EVENT. Any modification of this set of rules, including in the case of a force majeure event, may be published by way of an announcement on the EVENT website or by way of a display at the time of the EVENT and at the court bailiff s office, the details of which are given in the article 11 of this set of rules. They shall be considered as appendices to this set of rules. Any participant shall be deemed as having accepted the change or modification from the date of its entry into effect, by his actual participation in the EVENT. ARTICLE 9: APPLICABLE LAW AND INTERPRETATION The COMPETITION shall be exclusively governed by the French law. Any question on the application or interpretation of the set of rules or any unexpected question likely to arise shall be settled sovereignly, without any possible appeal, by the organizing company or by the COMPETITION Manager as a function of the nature of the question, in observance of the French Law. ARTICLE 10: RIGHT TO PARTICIPATE 10.1 Awards shall not be objected to in any way by the winners and shall not be replaced or exchanged on any ground. The ORGANISER reserves the right to replace any award, partly or entirely, with other awards having a value at least equivalent in case of any external difficulty in obtaining what had be announced; Prices shall comprise what is indicated, excluding anything else. All other expenses, namely personal expenses, drinks at the bar or other drinks than the drinks served on the table and included in the price, and generally anything chosen by the participants outside what is

7 planned, shall be at their expense None of the expenses incurred to participate in the COMPETITION shall be refunded, in particular the cost of registration, the cost of the equipment required for the participation, possible repairs, transport to the COMPETITION venue, accommodation and meals, postage or Internet connection costs. All expenses of any nature incurred by the participants to take part in the COMPETITION shall be paid by them and they shall not be allowed to request the refund of any of them, either partly or entirely, by the ORGANISER or Red Bull. ARTICLE 11: ACCEPTANCE OF THE SET OF RULES/FILING Participation in the COMPETITION implies the pure and mere acceptance of this entire set of rules, which is worth an agreement. This set of rules may be consulted on the website and on site on the day of the COMPETITION. 8 APPENDIX 1 PLAYERS DISTRIBUTION RED BULL KUMITE OPEN-QUALIFIER The OPEN-QUALIFIER PLAYERS shall be placed in the tournament tree on the challonge.com website, where the full tournament tree will be available under the name of «Red Bull Kumite Open Qualifier 2016 POOLS», no later than 1 hour before the start of the RED BULL KUMITE-OPEN QUALIFIER EVENT; The «Red Bull Kumite OPEN-QUALIFIER» COMPETITION is a double elimination tournament involving 256 PLAYERs. The tournament is broken down in two phases: The «Group Stage» phase, where the 256 OPEN-QUALIFIER PLAYRS are distributed into 16 pools where they fight in a double elimination «mini-tournament» of 16 PLAYERS. The «Final Stage» phase, where the 2 best PLAYERS in each pool (32 PLAYERS in total) fight in a final double elimination TOP 32 final. 1) Group Stage 32 PLAYERS will be selected as «heads of series», the classified (by the ORGANISER) by head of series level order from 1 to 32, «1» being the head of series No. 1 of the tournament. The heads of series shall then be distributed as follows in each pool, with a tournament being created on the challonge.com website: Pool A: 1 & 32 Pool B: 2 & 31 Pool C: 3 & 30 Pool D: 4 & 29 Pool E: 5 & 28 Pool F: 6 & 27 Pool G: 7 & 26 Pool H: 8 & 25 Pool I: 9 & 24 Pool J: 10 & 23 Pool K: 11 & 22 Pool L: 12 & 21 Pool M: 13 & 20 Pool N: 14 & 19 Pool O: 15 & 18 Pool P: 16 & 17 The 224 remaining OPEN-QUALIFIER PLAYERS will be distributed at random in the 16 pools, each one thus containing 16 PLAYERS. Each pool is a double elimination mini-tournament of 16 PLAYERS. The winning OPEN-QUALIFIER PLAYER of the winner bracket and the winner of the loser bracket will be qualified for the «Final Stage». 2) Final Stage 32 PLAYERS fight against each other in the Final Stage (Red Bull Kumite Open Qualifier 2016 TOP 32). 16 PLAYERS from the winners' bracket of their pool will move to the 1/8 finals of the Winners' Bracket. 16 PLAYERS from the losers' bracket of their pool will move to the 1/8 finals of the Losers' Bracket (Losers' Round 1). They will be placed in the following order in a new double elimination tree created on the challonge.com website: Pool A against Pool P Pool H against Pool I Pool D against Pool M Pool E against Pool L Pool C against Pool N Pool F against Pool K Pool B against Pool O Pool G against Pool J
