President s remarks and Introduction of the Board Jim Mann President Mann introduced the Board of Directors and recognized the new incoming Directors as follows: Mel Lungle, Region 1 George Horner, Region 3 Jim Day, Region 7 Chris Daw, Region 11 President Mann recognized the contributions made by outgoing Directors and presented each with a plaque of recognition from Curl BC. Outgoing Directors are as follows: Gerry Foster Region 1 Donna Stuike Region 3 Pat Cotter Region 7 Bev Oldham Region 11 President Mann reviewed the goals and objectives of the Board of Directors over the past year and the progress made on each to date. 3 Board Goals : Migrate to a Governance model that is policy driven, instead of an Operational one Implement a Board committee structure that allowed committees to do the work of the Board for whole Board approval Reduce the size and authority of the Executive Committee Addressing long discussed changes in playdown structures Changing the balance of perceived focus from competition to curling development Stabilizing our financial operations and growing revenue Establishing a long-term legacy fund to begin reducing dependency on Government Board Accomplishments: Governance Model about 75% complete Committees now bringing proposals to the Board for consideration Executive no longer have elected Secretary and Treasurer, and function like other committees Playdowns ongoing process but positive change has been undertaken and is being implemented Focus significant work in participation programs such as Capital One Rocks & Rings Finances revenue growth and positive reports Legacy Funding established the Curling for Life Endowment Fund Board Key Challenges: Governance complete policy transition Communications improvements between owners and association Working Relationships improvements between owners and association Bylaws and administrative structure initiate a detailed review 6. Presentation and Approval of the 2010/11 Financial Statements Marnie Jepsen, Vice-President Treasurer Marnie Jepsen presented the audited financial statements and reported a surplus of $68,475. The Auditor offered a clean opinion and no management recommendations. MOTION: To accept the financial statements for 2010/11 as presented. Motion on Bylaw Changes Jim Mann That the recommended changes to the Curl BC Bylaws be accepted as presented by the Board of Directors MOVED Terry Vandale SECONDED Mike West President Mann reviewed the proposed changes three areas of potential change: membership classes; gender status; and, general terminology. An explanation of each proposed change was provided by President Mann and can be found in the attached documentation detailing each bylaw change. 10. Motion on Life Membership Liz Goldenberg In recognition of his lifetime of participation in the sport of curling: 1964 World Men s Championship (Lyall Dagg Team) 1976 Induction into BC Sports Hall of Fame as part of the Lyall Dagg Team, 1977 BC Men s Championship (Roy Vintners Team), 1978 BC Men s Championship title (Bernie Sparks Team), 2001 Recipient of Curl BC Volunteer of the Year Award 29 Years Coaching Blind Curling teams won a Western Canada Championship The Awards Committee recommends that Leo Hebert be awarded Life Membership in Curl BC. 6 Report of the Governance and Strategic Planning Committee on ByLaw Changes Motion: Subject to the approval of the Registrar, be it resolved that the Board of Directors recommends the following changes to the Curl BC Bylaws to the membership at the Annual General Meeting: Amend Bylaw Part 1 paragraph 1. to add Item h. to read: h. Governor shall have the same meaning as Director as defined in the Society Act. Amend Bylaw Part 2 Paragraph 4 from: 4. Membership in the society shall be divided into three classes, namely: a. Member facilities b. Life Members c. Honorary Life members Amendment September 16, 2006 To 4. Membership in the society shall be divided into five classes, namely: a. Member facilities b. Life Members c. Honorary Life Members Amendment September 16, 2006 d. Affiliated Curlers e. Affiliated Associations Add a new Bylaw Paragraph 10 and renumber the subsequent paragraphs accordingly: 10. Any association or organized group whose primary purpose is the advancement or development of the sport of curling, whose members are affiliated curlers and who is not eligible to become a member facility may apply to the directors for membership in the society and on acceptance by the directors as an affiliated association. Affiliated associations shall be entitled to all the privileges of membership in the society, save and except voting at any meeting of the society. Amend the current bylaw paragraph 12 from: 12. Each member facility shall annually submit to the society a list of all curlers participating in regularly organized curling activities within its facilities. to: 12. These curlers shall be affiliated curlers and shall be entitled to all the privileges of membership in the society, save and except voting at any meeting of the society (except as a delegate). 7 Amend the current Bylaw paragraph 21 from: Each member facility in good standing shall appoint one female and one male delegate to attend and represent the facility at all meetings of the society, but each set of female and male delegates shall together hold only one vote at meetings. Each member facility shall inform the secretary of the society in writing of the names and addresses of its female delegate and its male delegate prior to the commencement of any meeting. to Each member facility in good standing shall appoint one delegate to attend and represent the facility at all meetings of the society. Amend the current Bylaw paragraph 22.e from: The respective member facilities within regions 1 through 10 shall elect one female and one male region representative and shall further each elect one of those region representatives as directors of the society. to The respective member facilities within regions 1 through 10 shall elect two region representatives and shall further elect one of those region representatives as a governor of the society. Amend the current Bylaw paragraph 22.f from: The member facilities within region 11 shall elect four female and four male region representative and shall further elect four of those region representatives as directors of the society. to The respective member facilities within region 11 shall elect eight region representatives and shall further elect four of those region representatives as a governor of the society. Wherever they appear in the current bylaws: o Director shall be amended to Governor ; o Directors shall be amended to Governors ; o Board of Directors shall be amended to Board of Governors ; o President shall be amended to Chair ; o Vice President shall be amended to Vice Chair ; o Chair shall be amended to Meeting Chair. 8 Rationale At the January Board meeting, the Board approved looking at bylaw changes addressing three areas of potential change: Membership classes; Gender status; and General terminology. Membership Classes The bylaws currently define three membership classes: Member facilities (the voting members); Life members (non-voting); and Honorary life members (non-voting). The objective in this area was to look at a membership class to include affiliated curlers i.e., curlers affiliated with a member facilities in good standing or a curler participating in regularly organized curling activities within a member facility as well as a membership class to include other curling associations as recognized in policy such as BC High School Curling, Fireman s Curling, BCIMCA, PCMA, BC Stick Curling Association, etc. This is also going to be required to satisfy changing requirements at the national level and potentially provincial government level recognizing and accounting for individuals. As section 7(2) of the BC Societies Act states that A society may have non-voting members but their number must not exceed the number of voting members and as it is our intent that the member facilities remain as the voting members, the addition of these two other class as non-voting members requires a waiver from the Registrar. A letter has been sent to the Registrar requesting a waiver on this requirement similar to that of other Provincial Sport Organizations (PSOs). Gender Status The current bylaws require member facilities to send one female representative and one male representative to each meeting (although together they only have one vote) and also to elect an equal number of male and female regional representatives. While this was a requirement during the merger of the BCLCA, BCICA and PCCA, member facilities and regional meetings have requested that the gender requirements for club delegates and regional representatives be eliminated and that only one delegate need represent a member facility. General Terminology In line with the Board s direction to become a governance board instead of an operating board, the terminology stated in the bylaws should be modified to be consistent with governance terminology. 9 Report to Curl BC Annual General Meeting June 11, 2011 It is with great pleasure that I present this report to CURL BC on behalf of the CCA Board of Governors. Over the past five years I have had the privilege to serve as your liaison and have enjoyed the opportunity for consultation and dialogue. Now in my final year on the CCA Board and as the Board Chair I am pleased to attend your AGM once again. The CCA Board and CEO Greg Stremlaw have had a very busy year. Our success on the world curling scene was fantastic 5 gold and 2 silver out of 10 international championships - what more could you ask for. We also saw increased traffic on the CCA s primary website ( with over 10,000,000 page views this past season. The CCA also launched a comprehensive social media platform (face book, twitter, you tube) which increased our profile to the curling world. TSN reported that the 2011 Brier was the most watched overall Brier in history. Viewership was up 13% from last year. Similarly, the Ford Men s World Championships were the most watched Worlds in Canadian television history. A brief outline of this year s activities, in no order of importance, is Curling Assistance Program (CAP), initiated this year, received 142 applications; 28 affiliated curling centres were recipients. British Columbia successful applicants received about $29K representing over 10% of the available funds. Progress has been made on having important CCA documents translated in both official languages; To date, the Board Policy Registry, the CCA s Business Plan & Organizational Strategy, and the CCA s audited financial statements have all be added to the extensive documentation that is published in both official languages. Tim Horton s Sponsorship Contract has been renewed for the Canadian Men s Championship ( ) and Canadian Curling Trials ( ) Ford Sponsorship Contract has been renewed to Jet Ice was signed as a national business partner of the CCA Dominion Insurance was negotiated to extend their national sponsorship agreement and to be the CCA s exclusive insurance provider. All other national title and presenting sponsors as well as supplier contract extend through the 2012 season with some to 2015 and more in final negotiations as we speak. The inaugural Winter Youth Olympics will take place in January 2012 at Innsbrook, Austria. The four young Canadians who will represent Canada are Emily Gray, PEI, Corryn Brown, BC, Derek Oryniak, Man., and Thomas Scoffin, Yukon. Helen Radford was appointed as the CCA coach. I had the pleasure of meeting these fine young people at the Ford Men s Worlds in Regina 7 they will be great ambassadors for Canada! The CCA s NCC begins on June 16, 2011 and the CCA AGM concludes the proceedings on Saturday June 18, 2011 with a very full agenda and several notices for consideration. On a different note, the brand new Canadian Sports Hall of Fame will open its doors on July 1, 2011 at Canada Olympic Park in Calgary, Alberta. This is very exciting for curling as we were selected to have one of seven main statues on the second floor. Sandra Schmirler was chosen as our key athlete for the statue. If you are vacationing in Calgary, drop by the centre and let me know your impressions. This is just a brief synopsis of our year. 10 Report to Curl BC Annual General Meeting Submitted by Neil Houston, CCA There are 3 important national and international events in the 2011/2012 season in BC that while creating great exposure for the sport, will cause some challenges with the number of people required to stage events and scheduling challenges for all of the playdowns that take place. I think that everyone knows that in order they are the Canada Cup, Continental Cup and the Canadian Seniors. The first 2 are televised on TSN and I know that the committee for the Seniors understands how important having a television presence would assist them in various areas. For the 2 Cups, there will be a lot of tv airtime showcasing BC. For the Canada Cup there will be 12 Hours and for the Continental Cup there are 30 hours. These are the type of hours that other sports are envious of and something that we have to and want to continue to strive for, for a number of reasons. These include the overall profile of the sport, the inclusion of high-profile companies through sponsorship programs, the involvement of volunteers and the increased participation at the Club level. All 3 of these events are important to us for specific reasons. The Canada Cup has an important role in the qualification process towards ultimately the 2014 Olympic Winter Games. The Continental Cup was originally begun as a request from IOC to the WCF to stage something other than just World championships which is what other sports do. One of the results from the Continental Cup and the success of 2010 is that the IOC is prepared to accept another curling discipline into the Games when the WCF submits their request. As for the Seniors, a lot of us are eligible for this competition and so no more need be said. The Seniors is the most competitive competition in the CCA championships over the last number of years. As things are always evolving, the CCA event managers have been discussing new ways to integrate Championships and curling clubs. At the moment, there are two avenues that are being explored. In recent times, there has been an increase in the interest of the Cool Curling competitions that occur at championships. For those that don t know, these are curling shuffleboard competitions that occur most days in the Patch with daily cash prizes being played for and a championship game on the final weekend with 600 to the winner. What we are working on this summer, it to get Cool Curling into the clubs so that each club can have a representative attend the championship and compete against the other club champions. The individual winners would receive money and the club that the individual represents would receive a cash prize as well. The other competition is similar in concept but will be an on-ice hot shots competition with similar cash prizes offered as well. The reason for trying to engage clubs more is to ensure that the curlers in each club know about the event with the hope being that ticket sales will make their intended targets. The more spectators that attend events will lead to better chances of financial success of events which leads to more funds remaining in the local community which can be used to further develop the sport. If things come together as hoped, clubs will be notified during the summer of the details of these initiatives. Curl BC Annual General Meeting, June 11, 2011 Page 10 of 10
