1 PERIDIA GOLF AND COUNTRY CLUB Board of Director s Meeting October 26, 2015 MINUTES 1 President Kirkpatrick called the meeting of the Board of Directors of the Peridia Property Owners Association, Inc. to order at approximately 1:30 p.m. Master Board members present were: Dennis Campbell, Dale Downs, Bill Handy, Gene McShea, Cliff Miller, Andy Olsen, and Phil Vernieri. Quorum was met. Dave Miller was not in attendance. GM Tom Donato also attended the meeting. Recognition of the Audience Kirkpatrick welcomed the rather small audience. Kirkpatrick also thanked McShea for running the September BOD meeting. Changes to the Agenda Parking of Commercial Vehicles Car Show Approval of Minutes Kirkpatrick asked if Board members have had a chance to read the September 28, 2015, BOD minutes. He asked for additions and corrections. Handy stated that a few minor spelling typos that needed changing, but that the changes would not affect the content of the minutes. Action Taken: A motion was made by C. Miller and seconded by A. Olsen to accept the amended September Minutes. The motion was approved unanimously. Treasurer s Report Director Campbell Director Campbell stressed a couple of items of concern from his written report. 1. The continued shortfall in golf revenues is affecting our budget. 2. The Clubhouse was $12,000 over the expenses budget in September. Campbell asked GM Donato to explain why. Donato began by listing specific items that put the Clubhouse over budget. 1. $5600 in Food Costs 2. $400 - $500 in Promotional Freebees 3. $1,000 for new staff uniforms 4. $3786 in wages that includes $2720 added because the Clubhouse is open more hours, more days. 5. $800 for overtime wages paid until new staff could be trained. 6. $743 for Walk-in Cooler repair. It had been frozen for two days. 7. Food Pricing has been lowered which has increased our Covers yet increased food costs. We are where we should be; yet Donato is still working with the chef to get costs down. Campbell then stated that a change in IRS rules disallowed about $27,000 of expenses that in past years were budgeted for capital funds, all of a sudden must go against operational expenses in this years tax filing. Donato listed the items that we couldn t capitalize. 1. The bridge repair 2. Peridia Blvd Speed bump paver repairs 3. Pool Heater replacement A concern about Member and Guest Rounds was discussed. Campbell had mentioned the weather in September hurt our numbers for 2015, but Donato mentioned that the numbers aren t far off from September of The course had been renovated over the summer of Donato mentioned that we have a new Public League, an outside golf tournament function by the Moose Club will be held on Saturday, November 14. Since that event coincides with the Fine Arts Extravaganza, Donato will prepare for parking concerns. Action Taken: A motion was made by D. Downs and seconded by A. Olsen to accept the September Treasurer s Report. The motion was approved unanimously.

2 General Manager s Report Tom Donato, GM (The items below are a combination of Donato s written report and comments added during the meeting.) 2 A. Club House 1. Termite tenting is scheduled for the 23 rd of December. The Clubhouse will close at 6 pm on the 22 nd and re-open on the 27 th for Sunday Brunch. I have arranged to have portable cooler and freezer setup in the parking lot so there will be no food spoilage. All food from the Walk-in Cooler and Freezer will be put in portable Cooling Trailers at a cost of $600 per trailer. 2. Our kitchen air conditioning system is not adequate to handle the heat that is given off from the hot line equipment; a. The temperature reading is 104 degrees during lunch and dinner service. b. An engineer looked at the system and indicated i. The 5 ton unit is too small ii. The air handler is too small, iii. The return ducts are in the wrong location iv. The airflow is insufficient for the square footage in that area. c. His recommendation is to change out the 5-ton with a 10-ton unit, add two air returns and additional ducts work. Donato is talking with the engineer about adding a second 5-ton unit and keeping the current unit. d. Three companies recommended by the engineer i. Veteran Air (price still to come) ii. McDonald and Sons (price still to come) iii. Badger Bob s (price was $15,000 for a 10-ton unit) e. This is a project that will need to be addressed in the spring when the temperature is back up in the 100 s. B. Grounds 1. The deck around the pool had lights that no longer worked James replaced them before we start having pool side parties this season, like the Welcome Back Event. ($600 for 8 lights) 2. Our first bid for replacing the lights in the fountain in the front of the Clubhouse is $3,200. James and Donato are looking into doing the work themselves we believe we can purchase the lights and install them for around $1, James is re-staining the Bridge and the Bulkheads; work should be done by the middle of November. C. Golf Operations 1. Our Thursday and Saturday Golf and Lunch special has been a huge success. During the month of September we increased our rounds by 55% over our normal play. In October, not including the 31 st, we have doubled our rounds. With this being a success we will get back to it in May and run it thru the summer to help generate dollars. We have added four additional days to the program and are now calling it Wings and Fries this program will end on the 6 th of November. We are marketing this through GolfNow using their data base for this area and through our own data base, which includes our members. 2. The month of September the Pro Shop sold $3 Charitee tickets, the breakdown was 142 redeemed for beer; 6 redeemed for sodas, 3 Gift Certificate winners and 1 Hole in One Winner, Darrow Steinheimer, on 9/5/2015. Total 151 tickets redeemed. McShea wanted to know how much was given to the Manatee County Food Bank. Handy suggested we advertise the running total in the Pro Shop. It may help to drum up more business. D. Golf Course Maintenance Department 1. Ray verticut the greens earlier this month and plans to verticut them again by the end of the month. This maintenance program will turn the greens an off color but will return to the healthy green look in just 4 to 5 days. 2. Over seeding of the fairways will start on Tuesday, November 3 rd at noon and continue on the Wednesday the 4 th and Thursday the 5 th. The course will close on Tuesday and Wednesday at noon and will be closed all day on Thursday. There will be no Nine and Dine that day.

3 3 Campbell asked if we do our own reseeding or do we hire an outside contractor. Donato felt it was Ray s team that did the work. An outside contractor would cost more but would probably finish in one day. Ray uses two days, 2 half days plus a whole day. The two half days are Golf League Days so we still gain member revenue. 3. RE-PEAT FROM LAST MONTH: Our lakes have all been treated by the Lake Doctor to help control the heavy outbreak of underwater weeds. This summer we have had a lot of rain and our lakes have taken a beating, so please be patient with the Lake Doctor he will bring our lakes back to normal in a few months. F. Food & Beverage Department 1. Our program Free Beer with 18 Holes of Golf served 792 beers in the month of September of those 792 there were 313 upgrades to pints for an additional $1.00 per pint for $313 up charge. Cost to Promotions $ Our Sunday Brunch numbers are down on an average of 31 covers a week, for September. I believe that is a result of the increase in pricing. The lunch entrée may be the problem. We ll make some changes and additions to what we offer in hopes to bring people back. G. New Business 1. Neighborhood Watch Signs: I have had a request to allow neighborhood watch signs to be placed at each entrance of the community. a. Member, Ginny Lighthizer, added the following details: i. Manatee County Sheriff mentioned at one of our events that we ought to put up Neighborhood Watch Signs as a deterrent to crime. ii. We need signs for 4 entrances. iii. Cost per 12 by 18 metal sign: $22.99 iv. They have the signs in Fairfax. b. Location of the signs will need to be decided. Action Taken: A motion was made by G. McShea and seconded by C. Miller to purchase 4 signs with posts with a total cost of $125. The motion was approved unanimously. 2. Noise Ordinance Complaint a. Donato met with the officer who first warned The Club about the noise complaint. b. The officer explained specifics about Noise Ordinance c. The misconception is: Mowing is not allowed before 7 am in Manatee County. d. The fact is: Mowing between 10 pm and 7 am must be under 55 decibels. e. When the officer cited us, we had 3 mowers working at the same time, and were measured at 62 decibels. f. GM Donato and Ray Bartels, Golf Course Superintendent, decided to: i. Put new mufflers on the older mowers ii. Staggered the mowers so there is only one on any hole at a time. g. If it s necessary for the officer to come out again, we could be fined $200 if the noise level is still over 55 decibels. Donato believes it won t be with the new modifications. Director Vernieri pointed out to the audience that if we cannot mow starting at 6 am, the Club will lose an hour of prime starting times and therefore the hour from 7 am 8 am to make revenue, Vernieri estimated approximately thousand dollars for the year. Donato mentioned that we originally tried to mow the back nine first, which kept the noise away from the complaint zone. It really doesn t work well because golfers wait longer on Hole 10 because many think they can drive the green, which is again costing us revenue. Donato is working on another idea: Electric Greens mowers. He has a demonstration scheduled. We may need three of them at $20,000 a piece. It all depends on the decibels. Campbell questioned why we need three of them. He stated that we would only need one to mow on the greens located near the complaint zone. Donato said he would consider that. He really doesn t want to spend any more money to solve the problem. McShea asked about getting a decibel meter to test the noise. Donato claimed the meters were very costly. Kirkpatrick added that the meter records all the cumulative noise in the area not just the mowers. When

4 4 the meter is turned on the needle rises above zero measuring road noise from Rt. 70 and 45 th street. It adds decibels from trash trucks and even the noise from all the mowers around the course. We just have to hope we don t reach 55 decibels around Hole number 3. Kirkpatrick corrected a rumor that we had already been fined. We received only a warning citation after the complaint. The next time the officer receives a complaint, if we are above the 55 decibels, we could receive a $200 fine. Member Tom Andreacci stated that he knows a Peridia member that has equipment for measuring decibels. He offered to meet with Donato after today s meeting. Kirkpatrick reminded the audience that a letter to the Board or GM that is signed Anonymous cannot be addressed. We know not who to contact to discuss the complaint. We try to fix what we can, we will listen to you, but you must sign your name if you want to be part of the solution. Board Matters A. BOD Meeting Schedule Update: 1. November Meeting - 23rd 2. December Meeting changed to December 14, 2015 B. Parking of Commercial Vehicles: Vernieri stated that Peridia Isles had an issue with a resident parking a vehicle with advertising on the outside of the car in the driveway. They contacted the neighbor who solved the problem by backing the car into the driveway, which hid the ads from the street. Not all members cooperate with similar requests. Vernieri wants to know more about the rules when these situations arise. He asked if Manatee County has ordinances for commercial vehicles that will help with a member who ignores HOA rules. Kirkpatrick presumed that all our component associations have similar rules for commercial vehicles. Sandy Myles, a member, mentioned that the County s rule is that a commercial vehicle cannot be parked at one spot in the street for more than 48 hours. She didn t believe the County gets involved with what s parked in your driveway. The neighbor in question corrected the problem for a while, but has recently ignored the rule. Handy asked for a logical reason for the rule. Andreacci explained that this is a residential neighborhood. Commercial vehicles may naturally be here during the time they are rendering their service. They are not to be visible even in the driveways if they are not performing their service. The idea is to keep the image of Peridia as a residential community, not every members place to advertise their personal business. Kirkpatrick stated that it is each HOA s responsibility to address the issue. C. Car Show: Kirkpatrick would like Peridia to add a Car Show to it s event calendar, perhaps in February. He wants it to add nothing to our expense budget. He is willing to donate/recycle some trophies he s won in the past for his antique car. He d like to play 50 s and 60 s music, perhaps bring a grill out and sell burgers and dogs while visitors check out the vehicles. He d plan it on a Saturday afternoon up by the clubhouse so as not to interfere with golfers parking. Campbell asked for a business proposal with more specifics, including how many cars, potential costs of advertising, parking plan, etc. Campbell hopes it will not interfere with golf revenue. Kirkpatrick assured Campbell he has no intention of interfering with the golfers. Audience Concerns 1. Lighthizer informed the BOD that there has been some mischief going on in the neighborhood including, firecrackers and doorbell ringing. She talked with the Sheriff s Dept. They will put on some additional patrols on our streets. 2. A member from Presidential was concerned about erosion of the lake bank behind his home. Kirkpatrick stated that we are looking at the budget for It is part of our Long Range Planning. If we can take care of additional lakes similar to how we fixed the lake between the 18 th green and the first tee box, the engineers we hire will determine which areas need immediate fixing. To fix the remaining lakes will cost $450,000. The experts will prioritize the process. 3. Pam Wallace would like to see more Peridia members attend the BOD Meetings. She would like the BOD to purchase signs to post around Peridia to let members remind members about the BOD

5 5 meetings. She realizes that the meeting dates are posted by the Clubhouse front door, in the scorecard monthly calendar, on the Peridia TV Show, etc. She thinks it would be more welcoming if we posted signs around the community. Kirkpatrick added that members are always welcome, the more the merrier. Campbell responded, If people want to be involved in the meetings, they ll search it out and get involved. Members have no problems finding the time to play bridge, mahjong, and golf. If people want to do it they search out the date and the time. You can lead a horse to water, but you can t make them drink and I think your asking the Board to make them drink. I m sorry, but that s how I feel. Kirkpatrick added, The meetings are normally the fourth Monday of the month. Wallace reiterated, that she d just like to see more members attend the meetings like when we have the Annual Meetings. 4. A member asked if the pool could be used when the building is being tented for termites. a. Donato said he d find out for sure. b. Most Board Members felt the pool would be closed.
