Members and guests are expected to be familiar with these Rules and Regulations, uphold these expectations and are encouraged to act in a manner consistent with good taste. As a group of like-minded people coming together for social purposes, our expectation of one another is that each individual Member must behave in a fashion that is safe, legal and respectful of their fellow Members. Members, their families and guests shall abide by this guiding expectation and ensure their use of the Club should be complimentary to the experience of their fellow Members and guests. Note: Nothing in the Rules and Regulations document shall be construed or interpreted as superseding the Club s Amended and Restored Membership Plan and Bylaws (MP&B), agreements or official documents and forms of the Club, as amended from time to time. 2

3 GENERAL CLUB RULES TREATMENT OF STAFF: 1. Members and their guests may not abuse, threaten, harass or demean any of the Club's employees or subcontractors (including caddies) (collectively referred to herein as the Staff ), verbally or otherwise. All Staff of the Club are under the supervision of the General Manager and no Member or guest shall reprimand or discipline any Staff member, nor shall a Member request a Staff member to leave the Club Facilities for any reason. Profanity towards the Staff is not permitted. 2. Any Staff not rendering courteous and prompt service should be reported to the management of the Club. All comments or suggestions of any kind relating to any of the operations of the Club or its Staff may be ed or submitted in writing, signed and addressed to the Department Head or General Manager. 3. The Staff of the Club will have full authority to enforce these Rules and Regulations. GUEST POLICIES: 1. A guest may use the Club six (6) times in each area annually when accompanied by a Member except for a la carte dining which is unlimited. Members are permitted to sponsor and host guests at the club, so long as guests are accompanied by a member, staff member, or caddie. 2. Family member guests as defined by the Club is unlimited when accompanied by a Member. Currently, family member guests are defined as a brother, sister, parent, child or grandchild who are 25 years of age or older as well as the spouse of each of the previously mentioned. 3. Unaccompanied usage in any area of the Club is allowed only with approval by the Head Professionals or General Manager. 4. The sponsoring Member is responsible for the conduct of a guest and any charges incurred by the respective guest while at the Club. DRESS CODE: Our standing rule is good taste should be your guide. Members and guests should dress appropriately at all times in attire consistent with high end current trends for their activity in a particular area of the Club. Nicklaus & Fazio Clubhouses and Dining: Upscale resort casual is acceptable in all areas. Sport shirts and shirts with tails should be properly tucked in. Collared, turtle, or mock neck shirts are always appropriate. Shorts of appropriate length are acceptable at all times. Hats, caps and visors worn by Gentlemen should be removed while indoors. Tasteful denim free of rips and frays is acceptable throughout. Examples of unacceptable attire would be tank tops, short shorts, bannered or low quality tee shirts, mesh shirts, sweat suits, warm-up suits, swim wear, cut-offs, gym, cargo or baggy attire, flip flops, soccer, basketball or other athletic attire to name a few Golf Course, Practice Facilities, and Teaching Center: All Members and their guest(s) should be dressed in appropriate golf or sports attire. Men: Golf or Bermuda length shorts of appropriate length are permitted in all locations. Golf or collared shirts are appropriate. Men s shirts should be tucked in. Hats should be worn forward facing. Examples of attire not allowed include tank tops, short shorts, tee shirts, mesh shirts, sweat suits, warm-up suits, denim, blue jeans, swim wear, cut-offs, gym, cargo, flip flops (may be worn to and from parking lot to locker room), tennis or other athletic attire. 3

4 Women: Items consistent with traditional current trends are acceptable including golf skirts, shorts, dresses, capris, shirts both sleeved and sleeveless designed for golf. Examples of attire not allowed would include tank tops, halter tops, short shorts, yoga pants, tee shirts, mesh shirts, sweat suits, warm-up suits, denim, blue jeans, swim wear, cut-offs, gym, cargo, tennis or other athletic attire. Golf Shoes: Shoes with metal spikes are not allowed at the Club. Shoes with "soft spikes" or spikeless shoes must be worn by all golfers. Clothing must be changed in the locker room. We ask that shoes be changed in the locker rooms. Tennis: Proper tennis attire including footwear as determined by the pro shop is required at all times. Examples of attire not permitted would be undershirts, fishnet shirts, cut-offs, bermudas, jams, blue jeans, bathing suits, gym shorts. Fitness Center: Appropriate fitness attire is acceptable at the health/fitness facility such as tee-shirts, tank tops, gym shorts or warm-up pants for men; and leotards, tights, tee-shirts, tank tops, gym shorts or warm-up pants for women. Closed toe shoes must be worn at all times. Hats are acceptable in the Sports Center worn forward only. Men must wear shirts and women must wear a tank top or shirt over sports bras. Pool: All swimmers must wear bona fide swimming attire. Cut-offs, dungarees and bermuda shorts are not considered appropriate swimwear. Proper non-swim attire is required at all times in the clubhouse, other than in the locker rooms. Shoes or other foot coverings and caftans or shirts must be worn when leaving the swimming pool area. Locker Rooms: Dress should be appropriate for the environment. Individuals should be covered, robed, or dressed in appropriate attire when not using showers, steam room, or Jacuzzi s. CELL PHONE/ELECTRONICS POLICY: Cell Phones: Cell phones must be kept on silent or in vibrate mode while on Club property. Audible noise from s, texting, gaming, music and video content is also prohibited while on Club property. The audible use of personal cell phones (including talking on and listening to) should be done quietly and respectfully and never on speakerphone. Cell phone use is permitted only in the Fazio, Nicklaus and Sports Center lobbies and outdoor patios, on the pool deck, on the golf course and practice facilities as long as the area is not well populated and the calls are brief and infrequent. Private banquet events may allow cell phone use at the discretion of the functions host. Audible use of cell phones is never allowed on the tennis courts, within the walls of any of the sports center rooms, in any indoor a la carte dining areas, the Spa, or any locker room. Other Electronic Devices: Utilization of these devices are permitted throughout the Club. Audible noise from these devices is not allowed anywhere in the Club. Audio listening is permitted through head phones only. CHILDREN: Dress Code: All children over the age of 12 must adhere to the Club s dress code policy at all times. Golf Course and Practice Facilities: Children under 12 are allowed to use the practice facilities anytime provided the facilities are open and a range attendant or staff member is present. Children are not allowed on the courses before 12:00 pm on weekends and holidays unless accompanied by an adult. 4

5 Tennis: Children under 12 are not permitted before 12:00 pm on weekends and holidays unless accompanied by an adult. There is not a specific rule on unaccompanied court usage. The child must be mature enough in the opinion of the golf/tennis pro and possess the required knowledge and ability to play the game unaccompanied. Locker Rooms: Children, under the age of fifteen, are not permitted in any locker room areas without the supervision of an adult. Children may briefly use locker areas only to change into sports attire. Dining: Children must be 18 years of age to dine in the Founders Lounge and patio after 5:00 pm. Sports Center-Fitness: Children age fifteen and over are allowed to use the fitness facility. Children between eleven and fourteen years of age are permitted to use the cardio equipment and weight room equipment only under the supervision of a Carlton Woods certified trainer or adult. Children ten and under are not allowed to use the health/fitness facility unless they are attending Club sponsored programs. Pool: Children fourteen and under must be accompanied by an adult at the pool unless attending a special event. Children who cannot swim must be accompanied by a parent or guardian at all times while in any of the pool areas. Only children that are toilet trained or that are wearing swim diapers are permitted in the pool. Playground: The children s playground is for the sole use of Members children and their guests. Adult supervision is required at all times. Children and Members are to play at their own risk. RESERVATIONS AND CANCELLATIONS: 1. Members should make reservations for dining, golfing, tennis, lessons or special events at the Club. If they must cancel it should be done as far in advance as possible. 2. Cancellations: As a courtesy to your fellow Members, you should release any reservation as soon as you know you will not be utilizing the time in any area. For special events, any reservation not cancelled seventy two (72) hours in advance w will result in a charge to the Member s account for the full cost of the event. 3. Dining: Large reservations over 10 people will be asked to offer a reduced menu which should be arranged in advance. GRATUITIES 1. Cash tipping is discouraged with the exception of Spa Technicians and Caddies. GENERAL GOLF RULES 1. Tee-Times: Tee-times may be made in person, by phone or online starting at 7:00 AM each day up to one week in advance of the desired time. All starting times may be made up to seven days in advance with a maximum of two reservations per person. Starting time changes must be approved by the pro shop. As a courtesy to your fellow Members you should notify the pro shop of any cancellations as soon as possible. 2. Registration: Everyone must register with the pro shop prior to starting their round. Starting from hole 10 is prohibited, unless approved by the pro shop. "Cutting-in" and starting before designated time is not permitted at any time. Under no circumstances are players permitted to start play from residences. 3. Course Etiquette: Members and guests alike are expected to act like ladies and gentlemen at all times on all golf facilities. It is the responsibility of all Members, and their guests, to ensure our courses are presented each day in the best condition possible. Members will be courteous to your fellow Members and leave all facilities better than you found it. This includes picking up tees and filling divots on the teeing ground, filling any divots you see on the fairways, repairing ball marks on the greens, raking bunkers in the proper 5

6 fashion and leaving rakes placed neatly outside the bunker with handle pointing towards the teeing ground. Timeliness is important and we expect all groups to finish in four hours or less. 4. Music: Music on the course is acceptable as long as all in the group are in agreement. Music if playing will be done so at a volume contained to approximately 5 from the cart or player. 5. Group Size and Standing: Courtesy is the number one rule in golf and at the club. Groups of five players or more will be allowed to play with approval from the head pro. Out of courtesy for your fellow Member you will allow a faster group to play through when space allows in front of your group. Make sure your stop at the turn is brief so you occupy the tee box on 10 prior to the group behind you leaving the green. 6. Weather and Lightning: The Club has invested in a lightning detection system to help protect the membership. This is in no means a replacement for your own judgment. If lightning is detected by our system, all play must cease. You must take responsibility for your own safety and exit the course if you are concerned even without the warning signal. 7. Rules Governing the Game: The rules of golf as adopted by the USGA as well as our Club rules govern play. Everyone is required to maintain a handicap and post within the rules of golf if they wish to participate in Club, state, national, and international tournaments. 8. Golf Practice Range: No range equipment provided by the Club should ever leave the practice facility for use on the course. We ask that you only hit from the designated areas. No lessons may be given by anyone other than our employed professional staff. We also ask you practice appropriately to leave as much healthy turf as possible. Each ball should be placed closely behind your previous divot until you have a linear divot approximately 2 feet long. You should then start a new linear divot 4 inches from the previous linear divot. 9. General Golf Cart Rules: We expect everyone to operate carts safely. No one under 16 without a driver s license shall ever operate a cart. No more than two people and two sets of clubs per cart. We expect you to operate the cart following all cart markers while leaving no visible impact on the course. a) Please observe modified 90-degree cart rule unless the course is deemed cart path only. Modified 90 degree is defined as entering the fairway at or after the designated marker, staying in the fairway until exiting after both players in the cart have hit their approach shots or you reach the exit marker. Fairway entry and exit markers are wooden posts with red accent paint. In the absence of markers under no situation should a cart leave the path less than 50 yards from the teeing grounds and must return to the path no less than 50 yards from a green complex. b) Golf carts should never leave the cart paths on all par three holes. c) Never drive a golf cart through a hazard, native area (any grass of plant growth longer than 6 inches), or pine straw beds. d) Be careful to avoid soft areas on the fairways, especially after rainfall. e) Obey all golf cart traffic signs, ropes and other signals. f) Golf Carts owned by the Club may not be removed from Club property, unless otherwise approved by Club Management, and driven by authorized Club personnel. g) No privately owned golf carts or motorized vehicles are allowed on the golf course or practice facility at any time, unless otherwise approved by Club Management. h) Pull carts are not permitted. i) Operation of a golf cart is at the risk of the operator. Member shall be held fully responsible for any and all damages, including damages to the golf cart, and damage to other property caused by the golf cart, caused due to the misuse or lack of attention when operating a golf cart by the Member, his or her family members or guests, and shall reimburse the Club for all costs to repair such damage. Each Member accepts and assumes all responsibility for liability connected with operation of the golf cart. The Member also expressly indemnifies and agrees to hold harmless the Indemnified Parties listed in the MP&B from any and all damages, whether direct or consequential, arising from or related to the Member's, his or her family members' or guests' use and operation of the golf cart. 6

7 CADDIE PROGRAM & UTILIZATION 1. The Club has provided a full-time, professional caddie program for Member s enjoyment. Traditional walking caddies, as well as, fore-caddies are available to Members and guests any day the course is open for play. 2. A Member with any group of five players, or any group with two or more guests are required to use a caddie, as long as there is a caddie available. Caddie fees are billed to the Member s account. All gratuities for caddies are the responsibility of the Member. Any cash given to a caddie is considered a gratuity and not a portion of the caddie s fee. 3. Each caddie has a working knowledge of the Club s Rules and Regulations and will remind members and guests of any infractions to avoid reprimands. HANDICAPS 1. Handicaps are computed under the supervision of the pro shop and Handicap Committee (HC) in accordance with the current USGA Handicap System. Determinations made by the HC are final. 2. All Members and their guests with a USGA approved handicap may participate in Club tournaments. All handicaps submitted may be reviewed and adjusted by the pro shop, HC and/or Golf Committee. 3. Members are responsible for turning in all scores on a daily basis. Any Member failing to turn in a score shall result in a score of par being posted. The golf shop shall assist any Members needing help with the posting procedures. GENERAL TENNIS RULES 1. The Rules of Tennis of the USTA shall apply at all times, except when in conflict with the local rules or with any of the rules herein. 2. Court reservations may be made by phone, online, or visiting the pro shop (are on line reservations available?). Court reservations can be made no more than 3 days in advance. An individual may only reserve one court at a time. No standing reservations will be accepted. 3. All players must check in and register at the pro shop ten minutes prior to their court time or the court will be released to the first name on the waiting list. 4. Unauthorized tennis professionals or instructors are prohibited on the tennis courts at all times. 5. At the end of their playing period, players must promptly relinquish their court to the next players. Once a Member is off the court, the Member may sign up for the next available court time. 6. Singles may each play on a court for an hour and a half and doubles may play on a court for two hours, except for certain times designated by the pro shop. 7. Animals, skateboards, bicycles, roller skates, roller blades, scooters etc., are not permitted on the tennis courts at any time. 8. Proper tennis etiquette should be observed at all times. Excessive noise, racquet throwing or profanity will not be permitted at any time. Trash and other litter must be deposited in the proper receptacles. Towels should be returned to the pro shop or towel bin directly after play. 9. Use of the tennis courts shall be subject to the control of the pro shop at all times. The pro shop shall determine the suitability of the courts for play. Courts will be closed when necessary for maintenance operations, when dictated by safety considerations, or when under adverse weather conditions. The pro shop may reserve the courts for special events. 10. No drinks, food or gum allowed on the courts unless authorized by the pro shop. 7

8 GENERAL POOL RULES 1. Use of the pool at any time is at the swimmer's own risk. Any injuries or accidents should be reported to the attendant immediately. 2. Everyone wishing to use the pool facilities must first register before entering the pool. 3. Swimming is permitted only during designated hours. The pool is officially closed when a "CLOSED" sign is posted. 4. Showers are provided outside and should be used before entering the pool. 5. Bottles, glass objects, drinking glasses and sharp objects are not permitted in the pool area. Trash should be placed in the containers located throughout the pool area. 6. Food is not allowed within five feet of the water s edge. 7. Animals, skateboards, bicycles, roller skates, roller blades, scooters bicycles, and coolers are restricted from the pool areas. 8. Lifesaving and pool cleaning equipment should be used only for the purposes intended. 9. Running and hazardous activity are not permitted in the pool areas. Pushing, dunking and dangerous games are prohibited. 10. Diving is not permitted. 11. Throwing of hard objects such as footballs, frisbees and baseballs are not allowed in the pool area. 12. The pool staff has the authority to expel from the pool areas anyone who fails to cooperate in following these Pool Rules or whose conduct is otherwise unbecoming of a Member. 13. No chewing gum is allowed in the swimming pool at any time. 14. Swimming parties may be arranged through the Club in advance of the occasion. Lifeguards are required to be hired through the Club for all swim parties, unless otherwise approved by Club Management. 15. All persons using pool furniture are required to cover the furniture with a towel when using suntan oils and lotions. The use of these oils and lotions could stain or damage the furniture. 16. All persons using the pool area are urged to cooperate in keeping the area clean by properly disposing of towels, cans, etc. 17. Smoking is prohibited in and around the pool area. 18. Floatation devices are permitted for children up to 8 years of age. Large floatation devices are not permitted unless approved through Club Management. 19. Persons who leave the pool area for over thirty minutes must relinquish lounges and chairs by removing all towels and personal belongings. Saving chairs for persons absent from the pool area is prohibited. 20. Lifeguards are not provide by the Club, unless arranged by a Member or the Club for a special event. HEALTH/FITNESS RULES 1. Prior to the use of any of the Club health or fitness facilities, the Member will be required to execute and deliver to the Club a waiver of liability and indemnification agreement form satisfactory to the Club for all Members and any guests they choose to bring. Members, family members and guests assume full responsibility for risk, liability, damage and loss due to use of the facilities. 2. It is the responsibility of all persons using the health/fitness facility to consult with their physician, and such person should be in good physical condition and have no physical, medical or psychological conditions, disabilities, impairments or ailments, chronic or otherwise, which would preclude, impair or prevent him from using the health/fitness facility, or engaging in active or passive exercise. 3. Regular operating hours for the Sports Center will be posted by the Club and may be changed from time to time. 4. All Members and guests must sign in at the front desk. 5. All weights and pieces of equipment must be returned to their proper places at the completion of use. No dropping or slamming of weights is permitted. 8

9 6. The Club has arrangements with our personal trainers. These are the only trainers who are authorized to work and train in the Sports Center, unless otherwise approved by the general manager. 7. It is the responsibility of all persons to obtain instruction on how to use the equipment prior to usage of such equipment, and the equipment is only to be used in accordance with such instructions. Under no circumstances is improper use or abuse of the equipment tolerated. 8. Smoking and alcoholic beverages are prohibited in and around the health/fitness facility. No food may be brought onto the premises. All beverages shall be in a type of container as to not spill if tipped over. 9. No clothing or personal articles may be stored under benches or in the common areas. All personal items shall be stored in a locker or left in your car. Members may provide their own lock for day locker use. The Club may implement a sign up list for the use of the equipment and a maximum time limit on its use based upon Member usage and feedback. If a conflict should arise over usage, please advise the Fitness Management. 10. Horseplay, profanity, disruptive conduct and indiscreet behavior at the health/fitness facility are strictly prohibited. IMPORTANT MISCELLANEOUS RULES: 1. The Club is not responsible for lost, damaged, or missing items or property occurring on or at Club facilities or property which includes: parking lots, lockers, cars. 2. Members, their families and their guests shall abide by all rules and regulations of the Club as they may be amended from time to time. 3. The Club Facilities shall be open on the days and during the hours as may be established by the Club. Areas of the Club, including the golf course, may also be closed for scheduled maintenance and repairs. The Club reserves the right to close the golf course and clubhouse to hold promotional events and tournaments. 4. Performance by entertainers will be permitted on the Club Facilities only with the permission of the Club. 5. All food and beverages consumed on the Club Facilities must be provided by the Club. No beverage coolers are permitted on the course unless provided by the Club. 6. Alcoholic beverages will not be served or sold, nor permitted to be consumed, at the Club in any manner prohibited by law. The Club reserves the right, in its sole discretion, to refuse service to a Member or guest when that Member or guest appears to be intoxicated. 7. Members shall not use the roster or list of Members of the Club for solicitation or commercial purposes. 8. Commercial advertisements shall not be posted or circulated in the Club nor shall solicitations of any kind be made on the Club Facilities or upon the Club's stationery without the prior approval of the Club. Other than as permitted in writing by the Club, no petition shall be originated, solicited, circulated or posted on Club property. 9. It is contrary to the Club's policy to have its facilities used for functions or fund raising efforts for the benefit of a political cause, except as specifically permitted by the Club. The Club Facilities shall not be used in connection with organized religious services or other activities except as may be approved by the Club. 10. Members should not request special personal services from the Staff of the Club who are on duty or the personal use of the Club's furnishings or equipment which are not ordinarily available for use by Members. 11. Self-parking is permitted in areas identified as such. No parking will be allowed on grassed areas or areas which are not lined off for a parking spot. "No Parking" signs must be observed. Violators may be towed at the owner's expense. 12. Smoking, including e-cigarettes is permitted only in designated areas. Smoking is not permitted inside any of the Club facilities. 13. Absolutely no fireworks are permitted anywhere on Club property or adjacent areas unless part of a fireworks exhibit organized and conducted by the Club. 14. Firearms and all other weapons of any kind are not permitted on Club property at any time. 15. In no event shall the Club or any Member discriminate against any individual because of the individual's race, color, religion, sex, national origin, age, handicap or marital status. 9

10 16. The golf courses are for golf only. Jogging, bicycling, or walking is only permitted on the golf courses during non-prime golfing hours when golfers or grounds staff are not present on a hole. 17. Fishing on the Club-owned lakes is only permitted in the following locations. The non-golfing side of the pond bordering the entry drive at Nicklaus and the 10 th hole, and the area between the 9 th green and 18 th green as long as it is clear of any golf play. 18. No boats, canoes, kayaks, remote control vehicles and/or any other floatation device are allowed on the golf course lakes. 19. Dogs or other pets (with the exception of permitted service animals) are not permitted in or around the clubhouse. Members are responsible for damage caused by an animal owned by the Member or under the Member's control. DISCIPLINE 1. Members are responsible for their own conduct and for the conduct of their family members and guests. All Members are expected to enjoy the Club using appropriate decorum as their guide. Should an issue ever arise they will be notified of the issue by the Club. Depending on the severity this could range from a staff reminder, a formal letter or in severe or repeat situations the matter will be referred to a Hearing Panel (as defined below). While such complaint is being considered by the Club, the Member may be entitled to enjoy the privileges of the Club at the discretion of the General Manager or the Board. Notwithstanding the foregoing, the Club may, without notice and without a hearing, immediately suspend some or all privileges associated with a Membership. 2. If a Hearing Panel is necessary it shall consist of three (3) Board Members. The members of the panel shall be appointed by the Club President who may be one of the members of the panel. The Club President shall appoint one of the panel members as the Hearing Panel Chairman. The rules of the hearing will be provided to the offending Member in advance and shall be strictly enforced. The findings of the Hearing Panel may include reprimand, suspension, fine and/or termination and Panel s determination is final with no possibility of appeal. 3. No Member will be entitled to any refund of membership deposit, dues or any other fees due to restriction, suspension or termination. During the restriction or suspension, dues and other charges shall continue to accrue and shall be paid in full prior to reinstatement as a Member in good standing. These Rules and Regulations of The Club at Carlton Woods may be amended or modified at any time, and from time to time by the Clubs Board of Directors, in their sole and absolute discretion. Any such amendment or modification of these Rules and Regulations shall be effective immediately upon the date that the Board of Directors make such amendments or modifications available for inspection by the Members at any one or more of the following methods: (a) by posting such amendment or modification on the Club website, (b) by posting such amendment or modification in a Member accessible area in each of the Clubhouses, or (c) by sending such amendment or modification to the Members by United States mail to the address for each Member then currently listed in the membership records of the Club. 10
