1 660 Rivervale Road River Vale, NJ P (201) F (201) MEMBERSHIP AGREEMENT I/We herewith submit full payment of $ representing my 2018 Membership Fee, and I/we understand that this annual membership is valid from March 15, 2018 through December 15, I have been advised that in the event that my membership is recalled, my annual fee will be refunded in full or at a prorated portion based on the date the membership agreement is executed, less any charges owed to the club. Payment for 2018 Membership is due in full by December 15, Payment received after that date will be subject to a 20% surcharge. Corporate memberships need to be presented in one payment. I/We further agree to be bound by any rules and regulations hereunder and membership does not guarantee any continuing rights in or to use the club facilities other than those specifically provided in the membership plan. Membership in the club is not an investment nor does it provide an equity or ownership interest in the club facilities. I/We understand that I/we will not be entitled to any voting rights or be involved in the management or operation of the club or club facilities. Terms of Agreement 1. Management of the Club Management of River Vale Country Club (RVCC) reserves the right to establish and amend its rules and regulations governing the operations of the club, including rules regarding the use of the golf course and the grounds, the use of fees payable for memberships and all service, hours and months of operation, and the dress and behavior of members. Management shall have the right to enforce all the rules and regulations promulgated by it. The failure of a member to adhere to any such rules may result in such member's suspension from the club or revocation of his/her membership without refund. 2. Membership a. Applicant must be 18 years of age to enter into an agreement for membership with RVCC. b. Membership terms are March 15, 2018 through December 15, 2018, subject to course closure. c. Member must be in good standing with all dues and other charges. d. Membership card is non-transferrable. Any infraction of this rule may result in the member's suspension from the club or revocation of his/her membership without refund. e. Loss of the card must be reported immediately to the pro shop or office. f. Replacement fee for lost card is $ Limitations RVCC reserves the right to limit the acceptance of applicants at any time, as deemed necessary. Golf Course Rules and Regulations 1. General Rules a. Only players with a valid greens fee receipt will be allowed on the golf course. b. Players must have their own golf clubs and golf bag. c. No more than 4 (four) persons will be allowed to tee-off on any hole, under any conditions. Groups of five or more are strictly prohibited from playing on the course. d. All players must repair ball marks on greens and replace their divots on fairways. e. Members are responsible for the actions, behavior, and dress of their guests. f. All players must return to the club house when notified of lightning in the area. Failure to follow the direction of golf course personnel may result in suspension of playing privileges. g. Speed of play is an important objective for all players. RVCC expects a typical round of golf to be played in 4 hours and 20 minutes. RVCC reserves the right to request players to assist in the enhancement of play by picking up their ball and moving to another hole. h. No food or beverage other than that purchased at River Vale Country Club shall be allowed on the golf course or in the Club House at any time. 2. Junior Golfers a. Children between the ages of years are permitted to play at designated times when accompanied by one adult per junior player and must be approved by professional staff. (Identification of age may be required). b. Designated times i. Monday through Thursday-with staff approval. ii. Friday/Saturday/Sunday/Holiday- after 3 pm, with staff approval. Page 1 of 6 Initial

2 c. Junior Golfers are not permitted to practice on putting green without registration receipt. d. Junior Golfers are not permitted to drive a golf cart under any circumstances. e. Children under the age of 10 years are not permitted on the golf course. i. Exception will be made for golf camps and clinics. 3. Dress Code a. Proper golf attire is required. For men: Shirts with collars and sleeves, slacks or Bermuda shorts of mid-thigh length. For women: dresses, skirts, slacks, mid-length shorts and blouses with collars. b. These items are NOT PERMITTED: denim and or blue jeans, tee shirts, tank tops, halter tops, cut-offs, swim wear, tennis dresses, short shorts, or other athletic shorts. i. RVCC management reserves the right to consider special circumstances relevant to the enforcement of the dress code. c. River Vale Country Club is a soft spike facility. 4. Reservation and Registration a. Reservations cannot be accepted without member's valid credit card number. b. Each Individual/Family Membership is entitled to 1 (one) assigned tee time on Saturday, Sunday and Holidays. Corporate Membership is entitled to 2 (two) assigned tee times on Saturday, Sunday and Holidays. Assigned tee times are at the discretion and control of the Management Company/River Vale Country Club. If members choose to not have an assigned tee time, reservation policies outlined in 4.c and 4.d will apply. c. Reservations may be made by a member 13 days in advance in person, via phone, or online. d. Members may make a limit of 1 (one) online registration for up to four players for any given day. Corporate members are allowed to make 2 (two) online registrations for up to four players for any given day. i. Online reservation limit will be strictly enforced. Any infringement will result in the member's privileges for making online reservations being revoked for 30 days. e. Members with a reserved tee time must appear and present membership card to pro shop to register for tee time. f. Failure to notify the Pro Shop of cancelled tee times may result in a fee of up to the retail value of the tee times. 5. Golf Cart a. No more than two persons and two golf bags may be allowed on the cart at any time. b. Operator(s) must be 17 years of age and have a valid driver's license. c. Operators must follow route signs posted on the course and keep carts at least 30 feet from all greens and bunkers. Carts shall not be driven through wet spots, on the tee, greens, or up sides of steep hills. Carts shall not be driven over curbs next to the cart path areas. Carts are not permitted in the parking area, unless otherwise instructed. Operators must obey RVCC rangers' instruction throughout the course. i. RVCC reserves the right to refuse use of cart to any person not obeying the rules without refunding the either cart or green fees. d. Drivers are responsible for any damages or injuries sustained to cart or persons while cart is in their possession. e. Golf Cart Liability waiver forms must be signed by each member and will be valid for the 2018 season. This policy does not apply to member guests who will still be required to sign a liability form each time they play. 6. Handicap Flag and Rules a. The handicap flag will be issued only to a member or guest with proper/valid handicap identification. b. Members or guests must adhere to the rules of the day. (A handicap flag indicates a member or guest can go 90 degrees when permissible). c. Handicap rules should be reviewed and signed by the member/member guest granted a Handicap flag. 7. Locker Room a. Members in good standing have an opportunity to be issued a locker on a yearly basis, on a first come first serve basis, pending availability. i. Locker keys must be returned by December 31st of the membership year. b. Daily locker use may be available, please ask at pro shop. i. Daily locker keys must be returned the same day. c. In the event of a lost or unreturned key, there will be a $15 replacement charge. d. The club is not responsible for any jewelry, cash, or lost item(s) in the locker room. 8. Driving Range/Practice Areas a. Practice balls must be purchased at the pro shop. b. No player is permitted to use golf balls, at the driving range other than those purchased from the facility. 3 c. Golf carts are not permitted on the driving range or practice areas. d. All private lessons must be scheduled and given by the professional staff of the River Vale Country Club. e. The Range/practice area may be closed for maintenance, camps, clinics and special events without prior notice. f. The Range/practice area hours are subject to seasonal conditions. 9. Other a. RVCC and Long Ball Golf Management LLC, shall not be held responsible for loss of personal belongings on the golf course. b. RVCC and Long Ball Golf Management LLC, shall not be held responsible for any injuries incurred on golf course. c. Outside food or beverages are not permitted to be brought onto the property - NO EXCEPTION! d. RVCC management or golf staff has the right to remove from the golf course any player violating the rules and regulations agreed by this contract, or posted on the grounds. i. Continued violations may result in revoking of membership without refund. e. Corporate Membership is limited to 10 individuals. f. Failure to adhere to posted RVCC Lightning Policies may result in loss of playing privileges. g. Corporate Memberships are contingent upon presentation of valid Tax ID and mailing address. 10. Membership Cancellation/Refund Policy a. Memberships cancelled before May 1st will be refunded at 50% of the membership fee. b. Memberships cancelled before July 1st will be refunded at 25% of the membership fee. c. There will be no refunds for memberships cancelled on or after July 1st. 11. Tee Time Cancellation/"No Show" Policy a. The River Vale Country Club posted cancellation policy supersedes this agreement. b. Monday through Thursday tee times must be cancelled with at least 24 hours notice. c. Friday/Saturday/Sunday/Holiday tee times must be cancelled with at least 48 hours notice. d. A "No-show" fee of up to the retail value of the tee times can be charged for players who fail to show up for their reserved tee time. e.
