1 MINUTES WILDWOOD GOLF CLUB Wednesday, IN ATTENDANCE: M. Minnaugh - President M. Scott - First Vice President J Tulino - Second Vice President J. Devita - Secretary W. Quinlan M. Lamagna R Appleton R Lamagna V. Daversa - General Manager R. Borza - Controller ABSENT: J. Cummings, Jr. - Treasurer I. CALL TO ORDER President Minnaugh called the meeting to order at 6:01 pm. II. APPROVAL OF LAST MONTH'S MINUTES The minutes from the meeting that was held on June 24, 2015 were approved. III. GENERAL MANAGER S REPORT Two AED units have been purchased and have been placed in the club. ADP, our current payroll processing company contacted Rich Borza regarding the mandatory reporting responsibilities involved with the ACA. ADP offers a service which will file all Federal reports and track new full time employees who are eligible for health insurance. They will also alert us when part-time employees are approaching full time status, enabling us to better manage the workforce. IV. PRESIDENT S REMARKS Mr. Minnaugh will give comments as we go through the committee reports.
2 Page 2 V. COMMITTEE REPORTS A. Membership Mr. M. Lamagna In the current fiscal year which began October 1, we have added 26 new members and had 26 resignations. Total member count however is down 19 from the same time last year. The Committee is looking at a new membership classification for the next fiscal year. A 3-yr Convertible Membership would be for new members who are joining the club. This would only be offered for new Class A and Individual. There would be reduced dues and the member would only be able to golf three times a month. They would only be able to stay in this class for three years then move into the class they chose paying full dues. Mr. Minnaugh asked Mr. Lamagna to fully develop the economics and related dues structure for this proposal to discuss at the August Board meeting and if approved would bring this to the full membership for a vote at the Annual General Meeting since this was likely a new membership classification requiring member approval. Fianance Mr. Cummings Mr. Minnaugh asked Mr. Daversa to walk thru the results for last month in Mr. Cumming s absence. He noted that total F&B Revenue was behind budget $36,400 for the month, contributing to a negative budget variance in the F&B area of $20,300. Overall expenses however were better than budget by $41,300, which helped to limit the loss from operations to $11,400. YTD we have a $134,300 Operating Loss which is $78,800 worse than plan.
5 Page 5 The wet weather in mid to late June did not help the results as many days were lost at the Pool, Tennis courts and Golf Course, which spilled over into the F&B area. Mr. Minnaugh noted we have three months to help close the current year gap and minimize the current year Operating Losses. C. Greens & Grounds Mr. Scott With nearly 13 of rain over the past 5 weeks the grounds department has had the opportunity to prioritize winter drainage projects. This work will be completed inhouse as labor permits. D. House Mr. Quinlan Mr. Quinlan reviewed Chef Stover s Quarterly Bonus Calculations. Before voting on Chef Stover s Bonus the Board discussed the recent House survey results. There were several suggestions in the verbatim comments that Mr. Minnaugh asked to be reviewed by both the staff and Committee for continued improvement. Motion for Chef Stover to receive his full bonus for the 3 rd Quarter of FY 2015 All in favor Approved Unanimously The House Committee has proposed a Food and Beverage policy. Mr. Minnaugh asked that this be implemented without delay. E. Entertainment- Mr. Appleton The next Charity event will be Golf FORE Families on Sept 28, The Committee is also looking at having a Boxing night this fall. F. Tennis-Mr. R. Lamagna No report

Golf - Mr. Tulino The following items were discussed and approved at the recent Committee meeting: - The 2015 Fall Member /Member has a modification - 1 st day Modified Alternate Shot; 2 nd day Modified Scramble. - Members will be permitted to play from Silver/Split Tees in competitive Club events provided the member has a minimum of 20 rounds/scores at Wildwood from those respective tees which the best 15 scores will be used for their handicap. - Members playing course without a scheduled tee time and not reporting to the Pro Shop prior to playing will be subject to a minimum 9 Hole Cart Fee. The course re-rating is scheduled for the 2016 season with the process to begin sometime later this season and effective 4/1/16. I. Memorials and Donations Mr. Lamagna No Report VI. VII. SCHEDULE OF NEXT BOARD MEETING The next scheduled Board of Directors meeting will be Wednesday August 26, 2015 at 9:00am at the Pittsburgh Field Club. Mr. Minnaugh asked that the preliminary budget be prepared and ready for initial discussion at that time. IX. ADJOURNMENT There being no further business to discuss, Mr. Minnaugh adjourned at 8:15p.m.
