3 COMMODORE Tom Wood Aloha all. The days are getting shorter, the racing is almost finished, and we are looking to wrap up the year with a lot of great events over the next two months. Coming up rapidly at the beginning of next month is the Annual Awards Banquet will happen on 2 December and the Commodore s Ball on 9 December. We wrapped up our Club fiscal year on September 30, and we will have our Annual General Membership Meeting on 3 November. We need a quorum of 20% of the members eligible to vote, so come on down to your club and hear a little bit about how things are going. I look forward to seeing many of you on Friday evening. The Nominating Committee did an excellent job finding a slate of great candidates to fill the elected positions on the Board, and I d like to once again convey my thanks to that c ommittee for their efforts. For all members, please keep in mind that the club has a wide variety of committee positions that are supported by volunteers throughout the year, so there are lots of great opportunities to get involved and support the club and your fellow members. Be safe and have fun at the club and on the water. Kaneohe Yacht Club 2017 Awards Banquet Saturday, December 2 VICE COMMODORE Frederic Berg U p, there goes October, zip-a-dee-doo-dah-day, gone, and hopefully the goblins with it. Let the market roar and may your home be worth more tomorrow than it is today!! As for the Club, we are steadfastly preparing for the Annual General Membership meeting, the Awards Banquet and then finally for the Commodore s Ball and the Flagging of Vice in all corners of the Club. And with that I ll leave you to ponder your navel, or your fellow naval architect. We are looking to take the Commodore s Ball to a new level this year with lower ticket prices to broaden participation. This is your annual ball, your chance to dress up with your fancy dance shoes, see and be seen by your fellow Club members. Bring it on!! Haul O ut will be starting again this month. As everyone knows, the Club is under greater and greater scrutiny regarding haul out activities. We can not afford to put any material in the water, therefore all sanding or other removal activities have to be enclosed or use vacuum equipment to keep dust and particles from flying in the air and landing in the water or landing on the ground and flushing into the catch basin and out to the boat ramp and into the bay. There are huge daily fines if this is happening and the Club will be looking to the offenders to pay the fines. Did I mention HUGE daily fines? All dust and sanding material must be cleaned up as soon as the operation is complete and kept at a minimum prior to leaving the job. Zero tolerance is the key phrase. If you observe anyone violating the B est M anagement P ractices distributed to each boat owner hauled out, please let the M anager or a F lag O fficer know immediately. We will take stern action to correct the violation. Anyone can get a copy of the BMPs at the office. By the time you read this the draft 2018 calendar will have been delivered to HYRA for incorporation into the draft statewide calendar. If you think corrections are needed, now would be the right time to work with Morgan Stephenson to make any changes. Everyone s input is critical to ensuring the many, many events this Club offers throughout the year go off with out a hitch. Right after the General Meeting is Seafest at Hawaii Yacht Club. They have prepared a great event and look forward to accommodating the throngs of KYC member s heading over to enjoy the festivities and make donations to keep the J uniors active in national and international events throughout the year. Bring your wallets and no forget to fill um up before. We can never thank our volunteers enough, so this year the V olunteer P arty will be next year. Waaaiiit whaaatt??? Yup the V olunteer P arty will by late in January next year, but even more it will be a volunteer af fair, so it s no longer the few that volunteer thankless hours all year long, but it s for everyone to attend and sign up for volunteer opportunities at the Club for Pretty cool right? Thank our newest director Lindy Rollo for the idea and probably the implementation too. A volunteer fair - who would a thunk it? You mean like a job fair with out pay? Yup, that s what it is. I can't believe a year has passed since the election where I was honored with your trust as Rear Commodore. Your board has struggled with many issues this year and I believe we have achieved a great many of the objectives set out by Commodore Tom Wood. Rather than steel his thunder, I'll allow him to enumerate those accomplishments. I would like to thank all of you for your help, guidance and encouragement thorough out the year. It certainly has been a learning experience and I look forward to carrying that knowledge into the future. 4 Rules of the Road Commodore Tom Wood I got a request to talk a bit about some general club corporate guidance and member guidelines and courtesies this month, so I will put off discussion of club financials until December. That actually works out, as it helps me avoid stepping on our esteemed Treasurer s presentation for the Annual Meeting. I f you want to see that information you are going to have to show up at the meeting! (Actually, I will cover some of those things next month for those people who can t make the meeting but you should still show up at the meeting anyway.) To start, for those who didn t realize it, the Club actually has a Corporate Charter. I personally think th e document is a fascinating piece of history since it is actually issued by William C. McGonagle as the Treasurer of the Territory of Hawaii on the 18th Day of February, A.D While we take the founding date as October 28, 1924, this Charter formally establishes the Club as a corporation and provides the fundamental legal basis for the ongoing existence of the club. The next bit of corporate governance is our By-Laws. The by-laws provide foundational principles for the club, including our reason for existence, how we will operate, and the basis for membership. The by-laws establish the elected officers of the Club, and the Board of Directors, as well as the authority of these offices to act on behalf of the corporation, and thus on behalf of all of you the Members. Also established by the by-laws are the committee and volunteer positions, such as the Finance and Planning Committee and the Port Captain. The by-laws should be viewed as our club s Constitution and much the same as the U.S. Constitution, they can be changed, but not easily. This is by design, as these fundamentals should be approached with great caution and only changed with the knowledge and consent of a significant portion of the membership. Changes may only be made to the by-laws at a formally convened membership meeting with a quorum to conduct business. In addition, according to Article X, a two-thirds majority of those members present and voting, is required to adopt a change to the by-laws. The combination of the 2/3 requirement with the 20% quorum requirement means that no small group of activists can ever fundamentally change the nature of the Club, and that is an important safeguard. The Board has actually considered a few times in recent years recommending a by-law change to shrink the quorum requirement because of our traditional challenge with obtaining a quorum for the annual meeting. Each time we have concluded that the risks outweigh the benefits. The elected officers of the Club include: Commodore; Vice Commodore; Rear Commodore; Secretary and Treasurer. In addition to the elected officers, the Board of Directors includes the Active Staff Commodore (which is the previous year s Commodore); and three other Senior or Life Members, each elected to three year terms. In theory, we try to stagger the terms so that we are not turning over multiple Directors in any given year, but in practice that is not always the case. One of the authorities of the Board is to establish necessary rules and regulations to operate the club effectively and efficiently. These rules are currently under revision by the Board, and we expect we will be able to approve those before the end of the year. Our intent is to generally streamline and simplify the current rules, since they have evolved over the years and have not had a complete smooth rewrite in a while. Unlike the by-laws, the authority to make and issue these rules lies with the Board of Directors. In our bylaws, we talk about sportsmanship and good fellowship as dominating all activities of the Club. In our Rules and Regulations, we lay out expectations for member conduct as a guideline, as well as describing a variety of specific rules and requirements. Most of those are needed to provide structure to how things work but are not a substitute for the above noted sportsmanship and good fellowship. Courtesy and understanding between and among all of us is, and will always be, the best guidance for our interactions. Whether it s mooring stern-to on the bulkhead to make the most of our limited space, cleaning up the boxes of oily mess left by another (inconsiderate) member doing an oil change, or picking up that stray glass that someone forgot on a lawn table, it really is the little things that we do for each other, whether there is a written rule that says so or not, that makes our club special. We take care of each other and our Club because that s who we are. No amount of rules and regulations is a substitute for that, nor should it be. 6 Cy Gillette Day October 29, 2017 The KYC racing season culminated with Cy Gillette Day on October 29. Unfortunately, Mother Nature didn't enhance the experience and for the first time in many years, after the drenching rain of the morning stopped, no wind ever filled in. Sixteen intrepid racers headed to the middle of the bay for the postponed start and drifted across the line in the direction of "A" Mark. An hour later most of the fleet was still drifting in the same direction, or had turned on their engines, if they had one. Greg Gillette and crew sailed the entire course, in a little more than three hours. The rest of the fleet sailed various portions of it. Cy Gillette is honored and remembered fondly at KYC for all he gave to the club and to the sport of sailboat racing. Until his passing in 2006 he had been a member the longest (1945), was instrumental in moving the club from the old location behind Moku O Loe and had served three times as Commodore. He was a champion sailor, KYC's first Sailing Instructor, and founder of the Hawaii Sailing Foundation which to this day supports Junior and Senior sailors in their campaigns on the mainland and abroad. The race winner is decided by the Gillette rating system. The names of all the boats which finish the race are mixed up in the calabash and the winner is drawn. This year's winner was Ka'io, Isaac Gillette, Skipper! Congratulations, Isaac. Thanks to the Race Committee, KYC Commodore's Locker for the champagne toast, to Isaac for the take home prizes we all will enjoy, his Keopu Coffee and to Cy, without whom none of this might ever have been! The Foundation is deeply grateful for the strong and constant support it receives from KYC throughout the year. Hawaii Sailing Foundation supports Hawai's junior sailors as they compete in regattas and clinics both internationally and on the mainland. This year, so far, we have funded 37 sailors for a total of nearly $32,000 to represent Hawaii in amazing events including the BIC World Championships in Bermuda, the El Toro North Americans in California, the US Sailing Sears Cup, the Smythe Regatta, the Bemis regatta, the youth championships, and more. When our youth compete in national and international events, they gain great sailing skills. But more importantly, they develop lifelong skills such in leadership, teamwork, sportsmanship, respect, and independence. And none of this could happen without the support of amazing donors. So, on behalf of my fellow board members Steve Thomas, Greg Gillette, Andy Johnson and John Mydral I thank you. 9 TENNIS FLEET Donlei Darnell October is the month the Tennis Fleet honors Clare Lang, KYC Commodore in 1980 and the only female C ommodore in KYC history. Clare was a sailor as well as a wonderful tennis player, thus a tennis tournament named after her. This year the tournament teams were Dana Nottage and Dave Bello, Teri Lathrop and Richard Leclerc, Margaret and Doug Peebles, Sime and John Gross, Linnea and Steve Brooks, Fran Tannen and Harvey Minsky, Betsy Denzer and Wayne Jackson, Aaron Phillips and Jan Bodinus, Sherri Phillips and Gordon Goldsmith and Greg and Cindy Siok. Second Place was won by Dana Nottage and Dave Bello and the Tournament winners were Greg and Cindy Siok. A great OktoberFest Potluck followed that evening featuring great German dishes. W ow! can our fleet members cook!! Information about the Fleet Holiday Dinner will be announced very soon but mark your calendars now to save the date: Saturday, December 30th. DECKHANDS Margaret Peebles The Keiki Halloween Party was held on October 28 and the children were treated to carnival games, crafts, a picture booth and refreshments. A huge Mahalo to Sherri Phillips and Rennie Faith for all energy it takes to make an event like this possible. We would also like to thank the KYC M embers and D eckhands who donated goodies or came to help during the event. The support shown by the KYC members to the Deckhand s' events is truly appreciated. The Deckhands Locker will be open for a SPECIAL CHRISTMAS SALE on Wednesday November 29, 2017 from 5:00 pm 7:00pm.
