A RESLUTIN F THE CITY CUNCIL F THE CITY F SAUSALIT AUTHRIZING THE CITY MANAGER T EXECUTE A LEASE AGREEMENT WITH INDUSTRIAL SCIENTIFIC CRPRATIN FR PRVISIN F AN inet SUBSCRIPTIN FR INDUSTRIAL HYGIENE GAS DETECTIN AND RELATED EQUIPMENT AND SERVICES THRUGH MARCH 2019 WHEREAS, with actin f June 16, 2015 the Cuncil adpted Reslutin N apprving the budget fr fiscal year and apprpriating funds fr (amng ther things) Sewer Fund Rental Mach and Equip; and WHEREAS, the City f Sausalit's Department f Public Wrks' persnnel are rutinely required t wrk in "cnfined spaces" as defined in chapter 29, sectin f the Cde f Federal Regulatins ("29 CFR ") administered by the US Department f Labr's ccupatinal Safety and Health Administratin ("SHA") and the Califrnia Department f Industrial Relatins' CalSHA; and WHEREAS, certain cnfined spaces are designated as "permit-required" and ne f the many criteria that Staff is required t verify as safe prir t a wrker entering a cnfined space (and fr as lng as the wrker is in the cnfined space) is that the atmsphere the wrker is expsed t is nt hazardus including but nt limited t determinatin that there is sufficient xygen present and that the presence f certain hazardus cnstituents des nt ccur at a level that exceeds ccupatinal health criteria; and WHEREAS, examples f such include but are nt limited t determinatin that a txic air cntaminant is nt present at a level at r abve permissible expsure limits ("PELs"), a flammable gas is nt present at greater than 10 percent f its lwer flammable limit ("LFL") r lwer explsive limit ("LEL"), atmspheric xygen cncentratin is present at levels nt less than 19.5% (xygen deficiency) r abve 23.5% (xygen enrichment) at sea level, etc.; and WHEREAS, the City f Sausalit utilizes an Industrial Scientific Crpratin ("ISC") inet Cnfined Space Entry 4 Gas Detectr Mnitring System under a shrt-term Lease Agreement based n cmpetitive prpsals slicited frm ISC, and BW Gasalertmax XT (via WEC and Glbal Medical and Safety) and has been in use with the City since 2011; and WHEREAS, Staff recmmends cntinuing t use the ISC inet Cnfined Space Entry 4 Gas Detectr Mnitring System and the ISC inet and Calibratin Gas Aut-replenish Prgram and t streamlining the accunts payable prcessing assciated with the lease f the recmmended equipment, and t minimize the City's peratins csts fr the missin-critical equipment, Staff recmmends entering int a Lease Agreement that extends the existing ISC inet Cnfined Space Entry 4 Gas Detectr Mnitring System term thrugh March 31, 2019; and WHEREAS, Staff has further cncluded (in cnfrmance with Sausalit Municipal Cde, Chapter 3, Sectin ) that the necessary equipment is "special equipment" necessary t Page 1 f 7

2 perfrm certain missin-critical, cmplex and unique functins which the Department has taken int accunt and where warranties, servicing bligatins, and prduct perfrmance have been evaluated in additin t the price f the prduct with award f the recmmended cntract being recmmended t the Cuncil n the basis that Staff deems is in the best public interest; and WHEREAS, the recmmended Lease Agreement csts are: $3, fr the ISC inet aut-replenish prgram and $26, fr the ISC inet Cnfined Space Entry 4 Gas Detectr Mnitring System; fr a ttal f $30, ver the duratin f the cntract; and WHEREAS, these amunts d nt require City Cuncil apprval n an annual, fiscal year basis, the multi-year lease as well as the specialized equipment nature f the prcurement represents a cumulative cmmitment t expend; and WHEREAS, finding that a lng-term lease f such a specialized equipment is justified warrants City Cuncil apprval in cnfrmance with Sausalit Municipal Cde, Chapter 3, Sectin ; and WHEREAS, funding fr the prcurement is prpsed frm the Sewer Enterprise Fund, accunt which has $19,295 available and unencumbered as f ctber 30, 2015; and WHEREAS, Staff recmmends that the entire cntract amunt be encumbered this fiscal year, and therefre respectfully requests a supplemental apprpriatin f $11,116 frm the Sewer Fund. 5 Agmt f Amendment Renewal/N Equipmenl Changes City f Sausalit Case#: Agreement f Amendment This Agreement f Amendment is made effective as f, by and between INDUSTRIAL SCIENTIFIC CRPRATIN, a Pennsylvania crpratin ("Cmpany"), and CITY F SAUSALIT, CA ("Custmer"). Cmpany and Custmer entered int an inet Usage Agreement dated December 15, 2010 (the "Agreement"), under which Cmpany agreed t prvide its inet gas detectin services t Custmer fr a Term that was t cmmence February 1, 2011 and set t expire n January 31, 2015; hwever due t equipment delays cmmenced April 1, 2011, and is t expire n March 31, 2015 and has been allwed t extend mnth t mnth; and Cmpany and Custmer desire t extend the Term f the Agreement and t revise the Subscriptin Fees as detailed belw. Cmpany and Custmer hereby agree t amend the Agreement as fllws: 1. Except where the cntext therwise requires, wrds and expressins defined in the Agreement shall have the same meanings when used herein; references t sectins are t sectins f the Agreement. written. 2. Sectin 1, "Subscriptin," is amended t prvide that the Term f the Agreement will be extended fr a perid f fur (4) years, such that the Term shall cmmence July 1, 2015 and is set t expire n March 31, 2019 (the "Amended Term").
