2 Missin: The Buchanan Babe Ruth Baseball Assciatin, Inc. prvides a yuth baseball prgram that encurages the emtinal, physical, mental and character develpment f each participant thrugh the game f baseball. This is accmplished by creating a baseball experience that challenges each player in a psitive and safe envirnment. Article I. Offices 1.1 Principal Office: The principal ffice f the Organizatin fr the transactin f business is lcated at 755 N. Peach Avenue, Suite C14, Clvis, CA Article II. Members 2.1 Classes f Membership and Rights: The Organizatin shall have ne (1) class f members nly, and the membership vting, and ther rights, interests and privileges f each member shall be equal. 2.2 Qualificatins: Qualificatins fr Membership are as fllws: Open t any member f Buchanan Babe Ruth Assciatin, Inc. parents and friends. 2.3.a Admissins: A parent/guardian f a registered player (s) in this league shall be entitled t ne (1) vte nly per family. 2.3.b Applicatin Fee and Dues: Managers, caches and ther (Nn Parents/Guardians) shall becme a vting member by cmpleting the Manager/Cach Member Applicatin and paying a nminal yearly fee as determined by the Bard f Directrs. 2.4 Assessments: Members in the Organizatin shall be nn-assessable. 2.5 Membership List: The Organizatin shall keep a Membership List cntaining the name, address and telephne number f each member. Such list shall be kept at the Organizatins Principal ffice. Membership list is fr League use nly. 2.6 Membership: Membership in this Organizatin is Nn-Transferable and Nn-Assignable. 2.7 Right t Inspect Recrds: All recrds f this Organizatin, except the Membership List, shall be pen t inspectin upn the written demand f any member at any reasnable time fr a purpse reasnably related t his/her interests as such. 3 Article III. General Membership Meetings 3.1 Place: Meetings f the General Membership shall be held at the principal ffice f the Organizatin r at such ther place as may be designated frm time t time by the Bard f Directrs. 3.2 Regular Meetings: The General Membership shall meet as determined by the Bard f Directrs. The first meeting f each year, is t be held n r abut the last week f September f each year. 3.3 Special Meetings: Special General Membership Meetings shall be called by the President r any tw (2) Directrs f the Organizatin and held at such time and places within r withut the State f Califrnia as may be rdered by reslutin f the Bard f Directrs r by nt less than ten (10) percent f the vting membership f the Organizatin. 3.4 Ntice: Written ntice f the time and place f meetings shall be delivered persnally t each member r sent t him/her by United States Mail, pstage paid, by telegram, r by electrnic media (i.e. ) at least seven (7) days prir t such meeting held at the Organizatin s principal ffice, ther than the meeting at which Directrs are elected, is hereby dispensed with. 3.5 Cntents f Ntice: Ntice f meetings f the General Membership nt hereby dispensed with shall specify the place, the day, and the hur f the meeting and in the case f Special Meetings, the general nature f the business t be transacted. 3.6 Cnsent f Absentees: The transactins f any meeting f the General Membership, hwever called and nticed, are as valid as thugh had at a meeting duly held after a regular call and ntice if a qurum, as hereinafter defined, is present. 3.7 General Membership Qurum: A qurum shall cnsist f at least five (5) members. 3.8 Adjurnment fr Lack f Qurum: In the absence f a qurum, n business shall be transacted and the nly mtin which the chair shall entertain is a mtin t adjurn, prvided, hwever that by vte f a majrity f the (vting) members present, the meeting may be adjurned. If adjurned fr less than thirty (30) days, n ntice f the adjurned meeting need be given. 3.9 Lss f Qurum: The General Membership present at a duly called r held meeting at which a qurum is present may cntinue t d business until adjurnment ntwithstanding the withdrawal f enugh members t leave less than a qurum Vting: Vting shall be by vice vte, prvided, hwever, the electin f Officers and Directrs may be by secret ballt. Members shall nt be permitted t vte by prxy, and cumulative vting shall nt be authrized Cnduct f Meetings: a) Meetings f Members shall be presided ver by the President f the Organizatin r, in the President s absence, by the Vice President f Babe Buchanan Babe Ruth Baseball Assciatin Bylaws 2

4 Ruth, r, in the absence f bth, by a chairpersn chsen by a majrity f the members present. b) Meetings shall be gverned by Rbert s Rules f Order; as such rules may be revised frm time t time, insfar as such rules are nt incnsistent with r in cnflict with these Bylaws, with the Articles f this Organizatin r with the law. Articles IV. Officers and Directrs 4.1 Qualificatins: An active member f this Organizatin is qualified t be an Officer/Directr heref. Members f the Bard f Directrs shall cnsist f seventeen (17) representatives elected frm amng the members. 4.2 Electin: Officers/Directrs shall serve fr a perid f tw (2) years frm the time they are elected until their successrs are elected. Any member can g befre the bard t shrten his r her term. 4.3 Duties: It shall be the duty f the Officers/Directrs: a) T perfrm any and all duties impsed n them cllectively r individually by law, by the Cnstitutin, r by these Bylaws. b) T develp a budget fr the expenditure f funds cllected thrugh the applicatin fee r dues. c) T register their address with the Secretary f the Organizatin, and ntices f meetings mailed r ed t them at such addresses shall be valid ntices theref. 4.4 Remval by General Membership: The entire Bard f Directrs, r any individual Officer/Directr may be remved frm ffice at any time by the vte f a majrity f the members f the Organizatin. If any r all Bard members are s remved, new Bard Members may be elected at the same meeting and they shall hld ffice fr the remainder f the terms f the remved Bard Members. If new Bard Members are nt elected at such meeting, vacancies will be filled as prvided in Sectin 4.6 heref. 4.5 Remval by Bard: The bard shall have the right t remve by a 2/3 r greater majrity vte at any time, withut stated cause, any Directr, if, in their pinin the remval serves the best interests f the rganizatin. Shuld any vacancy ccur n the Bard f Directrs thrugh any cause, the Bard may fill the vacancy by electin f a qualified persn t serve until the next annual meeting f the general membership. 4.6 Vacancies: Vacancies caused by the death, resignatin, r disability f any Bard Member, r by his/her r their remval as prvided by these Bylaws, r by an amendment f the Bylaws increasing the number f Directrs authrized, shall be filled by a majrity f the remaining Bard Members, thrugh less than a qurum, r by the sle remaining Bard Member. 5 4.7 Meetings: The Bard f Directrs shall meet befre the regular and special meetings f the members r by request f the President f Buchanan Babe Ruth Baseball Assciatin, Inc. A qurum shall cnsist f five (5) directrs. 4.8 Attendance: All Bard members shuld attend all bard meetings. Bard members are expected t recrd regular meeting times in their persnal calendars and t avid scheduling ther meetings during that time. Bard members may ccasinally miss meetings due t circumstances beynd their cntrl, such as illness, travel schedules, jury duty, emplyment schedule, r hlidays. These will generally be cnsidered "excused" absences. In all cases, bard members are expected t ntify the bard secretary and/r bard president f meetings they knw they will miss. "Silent failure" (i.e., missing a meeting withut ntificatin) is unacceptable. If any member f the bard is absent frm any tw (2) cnsecutive bard meetings withut an excuse/ntificatin, fur (4) ntified absences in a rw, r misses ne half f the ttal number f bard meetings in a twelvemnth perid, the Secretary f the Bard f Directrs shall reprt the attendance issue t the Bard f Directrs at its next meeting and the Bard autmatically cnsiders that seat vacant, unless the Bard Member is present at that meeting, r unless by a 2/3 r greater majrity vte the bard acts at that meeting n a reasned request in writing frm the absent Bard Member t retain him/her n the Bard, withut requiring attendance fr such specific time perid as the Bard may determine. The Bard Secretary will maintain a year-t-date summary f bard member attendance. 4.9 Bard Meeting Per Diem: The Bard takes its mandate t represent the public with the utmst seriusness. Each member recgnizes it is a privilege and an hnr t serve as a member f the Bard. It is the plicy f the Bard t adpt a cnservative expense plicy, keeping in mind the rganizatin is funded by registratin fees and spnsrships. The Bard seeks t cntrl csts and remain cgnizant f the imprtance f limiting csts fr all its endeavrs. Bard members may receive a per diem amunt f ten ($10) dllars fr every scheduled Bard meeting attended t allw fr mileage and any child care csts incurred. The Bard Secretary will present the year-t-date summary f bard member attendance t the Treasurer in September f each year fr the ne-time annual reimbursement t take place prir t the Annual Meeting Reimbursement Requests f Apprved Expenditures: All requests fr reimbursement f expenses (ther than Bard Meeting per diem) shuld be submitted t the Bard Treasurer within sixty (60) days. All such requests fr reimbursement shall be accmpanied by all necessary receipts and ther supprting dcumentatin Cnflict f Interest Nt mre that twenty percent (20%) f the directrs at any time may be interested persns. An interested persn is: 1) any persn being cmpensated by the crpratin fr services rendered t it within the previus twelve (12) mnths, whether as a full-time emplyee, independent cntractr, r therwise, excluding any reasnable cmpensatin paid t a directr as directr; and 2) any brther, sister, ancestr, descendent, spuse, brther-inlaw, sister-in-law, sn-in-law, daughter-in-law, mther-in-law, r father-in-law f any such persn. Interested parties shall sign a cnflict f interest disclsure frm. Any interested persn must abstain frm discussin r vting n the issue. Hwever, any vilatin f the prvisins f this sectin shall nt necessarily affect validity r enfrceability f any transactin entered int by the crpratin. All Directrs shall sign a Cnflict f Interest Statement/Disclsure Frm annually and cpies f these frms are t be maintained by the Bard Secretary. Buchanan Babe Ruth Baseball Assciatin Bylaws 4

Offices 5.1 Duties f the President: a) Shall call and preside at all meetings, appint cmmittees with the cnsent f the Bard f Directrs, and shall have, subject t the cntrl f the Bard f Directrs, the general management and directin f the affairs f this Assciatin, and shall perfrm such duties as may be cnsistent with the ffice. b) The President is authrized t apprve n behalf f the Organizatin, requested expenditures f up t $ Larger expenditures must be apprved at regular r special meeting f the Bard f Directrs. (If there is nt time t hld a meeting than a telephne pll r vte can be taken as lng as there is an attempt made at cntacting All Bard Members.) c) Assist in all league fund raising activities and events. 5.2 Duties f Vice President f Babe Ruth: a) Shall in the President s absence, inability r refusal t act, assume the duties f the President. b) Submit fr Bard f Directrs apprval a Babe Ruth and Prep Divisin Player Agent c) In additin the Vice President f Babe Ruth shall: Attend Bard meetings. Assist in all registratins Direct Player Agents t help rganize their divisins and implement Babe Ruth rules, regulatins and Bylaws. Obtain fields fr Babe Ruth and Prep Divisins, bth regular and pst seasn play. Crdinate review with Registrar fr Babe Ruth and Prep regular and pst seasn. Crdinate Draft with Registrar fr Babe Ruth and Prep Divisin regular seasn play. Crdinate scheduling fr Babe Ruth and Prep regular seasn activities. Crdinate Umpires fr bth Babe Ruth and Prep Divisins. Assist in drafting a league yearly budget. Crdinate Babe Ruth and Prep pst seasn play. Submit t the Bard f Directrs a Crdinatr t run league hsted Babe Ruth and Prep Divisin turnaments. Crdinate Babe Ruth and Prep Divisin Screkeepers Clinic. Crdinate Babe Ruth and Prep Divisin Managers/Caches Clinic. Chair Babe Ruth and Prep Managers Selectin Cmmittee. Assist in all league fund raising activities and events. 5.3 Duties f the Vice President f Cal Ripken: a) Crdinate all aspects f the Cal Ripken League with the Majr, Minr, Rkie and Instructinal League. b) Assume r direct the respnsibilities f the Majr, Minr, Rkie, Instructinal, All-Star and Umpire Directrs if they are unable t perfrm their duties. c) In additin the Vice President f Cal Ripken shall: Attend Bard meetings. Assist in all registratins. Direct Majr, Minr, Rkie and Instructinal Directrs t rganize their divisins and implement Cal Ripken Rules, Regulatins and Bylaws. 7 Assist All-star/Umpire Directr in crdinatin f the Cal Ripken Divisin Umpires. Assist All-star/Umpire Directr in crdinatin f the Cal Ripken Divisin pst-seasn play. Assist in drafting League yearly budget. Crdinate reviews with Registrar and Divisin Directrs. Crdinate Drafts/Draws with Registrar and Divisin Directrs. Crdinate with Directrs, all pst-seasn activities and scheduling with directin frm All-star/Umpire Directr. Submit t the Bard a crdinatr t run league hsted Cal Ripken turnaments. Crdinate Cal Ripken Divisin Screkeepers Clinic. Crdinate Cal Ripken Divisin Caches Clinic. Chair Cal Ripken Managers Selectin Cmmittee. Assist in all league fund raising activities and events. 5.4 Duties f the Secretary: Attend all Bard meetings. Assist in all registratins Crdinate yearly League calendar. Cmplete Manager Handbk. Keep recrd f all prceedings f the Bard f Directrs and all General and Special Meetings. Receive and file all crrespndence. Maintain an attendance recrd n all Bard Meetings. Disseminate all necessary materials t the Bard, Managers and Caches. Submit Charter and Insurance Applicatins. Certify and Keep riginal r cpy f Bylaws as amended r therwise altered t date, and keep the riginal r cpy f the Cnstitutin as amended t date. Assist in drafting a league yearly budget. Mnitr and update any lcal, state and Federal dcumentatin necessary fr the Assciatin t legally perate. Crdinate and take bids fr league team pictures. Assist in all league fund raising activities and events. 5.5 Duties f the Treasurer: Attend Bard meetings. Assist in all registratins. Draft league yearly budget. Cmplete mnthly financial update and budget update fr the Bard f Directrs. Receive, disperse and recrd all dnatins, fees, gifts, bequests and cntributins made t the League in a manner prvided herein r as therwise directed by the Bard f Directrs. Pay utstanding bills within a timely manner after apprval f the Bard f Directrs. Crdinate payrll t Umpires. Cmplete year-end financial statement. Assist in all league fund raising activities and events. 5.6 Duties f the Registrar: Attend all Bard meetings. Crdinate all Babe Ruth and pst seasn registratins. 8 Receive and Organize all players registratin frms and Manager/Cach applicatins. Maintain all waiting lists. Assist in the crdinatin f Cal Ripken and Babe Ruth reviews. Assist in the crdinatin f all League drafts. Maintain Assciatin Member list. Crdinate and assist parties invlved in league injury insurance claims. Member f the Budget Cmmittee. Assist in all league fund raising activities and events. 5.7 Duties f the Spnsrship/Publicity Directr: Attend all Bard meetings. Assist in all registratins. Slicit spnsrs fr each team in the league and cllect fees t be submitted t the Treasurer. Crdinate and mnitr any regular r pst-seasn fundraiser. Assist and crdinate the disseminate spnsr players. Member f the Budget Cmmittee. Assist with Opening Ceremnies as it relates t Spnsrs. Assist in all league fund raising activities and events. 5.7A Duties f the Cmmunicatins/Web Directr: Attend all Bard meetings Assist in all registratins Recruit and crdinate scre bk auditrs. Maintain cntact with lcal newspapers in regard t publicatins. Pst divisin standings t league website regularly. Develp, with the assistance f the Registrar, a flyer that annunces all registratin dates fr the upcming seasn Flyers t be distributed t all assciated schls within the bundaries f the league Gain prir apprval fr the distributin f these flyers frm the schl district. Assist in all league fund raising activities and events. Crdinate and maintain the league website. 5.8 Duties f the Unifrm/Apparel Directr: Attend Bard meetings. Assist in all registratins Cnduct inventry frm previus seasn. Obtain bids fr unifrm purchases and submit t the Bard f Directrs befre January 1. Prpse unifrm budget fr upcming seasn. Member f the Budget Cmmittee. Order unifrms and submit all invices t the Treasurer. Crdinate with the Secretary all dates fr pick up, turn in and exchange f unifrms fr all teams, regular and pst-seasn. Determine the charges due frm managers fr unifrms nt turned in, damaged items r dirty unifrms and submit t the Treasurer fr invicing. Give shrt presentatin n unifrm care and League Plicy pertaining t unifrms at the Managers/Caches Meeting. Be available fr mid-seasn exchanges and replacements. Order equipment and submit all invices t the Treasurer. Crdinate with Secretary all dates fr pick up, turn in and exchange f equipment fr all teams, fr regular and pst-seasn. Deliver and stck all equipment bxes. Crdinate installatin f required field equipment. (i.e., Pitching rubbers, hme plate, etc.) Determine charges due frm managers fr equipment nt turned in, damaged items r dirty equipment and submit t Treasurer fr invicing. Maintain all equipment and discard hazardus items. Separate ld and wrn equipment and give t accepted rganizatins, r sell at future Buchanan Babe Ruth functins. Give shrt presentatin n equipment care/maintenance and League plicy as it pertains t equipment at the Managers/Caches meeting. Be available fr mid-seasn exchanges and replacements. Assist in all league fund raising activities and events Duties f the Fields Directr: Attend Bard meetings. Assist in all registratins. Serve as BBR Liaisn between umpires and divisin directrs. Crdinate field preparatin prir t seasn's start (fences, base psts, etc.) and during the seasn. Ensure fields are ready fr pening day. Wrk with the schl's maintenance staff t find water vales fr hses and sprinklers and pwer fr the league. Assist with setting practice schedules fr the teams in the different divisins. Crdinate with Equipment Directr t ensure all equipment is in the bxes and c-trains fr the games. Assist in all league fund raising activities and events Duties f the Majr Directr: Attend Bard meetings. Assist in all registratins. Obtain and submit Player Agents fr Bard f Directrs apprval. (One (1) player agent fr each cnference.) Recruit Managers. Recruit Spnsrs. Assist in the crdinatin f all reviews and drafts. Assist in scheduling. Assist in divisinal scre keepers clinic. Mnitr and delegate respnsibilities t player agents. Assist in all league fund raising activities and events Duties f the Rkie Directr: Attend Bard meetings. Assist in all registratins. Obtain and submit Player Agents fr Bard f Directrs apprval. (One (1) player agent fr each cnference.) Recruit Managers. Recruit Spnsrs. Assist in the crdinatin f all reviews and drafts. Lcate interested parties t submit bid t Bard f Directrs fr the psitin f Umpire in Chief. Mnitr Cal Ripken and Babe Ruth fficiating and crdinate cncerns with the Umpire in Chief.
